1、模具保管協(xié)議MouldKeepingAgreement合同號/ContractNo.甲方：“PartyA”)“PartyB”)the“Party”and(hereinafter乙方：(hereinafterIndividuallycalledPartyAandPartyBrespectivelyand/ortogether,calledthe“Parties”.經(jīng)過友好協(xié)商和在公平、平等的原則基礎(chǔ)上，雙方約定如下：Afterfriendlyconsultationsandproceedingonprinciplesoffairnessandequality,thePartieshaveagre

2、edthefollowing:保管模具內(nèi)容/MouldInfo.模具價(jià)格表/MouldPriceList以上價(jià)格已含17%的增值稅.Theabovepricesinclude17%VAT.模具名稱MouldDescription計(jì)量數(shù)量Quantity單價(jià)(人民幣)UnitPrice(RMB)總價(jià)(人民幣)TotalPrice(RMB)單位Unit合計(jì)TotalAmount合計(jì)人民幣金額(大寫)：TotalAmount(Capital):三、保管約定/Commitment1) 甲方將如上的模具寄存于乙方。所有寄存模具的所有權(quán)歸甲方所有。非經(jīng)甲方書面同意，乙方不得為自己或他人復(fù)制或仿制該模具。P

3、artyAputstheabovemouldsinPartyB.TheownershipofthestoragemouldsbelongstoPartyA.PartyBcannotcopyorimitatethemouldsforitselforforotherswithoutthewrittenpermissionofPartyA.2) 乙方承諾不去掉寄存模具上的名稱和標(biāo)記，并將這些寄存模具與其它企業(yè)的物品分開存放，使這些寄存模具能夠很容易地被辨別出來。PartyBpromisesnottoremovethenameandmarksonthestoragemouldsandkeepthems

4、eparatelywithotheritemsinorderthattheycanbeidentifiedeasily.3) 任何寄存于乙方的本約模具只能由受過專門培訓(xùn)的員工使用和操作。除正常磨損外，乙方承諾對這些寄存模具進(jìn)行維護(hù)以使其保持良好的狀態(tài)，且保管期間發(fā)生的一切費(fèi)用由乙方承擔(dān)。在保管或使用這些寄存模具時(shí)，乙方要為這些模具投保，保險(xiǎn)金額應(yīng)等同于這些寄存模具的替換成本，若有丟失或損壞，則以同等價(jià)格賠付給甲方。Onlyspeciallytrainedstaffcanuseandoperatethemoulds.Inadditiontonormalwearandtear,PartyBprom

5、isestomaintainthestoragemouldsinordertokeepthemingoodconditionandundertakeallthecoststhatoccurredduringthekeepingtime.PartyBshouldbuyinsuranceforthestoragemouldswhenkeepingorusingthem.Theinsuranceamountshouldbeequaltothereplacementcostofthestoragemoulds.Iflostordamaged,PartyBshouldcompensatePartyAwi

6、ththemouldpricelistedontheagreement.4) 乙方應(yīng)當(dāng)對用寄存模具生產(chǎn)出的樣件進(jìn)行檢驗(yàn)，以確定這些模具是否符合甲方的工程圖紙和規(guī)范要求。乙方必須在收到甲方的書面確認(rèn)樣件合格后正式批量生產(chǎn)產(chǎn)品。PartyBshouldinspectthesamplewhichisproducedbythestoragemouldtodeterminewhetherthemouldsfitwiththeengineeringdrawingsandspecificationsfromPartyA.PartyBwillstartmassproductionafterreceivingt

7、hewrittenconfirmationandacceptancefromPartyA.5) 乙方每月向甲方提交一份有關(guān)各模具的維護(hù)報(bào)告。報(bào)告內(nèi)容應(yīng)包括：上一個(gè)月對模具進(jìn)行維護(hù)的情況以及該模具的當(dāng)前狀況。PartyBshouldsubmitamonthlymaintenancereportaboutthemouldstoPartyA.Thereportshouldincludethemouldsmaintenanceconditionsoflastmonthanditscurrentsituation.6) 未經(jīng)甲方書面同意，乙方如利用或提供本約之模具為甲方以外之人加工、生產(chǎn)或?qū)⑵渖a(chǎn)之產(chǎn)品

8、銷售給甲方以外之任何人時(shí)，乙方須給付甲方其生產(chǎn)、轉(zhuǎn)售總值之十倍違約金。IfPartyBusesthestoragemouldtoprocess,produceormanufacturetheproductstoselltoanypersonotherthanPartyAwithoutthewrittenpermissionofPartyA,PartyBshallpayPartyAofitsproductionandresalevalueoftentimesthepenalty.7) 甲方可隨時(shí)取回該模具，乙方不得以任何理由扣留，否則自甲方要求取回該模具之日起，每逾期一日，按該模具總價(jià)之25%進(jìn)

9、行罰款，由甲方支付給乙方之貨款中自行扣除。如貨款不敷抵扣時(shí)，由乙方另行賠償。PartyAcantakebackthestoragemouldsatanytime,PartyBshouldnotdetainthemforanyreasonorfromthedatethatPartyArequiredtotakebackthemoulds,eachoverdueday,PartyBshallpaythepenaltyof25%oftotalmouldscosttoPartyAandthepenaltieswillbedeductedfromthemouldskeepingcostpaidtoPar

10、tyB.Ifpaymentisinsufficienttooffset,PartyBshouldpayforthecompensationseparately.四、保密責(zé)任/Confidentiality未經(jīng)甲方允許，乙方不得將甲方所提供的圖紙及技術(shù)資料以口頭、書面、出示和借用的方式轉(zhuǎn)泄露給第三方。如有發(fā)生信息泄露,甲方有權(quán)追究其法律責(zé)任。WithoutthepermissionofPartyA,PartyBshouldnotdisclosethedrawingsandtechnicalinformationwhichareprovidedbyPartyAinoral,written,show

11、ingandlendingwaytothethirdParty.IfPartyBrevealedsuchinformation,PartyAhastherighttopursuePartyBslegalresponsibility.五、其他約定/Others本協(xié)議受中華人民共和國的法律法規(guī)管轄，并應(yīng)依照中華人民共和國的法律法規(guī)解釋。Theagreementshallbegovernedby,andinterpretedinaccordancewith,thelawsandregulationsofthePeoplesRepublicofChina.1) 除非雙方采用書面形式，否則對本協(xié)議的任何

12、修正均屬無效。AnyamendmentstothisagreementshallnotbevalidunlessmadebythePartiesinwriting.2) 本協(xié)議一式兩份，每份皆具有同等法律效力。Thisagreementismadeintwooriginalcopies,bothofwhichareequallyvalid.3) 本協(xié)議在雙方簽訂本協(xié)議之日立即生效。ThisagreementshalltakeeffectimmediatelyuponthedateofexecutionbytheParties.4) 凡涉及本協(xié)議或因本協(xié)議而發(fā)生的所有爭執(zhí)，都應(yīng)通過友好協(xié)商解決。

13、如果在書面要求協(xié)商的通知發(fā)出后的三十(30)天內(nèi)不能解決，則該爭執(zhí)應(yīng)提交乙方所在地有管轄權(quán)的法院進(jìn)行裁決。AllthedisputesandcontroversiesofeverykindandnaturebetweenthePartiesarisingoutoforinconnectionwiththeagreementortheexecutionhereofshallbesettledbyfriendlynegotiationbetweentheParties.Ifnosettlementcanbereachedwithinthirty(30)daysafterdeliveryofthew

14、rittennoticerequestingthesaidnegotiation,suchdisputeorcontroversyshallbesubmittedacompetentcourtlocatedinthebusinessplaceofPartyAforjudgment.5) 當(dāng)本協(xié)議中文文本與英文文本發(fā)生歧義時(shí)，應(yīng)以中文文本為準(zhǔn)。TheChineseversionofthisagreementwillprevailifthereisanyconflictbetweentheChineseversionandEnglishversionofthisagreement.甲方：PartyA:簽字：蓋
