Pursuant to General Principles of the Civil Law of the Peoples Republic of China, Contract Law of the Peoples Republic of China and other relevant regulations, Party A and Party B(collectively referred to as the “Parties” ) have willin

3、gly entered into this Service Contract (hereafter referred to as the “Contract”) after equal consultation and mutual agreements and shall comply with it. 第一條服務(wù)內(nèi)容根據(jù)甲方業(yè)務(wù)需要，乙方同意向甲方提供與XXX相關(guān)的各種服務(wù)。Clause 1:Service ContentAccording to the business needs of Party A, Party B agrees to provide services to Par

5、 the Parties3.1乙方保證其為甲方提供服務(wù)的人員合法就業(yè)并具有符合服務(wù)要求的專業(yè)技能，遵守甲方的規(guī)章制度，按照甲方的要求和標(biāo)準(zhǔn)完成服務(wù)協(xié)議，并接受甲方的檢查考核。3.1Party B promises that the labors who will provide services for Party A have legal work and qualified skills for finishing the services. Party B promises that the labors shall abide by regulations of Party A, fi

6、nish the services and receive the inspection of Party A according to requirements of Party A.3.2甲方為乙方提供安全的工作環(huán)境，乙方人員在服務(wù)過程中應(yīng)嚴(yán)格遵守甲方的安全操作規(guī)定，乙方人員因違反安全操作規(guī)定故意或過失導(dǎo)致受傷的，所有責(zé)任由乙方自己承擔(dān)。3.2Party A shall provide safe working environment for Party B and Party B shall abide by safe operating regulations of Party A.

7、In case that labors of Party B violate safe operating regulations intentionally or negligently and be injured, Party B shall burden all responsibilities. 3.3  乙方工作時(shí)間根據(jù)甲方需要確定。 3.3 The working hours of Party B is implemented by Party A according to the business needs.3.4乙方在為甲方提供服務(wù)中

8、知悉的甲方商業(yè)秘密，不得提供或泄露給任何第三方。3.4Party B shall not disclose to any third party any confidential information obtained because of services in Party A.3.5甲方按照乙方提供的服務(wù)，向乙方支付服務(wù)費(fèi)。3.5Party A pays service remuneration to Party B for the services.第四條  服務(wù)費(fèi)支付Clause 4: Payment of Service Remuneration4.1甲方支付乙方服務(wù)費(fèi)的

9、標(biāo)準(zhǔn)、方式、時(shí)間：4.1Party A pays service remuneration to Party B as the following standards: 4.2如需調(diào)整服務(wù)費(fèi)，甲乙雙方另行約定。4.2The remuneration may be adjusted by other agreements of both Parties.第五條   合同的終止與解除Clause 5: Rescission and Termination of the Contract5.1本合同期滿如雙方未續(xù)簽，則合同自行終止。雙方應(yīng)及時(shí)辦理交接手續(xù)。5.1If both P

10、arties cannot agree to renew the agreement, the Contract terminates automatically when it expires. Both Parties shall implement handover procedures.5.2甲方有權(quán)視業(yè)務(wù)需要及乙方服務(wù)情況等隨時(shí)解除本合同，甲方不向乙方支付任何補(bǔ)償。5.2Party A is entitled to terminate the Contract whenever based on the business needs and performance of Party

Party A burdens no responsibility to pay any financial compensation to Party B. 5.3本合同終止或解除后，雙方應(yīng)及時(shí)辦理交接手續(xù)。5.3Both Parties shall implement handover procedures after rescission or termination of the Contract.第六條    違約責(zé)任Clause 6: Responsibility of Default6.1乙方未按照甲方要求提供相應(yīng)服務(wù)的，應(yīng)按照服務(wù)費(fèi)金額的 當(dāng)

12、向甲方支付違約金。6.1In case that Party B provides services out of accordance with the requirements of Party A, Party B shall pay liquidated damages to Party A at the rate of of the service remuneration. 6.2甲方不按照本合同約定日期向乙方支付服務(wù)費(fèi)的，每拖欠一日按照拖欠金額的 向乙方支付違約金。6.2 In case that Party A pays service remuneration out of

13、accordance with the date agreed in the Contract, Party A shall pay liquidated damages to Party B at the rate of of arrears per late day. 6.3乙方在提供服務(wù)中因故意或過失給甲方造成損失的，按照損失的金額據(jù)實(shí)賠償。 6.3In case that Party B causes damages to Party A because of intention or negligence in services, Party B shall compensate a

14、ccording to the damages. 第七條     爭議解決甲乙雙方在履行本合同過程中發(fā)生爭議的，應(yīng)當(dāng)通過協(xié)商解決。協(xié)商不成的，任何一方均有權(quán)向甲方所在地有管轄權(quán)的人民法院提起訴訟。Clause 7: Settlement of DisputesIn case that any disputes arise from the performance of this Contract, such disputes shall be settled through consultations first. In case that no con

15、sultations can be reached, either party can file a lawsuit under the jurisdiction of the Peoples Court at the address of Party A.第八條     文本及生效Clause 8:Text and Validity8.1本合同文本一式兩份，甲乙雙方各執(zhí)一份。8.1This Contract is in duplicate, one for each party.8.2本合同于雙方蓋章簽字之日生效。8.2This Contract enters into force since the date of seal and signature by Party A and Party B.甲方：（簽章）
