24、IPPR International Engineering Corporation as the beneficiary. The insurance has to be effected in the Contract Currency showing claims payable in P.R.C and with no deductible clause.8.2 一旦發(fā)生保險承保的損失,買方將向保險公司申請賠付,賣方應(yīng)提供必要的協(xié)助和文件. 另如買方要求,賣方將盡快按原合同價格提供該喪失或損壞的貨物.In case Contract Goods is lost and/or damag

25、ed in the course of transportation due to any accident, the Seller shall assist the Buyer/beneficiary to apply for compensationto the insurance company and shall provide necessary assistance and documents. When the Buyer so requires, the Seller shall be liable to make, as soon as possible, supplemen

26、tary supply of the lost and/or damaged goods at the original Contract Price.9. 裝運條款 TERMS OF SHIPMENT9.1賣方應(yīng)在貨物裝運前 天以 形式將裝運的細(xì)節(jié),包括合同號、貨物名稱、數(shù)量、發(fā)票金額、包裝、毛重、尺寸、裝運港、卸貨港、船名或航班號、提單/運單號、起運日期和預(yù)計到達(dá)日期等通知買方.The Seller shall, days before the date of shipment, advise the Buyer byfax of contract No., commodity, quan

27、tity, value, number of packages, gross weight, measurement, port of shipment and destination, name/number of carrying vessel/aircraft, number of Bill of Lading/Air waybill, date of its departure and estimated date of arrival.9.2賣方同時應(yīng)在裝運后 小時內(nèi)將提單或空運單、發(fā)票、總裝箱單和詳細(xì)裝箱單、原產(chǎn)地證、熏蒸證實、三C證書以及其他相關(guān)單據(jù) 給買方.賣方還應(yīng)在貨物裝運后

28、的三天內(nèi)快遞買方一整套正本單據(jù).由于賣方未發(fā)裝船通知 而導(dǎo)致買方不能及時保險時,那么所發(fā)生的一切損失均由賣方負(fù)責(zé)賠償.The Bill of Lading/Air waybill, invoice, overall packing list, detailed packing list,certificate of original, Phyto-sanitary certificate, triple C certificate and otherrelated documents shall be also faxed to the Buyer by the Seller within f

29、orty eight (48) hours after shipment. The seller shall also send by courier a complete and full set ofthe Original documents to the buyer not later than three (3) days after completion ofloading of the Goods. Due to the seller ' s failu re to give the above-mentioned adviceof shipment by fax, th

30、e seller shall be held responsible for any and all damage and/or loss attributable to such failure.9.3除非另有規(guī)定,貨物不能放在甲板上運輸,也不能分批裝運或轉(zhuǎn)運.Unless otherwise agreed upon, ashipped on deck " or atransshipment " is not acceptable.9.4賣方應(yīng)在裝運完后應(yīng)立即以 方式將合同號、用戶名稱、用戶代碼、貨物名稱、數(shù)量、包裝、毛重、尺寸、發(fā)票金額、起運日期、預(yù)計到達(dá)日期和貨物在運

31、輸、儲存中的特殊要求和注 意事項通知分別買方和用戶.The Seller, immediately upon the completion of the loading of the Contract Equipment, shall notify the Buyer by fax of the Contract No., name of end-user, ID number, name of commodity, quantity, number of packages, gross weight, measurement, invoiced value, name of carrying

32、 vessel, departure date and expected date of arrival at the Port of Unloading.9.5配套的附件、易耗品、消耗品、備品備件、工具、試樣等應(yīng)隨主機一起裝運.Necessary accessories, consumables, tear and wear parts, spare parts, special tools,test samples, etc. shall be shipped together with the main equipment.9.6貨物中假設(shè)包含易燃、易暴和其他危險品,賣方除在包裝和運輸時

33、予以特別考慮并采取專門 舉措之外,還應(yīng)在單據(jù)和包裝箱上特別注明.In case of inflammable, explosive and other dangerous parts included in the Goods, theSeller should mark specially in the documents and the package cases in addition to measures in packing and transportation.9.7由運輸部門簽發(fā)的海運提單/空運單/陸運單據(jù)上的日期視為賣方裝運的實際日期.The dateof On Board

34、Ocean Bills of Lading/Air Waybill/transportation documents/issued by the transport department concerned shall be regarded as the actual date of shipment of the goods by the Seller.10. 包裝 PACKING10.1 賣方應(yīng)提供所需的適應(yīng)各種氣候下長途郵寄/空運/陸運的外貿(mào)標(biāo)準(zhǔn)包裝,防水、防潮、防震、防塵,以及預(yù)防其他所有由于賣方采取不正確的包裝和防護(hù)舉措所引起的損失.貨物重量在2公噸以上時,應(yīng)以英文及國際貿(mào)易通用標(biāo)

35、志注明貨物吊裝部位及重心所在處,并于箱兩側(cè)標(biāo)注指示性標(biāo)志,以便裝卸及處理操作.To be packed in export standard packing suitable for long distance post/air freight and inland transportation and change of climate, well protected against dampness, moisture, shocks, rust, damage and loss attributable to inadequate or improper protective measu

36、res taken by the Sellers in regard to the packing. Should the goods weighs two (2) metric tons or more, then the hoist position and gravity shall be marked out in English with international trade practice marks and illustrative marks on the two side of each case so as to facilitate loading, unloadin

Should the Contract Equipment weigh two (2) or over two (2) metric tons, the weight, gravity center and hoisting position thereof shall be marked.10.4 每包內(nèi)應(yīng)附以下文件The following documents shall be enclosed in each package of the Contract Equipment:(a) 詳細(xì)

42、的裝箱單二份副本Two duplicate copies of detailed packing list;(b) 數(shù)量質(zhì)量證實二份副本Two duplicate copies of quality certificate;(c) 合同有關(guān)的技術(shù)文件一份副本One copy of Technical Documentation for relevantContract Equipment.10.5 假設(shè)是集裝箱運輸,賣方應(yīng)檢查集裝箱是否完好并適合設(shè)備裝運.在集裝箱內(nèi)應(yīng)使用支柱或木楔預(yù)防設(shè)備移動.如果貨物因包裝不當(dāng)或因未采取妥善的保護(hù)舉措而發(fā)生損失或損壞,賣方應(yīng)負(fù)責(zé)修理、更換或賠償.此外賣方還應(yīng)

43、賠償買方未得到保險公司全額索賠的損失In case of container transportation, the Seller shall examine the conditions of thecontainers so that only those in good conditions shall be used for delivery of theContract Equipment. Sufficient shores or chocks shall be provided in order to preventthe Contract Equipment from movi

44、ng inside the containers. If the Goods are damaged orlost due to improper packing and/or inadequate protective measures, the Seller shallbe responsible for repair, replacement and/or compensation in accordance with theContract. The Seller shall compensate the Buyer in the event the Buyer is not full

45、ycompensated by the Insurance Company.10.6 如果貨物因包裝不當(dāng)或因未采取妥善的保護(hù)舉措而發(fā)生損失或損壞,賣方應(yīng)負(fù)責(zé)修理、更換或賠償.如果貨物因錯誤/不明確的包裝或嗟頭標(biāo)識而發(fā)生的錯發(fā)貨情況,賣方還應(yīng)承擔(dān)由此造成的額外費用If any of the Contract Equipment is damaged or lost due to improper packing and/or inadequate protective measures, the Seller shall be responsible for repair, replacemen

Should the Contract Equipment be mis-transported due to mistake or ambiguousness in package and/or shipping marks, the Seller shall bear additional expenses thus incurred 除了上述原因外,如貨物在運裝運過程中有喪失或者損壞的,賣方應(yīng)協(xié)助買方向保險公司辦理索償,并且有義務(wù)在事故發(fā)生后 天內(nèi),將喪失或者損壞的貨物應(yīng)買方的要求以原合 同價格補發(fā)該貨物 .In case the Contract Equipment are lo

47、st and/or damaged in the course of transportation not for the A/M reasons, the Seller shall assist the Buyer/thePurchaser to apply to the insurance company for compensation and shall be liable to make within days after the occurrence of the accident, supplementary supply of the lost and/or damaged e

48、quipment at the original Contract Price upon the Buyer / the Purchaser ' s request.(d)假設(shè)賣方使用木質(zhì)包裝,應(yīng)使用無蟲害的包裝.所使用的木質(zhì)材料,包括支撐物、系結(jié)物,應(yīng) 當(dāng)由出口國或地區(qū)政府植物檢疫機構(gòu)認(rèn)可的企業(yè)按中國確認(rèn)的檢疫除害處理方法處理,并在木質(zhì)包裝顯著位置(至少應(yīng)在相對的兩面)加施清楚易辨的IPPC專用標(biāo)識(標(biāo)識預(yù)防使用紅色或橙 色).如果經(jīng)中國檢疫機構(gòu)檢疫發(fā)現(xiàn)木質(zhì)包裝無標(biāo)識、標(biāo)識不符合要求或截獲活的有害生物的,賣方應(yīng)承擔(dān)在卸貨港對木質(zhì)包裝實施除害處理、銷毀處理或作退運處理所發(fā)生的所有費用,

49、并賠償買方因此遭受的所有損失和費用.If the Seller use wooden package, it shall be free from any insect infestation. Wooden materials of packing, including supporting, fastening, etc., shall be treated by entities qualified by the phytosanitary authorities of the exporting country or region, in accordance with the mea

50、sures as defined by competent authorities of PRC. Each wooden package shall carried with legible special mark of IPPC(the use of red or orangeavoided)in the obvious place of wood packaging (on at least two opposite sides). In case the phytosanitary organization of PRC finds through quarantine measur

51、es that the woodpackaging does not carry with the required mark, the mark does not meet the requirements or live pests are intercepted, the Seller should pay for all the expenses at the port of unloading of treatments to eliminate the pests, destroy the packaging or transportback and shall compensat

52、e the Buyer for all the expenses , costs and damages thus incurred.10.7 賣方應(yīng)將上述提及的證實或聲明應(yīng)在貨物裝船 (裝運)后盡快遞交給買方,如果因賣方原因不能及時遞交上述證實或聲明,由此產(chǎn)生的所有費用和損失應(yīng)由賣方承擔(dān).The above-mentioned certificate or statement shall be submitted by the Seller to theBuyer immediately after the goods have been delivered on board of the

53、vessel (flight).If the Seller fails to present or presents the said certificate or statement in delay,the Seller shall compensate all the costs, expenses and losses of the Buyer thus incurred.11. 技術(shù)文件及效勞(Technical Document & Service):11.1 賣方應(yīng)根據(jù)附件I隨機向最終用戶提供一整套每項設(shè)備或儀器的技術(shù)文件,如目錄清單、電路圖、操作手冊和維修指南(如果有)

54、等,并附中文譯本.買方有權(quán)制作以上內(nèi)容的復(fù)印件以作參考,對此投標(biāo)人應(yīng)無限制,且不能收取額外費用.如果相關(guān)貨物需要特殊工作環(huán)境(水、電 源、磁場密度、特殊溫度和濕度要求,風(fēng)力等),投標(biāo)人應(yīng)在其相關(guān)投標(biāo)文件中予以具體說明.One copy of technical documents corresponding to each set of equipment or instrumentsystem, as per Appendix I, e.g., catalogue sheet, circuit diagrams(if any), operationmanual and maintenance

55、 manual(if any), shall be sent to the End-user together with thegoods. The technical documents shall be written in Chinese preferably.11.2 假設(shè)適用,在合同生效后的 天內(nèi),賣方應(yīng)向最終用戶提供貨物正常安裝和運行所需的全部技術(shù)文件,以供最終用戶準(zhǔn)備接機、安裝、調(diào)試、試運行和驗收等相關(guān)工作.Ifapplicable, within days of Effectiveness of the Contract, the Seller shallprovide the

58、y free application procedure.12. 遲交貨及違約金 LATE DELIVERY AND PENALTY12.1 除本合同規(guī)定的不可抗力原因外,如果賣方未能根據(jù)合同交貨期交貨,買方同意在賣方繳納違約金的條件下延期交貨,違約金在議付時由付款銀行或從履約保函中扣除,違約金不能超過遲交貨物總額的 %,違約金按每七天貨值的 %計算,缺乏七天的 按七天計算.當(dāng)扣款到達(dá)最高比例時,買方有權(quán)撤銷本合同,但賣方仍要立即繳納上述違約金和 買方的直接損失.Should The Seller fail to make delivery on time as stipulated in this contract, with the exception of Force Majeure, The Buyer shall agree to postpone the delivery on condition that The Sel
