3、la, Philippines, hereinafter referred to as“ P“AMRCTYC”IB” .o r the乙方： CAMBAYAS MINING CORPORATION 公司 (以下簡(jiǎn)稱“乙方 ”)是一個(gè)在菲律賓并根據(jù)菲律賓法律注冊(cè)成立的公司。注冊(cè)地址如下Party A and Party B referred to as“ Parties ” collectively.甲方和乙方合稱為“雙方”。鑒于：Whereas:Party A is a Chinese owned Philippine company, the head quarter in China wh

4、ich mainly engaged in: industrial investments, service outsourcing, overseas project contracting, international trade and non-ferrous metal smelting. The company has three major advantages, namely: 1) A successful track record on overseas development and investment in ore exploration and operating;

5、2) Well experienced in management and capital operations of large enterprises; 3) Have up to date Cr, Mn and Ni etc. smelting technologies, in a global leading and advantageous position.甲方是一家中國(guó)公司控股的菲律賓公司，母公司為中國(guó)知名的合金冶煉公司主要經(jīng)營(yíng)：投資實(shí)業(yè)、海外工程總承包、國(guó)際貿(mào)易和有色金屬冶煉。公司有三大優(yōu)勢(shì)：1) 有在海外投資開發(fā)礦石勘探及營(yíng)運(yùn)的成功經(jīng)驗(yàn)；2)有管理大型企業(yè)和資本運(yùn)作的團(tuán)隊(duì)和實(shí)

6、踐經(jīng)驗(yàn)；3) 擁有先進(jìn)的鉻，錳及鎳等金屬的冶煉技術(shù)，在全國(guó)乃至世界處于絕對(duì)領(lǐng)先地位。Party B is a mining and smelting group duly incorporated and validly existing under the laws of the Philippines, with good social network and owns smelting plants in Iligan and Manticao, Philippines, covering various facilities, equipment and permits.乙方是兩家依據(jù)

7、菲律賓共和國(guó)法律成立并存續(xù)的礦業(yè)集團(tuán)，在菲律賓擁有良好的社會(huì)關(guān)系，擁有冶煉廠在Iligan( MCCI )菲律賓，涵蓋各種設(shè)施和設(shè)備及許可證Party A and Party B hold a unique status in the mining and smelting industry of the People s Republic of China and Republic of the Philippines, respectively, the Parties mutually agree to enter into a long-term strategic cooperati

8、on in the development of mining and smelting resources in the Philippines and its related domains on the basis of reciprocity and complementarities.甲乙雙方在中國(guó)和菲律賓礦業(yè)行業(yè)中各自具有獨(dú)特地位，本著優(yōu)勢(shì)互補(bǔ)的原則 , 雙方同意在菲律賓礦產(chǎn)冶煉資源開發(fā)及其關(guān)聯(lián)領(lǐng)域進(jìn)行長(zhǎng)期戰(zhàn)略合 作。Both parties believe that the combination of the advantages of respective parties i

9、n the form of financial and industrial capital, as well as the technological advantages, management strength and combination of resources, aimed at the rapid development on industry modernization, for the economic development of both the Republic of the Philippines and Peoples Republic of China. On

10、thebasis of equality and mutual benefits, through friendly negotiation and in accordance with the relevant laws, rules and regulation, the Parties enter into this framework agreement of long-term cooperation and agree as follows:雙方認(rèn)為：為發(fā)揮各自優(yōu)勢(shì)，使金融資本和產(chǎn)業(yè)資本相結(jié)合，技術(shù)優(yōu)勢(shì)、管理優(yōu)勢(shì)和資源優(yōu)勢(shì)相結(jié)合，迅速提高產(chǎn)業(yè)的集約化和現(xiàn)代化陳獨(dú)。為菲律賓和中國(guó)的經(jīng)

11、濟(jì)發(fā)展做出應(yīng)有的貢獻(xiàn)。在平等互利的基礎(chǔ)上，雙方通過友好協(xié)商, 按相關(guān)法律、法規(guī)及規(guī)章的規(guī)定, 就長(zhǎng)期合作條件及安排簽署本匡架協(xié)議，達(dá)成協(xié)議如下：A. Article One: Mode of Cooperation 合作模式.Both parties agree to establish a joint venture company in the Philippines NEW CORP (Philippines) Co. Ltd. (hereunto known as “ the Company ” ); for the purpose of foreign investment, pro

12、duction management雙方同意在菲律賓合資設(shè)立有限責(zé)任公司NEW COR（菲律賓）有限 P公司（以下簡(jiǎn)稱“公司”）。作為對(duì)外投資、生產(chǎn)經(jīng)營(yíng) .The joint venture capital, capital contribution, responsibility of both parties with regards to the Joint Venture Company as well as corporate governance, operational mechanism and articles of association are to be made cl

13、ear or clarified.合資公司的注冊(cè)資本、出資方式、合資雙方的責(zé)、權(quán)利以及合資公司的法人治理結(jié)構(gòu)和運(yùn)作機(jī)制在合資合同和章程中予以明確。B. 合作內(nèi)容Article Two: Scope of CooperationQuick lime project. 生石灰項(xiàng)目Both parties work together to build up a new quicklime factory, which use rotary kiln and annual production of quick lime will be up to 190,000ton.雙方合作建立一個(gè)回轉(zhuǎn)窯工廠安裝

14、，年產(chǎn)生石灰可達(dá)到噸。Party A shall provide all need technique and investment which include factory design, equipments purchase, deliver, installation and operation, management of sales and market甲方負(fù)責(zé)提供技術(shù)及相.關(guān)的投資和流動(dòng)資金，包括工廠設(shè)計(jì)，設(shè)備的運(yùn)輸，安裝，生產(chǎn)運(yùn)營(yíng)，產(chǎn)品市場(chǎng)與銷售，及其相關(guān)的投資和流動(dòng)資金。Party B shall provide the supply of limestone, prepa

15、ration of plant, all necessary certificates and documents, local relationship乙方負(fù).責(zé)工廠原料的提供，工廠土地準(zhǔn)備，相關(guān)準(zhǔn)字及當(dāng)?shù)赝鈬P(guān)系等。The profit of this project shall be divided by the potion of investment of both parties. In the first 5 years, Party A will get 70% profit and Party B will get 30%. After 5 years, both parti

16、es will get 50% each. 雙方根據(jù)投資比例來確定利潤(rùn)分配，在工廠開始生產(chǎn)后年內(nèi)，甲乙雙方按照70%與 30%進(jìn)行利潤(rùn)分配，5 年后雙方按照各 50%進(jìn)行利潤(rùn)分配Chromite, Nickel and Iron Ore Smelting Projects鉻鐵礦及鎳鐵礦冶 煉項(xiàng)目The Joint Venture Company is to construct a pyrometallurgicalChromite, nickel and iron ore smelting projects corresponding to the output capacity of the

17、 mine projects.合資公司要建設(shè)相應(yīng)規(guī)模的鉻 火法冶煉項(xiàng)目。The Joint Venture Company is to have a share owned Chromite mine, or to have a long term supply via contract with mine owners.合 資公司應(yīng)控股擁有鉻礦，也可以與礦主簽訂專項(xiàng)的優(yōu)惠供貨合同。The planning for the smelter projects and the subsequent construction is to be developed.冶煉項(xiàng)目的建設(shè)方案另行擬定。The

18、Joint Venture intends to invest in establishing a new Industrial Zone in the Philippines, aimed at enhancing the industry in the country, provide a favorable fiscal, taxation, and monetary policy environment for both countries, China and Philippines為增強(qiáng)產(chǎn)業(yè)的 .集約化程度和在中、菲兩國(guó)分別爭(zhēng)取更優(yōu)惠的財(cái)政、稅收、金融政策，合資公司擬在菲律賓投資設(shè)

19、立工業(yè)區(qū)。Copper and Gold ore smelting projcts銅金礦冶煉項(xiàng)目合資公司建立相應(yīng)規(guī)模的銅金礦冶煉項(xiàng)目，C. MiscellaneousIn the principles under this framework agreement, both Parties can enter into separate agreements for specific projects, clarify specific program responsibilities, rights, benefits and structure with the help of depen

20、dable program corporate managers, aimed at improving the work process possibly involved.在此框架協(xié)議的原則下，雙方應(yīng)就對(duì)具體項(xiàng)目另行簽訂協(xié)議，以明確雙方在具體項(xiàng)目中的責(zé)、權(quán)、利，健全法人經(jīng)理結(jié)構(gòu)，完善運(yùn)作機(jī)制；保密條款Confidentiality ClauseThe terms and conditions stipulated in this memorandum of understanding, including its existence, shall be confidential infor
