期刊出版協(xié)議中英文版

1、期刊出版協(xié)議本協(xié)議由Elsevier BV其辦公場所坐落于阿姆斯特丹Radarweg 29，1043NX(以下簡稱“出版商”)和XXX出版社辦公地址（以下簡稱“HEP”）于xx年xx月12日訂立。背景鑒于HEP 將提供根據(jù)各方當(dāng)事人不時(shí)訂立的協(xié)議進(jìn)行更新的附件1所列示的供各方當(dāng)事人在期刊內(nèi)發(fā)表的中文內(nèi)容（“期刊”）。鑒于HEP將負(fù)責(zé)在中國境內(nèi)以印 刷版的形式（“印刷版”）推廣、出版和發(fā)行期刊，并以其它方式利用期刊盈利。鑒于出版商將負(fù)責(zé)在ScienceDirect上推廣、出版和發(fā)行在 線版期刊，并在世界范圍內(nèi)以其它方式利用期刊盈利。鑒于，HEP和出版商均有意向?qū)﹃P(guān)于前述安排的條款作出商定現(xiàn)由各方

2、互相商定如下：第 一條所有權(quán)、版權(quán)和其它權(quán)利1.1版權(quán)/商標(biāo)。HEP和出版商應(yīng)當(dāng)共同擁有期刊的商標(biāo)權(quán)和匯編權(quán)、期刊上所發(fā)表的原創(chuàng)文章的版權(quán)和所有 文章英文譯本的版權(quán)。出版商應(yīng)當(dāng)在各期期刊上基本上依照以下所寫明的方式作出版權(quán)聲明：“版權(quán) 20 xx, 高等教育出版社和ELSEVIER BV.。保留所有的權(quán)利?！?.2向HEP授權(quán)。HEP和出版商授予HEP在中國境內(nèi)以印刷媒介進(jìn)行出版和發(fā)行的絕對(duì)專有權(quán)，包括但不限于對(duì) 期刊的全部或部分進(jìn)行加工、推廣、銷售和分銷的權(quán)利、對(duì)該等權(quán)利進(jìn)行分許可的權(quán)利和授權(quán)在中國境內(nèi)進(jìn)行其它出版和發(fā)行活動(dòng)的權(quán)利如重印權(quán)、文章的匯編權(quán)和 文獻(xiàn)傳遞權(quán)。1.3向出版商授權(quán)。在第

3、1.2條所規(guī)定的授權(quán)范圍外，HEP和出版商授予出版商在世界范圍內(nèi)（包括以電子媒介形式）進(jìn)行出版和發(fā) 行的絕對(duì)專有權(quán)，包括但不限于在現(xiàn)在所知悉的任何媒介上對(duì)期刊的全部或部分進(jìn)行加工、推廣、銷售和分銷的權(quán)利、對(duì)該等權(quán)利進(jìn)行分許可的權(quán)利和授權(quán)進(jìn)行其它 出版和發(fā)行活動(dòng)的權(quán)利如翻譯權(quán)、重印權(quán)、文章的匯編權(quán)和文獻(xiàn)傳遞權(quán)。出版商對(duì)其今后依照本協(xié)議條款所開發(fā)的任何媒介上出版和發(fā)行期刊的權(quán)利享有優(yōu)先購買 權(quán)。1.4正式期刊。期刊是各方當(dāng)事人的正式出版物，該項(xiàng)聲明即“高等教育出版社和Elsevier BV的正式期刊”與：（i）由HEP所指派的代表HEP的印章和其它商標(biāo)；和（ii）由Elsevier所指派的代表El

4、sevier的商標(biāo)將會(huì)被印寫在 各種期刊（包括印刷版和電子版）的封面上。出版商的商號(hào)和其它可識(shí)別商標(biāo)均將繼續(xù)歸屬于出版商所有。1.5提升關(guān)系。本本協(xié)議期限內(nèi)，任何一方 均應(yīng)當(dāng)在期刊的封面上和期刊內(nèi)的其它顯著位置刊登本協(xié)議所提述的聲明，但是此等刊登應(yīng)事先取得另一方的同意，且該方可使用另一方的名稱和陳述，也可提及其 在其目錄、主頁站點(diǎn)和其它推廣材料方面與另一方所進(jìn)行的與期刊關(guān)于的合作。1.6相互合作。各方將在期刊的出版和運(yùn)營方面努力開展合作。第二條編輯政策和程序2.1計(jì)劃。一經(jīng)簽署本協(xié)議，HEP和出版商即應(yīng)善意地一起工作，以對(duì)下述各事項(xiàng)作出商定：（i）各 種期刊的主題范圍和名稱；（ii）期刊的總數(shù)

5、目和各種期刊的各期頁數(shù)；（iii）五到十五種期刊的樣本（如“科學(xué)與技術(shù)”，“社會(huì)科 學(xué)”等）；（iv）各種期刊的引入順序；（v）單本期刊的初始價(jià)格、期刊的完整性包裝和期刊的樣本（但各方可依照第3.7條的規(guī)定自 由定價(jià)）；（vi）各種期刊的設(shè)計(jì)和規(guī)格；和（vii）期刊作為出版商ScienceDirect部分產(chǎn)品的第一次出版預(yù)計(jì)日期。2.2編 輯內(nèi)容和政策。依照本協(xié)議所作出的規(guī)定，HEP應(yīng)當(dāng)對(duì)符合附件2所述宗旨和范圍的科學(xué)內(nèi)容和編輯方法承擔(dān)全部的責(zé)任。HEP應(yīng)當(dāng)將其自各種中文期刊中選出 的以前已經(jīng)出版的高質(zhì)量量的論文編入期刊，且在經(jīng)由各方協(xié)商并認(rèn)為適當(dāng)?shù)那闆r下，盡力激勵(lì)作者提交符合期刊宗旨和范圍的

6、能達(dá)到最高專業(yè)標(biāo)準(zhǔn)的新論文。出 版商有權(quán)但無義務(wù)指派其自有專家對(duì)擬編入期刊的任何文章進(jìn)行審查；HEP承諾，在出版和/或發(fā)行前，前述專家就任何文章所合理提議的變更（如有）應(yīng)被融 入相關(guān)的文章和/或期刊內(nèi)。出版商、HEP或總編均可對(duì)期刊的宗旨和范圍提議變更或修改，但所有此等變更均需經(jīng)各方協(xié)商后方可進(jìn)行。HEP和出版商同意， 在關(guān)于挑選、翻譯、編輯、接收和裁斷論文以及處理與作者和訂閱人關(guān)系的所有事項(xiàng)中，各當(dāng)事人及其各代理人均應(yīng)當(dāng)依照公認(rèn)而科學(xué)的完整性和客觀性標(biāo)準(zhǔn)進(jìn)行他 們的所有活動(dòng)。HEP應(yīng)當(dāng)采取所有合理的措施保證，其執(zhí)行編輯依據(jù)第2.3b條的規(guī)定為各種期刊所執(zhí)行的相同審查程序可對(duì)所提交文章的價(jià)值和

7、研究結(jié)果進(jìn)行 客觀而公正的評(píng)價(jià)。編輯的所有薪水和報(bào)酬以及為收集和編制供期刊發(fā)表的編輯材料而支付的其它所有開支均（不包括出版商自行支付的費(fèi)用，該等費(fèi)用由出版商承 擔(dān)并包括出版商所支付的與“語言潤色”關(guān)于的所有開支，但包括并不限于由任何編輯委員會(huì)會(huì)議所支付的費(fèi)用）由HEP承擔(dān)。2.3任務(wù)（a）各 種期刊的主編應(yīng)當(dāng)由HEP在和出版商協(xié)商后予以委任（也可由其予以更換）。各主編應(yīng)當(dāng)負(fù)責(zé)選出高質(zhì)量量的論文內(nèi)容編入各種期刊；前述論文內(nèi)容應(yīng)當(dāng)選自以中文 第一次發(fā)表在居于領(lǐng)導(dǎo)地位的科學(xué)期刊上的論文和由作者直接向期刊提交的論文。（b）HEP應(yīng)當(dāng)委任合適的符合條件的執(zhí)行編輯管理HEP各種期刊的 編輯辦公室，并負(fù)責(zé)監(jiān)

8、督技術(shù)編輯和技術(shù)翻譯和溝通協(xié)調(diào)論文的裁判和提交。關(guān)于前述執(zhí)行編輯的任何委任、免職和更換，HEP均應(yīng)當(dāng)與出版商進(jìn)行協(xié)商。出版商在與 HEP協(xié)商后，應(yīng)當(dāng)對(duì)前述執(zhí)行編輯的培訓(xùn)和專業(yè)發(fā)展提供支持。（c）出版商應(yīng)當(dāng)從其職工或員工當(dāng)中委任一名期刊Elsevier咨詢顧問編輯一般性地?fù)?dān)當(dāng) 咨詢顧問并協(xié)助保持期刊質(zhì)量。（d）HEP和出版商應(yīng)當(dāng)分別確定兩名職員（一名主要代表人和一名代理人）監(jiān)督各方對(duì)本協(xié)議的履行情況。該兩名職員還 應(yīng)當(dāng)有相當(dāng)充足的時(shí)間與另一方和主編進(jìn)行會(huì)談，討論與期刊的加工、推廣、發(fā)行和發(fā)展關(guān)于的所有事項(xiàng)。（e）編輯委員會(huì)的委員將以以下因素予以選 定：（i）在科學(xué)科目以內(nèi)的專業(yè)技能和地位；（b）

9、主題知識(shí)；和（c）反映期刊科學(xué)科目的實(shí)際或預(yù)期地理范圍。編輯委員會(huì)委員的委任候選人將由主編提名 （也可提議免職），并由HEP予以正式任命或免職（在與出版商協(xié)商后）。Elsevier的咨詢顧問編輯應(yīng)當(dāng)為編輯委員會(huì)委員。2.4版權(quán)管理。 HEP應(yīng)當(dāng)獨(dú)家負(fù)責(zé)保證，期刊的所有撰稿人均應(yīng)以HEP和出版商為受益人的方式簽署版權(quán)（轉(zhuǎn)讓）表格（見附件2.6）或其它由HEP和出版商書面商定的其 它任何表格。除與出版商另有書面商定外，HEP應(yīng)當(dāng)保證，編入期刊的任何文章以前均未在且僅在中華人民共和國境內(nèi)的中文印刷期刊上發(fā)表一次以上，并在任何 情況下，與本協(xié)議所考慮的就該文章所具有的使用權(quán)不一致的版權(quán)或其它任何權(quán)利均

10、未轉(zhuǎn)讓給該中文期刊的出版人。在中國出現(xiàn)關(guān)于期刊的任何侵權(quán)行為時(shí)，HEP 均應(yīng)當(dāng)負(fù)責(zé)（自擔(dān)費(fèi)用）采取適當(dāng)?shù)拇胧⒂沙霭嫔烫峁┡c此關(guān)于的所有合理協(xié)助（但HEP應(yīng)當(dāng)為其所支付的合理費(fèi)用作出補(bǔ)償）；HEP還有權(quán)取得因前述侵 權(quán)行為而收受的所有損害賠償金。在出現(xiàn)關(guān)于期刊的其它任何侵權(quán)行為時(shí)，出版商應(yīng)當(dāng)負(fù)責(zé)（自擔(dān)費(fèi)用）采取適當(dāng)?shù)拇胧?，并由HEP提供與此關(guān)于的所有合理協(xié)助 （但出版商應(yīng)當(dāng)為HEP所支付的合理費(fèi)用作出補(bǔ)償）；出版商還有權(quán)取得因前述侵權(quán)行為而收受的所有損害賠償金。2.5文章的翻譯。HEP應(yīng)當(dāng)負(fù) 責(zé)對(duì)選定供期刊出版的文章的漢英翻譯進(jìn)行監(jiān)督。除各方另有商定外，所有此等翻譯均應(yīng)當(dāng)由相關(guān)文章的原作者或

11、其代表進(jìn)行。一旦由執(zhí)行編輯代表HEP批準(zhǔn)此等 翻譯，出版商即應(yīng)當(dāng)負(fù)責(zé)對(duì)其進(jìn)行“語言潤色”，并在收受出版前，將已潤色文本再提交給HEP審校。HEP應(yīng)當(dāng)保證所有的譯文均是完整而準(zhǔn)確的，除為取得適 當(dāng)?shù)暮头险Z言習(xí)慣的譯文而必須對(duì)原文作修改外，此等翻譯均未變更原文的意思，也未在其它方面對(duì)原文作了重大更改?！肮ぷ髁鞒獭辟Y料文件（見附件2.7）已經(jīng) 載明了各方在將文章挑選至發(fā)表的過程中各自應(yīng)承當(dāng)?shù)乃胸?zé)任。2.6會(huì)議。各方當(dāng)事人應(yīng)當(dāng)定時(shí)舉行會(huì)議討論與期刊關(guān)于的質(zhì)量問題，特別是（但不 限于）確定各種期刊的內(nèi)容是否具有令人滿意和穩(wěn)定的質(zhì)量水平并確定為提高期刊質(zhì)量而是否需要作出某些變更。2.7國際標(biāo)準(zhǔn)期刊號(hào)。

12、出版商應(yīng)當(dāng)取 得各種期刊的國際標(biāo)準(zhǔn)期刊號(hào)，但HEP應(yīng)當(dāng)為出版商提供因此而需要的所有合理協(xié)助。第三條加工和履行3.1商業(yè)角色。出版商將自費(fèi)對(duì)電子版期刊進(jìn)行加工、推廣、銷售和分銷。HEP應(yīng)當(dāng)自費(fèi)對(duì)印刷版期刊進(jìn)行加工、 推廣、銷售和分銷，但出版商應(yīng)當(dāng)負(fù)責(zé)向HEP提供經(jīng)過壓縮的采用PDF格式（或其它相關(guān)格式）的各期期刊，且HEP有權(quán)將之用于印刷各種印刷版期刊的復(fù)制 件。出版商從顧客之處收到印刷版期刊的訂單或有意向?yàn)槿魏文康姆咒N印刷版期刊復(fù)制件的，HEP應(yīng)當(dāng)應(yīng)請求向出版商提供印刷版期刊的復(fù)制件，其唯一條件是出版 商應(yīng)當(dāng)向HEP支付其為印出和交付此等印刷版期刊而支付的費(fèi)用。3.2加工和出版。根據(jù)本協(xié)議所作

13、出的規(guī)定，出版商將負(fù)責(zé)期刊（包括印刷版和電 子版）的設(shè)計(jì)、加工和出版等所有方面的相關(guān)事宜。為避免出現(xiàn)疑問，HEP而不是出版商將負(fù)責(zé)印刷各種印刷版期刊的復(fù)制件。3.3出版程序。依照 HEP、出版商和總編所確定的進(jìn)度，各種期刊的執(zhí)行編輯應(yīng)當(dāng)以令人滿意的印刷或復(fù)制順序和出版商認(rèn)可的格式提交具有所需頁數(shù)和已經(jīng)完工的編輯材料、圖例復(fù) 制件和各期的目錄表。3.4出版進(jìn)度和格式。（a）在本協(xié)議期限內(nèi)，期刊應(yīng)當(dāng)依照由出版商、HEP和總編所協(xié)商確定的加工進(jìn)度進(jìn)行出版。本協(xié)議 期限內(nèi)各年度的期刊均應(yīng)當(dāng)包含編輯作品的商定頁數(shù)、合訂本索引、前頁和廣告材料。各方當(dāng)事人可以在每年xx月30日前進(jìn)行互相商定的方式，對(duì)擬編入

14、下一年合 訂本的編輯頁數(shù)和大小進(jìn)行變更。（b）出版商應(yīng)當(dāng)保持高標(biāo)準(zhǔn)的印刷樣式、格式和攝影復(fù)制制作。 HEP應(yīng)當(dāng)保持高標(biāo)準(zhǔn)的論文價(jià)值和質(zhì)量。各方均可以提議對(duì)期刊的設(shè)計(jì)、大小、印刷樣式、廣告的放置策略或一般格式作不時(shí)的變更，但此等變更只有經(jīng)由各方的 互相協(xié)商方可進(jìn)行。（c）對(duì)附隨編輯正文的黑白插圖的復(fù)制，出版商不應(yīng)對(duì)HEP和作者收取任何額外費(fèi)用。提交給期刊的所有彩色插圖均應(yīng)當(dāng)免費(fèi)地 為作者以彩圖的形式刊登在電子版期刊上。對(duì)印刷版期刊內(nèi)編入的彩色插圖，HEP應(yīng)當(dāng)有權(quán)決定是否向作者收取費(fèi)用。（d）在HEP制作各種期刊的 作者指南時(shí)，出版商應(yīng)當(dāng)提供支持，該作者指南應(yīng)當(dāng)在（尤其是）編輯要求和法律規(guī)定、文章

15、籌備、插圖和表格、校對(duì)義務(wù)和文章的出版后使用等方面向作 者作出說明。3.5訂閱人使用電子版期刊。出版商應(yīng)當(dāng)負(fù)責(zé)管理訂閱人對(duì)電子版期刊的訂閱和使用。訂閱人使用電子版期刊應(yīng)當(dāng)執(zhí)行出版商所規(guī)定和施 行的條款和條件。電子版期刊訂閱人的名單應(yīng)當(dāng)歸屬于出版商所有。3.6訂閱價(jià)格。出版商每年六月均應(yīng)當(dāng)向HEP提出下一訂閱年度訂閱人訂閱電子 版期刊的訂閱價(jià)格。出版商應(yīng)當(dāng)考慮HEP就前述訂閱價(jià)格所提出的建議，但對(duì)前述訂閱價(jià)格和關(guān)于以其它方式使用出版商就期刊所享有的權(quán)利的價(jià)格，出版商應(yīng)當(dāng) 擁有最終的認(rèn)可權(quán)。HEP應(yīng)當(dāng)獨(dú)立負(fù)責(zé)確定訂閱人在中國境內(nèi)訂閱印刷版期刊的訂閱價(jià)格。3.7摘要索引服務(wù)。出版商將采取合理的商業(yè)措

16、施申請各 種期刊的相關(guān)摘要索引服務(wù)。第四條廣告4.1任何一方欲在印刷版或電子版（視情況而定）期刊中編入廣告的，則該方應(yīng)當(dāng)事先與另一方就與此關(guān)于的可互相認(rèn)可的 所有條款進(jìn)行協(xié)商。第五條財(cái)務(wù)安排5.1費(fèi)用的負(fù)擔(dān)。各方應(yīng)當(dāng)自行負(fù)責(zé)承擔(dān)其所支付的與期刊關(guān)于的所有費(fèi)用。5.2與印刷版期刊關(guān)于的收 益。HEP應(yīng)當(dāng)有權(quán)保留其本協(xié)議期限內(nèi)因使用印刷版期刊贏利而收受的所有收益。5.3與電子版期刊關(guān)于的收益。（a）除下文另有規(guī)定 外，出版商應(yīng)當(dāng)向HEP支付可歸因于電子版期刊的凈收益50的版稅（“版稅”）。前述凈收益等于在計(jì)算版稅的相關(guān)訂閱年度以內(nèi)因銷售和許可而取得的發(fā)票 價(jià)值減去所有傭金、折扣、退貨款和稅款以及出

17、版商為營銷推廣和推廣而直接或間接支付的所有費(fèi)用和開支。如將期刊作為組合包裝電子出版物的一部分（如作 為出版商雜題或?qū)ｎ}匯編的一部分）而向出版商現(xiàn)有客戶（截至本協(xié)議日期）銷售或許可的，則出版商應(yīng)當(dāng)將可歸因于期刊的凈收益（定義同上）35%的版稅支付 給HEP。出版商應(yīng)當(dāng)有權(quán)保留與電子版期刊無關(guān)的所有收益。（b）在每年的xx月15日當(dāng)天或之前，出版商應(yīng)當(dāng)向HEP提供一份關(guān)于前一 歷年年度收益和應(yīng)得版稅的說明書，并向HEP支付所有到期版稅的所有費(fèi)用。（c）HEP可在提前三十（30）日通知出版商后，自費(fèi)對(duì)出版商在正 常營業(yè)時(shí)段內(nèi)的相關(guān)財(cái)務(wù)報(bào)告進(jìn)行審計(jì)，但此等審計(jì)每年不得超過一次。所有此等審計(jì)均必須自待審

18、查材料和報(bào)告之日起兩年內(nèi)進(jìn)行。5.4原告跟蹤系 統(tǒng)。對(duì)各期刊編輯辦公室內(nèi)的電子版論文和原告跟蹤系統(tǒng)，出版商應(yīng)當(dāng)自費(fèi)安排和提供初步培訓(xùn)和延續(xù)性支持服務(wù)，以便各編輯辦公室在本協(xié)議期限內(nèi)可以使用該跟 蹤系統(tǒng)。5.5免費(fèi)贈(zèng)送訂閱期刊。HEP將向各種期刊的主編和編輯委員會(huì)免費(fèi)贈(zèng)送印刷版期刊和提供ScienceDirect上電子版期刊的使 用權(quán)。第六條期刊內(nèi)不承擔(dān)責(zé)任的聲明6.1一般性免責(zé)聲明。各期期刊均應(yīng)當(dāng)含有一項(xiàng)不承擔(dān)責(zé)任的聲明，其大意是在可適用法律所允許的范 圍內(nèi)，對(duì)不論是因?yàn)槭韬龌蚱渌?，還是因?yàn)閷?duì)本期刊內(nèi)所有材料所包含的任何建議或意見、說明、程序、聲明或方法的使用或執(zhí)行而形成任何實(shí)際或受指控的

19、誹謗性陳 述或侵犯知識(shí)所有權(quán)或隱私權(quán)或造成或產(chǎn)生任何產(chǎn)品責(zé)任所造成的任何人身或財(cái)產(chǎn)傷害和/或損害，出版商和HEP均不承擔(dān)任何責(zé)任。6.2廣告免責(zé)聲明。各 期期刊均應(yīng)當(dāng)含有一項(xiàng)不承擔(dān)責(zé)任的聲明，其大意是期刊所發(fā)表的廣告并不構(gòu)成出版商或HEP保證或認(rèn)可期刊內(nèi)所述廣告產(chǎn)品或服務(wù)的質(zhì)量或價(jià)值或廣告人對(duì)其產(chǎn) 品或服務(wù)所作出的任何陳述或宣稱。第七條陳述和保證7.1陳述和保證。本協(xié)議任何一方均作如下陳述和保證：（a）該方擁有所有必要的合法法人權(quán)力和授 權(quán)，簽署本協(xié)議和履行其在本協(xié)議項(xiàng)下的所有義務(wù)；（b）該方將謹(jǐn)慎地執(zhí)行其在本協(xié)議項(xiàng)下的所有義務(wù)，并依照期刊的行業(yè)標(biāo)準(zhǔn)和質(zhì)量聲譽(yù)履行其在本 協(xié)議項(xiàng)下的所有服務(wù)；（

20、c）該方對(duì)本協(xié)議的簽署、交付和履行將不會(huì)致使該方不履行其應(yīng)受約束的任何協(xié)議或協(xié)議，也將不會(huì)違反任何可適用的法律或 法規(guī)、或該方的法人執(zhí)照或合法證書或?qū)υ摲接泄茌牂?quán)的任何法院或政府機(jī)構(gòu)所作出的任何判決或命令；和（d）該方承認(rèn)并同意，另一方不得作出本協(xié) 議未明確規(guī)定的任何聲明、保證和商定，該方也不得信賴由另一方所作出的但本協(xié)議未明確規(guī)定的任何聲明、保證和商定。7.2竟業(yè)禁止。為了保證期 刊能在技術(shù)上和商業(yè)上均取得成功，HEP同意，其將不直接或間接地參加與出版商就期刊所享有的商業(yè)機(jī)遇有競爭關(guān)系的或在其它方面能對(duì)此等商業(yè)機(jī)遇造成或產(chǎn)生消極 影響的其它任何出版活動(dòng)。第八條期限和終止8.1期限。本協(xié)議的期

21、限應(yīng)當(dāng)自各方簽訂本協(xié)議之時(shí)開始至xx年最后一期終止。8.2續(xù)展。在本 協(xié)議期限終止后，本協(xié)議可以自動(dòng)續(xù)展10年，除非本協(xié)議任何一方在相關(guān)期限到期前至少六個(gè)月向另一方發(fā)出書面的協(xié)議解除通知。8.3終止。除本 協(xié)議另有規(guī)定外，如本協(xié)議任何一方未履行其在本協(xié)議項(xiàng)下的任何重大義務(wù)或?qū)嵸|(zhì)性違反本協(xié)議所述的任何聲明、保證或立約，則另一方均可在本協(xié)議到期前終止 本協(xié)議；條件是守約方已經(jīng)向違約方提供書面的違約通知，且違約方在四十五日（45）以內(nèi)還未對(duì)前述違約行為進(jìn)行補(bǔ)救，或在前述違約行為無法進(jìn)行補(bǔ)救時(shí)，違 約方在四十五（45）日以內(nèi)尚未為保證避免出現(xiàn)類似將來違約而采取任何合理措施。8.4到期或終止的效力（a）

23、于的所有版權(quán)（不包括出版商向終止前期刊訂閱人提供電子版期刊使用權(quán)的義務(wù)）均應(yīng)當(dāng)自動(dòng)并免費(fèi)地轉(zhuǎn)移且轉(zhuǎn)讓至該終止方。8.5期刊的停 辦。一方未能或不愿繼續(xù)經(jīng)營期刊出版業(yè)務(wù)的，則另一方應(yīng)當(dāng)有權(quán)依照各方善意協(xié)商的合理?xiàng)l款和條件優(yōu)先購買屬于該不愿繼續(xù)經(jīng)營的一方的與期刊唯一相關(guān)的所有 資產(chǎn)和權(quán)利。8.6購買權(quán)。各方未依照第8.2條的規(guī)定續(xù)展本協(xié)議的，則出版商有權(quán)優(yōu)先購買屬于HEP的與期刊唯一相關(guān)的所有資產(chǎn)和權(quán)利，其優(yōu) 先購買的價(jià)格應(yīng)當(dāng)?shù)扔谇皟蓚€(gè)歷年內(nèi)由出版商依照第5.3(b)條向HEP所支付的金額。各方應(yīng)當(dāng)善意地對(duì)購買協(xié)議進(jìn)行談判。第九條一般規(guī)定9.1不可抗力。如因?yàn)閯趧?dòng)糾紛、罷工、未能取得勞工或原料、火

24、災(zāi)或其它自然災(zāi)害、事故、政府限制或撥用或超出任 何一方監(jiān)控范圍之外（包括他人的遲延或未能履行）的其它原因而使該方未能履行本協(xié)議為其規(guī)定的全部或部分義務(wù)的，則該方應(yīng)當(dāng)在其因此未能履行的范圍內(nèi)免除 履行此等義務(wù)，且此等未能履行不應(yīng)當(dāng)使該方須向另一方承當(dāng)任何責(zé)任。遭受不可抗力的一方應(yīng)當(dāng)采用所有的善意措施盡可能地遵守本協(xié)議的所有規(guī)定并應(yīng)在可能的 范圍內(nèi)消除該不可抗力所造成的任何影響。9.2轉(zhuǎn)讓。除本協(xié)議另有明示規(guī)定外，未經(jīng)另一方事先書面同意（但不得不合理地拒絕同意），任何一方均 不得直接或間接地轉(zhuǎn)讓其在本協(xié)議項(xiàng)下的所有權(quán)利和義務(wù)。盡管存有前述規(guī)定，但出版商在將本協(xié)議轉(zhuǎn)讓至其關(guān)聯(lián)公司或子公司或出售或轉(zhuǎn)讓

25、其全部或?qū)嵸|(zhì)上全部資 產(chǎn)時(shí)，不需要事先取得HEP的書面同意。9.3完整性/可分割性/放棄/修改。本協(xié)議構(gòu)成各方當(dāng)事人之間關(guān)于本協(xié)議標(biāo)的的完整協(xié)議并取代以前所 達(dá)成的所有書面或口頭協(xié)議。本協(xié)議的所有規(guī)定是可以分割的，即使本協(xié)議的某項(xiàng)規(guī)定被認(rèn)為未能依法執(zhí)行，該不可執(zhí)行性也不應(yīng)妨礙本協(xié)議其它規(guī)定的可執(zhí)行性。 任何一方放棄追究另一方在任何時(shí)間違約或未執(zhí)行本協(xié)議任何條款的權(quán)利也不構(gòu)成該方對(duì)本協(xié)議任何條款的放棄。本協(xié)議只有經(jīng)由各方簽署書面資料文件才可予以更改或 修改。9.4約束力。本協(xié)議對(duì)各方所允許的繼承人和受讓人均有約束力，并為其權(quán)益而訂立。9.5通知。本協(xié)議的所有通知均應(yīng)當(dāng)由通知 方的代表人以書面形式

29、int Editions”) and other exploitation of the Journals in China.WHEREAS the Publisher will be responsible for the promotion, publication and distribution of an online version of the Journals (“the Electronic Editions”) on SeienceDirect and other exploitation of the Journals worldwide, andWHEREAS HEP

30、and Publisher desire to enter into an agreement setting out the terms of such arrangement.NOW, it is mutually agreed as follows:ARTICLE 1OWNERSHIP, COPYRIGHT AND OTHER HIGHTS1.1 Copvring/Trademark. HEP and the Publisher shall be the joint owners of the trademark rights and the compilation copyright

34、 grant Publisher the full and exclusive publishing and distribution rights, worldwide, including for electronic media, and including without limitation the right to produce, promote, sell and distribute ill or and part of the Journals in any media now known and to sublicense such rights and authoriz

36、herein.1.4 Official Journals, The Journals are the official publications of both parties and the notice; The Official Journal of Higher Education Press and Elsevier BV along with (1) the seal or other trade mark representing the HEP, as dcsignated by the HEP and (ii) the trade mark representing Else

37、vier, as designated by Elscvicr, will be printed on the cover of each of the Journals (on both the Print and Electronic Editions). The trade name, seal and other idcntifying trademarks of HEP will continue to be owned by HEP . The trade name and other identifying trademarks of the Publisher will con

38、tinue to be owned by the Publisher.1.5 Promotion of Relatioknship, During the tcrm of this Agreement, the notice mentioned herein shall be included on the cover of , and in other prominent locations within, the Journals, Provided that it has first obtained the consent of the other, each party may us

39、e the name and description of the other and may also mention its collaboration with the other in respect of the Journals in its catalogues, home page site and other promotional material.1.6 Mutual Cooperation, Each of the parties will use its best efforts to cooperate with respect to the publication

40、 and operation of the Journals.ARTICLE IIEDITORIAL POLICIES AND PROCESS2.1 Planning, Immediately following the execution if this Agreement, HEP and the Publisher will work together in good faith to agree on the following;(i) subject areas and titles for each of the Journals.(ii) The total number of

41、Journals and the number and the number of pages of issues for cach Journal:(iii) Submodules of five to fifteen Journals (e.g. “S&T”, “Social Sciences”, etc.);(iv) The order of introduction of the Journals;(v) The anticipated date on which the first Journal will “go live” and the launch dates for sub

42、sequent Journals;(vi) The initial pricing for individual Journals, the complete package for Journals and of submodules of the Journals (provided that each party shall be free to sct its own prices as provided in Section 3.7);(vii) The dcsign and specifications for each of the Journals;(viii) The ant

43、icipated date on which the Journals will first e published as part of the Publishers Science Direct product.2.2 Editorial Content and Policies, Subject as provided for herein, the HEP shall have the complete responsibility for the scientific content and editorial policy of the Journals consistent wi

44、th the Aims and Scope set forth in Appendix 2. HEP shall select high quality previously published papers from Chinese-language journals for inclusion in the Journals, and when appropriate as agreed by the parties will endeavor to stimulate the submission of new papers of the highest professional sta

45、ndard consistent with the Aims and Scope of the Journals.The Publisher shall have the right but not the obligation to appoint its own expert to review the quality of any articles to be included in the Journals and the HEP undertakes that the said experts reasonable propose changes, if any, shall be

46、incorporated into the relevant articles and/or issues prior to publication and/or distribution, Changes or revisions to the Aims and Scope may be suggested by Publisher, HEP, or the Editor-in-Chief, and any such changes will be made in consultation among all the partics, HEP and Publisher agree that

47、 in all maters respccting the selection, translation, editing, acceptance and refcrccing of papers, and relations with authors and subscribers, the parties and their agents will conduct their activities in accordance with gcnerally accepted sclentific standards for integrity and objectivity, The HEP

48、 shall undertake all reasonable efforts to ensure that the peer review process (which shall be conducted by HEPs Executive Editor for each Journal as set forth in Section 2.3b) is an objective and unbiased review of the merits of the merits of the submitted article and its rcsearch, All editorial st

49、ipends ,honoraria and any other expenses of gathering and preparing editorial material for publication in the Journals (other than the Publishers own expenses, which shall be borne by the Publisher and which shall include any expenses which the Publisher incurs in relation to “l(fā)anguage polishing”) s

50、hall be borne by the HEP, including without limitation the const of any Editorial Board meetings.2.3 Roles.(a) The Editor-in-Chief for each Journal shall be appointed (and may be replaced) by the HEP in consultation with Publisher, The Editor-in-Chief shall be responsible for the selection of shish

51、quality content for inclusion in the Journals; such content to be selected from material which has first appeared in the Chinese languagc in leading scientific journals and from direct submissions to the Journals.(b) HEP shall appoint a suitably qualified Exccutive Editor to manage the HEPs editoria

52、l offices for each Journal, and to be responsible for overseeing the scientific editing and translation as well as coordination of refereeing each submissions, The HEP shall consult the Publisher in relation to each such appointment and any removals and replacements, The Publisher shall, in consulta

53、tion with HEP, provide support for the training and professional development kof such Executive Editor.(c) The Publisher shall appoint from its staff an Elsevier Advisory Editor for each Journal to act generally in an advisory capacity and to assist in maintaining the quality of that Journal,(d) The

54、 HEP and the Publisher shall each identify two stall members (a main representative and a deputy) t oversee their own performance under this Agreement, and who shall be reasonably available to meet with the other party and the Editor-in-Chief (such meetings to be chaired by the senior HEP staff memb

55、er) to discuss matters relating to the production.Promotion. Distribution and development of the Journals(e) Members of the Editorial Board for the Journals will be selected on the basis of; (a) expertise and standing within the scientific discipline; (b) knowledge of the subject matter, and (c) ref

56、lection of the actual or anticipated geographic scope of the scientific discipline of the Journals, The Editor-in-Chief will nominate candidates for appointment to the Editorial Board (and may make recommendations regarding removals), which candidates will be officially appointed or removed by HEP (

57、in consultation with the Publisher) The Elsevier Advisory Editor shall be a member of the Editorial Board.2.4 Copyright Administration, HEP shall be solely responsible for ensuring that all contributors to the Journals shall sign a copyright transfer form in the form attached as Annex 2.6 in favour

58、of HEP and the Publisher or such other form as may be agreed between HEP and the Publisher in writing, Unless otherwise agreed with the Publisher in writing, HEP shall ensure that on articles included in the Journals shall have been previously published other than on a one-off basis in Chinese langu
