A.TERMSOFREPRESENTATION

ThisagreementforlegalrepresentationandserviceisbetweenXxInc.and (Customer'sname)referredtohereinafterastheclient(s).

此合法代理及服務(wù)協(xié)議的各方為XxInc.and (Customer'sname)，以下簡(jiǎn)稱為客戶。

You,theundersignedclient,herebyauthorizeXxInc.(hereafter“we”;“us”,“firm”and/or“LegalRepresentative”)torepresentyouinonlythefollowingimmigrationmatterbeforetheDepartmentofHomelandSecurityinconnectionwiththefollowingservices:

Obtaining,reviewing,analyzingandpresentinginformationanddocumentation;

1.AdvisingyouregardingyourqualificationsasanL-1petitioner;

2.RespondingtoyourquestionsregardingtheL-1process;

3.PreparingandfilingofyourI-129petitionwithL-1supplement.

4.PreparingI-140petitionandI-485petitionforEB-1Cwiththegoal

ofultimatelyreceivingU.S.PermanentResidency.

您，即簽署的客戶，茲授權(quán)XxInc.（以下稱“我們”,“事務(wù)所”及/或“法定代理人”僅代表您在國土安全部前進(jìn)行以下移民事務(wù)的服務(wù)：

5.籌備I-140申請(qǐng)和I-485申請(qǐng)的EB-1C與最終接受美國永久居留權(quán)的目標(biāo)。

Bysigningthisagreement,youagreethatyouhavebeenadvisedtoseekindependentadviceonthesemattersfromafinancial/businessadvisor,securitieslawyer,and/oraccountantandthatyouhavesoughtsuchadvice,ordeclinedtoseeksuchadvice.

簽署該協(xié)議后，即表示您同意向金融/商業(yè)咨詢顧問，及/或會(huì)計(jì)師就上述事務(wù)獲取獨(dú)立性的建議，且已取得這些建議，或拒絕尋求這些建議。

B. YOUUNDERSTANDYOUHAVETHEFOLLOWINGRIGHTSASACLIENT:

1.Tobekeptinformedbyusaboutanyimportantdevelopmentsinyourcase.

2.Tobeconsultedbyusbeforeanysignificantdecisionismadeoractiontakenonyourbehalf.

3.Toexpectthatwewillpursueyourcasewithallreasonablediligence,

andwillmaintaintheconfidentialityofallinformationthatyoushare

withussubjecttoPartGofthisagreement.

期望我們要盡所有合理的努力處理您的案子，并對(duì)客戶的所有信息保密，即

要遵守該協(xié)議的G部分的條款。

C.YOUUNDERSTANDYOUHAVETHEFOLLOWINGRESPONSIBILITIESASACLIENT:

1.Toattendallscheduledappointmentswithyourlegalrepresentative,ortocalltorescheduleanappointmentifyoucannotattend;

2.Tobetruthfulinallyourcommunicationswithyourlegalrepresentative;

3.Toinformyourlegalrepresentativeofallchangesofaddress,telephonenumberandanycircumstanceswithin5daysofanychange;

4.Tocooperateinassistingyourlegalrepresentativeinobtainingrequesteddocumentsorinformationneededforyourcase;

5.Torespondtolettersfromyourlegalrepresentativeaskingyoutocallherorhim;

6.ToattendallUSCISorConsulateinterviews,courthearingsorotherappointmentsscheduledinyourcasewiththeUSCISortheImmigrationCourt,oratanyotherlocation;

7.TomakeallpaymentstoXxInc.asagreeduponinthepaymentplanwrittenatPartE,below.AnychangestothepaymentplanwillnotbeineffectunlessagreedtobybothXxInc.andyouinwriting;

8.Toterminateourrepresentationofyouatanytimeandforanyreason;

9.Ifthisagreementiscanceled,terminated,orbreached,thefirmandthelegalrepresentativeshallhavenoobligationtoprovideservicestoyouuntilthefixedfeeispaidinfullaccordingtothepaymentplaninPartE,below.Unlesswewithdrawbeforethecompletionoftheservicesorotherwisefailtoperformservicescontemplatedunderthisagreementthefixedfeewillberefundedafterdeductionofthefeeapplicabletotheservicesalreadyrendered,whichwillbecalculatedaccordingtolegalrepresentative’shourlyfee:$350/hourfornocourtrepresentationcases;

10.Youagreetopayanybankchargedpenaltyonreturnedchecks;

11.Youauthorizeustoreceivethirdpartypaymentsonyourbehalfforourfees,costsandexpensesandauthorizeustousethirdpartymailingaccountsforcorrespondencewithyouandUSCIS.

2.與法定代理人的所有溝通要求精誠;

3.若發(fā)生辦公地址，電話號(hào)碼以及任何情況的變更，需在5日內(nèi)通知您的法律代理人。

4.積極協(xié)助您的法律代理人提供規(guī)定的資料文件或信息;

5.就法定代理人信件的及時(shí)回復(fù)，要求您復(fù)電她或他;

6.參加所有美國移民局或領(lǐng)事館的面試，聽證會(huì)或其他安排的與美國移民局或移民法庭或在其他地點(diǎn)的與您案子相關(guān)的約會(huì);

7.根據(jù)該協(xié)議E部分的支付條款向XxInc.支付所有費(fèi)用。任何關(guān)于支付方式的變更需要XxInc.和您的書面同意，否則變更無效;

8.在任何時(shí)間以任何理由終止我們對(duì)您的代理服務(wù);

9.若該協(xié)議被取消，終止，或違約，事務(wù)所及法定代理人將沒有義務(wù)向您提供服務(wù)，直至固定的費(fèi)用已依照該協(xié)議的E部分條款全額支付。若我們?cè)诜?wù)未履行前退出或無法提供協(xié)議所規(guī)定的服務(wù)，固定費(fèi)用在扣除已提供服務(wù)的費(fèi)用后將會(huì)退還，其費(fèi)用依照法定代理人的小時(shí)費(fèi)用計(jì)算：需出庭代表的案件為350美元/小時(shí);

10.您同意向銀行支付退回支票的手續(xù)費(fèi)用;

11.您授權(quán)我們接受第三方代表您支付您的費(fèi)用，并授權(quán)我們使用第三方郵件賬戶與您及美國移民局進(jìn)行郵件往來。

D. YOUFURTHERUNDERSTANDTHEFOLLOWING:

你需要進(jìn)一步了解的以下內(nèi)容：

1.ThatwecannotguaranteethatyouwillbegrantedthebenefitthatyouareseekingfromUSCISortheImmigrationCourt,evenafterwesuccessfullynecessaryapplicationsanddocuments.;

2.Thatwemaywithdrawasyourlegalrepresentativeandcloseyourcaseatanytime,ifyouoryourauthorizedagentfailstoprovidetruthfulinformationordocumentationtoyourlegalrepresentative,orfailstocomplywithyourresponsibilitiesinPartC,above,orfailtocomplywiththeagreeduponpaymentplaninPartE,below;

3.ThatwereservetherighttoterminateourservicestoyouforanyreasonspermittedbytheRulesofProfessionalConduct;

4.Totheextentpermitted,ourfirmwillbeentitledtoreceiveanyunpaidfees,toreceivecompensationforhourlyworkperformedbythefirmuptothetimethatourwithdrawalhasbeencompletedandtoreceivecompensationorreimbursementforcostsandotherchargesuptothetimeourwithdrawaliscompletedandanyservicesperformedbeyondwithdrawal;

5.Thatifyourcaseinvolvesseveralsteps,e.g.appealtothedecisionofUSCISorImmigrationCourtProceedings,wearenotobligatedtorepresentyouinallstepsoftheprocessbeyondthoseagreedtoatPartA,above.Wemaywithdrawfromrepresentingyouinanyadditionalstages,orifyourequiremorerepresentation,enterintoanewagreement.

2.如您或您的授權(quán)代理未能向您的法定代理人提供真實(shí)的信息或資料文件，或未能遵守協(xié)議上述C部分規(guī)定的客戶義務(wù)，或未能遵守協(xié)議下述E部分的付款條款，我們可在任何時(shí)間取消作我們的法定代理人資格/資質(zhì)并終止您的案子；

3.我們保留在職業(yè)行為準(zhǔn)則下可在任何原因下終止對(duì)您的服務(wù)的權(quán)利；

4.在許可的情況下，律師事務(wù)所有權(quán)接受任何未支付的費(fèi)用，接受根據(jù)我們所履行的服務(wù)時(shí)間以時(shí)薪計(jì)算的賠償，以及接受對(duì)在開始服務(wù)至撤銷服務(wù)期間造成或產(chǎn)生的費(fèi)用及其他費(fèi)用的賠償或報(bào)銷；

5.如您的案子包括一些步驟，如對(duì)美國移民局決定的申訴或移民法庭的訴訟，我們將沒有義務(wù)為您代理處理所有步驟的程序，我們僅依照協(xié)議上述的A部分規(guī)定提供服務(wù)。對(duì)于任何額外的階段，我們可能取消作為您的代理資格/資質(zhì)，或如您要求我們代理您處理更大范圍的服務(wù)，可以簽訂一份新的協(xié)議。

E. LEGALFEE&SCOPEOFREPRESENTATION

律師費(fèi)&支付條款

Youagreetothefollowingpaymentplan:

Theservicefee $30000 dueontheexecutionofthisagreement

服務(wù)費(fèi)簽署該協(xié)議后支付30000美元

Thisfeeisbasedinpartuponourexperienceastotheamountoftimerequiredtoaccomplishyourgoals.Intheeventthatitappearsthatthetimethatwemustexpendtocompleteyourcasewillsubstantiallyexceedthisexpectedtime,wewoulddiscussarevisiontothisfeeagreement,withyou.Inourexperience,thisisunlikelytooccurexceptifyouwishtospeakwithusaboutmattersnotdirectlyrelatertotheworkincludedintheflatfee,orweneedtoexpendtimerespondingtoyourtelephoneinquiriesthatsubstantiallyexceedsthetimewenormallyspendassistingourclients.

Youunderstandthatthisfeedoesnotincludeanyofthefollowing：

?ServicesthatarenotcoveredinPartAabove；

?USCISorImmigrationCourtfilingfees；

?Fingerprints,medicalexamination,andphotoswhichmayberequiredwithyourapplications,ifany;

?Anyotherchargesincurredbyusinitseffortstopursueyourcase,suchascostsofexperts,translationservices,messengerorexpressdeliveryservices;oranyadditionalchargeswrittenbelow；

?CostsofpreparinganyadditionalUSCISapplicationswhicharenotmentionedinPartA,suchasworkauthorizationrenewalapplications,etc；

?AppealsofanydecisionsbyUSCISortheImmigrationCourtmadeinyourcase；

?ApplicationserviceoutsidetheUSincasethatthebeneficiarytravelsoutsidetheUSbeforehe/sheobtainsthetraveldocumentandhe/sheneedtochangetheapplicationprocesstotheconsularprocess；

?Travelingoutoftheoffice；

?Motionsforreopeningorreconsideration,orlawsuitsseekingcourtreview;applyingforwaiversofremovability;dealingwithremovabilitygroundsorproceedings;dealingwithsecurityclearanceissues;applyingforemploymentauthorizationandextensions;applyingforparoleandextensionofparole;applyingforremovalofconditions;andimmigrationworkforrelativesnotmentionedinthisletter.

你需了解這些費(fèi)用不包括以下的任何費(fèi)用：

?協(xié)議上述A部分未涉及的服務(wù)；

?美國移民局或移民法庭的申請(qǐng)費(fèi)用；

?申請(qǐng)中要求的指紋，體檢以及照片的相關(guān)費(fèi)用；。

?在我們處理案子中造成或產(chǎn)生的任何其他費(fèi)用，例如專家費(fèi)用，翻譯費(fèi)用，信息或快遞服務(wù)費(fèi)用，如有；

?協(xié)議A部分未提及的用于籌備額外的美國移民局申請(qǐng)的費(fèi)用，例如工作許可的續(xù)期申請(qǐng)等；

?本案中涉及的對(duì)美國移民局或移民法庭的任何決定提起的訴訟；

?如受益人在取得旅行證前且需要到領(lǐng)事館變更申請(qǐng)時(shí)在美國境外旅行，該期間在美國境外領(lǐng)事館的申請(qǐng)服務(wù)費(fèi)；

?辦公室外的差旅費(fèi)；

?重啟或復(fù)議的議案，或?qū)で蠓芍匦略u(píng)估的訴訟；申請(qǐng)免除驅(qū)逐出境；處理驅(qū)逐出境的理由及訴訟；處理安全檢查問題；申請(qǐng)就業(yè)許可及延期；申請(qǐng)假釋及假釋的延期；申請(qǐng)去除條件；以及本信件中未提及的移民服務(wù)工作。

Fortheseservicesandanyotherservicesnotspecificallylistedhere,includingspecialservicesrequiredduetounforeseendevelopmentsinyourcaseorchangesinthelaw,wewillprovidethoseservicesonthebasisofhourlyratesdescribedinSection9ofPartBunlessotherwiseexpresslyagreedinwriting.

Intheeventoflateornon-payment,wereserveallapplicablerights,includingbutnotlimitedtotherighttoestablishorenforceattorneyliensandtherighttowithdraworseekleavetowithdrawfromfurtherworkonamatterandtherighttochargeinterestatarateof1percentpermonthonallpastduesums.

對(duì)于這些服務(wù)及其他未列出的服務(wù)，包括由于案件無法預(yù)見的進(jìn)展所要求的特殊服務(wù)或法律的變更，除非另有書面協(xié)議，否則我們將依照本協(xié)議B部分9條款所述的小時(shí)計(jì)費(fèi)的基礎(chǔ)上提供服務(wù)。

如發(fā)生延遲付款或未付款，我們將保留所有適用的權(quán)利，包括但不限于建立或強(qiáng)制執(zhí)行的權(quán)利，律師留置權(quán)以及撤銷的權(quán)利或?qū)で蟊Ａ羧∠M(jìn)一步開展工作的權(quán)利并有權(quán)對(duì)所有到期費(fèi)用收取每月1%的利息。

F. COSTSANDOTHERCHARGES（Approximately$10000）:

1.Inadditiontolegalfees,youarealsoresponsibleforcosts,expensesandservicesreasonablynecessaryforthehandlingofyourimmigrationmatter.Whereourfirmpaysthecosts,wewillaskyoutoreimburseusatthetimethesecostsarebilledtoyou.Youauthorizeustoincurallsuchcostsasarereasonableandnecessarytoourrepresentation.Ifotherexpensesmustbeincurred,includingbutnotlimitedtogovernmentfilingfees,advertisingcosts,translationsortravelexpenses,youwillbeaskedtopayfortheseexpensesdirectly.Whereourfirmpaystheexpenses,wewillaskyoutoreimburseusatthetimetheseexpensesarebilledtoyou.Youauthorizeustoincurallsuchexpensesasarereasonableandnecessarytoourrepresentation.

除了律師費(fèi)，您還需要承擔(dān)處理移民事務(wù)中必要而合理的成本費(fèi)用及開支。若我們律師事務(wù)所會(huì)墊付這些成本費(fèi)用，當(dāng)我們?yōu)槟Ц哆@些成本后將要求您給我們報(bào)銷這些費(fèi)用。您授權(quán)我們代您支付所有這些合理且必要的成本費(fèi)用。如造成或產(chǎn)生其他開支，包括但不限于政府申請(qǐng)費(fèi)用，廣告費(fèi)，翻譯費(fèi)或差旅費(fèi)，將會(huì)要求您直接支付這些開支。若我們律師事務(wù)所會(huì)墊付這些開支，當(dāng)我們?yōu)槟Ц哆@些成本后將要求您給我們報(bào)銷這些開支。

2.ConsultantsandOtherProfessionals.Toaidintherepresentationinyourmatter,itmaybecomenecessarytohireconsultantsorinvestigators.Youagreetopaysuchfeesandcharges.Yourlegalrepresentativewill,atyourrequest,selectanyconsultantsorinvestigatorstobehired,andyouwillbeinformedofpersonschosenandtheircharges.

3.Associationwithandpaymenttootherattorneys.Inconnectionwiththerepresentationcoveredbythisagreement,youherebyauthorizeus,atoursolediscretion,toassociateanyotherattorney(s),paralegal(s),orconsultant(s)toassistusand/ortoperformservicesorconsultationregardingyourcase.Theassociationofotherattorneysorprofessionalsshallnotincreasetheamountoftheretainerfee.

G.JOINTREPRESENTATION,CONFIDENTIALITYANDCONFLICTSOFINTEREST

Youwillbeaclientofthisfirmwithrespecttoyourimmigrationmatter.However,byaskingustohandleyourimmigrationcaseforyou,whichmayinvolvethirdpartieswhoassistyouinotherways,therearepotentialconflictsofinterests.Wecanonlyundertakethisrepresentationuponyoucertifying,bysigningthisagreementthatyouareawareofthesepotentialconflictsofinterestand,ifapplicable,youknowinglywaivethem.Youmustletusknowifyoubelievethatanypotentialconflictsdevelopafterourrepresentationbegins.Ifsignificantconflictsdevelop,wemayhavetostoprepresentingyouandyoumayneedtohirenewcounselatthattime.

InconnectionwithyourdecisiontoretainXxInc.youshouldbeawareofthefollowing:

1.Wemayrepresentoradviseorreceivereferralsfromthirdpartieswhoareinbusinessdealingswithyou;

2.Wemayreceivecompensationfromthirdpartieswhoareinbusinessdealingswithyouonyourorothermatters;

3.Yourfeemayincludeconsultationfeeorreferralfeethatwechoosetopayasweseefit;

4.Theattorney-clientprivilegeandanyconfidentialcommunicationswithusonlyextendtolawyersandstaffofthefirmanddonotextendtoservicesandcommunicationsyoumayreceivefromthirdparties.Wecannotkeepcommunicationsconfidentialwithrespecttothirdpartieswhoreceiveorprovideusinformationaboutyourmatter.Ourfirmmustbefreetoreceiveandprovideinformationtothirdpartiesassistingyouwiththeimmigrationprocess.Youarespecificallyauthorizingustoreceiveandprovideinformationregardingyourfinancialbackground,qualificationandanyotherinformationrelevanttoyourimmigrationmatter.

H. MEDIATIONANDARBITRATIONOFDISPUTES

Anydisputesbetweenthepartiesthereto,whetherarisingunderthisrepresentationorotherwise,whichthepartiescannotresolvebetweenthemselvesusinggoodfaithshallbe:

1.ReferredbyeitherpartytoamediatorintheCountyoftheprincipalofficeof XxInc.andanymediationshallbeheldintheCountyoftheprincipalofficeofXxInc..Thepartiesshallshareequallyinthecostofsaidmediation；

2.Intheeventthatsaiddisputeisnotresolvedinmediation,thepartiesshallsubmitthedisputetoaneutralarbitratorresidingintheCountyoftheprincipaladdressofXxInc.inaccordancewiththeCommercialArbitrationRulesoftheAmericanArbitrationAssociation.Thepartiesshallshareequallyinthecostofsaidarbitration.Thepartiesagreethatanydemandforarbitrationshallspecifyadollaramountofdamagessought.Thepartiesfurtheragreethatfulldiscoveryshallbeallowedtoeachpartytothearbitrationandawrittenawardshallbeenteredforthwith.AnyandalltypesofreliefthatwouldotherwisebeavailableinCourtshallbeavailabletobothpartiesinthearbitration.Thedecisionofthearbitratorshallbefinalandbinding.Arbitrationshallbetheexclusivelegalremedyoftheparties.JudgmentupontheawardmaybeenteredinanycourtofcompetentjurisdictionpursuanttoCaliforniaStatutes;

3.Youarespecificallyagreeingtowaiveyourrighttoatrialbyjuryregardinganyclaimsordisputesyoumayhavearisingfromthisagreement;

4.Ifeitherpartyrefusestocomplywitharulingordecisionofthearbitratorandalawsuitisbroughttoenforcesaidrulingordecision,itisagreedthattheparty
