Notwithstandingtheprovisionsunder(a),iffreightorpartthereofispayable deliveryofthecargotheCharterersshallhavetheoptionofpayingthe ondelivered typrovidedsuchoptionisdeclaredbefore bulkandthe tycanbeascertainedbyofficialweighing jointdraftsurveyor CashforVessel'sordinarydisbursementsattheportofloadingtobe bytheCharterers,ifrequired,athighestcurrentrateofexchange,subject two(2)percenttocoverinsuranceandother Thecargoshallbebroughtintotheholds,loaded,stowedand/or tallied,lashedand/orsecuredandtakenfromtheholdsanddischargedby Charterers,freeofanyrisk,liabilityandexpensewhatsoevertotheOwners.54TheCharterersshallprovideandlayalldunnagematerialasrequiredfor properstowageandprotectionofthecargoonboard,theOwnersallowing useofalldunnageavailableonboard.TheCharterersshallberesponsible andpaythecostofremovingtheirdunnageafterdischargeofthecargo thisCharterPartyandtimetocountuntildunnagehasbeen CargoHandling UnlesstheVesselisgearlessorunlessithasbeenagreedbetweenthe thattheVessel'sgearshallnotbeusedandstatedassuchinBox15, Ownersshallthroughoutthedurationofloading/discharginggivefreeuse theVessel'scargohandlinggearandofsufficientmotivepowertooperate suchcargohandlinggear.Allsuchequipmenttobeingoodworkingorder.65Unlesscausedbynegligenceofthestevedores,timelostbybreakdownof Vessel'scargohandlinggearormotivepowerproratathetotalnumber cranes/winchesrequiredatthattimefortheloading/dischargingof underthisCharterParty shallnotcountaslaytimeortimeondemurrage.69OnrequesttheOwnersshallprovidefreeofcharge en thecrewtooperatetheVessel'scargohandlinggear,unlesslocal prohibitthis,inwhichlattereventshorelabourersshallbefortheaccountof Charterers. enshallbeundertheCharterers'risk responsibilityandasstevedorestobedeemedastheirservantsbut

alwaysworkunderthesupervisionofthe Stevedore TheCharterersshallberesponsiblefordamage(beyondordinarywear tear)toanypartoftheVesselcausedbyStevedores.Suchdamageshall notifiedassoonasreasonablypossiblebytheMastertotheCharterersor agentsandtotheirStevedores,failingwhichtheCharterersshallnotbe responsible.TheMastershallendeavourtoobtaintheStevedores' acknowledgementof TheCharterersareobligedtorepairanystevedoredamagepriorto ofthevoyage,butmustrepairstevedoredamageaffectingthe seaworthinessorclassbeforetheVesselsailsfromtheportwhere damagewascausedorfound.Alladditionalexpensesincurredshallbefor accountoftheCharterersandanytimelostshallbefortheaccountofand bepaidtotheOwnersbytheCharterersatthedemurrage *(a)Separaaytimeforloadingand Thecargoshallbeloadedwithinthenumberofrunningdays/hours indicatedinBox16,weatherpermitting,Sundaysandholidays unlessused,inwhicheventtimeusedshall Thecargoshallbedischargedwithinthenumberofrunningdays/hours indicatedinBox16,weatherpermitting,Sundaysandholidays unlessused,inwhicheventtimeusedshall *(b)Totallaytimeforloadingand Thecargoshallbeloadedanddischargedwithinthenumberoftotal days/hoursasindicatedinBox16,weatherpermitting,Sundaysand excepted,unlessused,inwhicheventtimeusedshall (c)Commencementoflaytime(loadingand Laytimeforloadinganddischargingshallcommenceat13.00hours,ifnoticeof102readinessisgivenuptoandincluding12.00hours,andat06.00hoursnext103workingdayifnoticegivenduringofficehoursafter12.00hours.Noticeof104readinessatloadingporttobegiventotheShippersnamedinBox17orifnot105named,totheCharterersortheiragentsnamedinBox18.Noticeofreadiness106atthedischargingporttobegiventotheReceiversor,ifnotknown,tothe107CharterersortheiragentsnamedinBox Iftheloading/dischargingberthisnotavailableontheVessel'sarrivalator theportofloading/discharging,theVesselshallbeentitledtogivenotice readinesswithinordinaryofficehoursonarrivalthere,whetherinfreepratique111ornot,whethercustomsclearedornot.Laytimeortimeondemurrageshall112thencountasifshewereinberthandinallrespectsreadyforloading/113dischargingprovidedthattheMasterwarrantsthatsheisinfactreadyinall114respects.Timeusedinmovingfromtheplaceofwaitingtotheloading/dischargingberthshallnotcountas If,afterinspection,theVesselisfoundnottobereadyinallrespectstoload/117dischargetimelostafterthediscoverythereofuntiltheVesselisagainreadyto118load/dischargeshallnotcountas Timeusedbeforecommencementoflaytimeshall *Indicatealternative(a)or(b)asagreed,inBox DemurrageattheloadinganddischargingportispayablebytheCharterersat123theratestatedinBox20inthemannerstatedinBox20perdayorproratafor124anypartofaday.Demurrageshallfallduedaybydayandshallbepayable125uponreceiptoftheOwners' Intheeventthedemurrageisnotpaidinaccordancewiththeabove,the127OwnersshallgivetheCharterers96runninghourswrittennoticetorectifythe128failure.Ifthedemurrageisnotpaidattheexpirationofthistimelimitandifthe129vesselisinorattheloadingport,theOwnersareentitledatanytimeto130terminatetheCharterPartyandclaimdamagesforanylossescausedthereby.131Lien TheOwnersshallhavealienonthecargoandonallsubfreightspayablein133respectofthecargo,forfreight,deadfreight,demurrage,claimsfordamages134andforallotheramountsdueunderthisCharterPartyincludingcostsof135recovering Cancelling ShouldtheVesselnotbereadytoload(whetherinberthornot)onthe138cancellingdateindicatedinBox21,theCharterersshallhavetheoptionof139cancellingthisCharter ShouldtheOwnersanticipatethat,despitetheexerciseofduediligence,141theVesselwillnotbereadytoloadbythecancellingdate,theyshallnotifythe142CharterersthereofwithoutdelaystatingtheexpecteddateoftheVessel's143readinesstoloadandaskingwhethertheChartererswillexercisetheiroption144ofcancellingtheCharterParty,oragreetoanewcancelling SuchoptionmustbedeclaredbytheChartererswithin48runninghoursafter146thereceiptoftheOwners'notice.IftheCharterersdonotexercisetheiroptionofcancelling,thenthisCharterPartyshallbedeemedtobeamendedsuchthatThiscomputergeneratedformisprintedbyauthorityofBIMCO.Anyinsertionordeletiontotheformmustbeclearlyvisible.Ineventofanymodificationbeingmadetothepreprintedtextofthis ,whichis .theseventhdayafterthenewreadinessdatestatedintheOwners'notification149totheCharterersshallbethenewcancelling Theprovisionsofsubclause(b)ofthisClauseshalloperateonlyonce,andin151caseoftheVessel'sfurtherdelay,theCharterersshallhavetheoption cancellingtheCharterPartyaspersubclause(a)ofthis Billsof BillsofLadingshallbepresentedandsignedbytheMasterasperthe155"Congenbill"BillofLadingform,Edition1994,withoutprejudicetothisCharter156Party,orbytheOwners'agentsprovidedwrittenauthorityhasbeengivenby157Ownerstotheagents,acopyofwhichistobefurnishedtotheCharterers.The158CharterersshallindemnifytheOwnersagainstallconsequencesorliabilities159thatmayarisefromthesigningofbillsofladingaspresentedtotheextentthatthetermsorcontentsofsuchbillsofladingimposeorresultintheimpositionof161moreonerousliabilitiesupontheOwnersthanthoseassumedbytheOwners162underthisCharter Both-to-BlameCollision IftheVesselcomesintocollisionwithanothervesselasaresultofthe165negligenceoftheothervesselandanyact,neglectordefaultoftheMaster,166Mariner,PilotortheservantsoftheOwnersinthenavigationorinthe167managementoftheVessel,theownersofthecargocarriedhereunderwill168indemnifytheOwnersagainstalllossorliabilitytotheotherornoncarrying169vesselorherownersinsofarassuchlossorliabilityrepresentslossof,or170damageto,oranyclaimwhatsoeveroftheownersofsaidcargo,paidor171payablebytheotherornoncarryingvesselorherownerstotheownersofsaidcargoandsetoff,recoupedorrecoveredbytheotherornoncarryingvesselorherownersaspartoftheirclaimagainstthecarryingVesselortheOwners.174Theforegoingprovisionsshallalsoapplywheretheowners,operatorsorthose175inchargeofanyvesselorvesselsorobjectsotherthan,orinadditionto,the176collidingvesselsorobjectsareatfaultinrespectofacollisionor GeneralAverageandNewJason GeneralAverageshallbeadjustedinLondonunlessotherwiseagreedinBox22accordingtoYorkAntwerpRules1994andanysubsequentmodification180thereof.Proprietorsofcargotopaythecargo'sshareinteralexpenses181evenifsamehavebeennecessitatedthroughneglectordefaultoftheOwners'182servants(seeClause IfGeneralAverageistobeadjustedinaccordancewiththelawandpracticeof184theUnitedStatesofAmerica,thefollowingClauseshallapply:"Intheeventof185accident,danger,damageordisasterbeforeorafterthecommencementofthe186voyage,resultingfromanycausewhatsoever,whetherduetonegligenceor187not,forwhich,orfortheconsequenceofwhich,theOwnersarenotresponsible,bystatute,contractorotherwise,thecargoshippers,consignees189ortheownersofthecargoshallcontributewiththeOwnersinGeneralAverage190tothepaymentofanysacrifices,lossesorexpensesofaGeneralAverage191naturethatmaybemadeorincurredandshallpaysalvageandspecialcharges192incurredinrespectofthecargo.Ifasalvingvesselisownedoroperatedbythe193Owners,salvageshallbepaidforasfullyasifthesaidsalvingvesselorvessels194belongedtostrangers.SuchdepositastheOwners,ortheiragents,maydeem195sufficienttocovertheestimatedcontributionofthegoodsandanysalvageand196specialchargesthereonshall,ifrequired,bemadebythecargo,shippers,197consigneesorownersofthegoodstotheOwnersbefore TaxesandDues OnVesselTheOwnersshallpayalldues,chargesandtaxescustomarily200leviedontheVessel,howsoevertheamountthereofmaybe OncargoTheCharterersshallpayalldues,charges,dutiesandtaxes202customarilyleviedonthecargo,howsoevertheamountthereofmaybe203 OnfreightUnlessotherwiseagreedinBox23,taxesleviedonthefreightshallbefortheCharterers' IneverycasetheOwnersshallappointtheirownAgentbothattheport loadingandtheportof AbrokeragecommissionattheratestatedinBox24onthefreight,deadfreightanddemurrageearnedisduetothepartymentionedinBox Incaseofnonexecution1/3ofthebrokerageontheestimatedamountoffreighttobepaidbythepartyresponsibleforsuchnonexecutiontothe214Brokersasindemnityforthelatter'sexpensesandwork.Incaseofmore215voyagestheamountofindemnitytobe GeneralStrike Ifthereisastrikeorlockoutaffectingorpreventingtheactualloadingofthe218cargo,oranypartofit,whentheVesselisreadytoproceedfromherlastportor219

atanytimeduringthevoyagetotheportorportsofloadingorafterherarrival220there,theMasterortheOwnersmayasktheChartererstodeclare,thatthey221agreetoreckonthelaydaysasiftherewerenostrikeorlockout.Unlessthe222Charterershavegivensuchdeclarationinwriting(byegram,ifnecessary)223within24hours,theOwnersshallhavetheoptionofcancellingthisCharter224Party.Ifpartcargohasalreadybeenloaded,theOwnersmustproceedwith225same,(freightpayableonloadedtyonly)havinglibertytocompletewith226othercargoonthewayfortheirown IfthereisastrikeorlockoutaffectingorpreventingtheactualdischargingofthecargoonoraftertheVessel'sarrivalatoroffportofdischargeandsame229hasnotbeensettledwithin48hours,theCharterersshallhavetheoptionof230keetheVesselwaitinguntilsuchstrikeorlockoutisatanendagainst231payinghalfdemurrageafterexpirationofthetimeprovidedfordischarging232untilthestrikeorlockoutterminatesandthereafterfulldemurrageshallbe233payableuntilthecompletionofdischarging,oroforderingtheVesseltoasafe234portwhereshecansafelydischargewithoutriskofbeingdetainedbystrikeor235lockout.Suchorderstobegivenwithin48hoursaftertheMasterorthe236OwnershavegivennoticetotheCharterersofthestrikeorlockoutaffecting237thedischarge.Ondeliveryofthecargoatsuchport,allconditionsofthis238CharterPartyandoftheBillofLadingshallapplyandtheVesselshallreceive239thesamefreightasifshehaddischargedattheoriginalportofdestination,240exceptthatifthedistancetothesubstitutedportexceeds100nautical,241thefreightonthecargodeliveredatthesubstitutedporttobeincreasedin242 Exceptfortheobligationsdescribedabove,neithertheCharterersnorthe244Ownersshallberesponsiblefortheconsequencesofanystrikesorlockouts245preventingoraffectingtheactualloadingordischargingofthe WarRisks("Voywar ForthepurposeofthisClause,the The"Owners"shallincludetheshipowners,bareboatcharterers,disponentowners,managersorotheroperatorswhoarechargedwiththe250managementoftheVessel,andtheMaster; "WarRisks"shallincludeanywar(whetheractualorthreatened),actof252war,civilwar,hostilities,revolution,rebellion,civilcommotion,warlike253operations,thelayingofmines(whetheractualorreported),actsofpiracy,254actsofterrorists,actsofhostilityormaliciousdamage,blockades255(whetherimposedagainstallVesselsorimposedselectivelyagainstVesselsofcertainflagsorownership,oragainstcertaincargoesorcrewsorotherwisehowsoever),byany ,body,terroristorpoliticalgroup,258ortheernmentofanystatewhatsoever,which,inthereasonable259judgementoftheMasterand/ortheOwners,maybedangerousorare260likelytobeorto edangeroustotheVessel,hercargo,creworother261sonboardtheVessel. IfatanytimebeforetheVesselcommencesloading,itappearsthat,inthereasonablejudgementoftheMasterand/ortheOwners,performanceof264theContractofCarriage,oranypartofit,mayexpose,orislikelytoexpose,265theVessel,hercargo,creworother sonboardtheVesseltoWar266Risks,theOwnersmaygivenoticetotheChartererscancellingthisContractofCarriage,ormayrefusetoperformsuchpartofitasmay268expose,ormaybelikelytoexpose,theVessel,hercargo,creworother269sonboardtheVesseltoWarRisks;providedalwaysthatifthis ContractofCarriageprovidesthatloadingordischargingistotakeplace271withinarangeofports,andattheportorportsnominatedbytheCharterers272theVessel,hercargo,crew,orother sonboardtheVesselmaybe273exposed,ormaybelikelytobeexposed,toWarRisks,theOwnersshall274firstrequiretheChartererstonominateanyothersafeportwhichlies275withintherangeforloadingordischarging,andmayonlycancelthis276ContractofCarriageiftheCharterersshallnothavenominatedsuchsafe277portorportswithin48hoursofreceiptofnoticeofsuchrequirement. TheOwnersshallnotberequiredtocontinuetoloadcargoforanyvoyage,279ortosignBillsofLadingforanyportorplace,ortoproceedorcontinueon280anyvoyage,oronanypartthereof,ortoproceedthroughanycor281waterway,ortoproceedtoorremainatanyportorplacewhatsoever,282whereitappears,eitheraftertheloadingofthecargocommences,oratanystageofthevoyagethereafterbeforethedischargeofthecargoiscompleted,that,inthereasonablejudgementoftheMasterand/orthe285Owners,theVessel,hercargo(oranypartthereof),creworother s286onboardtheVessel(oranyoneormoreofthem)maybe,orarelikelytobe,287exposedtoWarRisks.Ifitshouldsoappear,theOwnersmaybynotice288requesttheChartererstonominateasafeportforthedischargeofthe289cargooranypartthereof,andifwithin48hoursofthereceiptofsuch290notice,theCharterersshallnothavenominatedsuchaport,theOwners291maydischargethecargoatanysafeportoftheirchoice(includingtheport292ofloading)incompletefulfilmentoftheContractofCarriage.TheOwners293shallbeentitledtorecoverfromtheChartererstheextraexpensesofsuch294dischargeand,ifthedischargetakesplaceatanyportotherthanthe295loadingport,toreceivethefullfreightasthoughthecargohadbeen296carriedtothedischargingportandiftheextradistanceexceeds100,297toadditionalfreightwhichshallbethesamepercentageofthefreight298contractedforasthepercentagewhichtheextradistancerepresentsto299thedistanceofthenormalandcustomaryroute,theOwnershavingalien300onthecargoforsuchexpensesand Ifatanystageofthevoyageaftertheloadingofthecargocommences,it302appearsthat,inthereasonablejudgementoftheMasterand/orthe303Owners,theVessel,hercargo,creworother sonboardtheVessel304maybe,orarelikelytobe,exposedtoWarRisksonanypartoftheroute305(includinganycorwaterway)whichisnormallyandcustomarilyused306inavoyageofthenaturecontractedfor,andthereisanotherlongerroute307tothedischargingport,theOwnersshallgivenoticetotheCharterersthat308thisroutewillbetaken.InthiseventtheOwnersshallbeentitled,ifthetotal309extradistanceexceeds100,toadditionalfreightwhichshallbethe310samepercentageofthefreightcontractedforasthepercentagewhichthe311extradistancerepresentstothedistanceofthenormalandcustomary312 TheVesselshallhave tocomplywithallorders,directions, mendationsoradviceasto315departure,arrival,routes,sailinginconvoy,portsofcall,stoppages,destinations,dischargeofcargo,deliveryorinanywaywhatsoeverwhich317aregivenbytheernmentoftheNationunderwhoseflagtheVessel318sails,orotherernmenttowhoselawstheOwnersaresubject,orany319otherernmentwhichsorequires,oranybodyorgroupactingwiththe320powertocompelcompliancewiththeirordersor tocomplywiththeorders,directionsor mendationsofanywar322risksunderwriterswhohavetheauthoritytogivethesameunderthetermsofthewarrisks tocomplywiththetermsofanyresolutionoftheSecurityCounciloftheUnitedNations,anydirectivesoftheEuropeanCommunity,the ordersofanyotherSupranationalbodywhichhastherighttoissueand327givethesame,andwithnationallawsaimedatenforcingthesameto theOwnersaresubject,andtoobeytheordersanddirectionsofthose arechargedwiththeir todischargeatanyotherportanycargoorpartthereofwhiay331rendertheVesselliabletoconfiscationasacontraband tocallatanyotherporttochangethecreworanypartthereoforother333sonboardtheVesselwhenthereisreasontobelievethattheymay334besubjecttointernment,imprisonmentorother wherecargohasnotbeenloadedorhasbeendischargedbythe336OwnersunderanyprovisionsofthisClause,toloadothercargoforthe337Owners'ownbenefitandcarryittoanyotherportorportswhatsoever,338whetherbackwardsorforwardsorinacontrarydirectiontotheordinaryor339customary Ifincompliancewithanyoftheprovisionsofsubclauses(2)to(5)ofthis341Clauseanythingisdoneornotdone,suchshallnotbedeemedtobea342deviation,butshallbeconsideredasduefulfilmentoftheContractof343
