-32-AccountTransferandPurchaseAgreement帳款轉(zhuǎn)讓及購買合同核心提示：ThisAccountTransferandPurchaseAgreement(thisAgreement)isdated_________,_________,_________(M,D,Y),andisbetweenAAA,Inc.,a_________(PLACENAME)corporationauthorizedtodobusinessin_________(PLACENAME)anddoingbusinessasBCI/AAAThisAccountTransferandPurchaseAgreement(thisAgreement)isdated_________,_________,_________(M,D,Y),andisbetweenAAA,Inc.,a_________(PLACENAME)corporationauthorizedtodobusinessin_________(PLACENAME)anddoingbusinessasBCI/AAAAcceptanceCorporation(AAA),andBBB,INC.,a_________(PLACENAME)corporation,andCCC,INC.,a_________(PLACENAME)corporation(collectively,Seller).ThisAgreementshallbecomeeffectiveasofthedayitisacceptedintheStateof_________(PLACENAME)byAAAasindicatedattheendhereofbythedateandsignatureonbehalfofAAA.WHEREAS,AAAisinthebusinessofpurchasingaccountsreceivable(accounts);andWHEREAS,Sellerdesires,fromtimetotimeduringthetermofthisAgreement,tosellaccountstoAAA;andWHEREAS,thepartiesheretodesiretoenterintothisAgreementtogovernthepurchaseandsaleofaccounts;NOWTHEREFORE,inconsiderationofthepremises,themutualagreementshereincontainedandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:1.OFFEROFACCOUNTS.AtitselectionfromtimetotimeduringthetermofthisAgreement,SelleragreestoofferforsaletoAAAcertainofitsaccountsarisingoutofsalesofgoods,orservicesrendered,bySeller,andtoselltoAAAonthetermssetforthinthisAgreementsuchoftheofferedaccountsasAAAmayacceptforpurchaseintheStateof_________(PLACENAME).AAAshallhavetheabsoluterightinitssolediscretiontorejectanyorallofferedaccounts,whetherornotAAAhaspreviouslypurchasedaccountsofanyparticularaccountdebtorhereunder.Thepartiesagreethat,withoutthepriorconsentofAAA,themaximumGrossAmount(asdefinedbelow)ofaccountsthatAAAmaypurchasehereunderatanytime,togetherwiththeGrossAmountofaccountspreviouslypurchasedbyAAAfromSellerhereunderwhichthenremainoutstanding,willnotexceedFIVEMILLIONANDNO/_________DOLLARS($,_________)(theFacilityAmount);provided,however,untilcompletionofthefieldauditprovidedinSection10below,theFacilityAmountshallbelimitedto$,_________.AAA’sconsenttopurchaseaccountsinexcessofsuchamountmaybeevidencedbyAAA’sacceptanceforpurchaseofsuchofferedaccounts.2.PURCHASEANDSALEOFACCOUNTS.EachaccountpurchasedbyAAAhereundershallbepurchasedbyAAAwithoutrecourseagainstSeller.AlllossesincurredbyAAAfromthefinancialinabilityoftheapplicableaccountdebtortopaysuchaccountoverandaboveanyandallResidualPayments(ashereinafterdefined)andReserve(ashereinafterdefined)amountsoffsetshallbebornesolelybyAAA;provided,however,thatnothinginthisAgreementshallbeconstruedtorelieveSellerfromliabilityforanybreachbySellerofanyrepresentation,warrantyoragreementofSellercontainedherein.NotwithstandinganyprovisioninthisAgreementtothecontrary,itiscontemplatedbyandtheintentionofthepartiesheretothataccountsofSellermaybeconsideredandpurchasedasoneaccount(hereinabatch)andthetermsaccountandaccountsasusedhereinmayalsorefertoandmeanabatchorbatches,asthecasemaybe.InconnectionwitheachofferofaccountstoAAA,SelleragreestodelivertoAAAawrittenassignmentofsuchaccounts,togetherwithacopyofallinvoicesrelatingtosuchaccounts,andevidenceofdeliveryoftherelatedgoodsorperformanceoftherelatedservices(and,ifrequested,theoriginalpurchaseordersfromtheapplicablecustomers),allinaformsatisfactorytoAAA.InorderforanaccounttobeeligibleforpurchasebyAAA,therelatedinvoicemustsetforth,asthesoleaddressforpayment,thefollowingpostoflicebox:_________(AuthorizedRemittanceAddress)(or,uponnoticefromAAA,anotherpostofliceboxofAAA)and,inthecaseofpaymentstobeeffectedbywiretransferorotherelectronicmeans,therelatedinvoicemustsetforth,asthesolebankaccountforsuchpayment,abankaccountofAAA(orathirdpartydesignatedbyAAA)designatedbyAAAfromtimetotime(exceptineachcaseasotherwiseagreedinwritingbyAAA).AAA’sacceptanceforpurchaseofofferedaccountsshallbeevidencedbyAAA’stenderingoftheInitialPayment(ashereinafterdefined)toSellerorotherwisedeliveringtoSellerascheduleofaccountsacceptedforpurchasebyAAA.Seller’stransferenceofofferedaccountsshallnotteeeffectiveastoanyaccountsnotacceptedforpurchasebyAAA.Sellerherebysells,transfers,assignsandotherwiseconveystoAAA(asasalebySellerandapurchasebyAAA,andnotassecurityforanyindebtednessorotherobligationofSellertoAAA)allright,titleandinterestofSellerinandtoallaccountsacceptedbyAAAforpurchasehereunder,togetherwithallrelatedrights(butnotobligations)ofSellerwithrespectthereto,includingallcontractrights,guarantees,lettersofcredit,liensinfavorofSeller,insuranceandotheragreementsandarrangementsofwhatevercharacterfromtimetotimesupportingorsecuringpaymentofsuchaccountsandallright,titleandinterestofSellerinanyrelatedgoods,includingSeller’srightsandremediesunderArticle2,Part7oftheapplicableUniformCommercialCode(UCC).Theforegoingsale,transfer,assignmentandconveyancedoesnotconstituteandisnotintendedtoresultinanassumptionbyAAAofanyobligationofSelleroranyotherpersoninconnectionwiththeaccountsorrelatedrightsorunderanyagreementorinstrumentrelatingthereto.Selleragreestoexecuteanddeliversuchbillsofsale,assignments,lettersofcredit,noticesofassignment,financingstatements(includingcontinuationstatements)undertheapplicableUCCandotherdocuments,andmakesuchentriesandmarkingsinitsbooksandrecords,andtotakeallsuchotheractions(includingthenegotiation,assignmentortransferofnegotiabledocuments,lettersofcreditorotherinstruments)asAAAmayrequesttofurtherevidenceorprotectthesalesandassignmentsofaccountsandrelatedrightstoAAAhereunder,aswellasAAA’sinterestinanyreturnedgoodsreferredtoinSection7hereof.3.TERMSOFACCOUNTS.ExceptasotherwisemaybeagreedtoinwritingbyAAAfromtimetotime,thetermsofsaleofferedbySellertoitsaccountdebtorswithrespecttoallaccountsofferedtoAAAforpurchasehereundershallbeNET30DAYS.AfteranaccounthasbeenpurchasedbyAAA,Sellershallnothavetherighttovarythetermsofsalesetforthintheinvoicerelatingtosuchaccount,oranyotheraspectoftheaccount,exceptinSeller’scapacityasagentforAAAforpurposesofcollectionofaccountspurchasedbyAAAassetforthinSection8hereof,andthenonlywiththepriorwrittenconsentofAAA.4.PURCHASEPRICE.ThepurchasepriceforeachaccountpurchasedhereundershallconsistofandbepaidbytheInitialPaymentandtheResidualPayment.TheInitialPaymentshallbepayablebyAAAtoSelleronthebusinessdaythatAAAacceptsforpurchasetherelatedaccount,andtheResidualPaymentshallbepayablebyAAAtoSellerwithinfivebusinessdaysafterAAAreceivesanddepositstheproceedsofcollectionforthesubjectaccountinanamountequaltotheNetAmount(ashereinafterdefined)ofsuchaccount(subjecttoAAA’srighttowithholdpaymentofResidualPaymentshereunder,andsubjecttoAAA’srighttowithhold,offsetandcharge,eachasdescribedbelow).InitialPaymentmeansEIGHTY-FIVEPERCENT(85%)oftheGrossAmountofanaccount,providedthatthefieldauditprovidedinSection10belowindicatesdilutiondoesnotexceedfivepercent(5%)andeachinvoicesubmittedshouldhaveabalanceofnotlessthan$500.00each.GrossAmountofanaccountmeansthegrossfaceamountpayablepursuanttotherelatedinvoice.NetAmountofanaccountmeanstheGrossAmountofsuchaccount,lessallpermitteddiscounts,deductionsandallowances.ResidualPaymentwithrespecttoanaccountmeanstheaggregateamountcollectedwithrespecttosuchaccount,lessthesumof(i)theInitialPaymentwithrespecttosuchaccount,(ii)theAAADiscounts(ashereinafterdefined),(iii)anyandallattorneys’feesandothercostsofcollection.5.FIXEDANDVARIABLEDISCOUNTS.FixedDiscountmeansadiscountofTWOPERCENT(2.0%)oftheGrossamountofsuchaccount.VariableDiscountmeansadiscountcomputedontheInitialPaymentandaccruingonthebasisofactualdayselapsedfromthedateofInitialPaymentuntilandincludingthree(3)businessdaysafterAAAreceivesanddepositstheproceedsofcollectionofsuchaccountataperannumrateequaltoAAA’sBaseRate(ashereinafterdefined)ineffectonthedateofpurchaseofsuchaccountplusTWOPERCENT(2.0%)perannum;provided,however,innoeventshalltheVariableDiscountwithrespecttoanyaccountpurchasedhereunderbelessthansevenpercent(7.0%)perannum.BaseRatemeansthatperannumvariablerate(expressedasaperannumpercentagebasedonayearconsistingof360days)determinedfromtimetotimebyAAAwithoutnoticetoSellerasAAA’sBaseRateforpurposesofcalculatingvariablediscountsunderAAA’saccounttransferagreements.TheFixedDiscountandtheVariableDiscountshallbecollectivelyreferredtohereinastheAAADiscounts.TheAAADiscountsmaybesubjecttooneormoreadjustmentsduringthetermofthisAgreementifaPerformanceBasedPricingAddendumisattachedhereto.Notwithstandingtheforegoing,theminimumAAADiscountoneachaccountpurchasedhereundershallbe$,_________.6.Reserve.IntheeventthatAAAbelievesSellerhasbreachedanymaterialrepresentation,warranty,covenantoragreementcontainedherein(including,withoutlimitation,intheeventanaccountpurchasedbyAAAbecomesaDisputedAccountashereinafterdefined),anyaccountisnotpaidinfullwithin90daysfromthedateofpurchaseofsuchaccount,orAAAdeemsitselfinsecurehereunder,AAAmayatitselection,withholdandaccumulatethepaymentoftheResidualPayments(Reserve)withrespecttoanyorallaccountspurchasedhereundertotheextentnecessarytomaintainaReserveinanamountuptothesumof(a)thetotalInitialPaymentsmadebyAAAwithrespecttoaccountspurchasedbyAAAhereunderwhichremainuncollected,plus(b)thetotaloftheAAADiscountswithrespecttosuchaccountsand(c)suchotheramountswhichmaybecomeduebySellertoAAAhereunderorunderanyotheragreement.SellerherebyauthorizesAAAtooffsetandchargeanyandallamountsforwhichSellerortheReservemaybeobligatedtopaytoAAApursuanttothetermsofthisAgreementagainsttheReserve,andatAAA’selection,againstanyfundsofSellerinthepossessionorcontrolofAAA,fromwhateversource.However,if,onanybusinessdaythatAAAregularlymakesapaymenttoSellerforaccountspurchased,noneoftheforegoingconditionsexistsandnootherbreachofthisAgreementbySellerexists,thenAAAshalldistributetoSellertheResidualPaymentsthendueandallfundsitthenhasonhandthatithascollectedfromaccountsthatAAAhasnotthenpurchased.7.CertainSecurity.thepurposeofsecuringAAA(a)inthepaymentofanyandallsumsofmoneythatmaybecomedueandowingAAAfromSellerbyreasonofthisAgreement,(b)intheperformancebySellerofSeller’sobligationshereunder,andunderanyotheragreement,contract,document,noteorotherinstrumentinfavorofAAAoritsassigneesand(c)intheperformanceofalltheobligationsofallAffiliates(ashereinafterdefined)undereachAffiliate’sagreements,contracts,documents,notesorotherinstrumentsinfavorofAAAoritsassigns,SellerherebygrantstoAAAasecurityinterestin(i)allofSeller’spresentandfutureaccountsandproceeds(includingaccountsbutexcludingcash)createdfromthesalebytheSellerofinventory,contractrights,documents,instruments,chattelpaper,generalintangiblesandallproductsandproceedstherefrom,includingallresumedorrepossessedgoods,aswellasallbooksandrecordspertainingtoalloftheforegoing,(ii)allamountsdueasResidualPaymentsorwithheldbyAAAastheReservepursuanttoSection6hereof,and(id)allmoneyandotherfundsofSellernoworhereafterinthepossession,custodyorcontrolofAAA,fromwhateversource.ThetermAffiliateshallmeanwithrespecttoanypersonorentityinquestion,anyotherpersonorentityownedorcontrolledby,orwhichownsorcontrolsorisundercommoncontrolorisotherwiseaffiliatedwithsuchpersonorentityinquestion.SelleragreestoexecuteanddeliversuchfinancingstatementsundertheapplicableUCCandotherdocuments,andmakesuchentriesandmarkingsinitsbooksandrecordsandtotakeallsuchotheractions,asAAAmayrequesttofurtherevidence,perfect,preserveorprotectthesecurityinterestgrantedtoAAAhereunder.AAAshallhaveallrightsandremediesinrespectofthelienandsecurityinteresthereingrantedasareprovidedinthisAgreement,theUCCandotherapplicablelaw,includingtherightatanytime,beforeorafteranydefaultbySellerofanyofitsobligationshereunder,tonotifyaccountdebtorsandobligorsoninstrumentstomakepaymenttoAAA(oritsdesignee)andtotakecontrolofproceedstowhichAAAisentitled,andtoapplyproceedsto(inadditiontootherobligationsofSellertoAAA)thereasonableattorneys’feesandlegalexpensesincurredbyAAAinconnectionwiththedispositionofcollateralortheotherexerciseofrightsandremediesbyAAA.SellerhereinacknowledgesandwarrantstoAAAthatithasreceivedandwillreceive,directandindirectbenefitsbyandfromgrantingthissecurityinteresttoAAAtosecuretheobligationsofanyAffiliatetoAAA.IntheeventasecurityinteresthasheretoforebeengrantedandgiventoAAAbySellerinaprioragreement(s)ordocument(s)tosecurecertainobligations,then,insuchevent,andnotwithstandinganythinginthisAgreementtothecontrary,includingSection23hereof,thelienandsecurityinteresthereingrantedandgiventoAAAisinrenewalandextension,andnotinextinguishmentof,allsuchpriorliensandsecurityinterestsandarevalidandsubsistingliensandsecurityintereststosecureallprior,existingandnewobligationsofSellertoAAAhereunderandunderanysuchprioragreements,whichobligationsarelikewisehereinrenewedandextended,inanymanner,includinganyactionrequiredinconnectionwithorbyvirtueoftheUnitedStatesBankruptcyCode(theBankruptcyCode).8.SERVICING.AAAherebyappointsSellerasservicingagentforAAA(Servicer)forthepurposeofexpeditingthepaymentofaccountspurchasedbyAAAhereunderwhichbecomepastdue.Serviceragreestomaintainanactive,on-goingandregulardialoguewitheachAccountDebtor.Servicerfurtheragreestoutilizeallpowers,influencesandrightsandtakeeveryactionwithinitscontrolinaccordancewithitscustomarypracticesandapplicablelawtoexpeditethecollectionoftheaccountspurchasedbyAAAwhichbecomepastdueanddirectsuchpaymentsinspecieexclusivelytotheAuthorizedRemittanceAddress.SellerwillfurnishtoAAA,uponrequest,anyandallpapers,documentsandrecordsinitspossessionorcontrolrelatedtoaccountspurchasedbyAAAhereunder,orrelatedtoSeller’sbusinessrelationshipwiththerespectiveaccountdebtors,andagreestocooperatefullywithAAAinallmattersrelatedtocollectionofaccountspurchasedbyAAAhereunder.AAAreservestherighttoterminatesuchservicingrelationshipatanytimewithorwithoutcauseandwithoutnoticetoServicer.SellerauthorizesAAAtoforwarddirectlytoaccountdebtorsstatementsorinvoicesonaccountspurchasedbyAAAhereunder,andtorequestpaymentatsuchaddressortosuchbankaccountasmaybedesignatedbyAAA.Selleragreesthat,ifanypaymentismadetoSelleronanyaccountpurchasedbyAAAfromSellerhereunder,Seller(i)willholdsuchpaymentintrustforAAA,(ii)willnotcomminglesuchpaymentwithanyfundsofSeller,and(iii)willdeliversuchpaymenttoAAA,intheexactformreceived,bythecloseofbusinessonthenextbusinessdayfollowingreceiptthereofbySeller.IfanygoodsrelatingtoanaccountpurchasedbyAAAhereundershallbereturnedtoorrepossessedbySeller,SellershallgivepromptnoticethereoftoAAAandshallholdsuchgoodsintrustforAAA,separateandapartfromSeller’sownproperty,andsuchgoodsshallbeownedsolelybyAAAandbesubjecttoAAA’sdirectionandcontrol.SellershallproperlystoreandprotectsuchgoodsandagreestocooperatefullywithAAAinanysubsequentdispositionthereofforthebenefitofAAA.SellerauthorizesAAAtocollect,sueforandgivereleasesforinthenameofSellerorAAAinAAA’ssolediscretion,allamountsdueonaccountssoldtoAAAhereunder.SellerspecificallyauthorizesAAAtoendorse,inthenameofSeller,allchecks,drafts,tradeacceptancesorotherformsofpaymenttenderedbyaccountdebtorsinpaymentofaccountssoldtoAAAhereunderandmadepayabletoSeller.AAAshallhavenoliabilitytoSellerforanymistakeintheapplicationofanypaymentreceivedwithrespecttoanyaccount,ITBERGSPECIFIC‘TENTOFTHEPARTIESHERETOTHATAAASHALLHAVENOLIABILITYHEREUNDERFORITSOWNNEGLIGENCEexceptforitsowngrossnegligenceorwillfulmisconduct.SellerherebywaivesnoticeofnonpaymentofanyaccountsoldtoAAAhereunderaswellasanyandallothernoticeswithrespecttosuchaccounts,demandsorpresentationsforpayment,andagreesthatAAAmayextendorrenewfromtimetotimethepaymentof,orvaryorreducetheamountpayableunderorcompromiseanyofthetermsof,anyaccountpurchasedbyAAA,ineachcasewithoutnoticetoortheconsentofSeller.SellerfurtherauthorizesAAA(oritsdesignee)toopenandremovethecontentsofanypostofliceboxofSellerorAAA(oritsdesignee)whichAAAbelievescontainsmailrelatingtoaccounts,andinconnectiontherewithorotherwise,toreceive,openanddisposeofmailaddressedtoSellerwhichAAAbelievesmayrelatetoaccounts,andinordertofurtherassurereceiptbyAAA(oritsdesignee)ofmailrelatingtosuchaccounts,tonotifyotherpartiesincludingcustomersandpostalauthoritiestochangetheaddressfordeliveryofsuchmailaddressedtoSellertosuchaddressasAAAmaydesignate.AAAagreestousereasonablemeasurestopreservethecontentsofanysuchmailwhichdoesnotrelatetoaccountspurchasedhereunderandtodeliversametoSeller(or,attheemotionofAAA,tonotifySelleroftheaddresswhereSellermaytakepossessionofsuchcontents;provided,ifSellerdoesnottakepossessionofsuchcontentswithin30daysafternoticefromAAAtotakepossessionthereof,AAAmaydisposeofsuchcontentswithoutanyliabilitytoSeller).SellerherebyirrevocablyappointsAAA(andanyemployee,agentorotherpersondesignatedbyAAA,anyofwhommayactwithoutjoinderoftheothers)asSeller’sattorneys-in-factandagents,inSeller’sname,placeandstead,totakeallactions,executeanddeliverallnotices,negotiatesuchinstrumentsandotherdocuments,asmaybenecessaryoradvisabletopermitAAA(oritsdesignee)totakeanyandalloftheactionsdescribedinthisparagraphortocarryoutthepurposeandintentthereof,asfullyandforallintentsandpurposesasSellercoulditselfdo,andherebyratifiesandconsignsallthatsaidattorneys-in-factandagentsmaydoorcausetobedonebyvirtuehereof.Thispowerofattorneyisirrevocableanddeemedcoupledwithaninterest.9.REPRESENTATIONSANDWARRANTIESOFSELLER.SellerherebyrepresentsandwarrantstoAAAwithrespecttoeachaccountofferedbySellertoAAAhereunderthat(i)Selleristhesoleownerofsuchaccount,whichaccountisfreeandclearofanyliens,claims,equitiesorencumbranceswhatsoever,anduponeachpurchasebyAAAofsuchaccount,AAAwillownsuchaccountfreeandclearofanyliens,claims,equitiesorencumbranceswhatsoeverandtheconsiderationreceivedbySellerfromAAAforsuchaccountisfairandadequate,(ii)Selleristhesoleobligeeundersuchaccount,andhasfullpowerandisdulyauthorizedtosell,assignandtransfersuchaccounttoAAAhereunder,andunlessotherwiseagreedbyAAA,thedateofsaleofsuchaccountisnotmorethan30daysafterthedateoftheoriginalinvoicerelatingtosuchaccount,(iii)Sellerhasnoknowledgeofanyfactwhichwouldleadittoexpectthat,atthedateofsaleofsuchaccounttoAAA,suchaccountwillnotbepaidinthefullstatedamountwhendue,(iv)suchaccountarisesoutofabonafidesaleofconforminggoodsorthebonafiderenditionofservicesbySeller,andallunderlyinggoodshavebeendeliveredtotheaccountdebtor,orallunderlyingserviceshavebeenrenderedbySeller,incompletefulfillmentofallofthetermsandconditionsofafullyexecuted,deliveredandunexpiredcontractwiththeaccountdebtor,andtheaccountdebtorhasacceptedthegoodsorservicestowhichtheaccountrelates,(v)suchaccountisdenominatedandpayableonlyinUnitedStatesdollarsandconstitutesthelegal,validandbindingpaymentobligationoftheaccountdebtor,enforceableinaccordancewithitsterms(exceptassuchenforceabilitymaybelimitedbyapplicablebankruptcy,insolvency,reorganization,moratoriumorothersimilarlawsaffectingtheenforcementofcreditors’rightsgenerally),(vi)suchaccountiscurrentandnotpastdueasofthedateofpurchasebyAAA,hasnotbeenpaidbyoronbehalfoftheaccountdebtorinwholeorinpart,andisnotandwillnotteesubjecttoanydispute,recision,set-off,recoupment,defenseorclaimbytheaccountdebtor,whetherrelatingtoprice,quality,quantity,workmanship,delayindelivery,setoff,counterclaimorotherwise,andtheaccountdebtorhasnotandwillnotclaimanydefenseofanykindorcharacter(otherthanbankruptcyorinsolvencyarisingafterthedateofsaleofsuchaccounttoAAAhereunder)againstpaymentofsuchaccount,and(vii)asofthedateofpurchasebyAAAofsuchaccount,theaccountdebtorwithrespecttosuchaccountislocated(withinthemeaningofSection9-103oftheapplicableUCC)andhasitsprincipalexecutiveofficeswithintheUnitedStates,unlesssuchaccountisbackbytradecreditinsuranceorpre-approvedbyAAA.SellerfurtherrepresentsandwarrantstoAAAthat(a)theexecution,deliveryandperformanceofthisAgreementbySellerhavebeendulyauthorizedandthisAgreementconstitutesthelegal,validandbindingobligationofSeller,enforceableagainstSellerinaccordancewithitsterms(exceptassuchenforceabilitymaybelimitedbyapplicablebankruptcy,insolvency,reorganization,moratoriumorothersimilarlawsaffectingtheenforcementofcreditors’rightsgenerally),(b)Sellerisnotadebtorinanybankruptcyproceedings,insolvent,undergoingcompositionoradjustmentofdebtsorunabletomakepaymentofitsobligationswhendueandnopetitioninbankruptcyhasbeenfiledbyoragainstSelleroranyAffiliate,norhasSelleroranyAffiliatefiledanypetitionseekinganadjustmentofitsdebtsorforanyotherreliefundertheBankruptcyCode,andnoapplicationforappointmentofareceiverortrusteeforallorasubstantialpartofthepropertyofSelleroranyAffiliateispending,norhasSelleroranyAffiliatemadeanyassignmentforthebenefitofcreditors,(c)SellerisnotindefaultofanydebtorobligationtoAAA,anyotherlenderorothercreditor,and(d)Seller’sprincipalplaceofbusiness,chiefexecutiveoflice,thelocationwhereallrecordsconcerningitsbooksofaccountandcontractrightsarekept,and(exceptanyadditionallocationslistedonScheduleAattachedhereto)thesolelocationofanypropertysubjecttothesecurityinterestgrantedhereinisitsAddressforNoticessetforthonthesignaturepagehereon.Selleragreesnottochangethelocationofitsprincipalplaceofbusinessorchiefexecutiveoflice,thelocationwhereitsrecordsconcerningitsbooksofaccountorcontractrightsarekept,orthelocationofanypropertysubjecttothesecurityinterestgrantedherein,withoutgivingatleast15daysadvancewrittennoticethereoftoAAApursuanttoSection19herein.SellerdoesbusinessundernotradeorassumednamesexceptasmaybelistedonScheduleAattachedhereto.EachrepresentationandwarrantyofSellercontainedinthisAgreementshallbedeemedtobemadeatandasofthedatehereofandatandasofthedateofeachsaleofaccountstoAAAhereunder.SelleragreestoindemnifyandholdallIndemnifiedPersons(ashereinafterdefined)harmlessagainstanybreachbySellerofanyrepresentation,warrantyoragreementofSellercontainedinthisAgreement,andagainstanyclaimsordamagesarisingoutofthemanufacture,sale,possessionoruseof,orotherwiserelatingto,goods,ortheperformanceofservices,associatedwithorrelatingtoaccountsorrelatedrightspurchased(orwithrespecttowhichasecurityinterestisgranted)hereunder.ThetermIndemnifiedPersonsshallmeanAAAanditsofficers,directors,shareholders,employees,attorneys,representatives,agents,Affiliates,successorsandassigns.SelleragreestonotifyAAAimmediatelyofanybreachbySellerofanyrepresentation,warrantyoragreementofSellercontainedhereinorshouldanyrepresentation,warrantyoragreementmadehereinbecomeuntrueorfalseatanytime.SellerfurtheragreestonotifyAAAimmediatelyoftheassertionbyanyaccountdebtorofanydisputeorotherclaim(includinganydefenseoroffsetassertedbyanyaccountdebtor)withrespecttoanyaccountsoldtoAAAhereunder,orwithrespecttoanyrelatedgoodsorservices(DisputedAccounts).UponAAA’srequest,Selleragreestosettle,atitsownexpenseandforthebenefitofAAA,allsuchDisputedAccounts;provided,thatanysuchsettlementshallbemadeonlywiththepriorwrittenconsentofAAA.UnlessAAAisadvisedinwritingbySellertothecontrary,anyaccountthathasnotbeenapprovedbytheaccountdebtorwithinsixty(60)daysfromthe
