odduringwhichtheServicewillbeprovidedifdifferentfromthetermofthisAgreementdeterminedpursuanttoSECTION4hereof,asummaryoftheServicetobeprovided;adescriptionoftheService;andtheestimatedcharge(s),ifapplicable,fortheServiceandanyothertermsapplicabletheretoontheTransitionServiceSchedule.ObligationsundereachTransitionServiceScheduleshallbeeffectiveuponthelateroftheexecutionofthisAgreementortheexecutionoftherespectiveTransitionServicesSchedule.ThisAgreementshallbedeemedtoincludealltheTransitionServiceScheduleswhereverreferencetoitismade.SECTION3SERVICES3.1ServicesGenerally.Exceptasotherwiseprovidedherein,forthetermdeterminedpursuanttoSECTION4hereof,AAAshallprovideorcausetobeprovidedtoBBBINC.theservice(s)describedintheTransitionServiceSchedule(s)attachedhereto,beginningontheSeparationDate(theEffectiveDate).Theservice(s)describedonasingleTransitionServiceScheduleshallbereferredtohereinasaService.Collectively,theservicesdescribedonalltheTransitionServiceSchedules(includingAdditionalServicesandEngineeringandTechnicalServices)shallbereferredtohereinasServices.3.2ServiceParameters.(i)AAAshallprovidetheServicesonlytotheextentandunderthepersonnelavailabilityconditionssuchServicesarebeingprovidedbyAAAforBBBINC.immediatelypriortotheEffectiveDate;and(ii)theServiceswillbeavailableonlyforpurposesofconductingthebusinessofBBBINC.substantiallyinthemanneritwasconductedpriortotheEffectiveDate.3.3Impracticability.AAAshallnotberequiredtoprovideanyServicetotheextenttheperformanceofsuchServicebecomesImpracticableasaresultofacauseorcausesoutsidethereasonablecontrolofAAA,ortotheextenttheperformanceofsuchServiceswouldrequireAAAtoviolateanyapplicablelaws,rulesorregulationsorwouldresultinthebreachofanyagreementorotherapplicablecontract.3.4AdditionalResources.InprovidingtheServices,AAAshallnotbeobligatedto:(i)hireanyadditionalemployees;(ii)maintaintheemploymentofanyspecificemployee;(iii)purchase,leaseorlicenseanyadditionalequipmentormaterials;or(iv)payanycostsrelatedtothetransferorconversionofBBBINC.‘sdatatoBBBINC.oranyalternatesupplierofServices.3.5AdditionalServices.FromtimetotimeaftertheEffectiveDate,thePartiesmayagreetoidentifyadditionalServicesthatAAAwillprovidetoBBBINC.inaccordancewiththetermsofthisAgreement(theAdditionalServices).Insuchevent,thePartiesshallexecuteadditionalTransitionServiceSchedulesforsuchAdditionalServicespursuanttoSECTION2.ExceptassetforthinSection3.6,thePartiesmayagreeinwritingonAdditionalServicesduringthetermofthisAgreement.3.6FurtherObligationsAsToServices.SubjecttotheprovisionsofSections3.2,3.3and3.4andotherwiseexceptassetforthinthenextsentence,AAAshallperform,atachargedeterminedusingtheprinciplesfordeterminingfeesunderSection5.1,anyServicethat:(a)wasprovidedbyAAAimmediatelypriortotheSeparationDateandwhichwasinadvertentlyorunintentionallyomittedfromthelistofServicesincludedinTransitionServiceSchedulesexecutedatthetimeofexecutionofthisAgreement,or(b)isessentialtoeffectuateanorderlytransitionundertheMasterSeparationandDistributionAgreementunlesssuchperformancewouldsignificantlydisruptAAA’soperationsormateriallyincreasethescopeofitsresponsibilityunderthisAgreement.IfAAAreasonablybelievestheperformanceofServicesrequestedundersubparagraphs(a)or(b)wouldsignificantlydisruptitsoperationsormateriallyincreasethescopeofitsresponsibilityunderthisAgreement,AAAandBBBINC.shallnegotiateingoodfaithtoestablishtermsunderwhichAAAcanprovidesuchServices,butAAAshallnotbeobligatedtoprovidesuchServicesif,followinggoodfaithnegotiation,itisunabletoreachagreementonsuchterms.3.7ServiceRepresentatives.ThePartiesshalleachappointarepresentativewithrespecttoeachService(eachaServiceRepresentative),whichServiceRepresentativeshallcoordinatetherequesting,coordination,schedulinganddeliveryofsuchService.UnlessotherwiseindicatedontheTransitionServiceScheduleforaService,theParty’srespectiveServiceRepresentativesforsuchServiceshallbethepersonssetforthonSchedule3.7asbeingresponsibleforsuchServiceandcertainotherrelatedServices(eachsuchpersonbeingaSeniorRepresentative).EachSeniorRepresentativeshalladditionallyberesponsibleforthereplacementorsubstitution,asnecessary,ofanyServiceRepresentativesforsuchSeniorRepresentative’sassignedServices,andshallcoordinateanyrequestsforchangesinthescopeofsuchServices,orfortheprovisionofanyadditionalrelatedServices,withsuchSeniorRepresentative’scounterpartwiththeotherParty.EitherPartymaynominateasubstituteServiceRepresentativeforitselfwithrespecttoaServiceatanytimeuponreasonablenoticetotheotherParty.AnyrequestforaServicemadebyBBBINC.throughanypersonotherthanBBBINC.‘sSeniorRepresentativeorServiceRepresentativewithrespecttosuchServiceshallnotbebindinguponAAA.SECTION4TERMThetermofthisAgreementshallcommenceontheEffectiveDateandshallremainineffectuntil_________yearsaftertheEffectiveDate(theExpirationDate),unlessearlierterminatedunderSECTION7.ThisAgreementmaybeextendedbythePartiesinwriting,eitherinwholeorwithrespecttooneormoreoftheServices;provided,however,thatsuchextensionshallonlyapplytotheServicesforwhichtheAgreementwasextended.Atleast_________monthspriortotheExpirationDate,BBBINC.shallgiveAAAwrittennotice,inaccordancewiththeprovisionsofSection16.4,ofBBBINC.‘srequesttoextendthetermoftheAgreementinrespectofanyServices.Inaddition,thePartiesshallbedeemedtohaveextendedthisAgreementwithrespecttoaspecificServiceiftheTransitionServiceScheduleforsuchServicespecifiesacompletionorterminationdatebeyondtheaforementionedExpirationDate.ThePartiesmayagreeonanearlierexpirationdaterespectingaspecificServicebyspecifyingsuchdateontheTransitionServiceScheduleforthatService.ServicesshallbeprovideduptoandincludingthedatesetforthintheapplicableTransitionServiceSchedule,subjecttoearlierterminationasprovidedherein.SECTION5COMPENSATION5.1ChargesForServices.ChargesforServicesshallbebaseduponthegreaterof(a)thefullcostofprovidingtheServices,includingdirectcostsandindirectcosts,or(b)themarketvalueofsuchServices.BBBINC.shallpayAAAthecharges,ifany,setforthontheTransitionServiceSchedulesforeachoftheServiceslistedthereinasadjusted,fromtimetotime,inaccordancewiththeprocessesandproceduresestablishedunderSection5.4andSection5.5hereof.ThePartiesshallusegoodfaitheffortstodiscussanysituationinwhichtheactualchargeforaServiceisreasonablyexpectedtoexceedtheestimatedcharge,ifany,setforthonaTransitionServiceScheduleforaparticularService;provided,however,thattheincurrenceofchargesinexcessofanysuchestimateonsuchTransitionServiceScheduleshallnotjustifystoppingtheprovisionof,orpaymentfor,ServicesunderthisAgreement.5.2PaymentTerms.AAAshallbillBBBINC.monthlyforallchargespursuanttothisAgreement.Suchbillsshallbeaccompaniedbyreasonabledocumentationorotherreasonableexplanationsupportingsuchcharges.BBBINC.shallpayAAAforallServicesprovidedhereunderwithin_________daysafterreceiptofaninvoicetherefor.Latepaymentsshallbearinterestatthelesserof18%perannumorthemaximumrateallowedbylaw.5.3PerformanceUnderAncillaryAgreements.Notwithstandinganythingtothecontrarycontainedherein,BBBINC.shallnotbechargedunderthisAgreementforanyobligationsthatarespecificallyrequiredtobeperformedundertheMasterSeparationandDistributionAgreementoranyotherAncillaryAgreementandanysuchotherobligationsshallbeperformedandchargedfor(ifapplicable)inaccordancewiththetermsoftheMasterSeparationandDistributionAgreementorsuchotherAncillaryAgreement.5.4ErrorCorrection;True-Ups;Accounting.ThePartiesshallreasonablyagreeonaprocessandprocedureforconductinginternalauditsandmakingadjustmentstochargesasaresultofthemovementofemployeesandfunctionsbetweenParties,thediscoveryoferrorsoromissionsincharges,aswellasatrue-upofamountsowed.Innoeventshallsuchprocessesandproceduresextendbeyond_________yearsaftercompletionofaService.5.5PricingAdjustments.IntheeventofataxorregulatoryauditadjustmentrelatingtothepricingofanyorallServicesprovidedpursuanttothisAgreementinwhichitisdeterminedbyataxingorregulatoryauthoritythatanyofthecharges,individuallyorincombination,didnotresultinanarm’s-lengthpayment,asdeterminedunderinternationallyacceptedarm’s-lengthstandards,thentheParties,includinganyAAAsubcontractorprovidingServiceshereunder,mayagreetomakecorrespondingadjustmentstothechargesinquestionforsuchperiodtotheextentnecessarytoachievearm’s-lengthpricing.AnyadjustmentmadepursuanttothisSection5.5atanytimeduringthetermofthisAgreementorafterterminationofthisAgreementshallbereflectedintheParties’legalbooksandrecords,andtheresultingunderpaymentoroverpaymentshallcreate,respectively,anobligationtobepaidinthemannerspecifiedinSection5.2,orshallcreateacreditagainstamountsowedunderthisAgreement.SECTION6GENERALOBLIGATIONS;STANDARDOFCARE6.1PerformanceMetrics:AAA.SubjecttoSections3.2,3.3,3.4andanyothertermsandconditionsofthisAgreement,AAAshallperformitsobligationshereunderinacommerciallyreasonablemanner.SpecificperformancemetricsforAAAforaspecificServicemaybesetforthinthecorrespondingTransitionServiceSchedule.Wherenoneissetforth,AAAshallusereasonableeffortstoprovideServicesinaccordancewithitspolicies,proceduresandpracticesineffectbeforetheEffectiveDateandshallexercisethesamecareandskillasitexercisesinperformingsimilarservicesforitself.6.2DISCLAIMEROFWARRANTIES.EXCEPTASOTHERWISESETFORTHHEREINAAAMAKESNOWARRANTIES,EXPRESS,IMPLIEDORSTATUTORY,INCLUDINGBUTNOTLIMITEDTOTHEIMPLIEDWARRANTIESOFMERCHANTABILITYORFITNESSFORAPARTICULARPURPOSE,WITHRESPECTTOTHESERVICESOROTHERDELIVERABLESPROVIDEDBYITHEREUNDER.6.3PerformanceMetrics:BBBINC.SpecificperformancemetricsforBBBINC.foraspecificServicemaybesetforthinthecorrespondingTransitionServiceSchedule.Wherenoneissetforth,BBBINC.shallusereasonableefforts,inconnectionwithreceivingServices,tofollowthepolicies,proceduresandpracticesineffectbeforetheEffectiveDateincludingprovidinginformationanddocumentationsufficientforAAAtoperformtheServicesastheywereperformedbeforetheEffectiveDateandmakingavailable,asreasonablyrequestedbyAAA,sufficientresourcesandtimelydecisions,approvalsandacceptancesinorderthatAAAmayaccomplishitsobligationshereunderinatimelymanner.6.4TransitionalNatureOfServices;Changes.ThePartiesacknowledgethetransitionalnatureoftheServicesandagreethatAAAmaymakechangesfromtimetotimeinthemannerofperformingtheServicesifAAAismakingsimilarchangesinperformingsimilarservicesforitselfanditssubsidiariesandifAAAfurnishestoBBBINC._________dayswrittennoticeregardingsuchchanges.6.5ResponsibilityForErrors;Delays.AAA’ssoleresponsibilitytoBBBINC.:(a)forerrorsoromissionsinServices(exceptforEngineeringandTechnicalServicesprovidedforinSECTION11),shallbetofurnishcorrectinformation,paymentand/oradjustmentintheServices,atnoadditionalcostorexpensetoBBBINC.;provided,BBBINC.mustpromptlyadviseAAAofanysucherrororomissionofwhichitbecomesawareafterhavingusedreasonableeffortstodetectanysucherrorsoromissionsinaccordancewiththestandardofcaresetforthinSection6.3;and(b)forfailuretodeliveranyServicebecauseofImpracticability,shallbetousereasonableefforts,subjecttoSections3.2,3.3and3.4,tomaketheServicesavailableand/ortoresumeperformingtheServicesaspromptlyasreasonablypracticable.6.6GoodFaithCooperation;Consents.ThePartieswillusegoodfaitheffortstocooperatewitheachotherinallmattersrelatingtotheprovisionandreceiptofServices.Suchcooperationshallincludeexchanginginformation,performingtrue-upsandadjustments,andobtainingallthirdpartyconsents,licenses,sublicensesorapprovalsnecessarytopermiteachPartytoperformitsobligationshereunder(includingbywayofexample,notbywayoflimitation,rightstousethirdpartysoftwareneededfortheperformanceofServices).Thecostsofobtainingsuchthirdpartyconsents,licenses,sublicensesorapprovalsshallbebornebyBBBINC.EachPartywillmaintain,inaccordancewithitsstandarddocumentretentionprocedures,documentationsupportingtheinformationrelevanttocostcalculationsandcooperatewitheachotherinmakingsuchinformationavailableasneededintheeventofataxaudit,whetherintheUnitedStatesoranyothercountry.SECTION7EARLYTERMINATION7.1EarlyTermination.BBBINC.mayterminatethisAgreement,eitherwithrespecttoallorwithrespecttoanyoneormoreoftheServicesprovidedtoBBBINC.hereunder,foranyreasonorfornoreason,atanytimeupononehundred_________dayspriorwrittennoticetoAAA.AAAmayterminatethisAgreementifBBBINC.failstopayanyamountwhichisdueandpayableinrespectofanyServiceinaccordancewiththeprovisionsofSection5.2hereof,andBBBINC.doesnotcuresuchbreachwithin_________daysafterbeinggivennoticeofsuchbreach.Inaddition,subjecttotheprovisionsofSECTION15below,eitherPartymayterminatethisAgreementwithrespecttoaspecificServiceiftheotherPartymateriallybreachesamaterialprovisionwithregardtothatparticularService(otherthanfornonpayment)anddoesnotcuresuchbreach(ordoesnottakereasonablestepsrequiredunderthecircumstancestocuresuchbreachgoingforward)within_________daysafterbeinggivennoticeofthebreach;provided,however,thatthenon-terminatingPartymayrequestthatthePartiesengageinadisputeresolutionnegotiationasspecifiedinSECTION15belowpriortoterminationforbreach.7.2Survival.ThoseSectionsofthisAgreementthat,bytheirnature,areintendedtosurviveterminationwillsurviveinaccordancewiththeirterms.Notwithstandingtheforegoing,intheeventofanyterminationwithrespecttooneormore,butlessthanallServices,thisAgreementshallcontinueinfullforceandeffectwithrespecttoanyServicesnotterminatedhereby.SECTION8RELATIONSHIPBETWEENTHEPARTIESTherelationshipbetweenthePartiesestablishedunderthisAgreementisthatofindependentcontractorsandneitherPartyisanemployee,agent,partner,orjointventureroforwiththeother.AAAwillbesolelyresponsibleforthepaymentofanyemployment-relatedtaxes,insurancepremiumsorotheremploymentbenefitsinrespectoftheperformanceofServicesbyAAApersonnelunderthisAgreement.BBBINC.agreestograntAAApersonnelaccesstosites,systemsandinformation(subjecttotheprovisionsofconfidentialityinSECTION12below)asnecessaryforAAAtoperformitsobligationshereunder.BBBINC.shallinformAAApersonnelof,andAAApersonnelagreetoobey,anyandallsecurityregulationsandotherpublishedpoliciesofBBBINC.SECTION9SUBCONTRACTORSAAAmayengageaSubcontractortoperformalloranyportionofAAA’sdutiesunderthisAgreement,providedthatanysuchSubcontractoragreesinwritingtobeboundbyconfidentialityobligationsatleastasprotectiveasthetermsofSECTION13regardingconfidentialitybelow,andprovidedfurtherthatAAAremainsresponsiblefortheperformanceofsuchSubcontractor.AsusedinthisAgreement,Subcontractorwillmeananyindividual,partnership,corporation,firm,association,unincorporatedorganization,jointventure,trustorotherentityengagedtoperformhereunder,otherthanAAAanditsSubsidiaries.SECTION10INTELLECTUALPROPERTYExceptasotherwisesetforthherein,thetermsoftheTechnologyandIntellectualPropertyOwnershipandLicenseAgreementbetweentheParties,acopyofwhichisattachedasanexhibittotheMasterSeparationandDistributionAgreement,shallgoverntheuseandownershipofanyTechnology(asdefinedtherein)andanypatents,trademarks,orotherintellectualpropertytransferred,licensedusedorcreatedinconnectionwiththeServicesorotherwiseunderthisAgreement.SECTION11ENGINEERINGANDTECHNICALSERVICES11.1EngineeringandTechnicalServices.PursuanttothetermsofthisAgreement,AAAshallprovidecertainengineering,technicalandconsultingServicestoBBBINC.fromtimetotimeinconnectionwiththedevelopment,construction,ownership,maintenanceandoperationofelectricgenerating,transmissionanddistributionfacilities,including,butnotlimitedto,technicalandfieldservices,engineeringandgenerationtechnicalservices,fuelprocurementandrelatedservicesandenvironmentalservices(theEngineeringandTechnicalServices);provided,however,thatAAAshallnotberequiredtoprovideanyEngineeringandTechnicalServiceiftheprovisionofsuchEngineeringandTechnicalService,inAAA’sreasonablediscretion,wouldbeinviolationofAAA’sfiduciarydutiestoitsshareholdersorcustomers.11.2ProfessionalResponsibilityRegardingEngineeringandTechnicalServices.(a)StandardofCare/Warranty.IntheperformanceofEngineeringandTechnicalServicesunderthisAgreement,AAAshallexerciseduecaretoassurethattheServicesareprovidedinaworkmanlikemanner,andthatsuchServicesmeetthestandardsandspecificationssetforthintheapplicableTransitionalServiceSchedule.AAAherebywarrantsthatallEngineeringandTechnicalServicesprovidedhereunderwillcomplywiththeforegoingstandardofcare(theWarranty).(b)WarrantyCure.IfBBBINC.discoversthatanypartoftheEngineeringandTechnicalServicesfailtomeettheWarranty,BBBINC.willnotifyAAAofsuchfailure.AAA’ssoleobligationforfailingtomeettheWarrantyshallbetoreperformtheEngineeringandTechnicalServicesthereunderatcost(directcostplusindirectcosts)suchthatitfullycomplieswiththeTransitionalServiceScheduleandapplicablelawsandregulations.BBBINC.willbearallcostsandexpensesincurredbyAAAinassociationwithcuringanyWarrantedEngineeringandTechnicalServices,exceptwherethefailuretomeettheWarrantywithrespecttoanyEngineeringandTechnicalServicesisduetoanywillfulmisconductonthepartofAAAoritsemployees,agents,contractorsorsubcontractors,inwhichcasesuchcostsandexpensesshallbebornebyAAA.AAAmakesnootherwarrantieswithrespecttoitsperformanceoftheServices,andBBBINC.agreestoacceptsuchserviceswithoutfurtherwarrantiesofanynature.11.3ApplicableLawsandRegulations.AAAshallcomplywithallnational,federal,provincial,stateandlocallaws,decrees,regulationsandordinances(includingwithoutlimitationthoseofanylocaljurisdictioninwhichEngineeringandTechnicalServicesareperformed)including,withoutlimitation,thosepertainingtotheenvironment,health,safety,sanitaryfacilities,wastedisposalandothermattersapplicabletooraffectingtheperformanceofEngineeringandTechnicalServicesthatarepublishedandineffectatthetimeparticularEngineeringandTechnicalServicesarerendered.BBBINC.shallinformAAAof,andAAAshallensurethatitsemployees,agentsandsubcontractorscomplywith,siterulesandregulationswhileonthepremisesofanyBBBINC.propertyorproject.11.4Insurance.DuringthecourseofperformanceofanyEngineeringandTechnicalServicesfollowingtheSeparationDate,AAAwillobtainandmaintaininfullforceandeffectinsurancesubstantiallyinaccordancewith,andmeetingtherequirementssetforthin,Schedule11.4attachedhereto.PromptlyaftertheexecutionhereofAAAshallfurnishBBBINC.withawrittencertificatefromitsinsurers,addressedtoBBBI
