合同編號(hào)：采購(gòu)框架合同PurchaseFrameContract需方：地址：供方：地址：開(kāi)戶行：賬戶：1采購(gòu)框架合同經(jīng)協(xié)商一致，特對(duì)本《采購(gòu)框架合同》（以下稱如下約定：ThisFrameContractContract)ofthefollowingitemswasmade,ontheprincipleofmutualbenefit,afterfriendlyconsultation,byandbetweenPurchaserandSupplierhereof:1．標(biāo)的Object本合同的標(biāo)的為供方依據(jù)相應(yīng)規(guī)定提供給需方的產(chǎn)品和/或服務(wù)。在本合同期內(nèi)供方應(yīng)按本合同的要求提供訂單中的產(chǎn)品和/或服務(wù)。TheObjectinthiscontractmeansSupplierdeliversproductsand/orservicestoPurchaserpursuanttothetermsandconditionsherein.Duringtheperiodofthiscontract,Purchasershall,onthebasisofthiscontract,deliverorderedproductsand/orservices.2．價(jià)格條款Price2.1供、需雙方書(shū)面約定的產(chǎn)品和服務(wù)的價(jià)格條款，以本合同附件采購(gòu)訂單為準(zhǔn)。BothPurchaserandSupplierherebyagreetothepricetermsoftheproductsandservicesthroughwrittenagreement;nevertheless,theaforementionedshallbefinalconfirmedbyPurchaseOrderannexedhereof.2.2合同或訂單中的總價(jià)應(yīng)包含所訂購(gòu)產(chǎn)品的運(yùn)費(fèi)、包裝費(fèi)、裝卸費(fèi)等費(fèi)用，以及所有與產(chǎn)品/服務(wù)相關(guān)的稅，包括關(guān)稅、增值稅、消費(fèi)稅等。同時(shí)相關(guān)稅種、稅率和稅金應(yīng)在總價(jià)中單獨(dú)列出。Totalpriceofthiscontractorpurchaseordershallcontainallreferencefeeswithrespecttoproducts/services,includingtransportationfees,packagefees,uploadanddownloadfees,etc.andallreferencetax,includingtariff,valueaddedtax,consumptiontaxandetc.Meanwhile,thereferencetaxtype,rateandamountshallbeshownseparatelyintotalpayment.3．訂單PurchaseOrder3.1訂單：本合同的訂單是指，需方根據(jù)本合同約定向供方發(fā)出的供貨憑證。訂單應(yīng)包含如下信息：標(biāo)的物、單價(jià)、總價(jià)、交貨時(shí)間、數(shù)量等。Order:OrderinthiscontractshallbethedeliverycertificationthatPurchasersendstoSupplierpursuanttothiscontract.EachPurchaseOrdershallcontainthefollowinginformation:SubjectMatter,UnitPrice,TotalPrice,DeliveryTime,andQuantity.3.2訂單為本合同不可分割的一部分與本合同享有同等效力。本合同與訂單約定不1一致的,以訂單為準(zhǔn)。PurchaseOrdershallbeanintegralpartofthiscontract,andenjoysamelegaleffectofthiscontract.Incaseofanydiscrepancybetweenthiscontractandpurchaserorder,purchaserordershallbeprevail.3.3訂單確認(rèn)：供方應(yīng)按照需方要求對(duì)需方訂單書(shū)面確認(rèn)（件有效，且應(yīng)由供方授權(quán)代表簽字并加蓋與協(xié)議主體一致的公章或合同專用章）。經(jīng)正式確認(rèn)的訂單的，對(duì)雙方有約束力。OrderConfirmation:Suppliershall,onthebasisofPurchaserrequirement,sendwrittenconfirmationtoPurchaser(Facsimileshallbevalid,andshallbesignedandchopped,withthesamecompanychopofthiscontract,bytheauthorizedrepresentativesoftheSupplier).ThefinalwrittenconfirmedOrdershallbebindbytheparties.3.4如供方未在需方所要求的時(shí)間內(nèi)對(duì)訂單進(jìn)行書(shū)面確認(rèn)，視為供方拒絕本合同及其訂單，需方有權(quán)另行安排采購(gòu)。Ifwithintherequiredtime,SupplierdoesnsendwrittenconfirmationtotheOrder,suchOrdershallberegardasrejectedbySupplierandPurchaseisentitledtomakeanyarrangementofpurchasing.3.5訂單交貨期：訂單交貨期以訂單約定為準(zhǔn)；除非需方書(shū)面要求或同意，供方的交貨時(shí)間不得推遲。供方遲延交貨，需方有權(quán)向供方索賠：（1）每延遲交付1日向供方索賠全部?jī)r(jià)款的1%作為違約金，但是最高不得超過(guò)全部?jī)r(jià)款的30%，否則需方有權(quán)解除2）索賠包括但不限于律師費(fèi)用、調(diào)查費(fèi)、專業(yè)鑒定費(fèi)、差旅費(fèi)、食宿費(fèi)等追索3如有其他損失的，需方有權(quán)繼續(xù)索賠。OrderedDeliveryPeriodshallbesubjecttotheOrder;exceptasotherwiserequiredoragreedbyPurchaser,deliverytimeshallneverbepostponed.Intheeventoflatedelivery,PurchasershallbeentitledtoclaimagainstSupplier:(1)1%oftotalpaymentforeach1deliverydayasliquidatedamages,however,themaximumpenaltyshallnotexceed30%oftotalpayment,otherwise,Purchaserwillreservetherightoftermination;(2)ClimeagainstSuppliertheattorney?sfees,investigationfees,professionalfees,tripexpensesandfoodandaccommodationfees;(3)excepttheaforementionedloss,ifanyotherlosses,Purchasermayhasrighttofurtherclaim.3.6訂單終止：由于市場(chǎng)變化或其他不可預(yù)測(cè)因素導(dǎo)致需方對(duì)產(chǎn)品需求發(fā)生變化，需方有權(quán)根據(jù)實(shí)際情況減少訂量或要求推遲發(fā)貨；但是供方如隨意終止訂單，必須征得需方的書(shū)面同意并賠償因此給需方造成的損失，具體相關(guān)事宜由雙方協(xié)商確定。OrderTermination,duetothemarketfloatingoranyotherunforecastablematter,Purchasermayvaryitsrequirementfromtimetotime,reducetheorderedquantityordelaythedelivery;however,exceptasotherwisewrittenconsentbyPurchaser,Suppliershallnotrandomlyterminateanyorder;oranylossduetotheterminationshallbe2compensatedbySupplier.4.交貨Delivery4.1交貨：本合同的交貨是指將產(chǎn)品交到生效訂單中規(guī)定的交貨地點(diǎn)，與需方或需方書(shū)面指定的收貨人辦理交貨手續(xù)。除非訂單另有約定，本合同默認(rèn)交貨地為本合同需Delivery:DeliveryinthiscontractmeansdeliverProductstotheplaceofdeliverydesignatedbytheeffectiveOrder,andtransitsuchProducttoPurchaserortheConsigneedesignatedbyPurchaser.ExceptasotherwiseagreedinPurchaseOrder,thedefaultdeliveryplacehereinisPurchasercontractaddress;Purchaserwillrejectanytypeoftitleretention.4.2供方應(yīng)按照需方要求于交貨前48小時(shí)通知需方有關(guān)交貨的詳細(xì)信息。供方應(yīng)制作送貨單，送貨單應(yīng)注明貨物名稱、規(guī)格、單價(jià)、數(shù)量、和總價(jià)；同時(shí)供方還應(yīng)提供一切與產(chǎn)品或服務(wù)相關(guān)的技術(shù)資料、圖紙及其他相關(guān)信息。Suppliershall,within48hoursinadvance,informPurchaserofspecificdeliveryinformation.SuppliershallmakeDeliverySlip,whichshallcontainProductName,Specification,UnitPrice,QuantityandTotalPrice;excepttheaforementioned,Suppliershallalsoprovidealltechnicaldocumentation,diagram,drawingandanotherinformationreferredtotheproductsorservices.4.3供方必須滿足生效訂單中交貨的要求，按時(shí)交貨。當(dāng)需方要求提前交貨時(shí)，供方應(yīng)采取適當(dāng)?shù)拇胧诓辉黾有璺劫M(fèi)用的前提下，努力滿足交貨要求。SuppliershallfullymeettherequirementofthevalidOrder,deliverontime.Undertherequirementofearlydelivery,Suppliershall,totheextentofwithoutincreasingPurchasercostsorexpenses,adoptproperlymeasurestosatisfythedeliveryrequirement.5.收貨及檢驗(yàn)ReceiveandInspection5.1需方收到供方提供的產(chǎn)品后應(yīng)當(dāng)核對(duì)產(chǎn)品名稱、數(shù)量、包裝等并由需方在送貨單上簽字；需方在送貨單上的簽字，不視為對(duì)產(chǎn)品的最終驗(yàn)收。收貨確認(rèn)后發(fā)生的合同產(chǎn)品的損毀、滅失由需方負(fù)責(zé)；但供方應(yīng)對(duì)由于其自身或產(chǎn)品固有的原因造成的損壞或滅失承擔(dān)全過(guò)程的責(zé)任。PurchasershouldcheckouttheProducts,QuantityandPackageatthetimeofreceivingandsignonthedeliverynote;however,anysignatureondeliverynoteshallnotregardasfinalacceptanceofProducts.PurchasershallberesponsibleforanydamagesorlossesoftheProductsafterreceivesignature;nevertheless,PurchasershallnotberesponsibleforanydamagesorlossesbythereasonofProductsnatureorruinedbyinsightdefective.35.2最終驗(yàn)收：除非訂單另有約定，最終驗(yàn)收應(yīng)在供方將合同產(chǎn)品送至需方或需方指定的收貨人后10個(gè)工作日內(nèi)辦理完畢，無(wú)正當(dāng)理由逾期視為需方已對(duì)產(chǎn)品檢驗(yàn)確認(rèn)；需方的最終驗(yàn)收并不免除供方對(duì)所供貨物應(yīng)承擔(dān)的瑕疵擔(dān)保責(zé)任。FinalAcceptance:exceptasotherwiseagreedinPurchaseOrder,finalacceptanceprocessshallbemadewithin10workingdaysaftertheProductsdeliveredtoPurchaserordesignatedbyPurchasers,overduewithoutanyreasonshallbedeemedasfinalacceptance.PurchaserfinalacceptanceshallnotdeemasSupplierfreefromliabilityforwarrantyofdefects.5.3供方在產(chǎn)品最終驗(yàn)收合格后應(yīng)立即開(kāi)具真實(shí)有效合法的發(fā)票，并送至需方或需方指定收票人。Suppliershall,afterfinalacceptance,issueauthentic,effectiveandlegalinvoice,anddeliverittoPurchaserordesignatedbyPurchaser.6.付款Payment6.1合同產(chǎn)品到達(dá)需方并經(jīng)需方最終驗(yàn)收合格（以需方書(shū)面確認(rèn)為準(zhǔn)）后，雙方根據(jù)本合同及訂單辦理付款手續(xù)。Paymentshallbemadeonthebasisofthiscontractandpurchaseorder,afterthefinalacceptanceoftheProducts(subjecttoPurchaserwrittenconfirm).6.2_____的方式付款PaymentTerms,thepartiesagreetoadoptthefollowing____aspaymentterms:（）除非訂單另有不同付款條款規(guī)定，需方在收到符合要求的供方發(fā)票并已經(jīng)入賬后的次月一日起30日內(nèi)，且產(chǎn)品以及所有發(fā)貨單據(jù)已經(jīng)發(fā)出，并且不存在任何質(zhì)量和數(shù)量問(wèn)題的情況下，一次性全額支付貨款；ExceptasotherwiseagreedinPurchaseOrder,lump-sumpaymentshallbemadewithin30daysafterinvoicereceivedbyPurchaser,andproductstogetherwithalldeliverybillshasbeendeliveredandwithoutanyqualityorquantityproblem.（）本合同簽訂之日起10個(gè)工作日內(nèi)，需方支付全部?jī)r(jià)款30%作為預(yù)付款；到貨并最終驗(yàn)收合格，需方收到符合要求的供方發(fā)票并已經(jīng)入賬后的次月一日起30日內(nèi)支付全部?jī)r(jià)款的60%；本合同7.2約定的質(zhì)保期滿后，需方收到符合要求的供方發(fā)票并已經(jīng)入賬后10個(gè)工作日內(nèi)支付剩余全部?jī)r(jià)款的10%。30%oftotalamountasdownpaymentwithin10workingdaysfromthedateofcontractsignature;afterthefinalacceptance,60%oftotalamountwithin30daysfromthefirstdayofnextmonthaftertheinvoicebooked;afterthewarrantyperiodsubjecttosection7.2,last10%oftotalamountwithin10daysafterthebookeddateofinvoicereceivedfromSupplier.（310日內(nèi)預(yù)付100%100%lump-sumpayment4within10daysfromthedateofthiscontractsigned;Suppliermakedeliveryafterpaymentreceived.6.3需方無(wú)正當(dāng)理由延遲付款的，供方有權(quán)向需方索賠（1）每延遲一日向需方索賠未付款部分的1%作為違約金，但是違約金最高不得超過(guò)全部?jī)r(jià)款的30%，否則供方有權(quán)解除合同；（2）除上述損失外，如有其他損失的，供方有權(quán)繼續(xù)索賠。IncaseanyunreasonableoverduepaymentmadebyPurchaser,SuppliershallbeentitledtoclaimagainstPurchaser:(1)1%ofremainingpaymentforeach1dayasliquidatedamages,however,themaximumpenaltyshallnotexceed30%oftotalpayment,orotherwise,Supplierwillreservetherightoftermination;(2)excepttheaforementionedloss,ifanyotherlosses,Suppliermayhasrighttofurtherclaim.7.培訓(xùn)和服務(wù)TrainingandService7.1培訓(xùn)：供方承諾對(duì)需方的相關(guān)人員免費(fèi)給予必要的技術(shù)培訓(xùn)，為需方合同產(chǎn)品的售前/售中/售后服務(wù)提供技術(shù)支持，直至需方人員掌握相應(yīng)技術(shù)為止并協(xié)助需方為客戶提供滿意的服務(wù)。Training:Supplierundertakesthenecessaryfreetechnicaltrainingortechnicalsupportforthepre-sale,on-saleandafter-saleofthecontractproductsforreferenceemployeesofPurchaseruntilsuchemployeescatchtheabilityandthepartieshereoftogethertoprovidethesatisfactoryservicestothePurchasercustomer.7.2保修期：供方承諾對(duì)其提供的產(chǎn)品，自最終驗(yàn)收之日起提供2年的質(zhì)保服務(wù)，在此期間內(nèi)由供方免費(fèi)對(duì)產(chǎn)品提供維修、更換、維護(hù)、軟件升級(jí)等服務(wù)；如因需方人為原因造成的故障，仍由供方提供維修服務(wù)，并以成本價(jià)向需方索要維修費(fèi)。WarrantyPeriod:Supplierundertakestoprovidefreemaintenance,repair,replaceandsoftwareupgradeservicesduringthetwoyears?warrantyperiodfromthedateoffinalacceptanceforitsproductsprovided;ifsuchfailureoftheproductscausedbyPurchaseritself,Suppliershallalsoproviderepairserviceandbeentitledtorequestservicefeesonthebasisthecostprice.7.3保修期后的服務(wù)：保修期滿后，供應(yīng)商應(yīng)按照商務(wù)協(xié)議/訂單的要求繼續(xù)提供保修期后的服務(wù)，供應(yīng)商只收取合理的材料費(fèi)及人工費(fèi)；如供應(yīng)商怠于履行上述服務(wù)，需方有權(quán)向供應(yīng)商索賠由此給需方造成的損失，索賠X圍以本合同9.3內(nèi)容為準(zhǔn)。ServiceafterWarrantyPeriod:Afterwarrantyperiod,Suppliershall,inaccordancewiththeagreement/order,continuetotheafterservice;anyfailurefortheperformanceofsuchservicesofSupplier,PurchasershallbeentitledtoclaimagainstanylossescausedbySupplier,suchclaimissubjecttothescopeofSection9.3.58.包裝Package8.1除非需方指定特殊的包裝方式，包裝物應(yīng)由供方提供并自負(fù)費(fèi)用，包裝物必須滿足需方要求，供方應(yīng)保證所提供的包裝物符合運(yùn)輸、產(chǎn)品安全的要求。ExceptasotherwisespeciallyrequiredbyPurchaser,packageshallbeatSupplierexpenses;however,thepackageshallbemeetthePurchaserrequirement,especiallytherequirementoftransportationandproductsafety.8.2供方應(yīng)采用合理的安全措施，妥善包裝貨物，達(dá)到防潮、防濕、防震、防塵等要求，供方應(yīng)對(duì)未采取適當(dāng)充分的包裝保護(hù)措施而造成的任何損失負(fù)責(zé)。Suppliershalladoptproperlysafetymeasurepackagetheproductstoavoidhumidity,moisture,quakeanddust;Suppliershallberesponsibleforanyfailureduetotheimproperpackage.9．品質(zhì)條款Quality9.1技術(shù)規(guī)X：供方保證按照本合同和/或訂單中的相應(yīng)要求，包括技術(shù)規(guī)X、質(zhì)量保證協(xié)議、相關(guān)標(biāo)準(zhǔn)等向需方提供產(chǎn)品和服務(wù)；供方提供的所有產(chǎn)品均必須通過(guò)需方的檢驗(yàn)，方為需方所接受，否則，需方有權(quán)予以拒收；TechnicalSpecification:Supplierwarrantsthatallitsproductsandservicesshallmeettherequirementofthiscontractand/orpurchaserorder,includingtechnicalspecification,qualityagreementandreferencestandard.AlldeliveredproductswithoutpriorexaminationshallnotbeacceptedbyPurchaser.9.2缺陷產(chǎn)品的處理：供方應(yīng)對(duì)有缺陷的產(chǎn)品承擔(dān)責(zé)任，供方應(yīng)根據(jù)需方的要求進(jìn)行修理、返工、更換、直至退貨，退貨的同時(shí)退回貨款或在需方向供方付款時(shí)進(jìn)行相應(yīng)抵扣；如需方出現(xiàn)其他損失的，供方應(yīng)予以補(bǔ)償。DefectiveProducts:Suppliershallberesponsibleforthedefectiveproducts;undertheinstructionofPurchaser,Suppliershallrepair,rework,replace,orevenwithdraw；simultaneously,suchcostsorlossesshallberefundedfromthepaymentthatwasalreadypaidoroffsetfromtheduepaymentwhenreferencepaymentwillbemade;despiteoftheaforementioned,ifanyotherlossesoccurstoPurchaser,Suppliershallalsocompensate.9.3費(fèi)用：由上述9.2的缺陷產(chǎn)品/服務(wù)而導(dǎo)致的索賠費(fèi)用，包括但不限于與此相關(guān)的故障診斷、產(chǎn)品的修理、摘要、替換、人員管理費(fèi)、差旅費(fèi)、食宿費(fèi)直至律師費(fèi)、調(diào)查費(fèi)、鑒定費(fèi)及法庭裁判費(fèi)等費(fèi)用由供方承擔(dān)。CostsandExpenses:costsandexpensesduetothedefectiveproducts/servicessubjecttoSection9.2,includewithoutlimitationtothereferencefaultdiagnosis,productsrepair,sort,replace,6managementfee,tripfees,foodandaccommodationfeesorevenattorneyfees,investigations,professionalfeesandjudgementfees,shallbebornebySupplier.9.4供方提供的產(chǎn)品應(yīng)通過(guò)出廠測(cè)試和檢驗(yàn)，并向需方提供質(zhì)量合格證書(shū)。AllproductssuppliedbySuppliershallexercisefactoryexaminationandprovidetoPurchaserthequalitycertification.10.知識(shí)產(chǎn)權(quán)及XX條款I(lǐng)ntellectualProperty&Confidentiality10.1本合同所指的知識(shí)產(chǎn)權(quán)，權(quán)利人對(duì)其所創(chuàng)作的智力勞動(dòng)成果所享有的財(cái)產(chǎn)權(quán)利，知識(shí)產(chǎn)權(quán)包括但不限于專利權(quán)、商標(biāo)權(quán)、著作權(quán)、集成電路布圖設(shè)計(jì)權(quán)等。供方承諾其所提供的產(chǎn)品/服務(wù)，不得侵犯任何第三方的專有權(quán)利或知識(shí)產(chǎn)權(quán)，如需方因使用供方產(chǎn)品而造成對(duì)第三方知識(shí)產(chǎn)權(quán)的侵犯，由此對(duì)需方造成的全部損失，由供方承擔(dān)。IntellectualPropertyhereofmeans,theObligeeenjoysthewholepropertyrightsoftheintelligenceresultsthathecreated.TheIntellectualPropertyrightsincludebutnotlimitedtopatent,trademark,copyrightandlayoutdesignsofintegratedcircuits,etc.Supplierguaranteethatallitsproducts/serviceswillnotinfringeanyproprietaryrightorintellectualpropertyrightofanythirdparty,andshallbefurtherresponsibleforanylossesthatcausedbyitsinfringementtothethirdparty,inanycaseofusingsuchproducts/servicesofPurchaser.10.2供方同意對(duì)交易過(guò)程中所知悉的需方的全部信息或與本交易相關(guān)的信息承擔(dān)XX義務(wù)，未經(jīng)需方書(shū)面同意，不得向任何第三方披露與本合同相關(guān)的所有信息，上述信息包括但不限于：交易價(jià)款、支付方式，向需方提供的產(chǎn)品的規(guī)格、數(shù)量、質(zhì)保以及需方單獨(dú)要求的技術(shù)參數(shù)等信息。SupplieragreestobearthedutyofconfidentialitytoalltheinformationofPurchaseroralltheinformationrelatedtosuchtransactionhereto;withoutpriorwrittenconsentofPurchaser,Supplierwillnotdisclosesuchinformationrelatedhereoftoanythirdparty,suchinformationincludingbutnotlimitedtotradeprice,paymentterms,productsdeliveredspecifications,quantity,warrantyortechnicaldataspeciallyrequestedbyPurchaser.11.合同變更和解除ContractVariationandTermination11.1經(jīng)雙方協(xié)商一致，可變更本合同的部分內(nèi)容，變更的內(nèi)容以合同附件形式體現(xiàn)，由雙方授權(quán)代表簽字并蓋章確認(rèn)，以變更后的內(nèi)容為準(zhǔn)。Aftertheconsultationofthepartieshereto,somepartofthiscontractmaybevaried;suchvariationtothiscontractshallbesubjecttotheAnnex,besignedandchoppedbytheauthorizedrepresentatives,andwillbebindbytheparties.711.2任何一方如果出現(xiàn)以下情形，另一方有權(quán)立即單方解除本合同：Anypartymayunilaterallyterminatedthiscontract,underthefollowingcircumstancesoftheotherparty:（）遲延履行合同，導(dǎo)致另一方的合同目的不能實(shí)現(xiàn)的；或者一方遲延履行合同，經(jīng)另一方催告后10天內(nèi)仍不履行的；Delayincontractperformanceofoneparty,whichleadstofailureforthecontractpurposeoftheotherparty;orotherwise,delayinperformanceofoneparty,stillfailstoperformafter10daysdemandoftheotherparty;（）已提出破產(chǎn)申請(qǐng)或被他人提起破產(chǎn)申請(qǐng)的；Fileforbankruptcyorbefiledforbankruptcybyothers;（）經(jīng)營(yíng)狀況嚴(yán)重惡化；Operationconditionsseriouslydeteriorated;（）有轉(zhuǎn)移財(cái)產(chǎn)、抽逃資金，逃避債務(wù)的行為；Transferringassets,withdrawingfundsorevadedebts;（）喪失商業(yè)信譽(yù)；Losegoodwill.11.3解除合同并不影響守守約方對(duì)違約方造成的損失進(jìn)行索賠的權(quán)利。Theterminationofthiscontractwillnotaffecttherightoflossclaimoftheobservantpartytothebreachingparty.12.違約責(zé)任LiabilityofViolation12.1保證責(zé)任：當(dāng)供方提供的產(chǎn)品達(dá)不到本合同保證條款的要求時(shí)，需方可選擇要求供方自行承擔(dān)費(fèi)用修理、更換、重做、退貨，減少或者退還貨款，需方因此而遭受的損失的，需方有權(quán)以參考9.3的約定費(fèi)用向供方索賠。WarrantyObligations:WhenthedeliveredproductsdonmeettherequirementofWarrantyclause,PurchasermayatitsoptionrequestSupplieratSuppliercosttorepair,replace,rework,return,orevenreduceorrefundthepayment;incaseofotherlosses,PurchasershallbeentitledtoclaimagainstSuppliersubjecttoSection9.3.對(duì)缺陷產(chǎn)品供方應(yīng)在需方通知規(guī)定的時(shí)間內(nèi)取走；若在規(guī)定時(shí)間超過(guò)后，供方仍未取走貨品，需方可用供方費(fèi)用將貨品返還，委托保管或變賣后抵償保管費(fèi)，在此期間因丟失、壞損、減量、變質(zhì)造成的損失由供方承擔(dān)。SuppliershalltakeawaythedefectiveproductswithintherequestedperiodofPurchaser;incaseofanyfailurefortakingaway;Purchaserwill,atthecostofSupplier,returntheproductstoSupplier,trusttothethirdpartyorsellout;duringsuchprocessingperiod,anyloss,damage,reduce,ordeteriorationwillatthecostofSupplier.12.2供方在提供維修服務(wù)過(guò)程中，如未按雙方約定的時(shí)間將返修的故障件送至需方指定地點(diǎn)，則供方應(yīng)向需方承擔(dān)違約責(zé)任。Duringtherepairservice,ifSupplierfailure8forcompletetherepairinganddelivertherepairedpartstothedesignatedplacewithintheagreedtime,SuppliershallbearviolationliabilitytothePurchaser.12.3因產(chǎn)品包裝不符合合同規(guī)定，如有必要，供方應(yīng)當(dāng)重新包裝，并承擔(dān)費(fèi)用；需方不要求返修或重新包裝而要求賠償損失的，供方應(yīng)當(dāng)償付需方該不合格包裝低于合同標(biāo)準(zhǔn)包裝的價(jià)值部分。因包裝不符合合同規(guī)定造成產(chǎn)品損壞或滅失的，供方應(yīng)負(fù)責(zé)賠償。Ifthepackagecannotmeettherequirementofcontractpurpose,Suppliershall,ifnecessary,repackageatthecostofSupplier;12.4按合同規(guī)定應(yīng)該償付的違約金及賠償金應(yīng)當(dāng)在明確責(zé)任后10日內(nèi)付清或由守約方從相應(yīng)合同款項(xiàng)中直接予以扣除，否則按逾期付款處理。13.不可抗力ForceMajeure13.1不可抗力：是指不能預(yù)見(jiàn)、不能避免并不能克服的客觀情況，包括但不限于：天災(zāi)、水災(zāi)、地震或其他災(zāi)難，戰(zhàn)爭(zhēng)或暴亂，以及其他在受影響的一方合理控制X圍以外且經(jīng)該方合理努力后也不能防止或避免的自然災(zāi)害或社會(huì)異常事件。ForceMajeureasreferredtointhiscontractmeansunforeseeable,unavoidableandinsurmountableobjectiveconditions;whichcontainsincludingbutwithoutlimitationtoactofgod,flood,earthquakeorotherdisasters,warorriot,oranyotherdisasterorsocialunusualeventsthatoutofthereasonablecontroloftheaffectedpartyorcannotbepreventedoravoidedevenafterreasonableeffortsbyoneparty.13.2受不可抗力影響，不能履行合同或延遲履行合同的一方可視不可抗力的實(shí)際影響部分或全部免除違約責(zé)任。但受不可抗力影響的一方應(yīng)在可能的情況下立即通知對(duì)方，并在不可抗力發(fā)生后10日內(nèi)特快專遞郵寄相關(guān)的主管部門(mén)簽發(fā)的證明文件，以便其他各方審查、確認(rèn)。UndertheinfluenceofForceMajeure,thepartycannotperformthecontractordelayperformshallbepartiallyorwhollyfreefromviolationonthebasisofactualinfluenced.Nevertheless,thepartyofaffectedbyForceMajeureshalltimelynotifytheotherparty,andwithin10daysofForceMajeureoccursuseEMSsendtotheotherpartytheForceMajeureevidencesignedbythereferencegovernmentforconfirmationuse.13.3受不可抗力影響的一方應(yīng)采取一切可能的措施，使自身或?qū)Ψ娇赡茉馐艿膿p失降低的最低；未受不可抗力影響的一方有權(quán)采取一切可能的措施，直至解除合同，以免使自身遭受重大損失，并不承擔(dān)任何責(zé)任。ThepartyaffectedbyForceMajeureshalltakealleffortstomakethelossofitselfortheotherpartyaslowestaspossible;theunaffectedpartyhastherighttotakeallpossiblemeasures,oreventerminatethiscontract,toavoidmassivelossofitself,withoutanyliability.914.環(huán)境保護(hù)EnvironmentProtection供應(yīng)商應(yīng)遵守關(guān)于與自身產(chǎn)品相關(guān)之環(huán)境保護(hù)方面的所有當(dāng)前生效的或隨時(shí)頒布的法定責(zé)任和要求。供應(yīng)商應(yīng)基于確保環(huán)保之目的而對(duì)其產(chǎn)品和生產(chǎn)工藝執(zhí)行連續(xù)篩查，并且應(yīng)確保其產(chǎn)品在使用壽命終結(jié)時(shí)能夠以環(huán)保的方式進(jìn)行處置。供應(yīng)商應(yīng)確保，其產(chǎn)品、生產(chǎn)工藝、包裝和所有物流方案所消耗的自然資源都是盡可能少的，并且應(yīng)避免使用危險(xiǎn)或可能會(huì)對(duì)環(huán)境造成不利影響的材料。Suppliershallbecompliancewiththeapplicableenvironmentallawsorreferencelawsenactedfromtimetotimewithrespecttotheproductsprovided.Suppliershall,onthepurposeofenvironmentprotection,continuouslyexamineitsproductsandtechnicalprocess,andensurethatthedeliveriescanbedisposedthroughenvironmentalprocessattheendoftheservicelifeofitsproducts.Supplierfurthercommitsthatitsproducts,process,packageandalllogisticsolutionsshallbeaslowerinconsumptionofthenatureresourcesaspossible,andmeanwhileavoidsuinghazardousmaterialsorthematerialmighthavebadeffecttotheenvironment.15.其他條款Miscellaneous15.1修訂：本合同的任何修改應(yīng)由雙方授權(quán)代表簽字并蓋章，該修改文件是本合同不可分割的組成部分。Modification:thiscontractshallonlybewrittenrevisedbytheauthorizedrepresentatives;anyreviseheretoshallbeanintegralpartofthiscontract.15.2轉(zhuǎn)讓：未經(jīng)對(duì)方事先書(shū)面同意，任何一方不得將本合同的部分或全部分包、轉(zhuǎn)讓給其附屬機(jī)構(gòu)或任何第三方。Transfer:Exceptasotherwisewrittenconsentbyoneparty,anypartymaynottransferanypartofwholepartofthiscontracttoanyaffiliatesoranythirdparty.15.3合同份數(shù)：本合同一式兩份，雙方各執(zhí)一份，有同等的法律效力。ContractCopies:thiscontractwasmadeinduplicate,eitherofwhichshallbeholdbyonepartyandenjoythesamelegaleffect.15.4供方須確保供方人員在需方場(chǎng)所進(jìn)行服務(wù)時(shí)遵守需方的有關(guān)規(guī)定。SupplierensuresthatallitspersonnelobeyreferencerulesofPurchaserinprovidingserviceinPurchasersite.15.5部分失效：如果本合同的任何條款被合格的司法機(jī)關(guān)裁定在某些方面不可執(zhí)行，且這種不可執(zhí)行性不會(huì)對(duì)雙方在本合同中的權(quán)利造成實(shí)質(zhì)性的影響，則本合同的其他條款繼續(xù)有效。Severability:incaseofanyclauseofthiscontractisjudgedunenforceableinsomewaysbyanyeligiblejuridicalauthorities,andsuch10unenforceablewillnotsubstantiallyaffectthecontractrightsofthepartieshereto;theremainingclausesofthiscontractshallnotbeaffectedandremaininfullforce.15.6為放棄該權(quán)利，并且不視為放棄對(duì)以后發(fā)生的事件放棄追究。Waiver:failurefortheaccountabilitytotheun-performanceofcontractrightsorobligatio
