bytheBuyer,bytelegraphictransfer,within7(seven)daysafterreceiptfromtheSelleroftheshippingdocumentsspecifiedintheClause10hereof.107天內(nèi)，以電匯向賣方支付貨款。Documents:10、單據(jù)Incaseofsea-freight:海運Fullsetofcleanbillsofladingmarked“FreighttoCollect”,“FreightPrepaid”madeouttobankendorsednotifyingZhonghuaInternationalTechnologyDevelopmentCorporationattheportofdestination.全套清潔海運提單，標明“運費付訖”，“運費預付”，做成空白背書并注明通知目的港的中華國際技術開發(fā)公司。Incaseofair-freight:空運Onecopyofairwaybillmarked“FreighttoCollect”,FreightPrepaid“andsenttotheBuyer.空運提單副本一份，標明“運費付訖”，“運費預付”，寄交買方。Invoicein4copiesindicatingcontractnumberandshippingmark,madeoutindetailsasperthecontractconcerned.發(fā)票一式4份，標明合同號和裝運標志，發(fā)票依據(jù)有關合同具體填寫。Packinglistin2copiesissuedbythemanufacturer.由生產(chǎn)商出具的裝箱單一式兩份。Certificateofqualityandquantityissuedbythemanufacturer.由生產(chǎn)商出具的質量和數(shù)量保證書。TheBuyershallbeadvisedbymail/cableimmediatelyaftershipment.貨物裝運后馬上用電報或信件通知買方。Inaddition,theSellershall,within10(ten)daysaftershipment,sendbyairmailtwosetsofaforesaiddocuments(exceptitem4)withonesetdirectlytotheBuyerandonesetdirectlytoZhonghuaInternationalTechnologyDevelopmentCorporationattheportofdestination.此外，發(fā)貨10天內(nèi)，賣方將上述單據(jù)〔第5條除外〕航寄兩份，一份直接給買方，一份直接給目的港的中華國際開發(fā)公司。Shipment11、裝運IncaseofFOBterms離岸價格條款〔FOB條款〕TheSellershall,30daysbeforethecontracteddateofshipment,advisetheBuyerbycableorletterofthecontractnumber,nameofcommodity,quality,value,packagenumber,grossweight,measurementanddateofreadinessattheportofshipmentfortheBuyertobookshippingspace.1〕30天，用電匯或信件將合同號、品名、數(shù)量、價值、箱號、毛重、裝箱尺寸和貨物抵裝運港日期通知買方，以便買方租船訂艙。BookingofshippingspaceshallbearrangedbytheBuyer’sshippingagent,ChinaOceanShippingAgency.2〕買方船運代理中國外輪代理公司，負責辦理租船訂艙事宜。TheBuyer’sshippingagent(ChinaOceanShippingAgency)shallsendtotheSellernoticeindicatingthenameofvessel,estimateddateofloadingandcontractnumberfortheSellertoarrangeshipment10(ten)daysbeforetheestimateddateofarrivalofthevesselattheloadingport.TheSellerisrequestedtogetinclosecontractwiththeshippingagent.Whenitbecomesnecessarytochangethecarryingvesselortoadvanceordelaythearrivaldate,theBuyerortheshippingagentshalladvisetheSellerintime.Shouldthevesselfailtoarriveattheloadingportwithin30(thirty)daysafterthearrivaldateadvisedbytheBuyer,theBuyershallbearthestorageandinsuranceexpensesincurredfromthe30daythereafter.買方船運代理〔中國外輪代理公司〕估量船抵達裝運港10天之前，將船名、估量裝貨日期、只及船只提前、推遲抵達時，買方或其船運代理應準時通知賣方。如船在買方通知日后30天內(nèi)30天后倉儲費和保險費用由買方擔當。TheSellershallbeliableforanydeadfreightordemurrage,shouldithappenthattheyhavefailedtohavethecommodityreadyforloadingafterthecarryingvesselhasarrivedattheportofshipmentontime.如承運船如期抵達裝運港，賣方因備貨未妥而影響裝船，則空艙費和滯期費均由賣方擔當。TheSellershallbearallexpensesandrisksbeforethecommoditypassesoverthevessel’srailandisreleasedfromthetackle.Afterithaspassedoverthevessel’srailandisreleasedfromthetackle,allexpensesandrisksshallbeinBuyer’saccount.醫(yī)學全在線HYPERLINK“://med126/“med126貨物超過船舷并從吊鉤卸下前，一切費用和風險由賣方擔當；貨物超過船舷并從吊鉤卸下，一切費用和風險由買方擔當。IncaseofCFRterms本錢加運費價條款〔CFR條款〕TheSellershallshipthegoodswithintheshipmenttimefromtheloadingporttotheportofdestination.Transshipmentisnotallowed.在裝運期內(nèi)，賣方負責將貨物從裝運港裝運至目的港。不得轉船。Incasethegoodsaretobedispatchedbyairfreight,theSellershall,30(thirty)daysbeforethetimeofdeliveryasstipulatedinClause5,informtheBuyerbycableorletteroftheestimateddateofdelivery,contractnumber,nameofcommodity,andinvoicedvalue.TheSellershall,immediatelyafterdispatchofthegoods,advisetheBuyerbycableorletterofthecontractnumber,nameofcommodity,invoicedvalueanddateofdispatchfortheBuyertoarrangetheinsuranceintime.貨物空運時，賣方于本合同第5條規(guī)定的交貨日期前30天，以電報或信件把估量交貨期合同號、品名、發(fā)票金額等通知買方。發(fā)貨后，賣方馬上以電報或信件將合同號、品名、發(fā)票金額、發(fā)貨日期通知買方，以便買方準時投保。Shippingadvice12、裝運通知TheSellershall,immediatelyonthecompletionoftheloadingofthegoods,advisetheBuyerbycableorletterofthecontractnumber,nameofcommodity,quantity,invoicedvalue,grossweight,nameofvesselanddateofsailing.IncasetheBuyerfailstoarrangeinsuranceintimeduetotheSeller’snothavingcabledintime,alllossesshallbebornebytheSeller.貨物一俟全部裝船，賣方應馬上合同號、呂名、數(shù)量、發(fā)票金額、毛重、船名及啟航日期用電報或信件通知買方。如因賣方未能準時通知致使買方不能準時投保，賣方則擔當全部損失。Guaranteeofquality13、質量保證TheSellerguaranteesthatthecommodityhereofismadeofthebestmaterialswithfirstclassworkmanship,brandnew,unused,andcomplieswiththequalityandspecificationsstipulatedinthiscontract.Theguaranteeperiodshallbe12(twelve)monthsstaringfromthedateonwhichthecommodityarrivesattheportofdestination.賣方保證：所供貨物由最好的材料及精湛工藝制成，商標為的和未經(jīng)使用的，其質量和規(guī)格符12個月為質量保證期。Claims14、索賠Exceptthoseclaimsforwhichtheinsurancecompanyortheownersofthevesselareliable,shouldthequality,specificationsorquantitybefoundnotinconformitywiththestipulationsofthecontract,within90(ninety)daysafterthearrivalofthegoodsatdestination,theBuyercanusetheInspectionCertificateissuedbyChinaNationalImportandExportCommoditiesInspectionCorporationtoclaimforreplacementascompensation.Alltheexpensesincurred(suchasinspectioncharges,freightchargesforreturningandsendingofreplacement,insurancepremium,storage,loadingandunloadingcharges)shallbebornebytheSeller.自貨物到達目的港起90天內(nèi)，如覺察貨物質量、規(guī)格、數(shù)量與合同規(guī)定不符，除那些應由保險換或索賠。Inregardtoquality,theSellershallguaranteethatif,within12(twelve)fromthedateofarrivalofthegoodsatdestination,damagesoccurinthecourseofoperationbyreasonofinferiorqualityofmaterialorbadworkmanship,theBuyershallimmediatelynotifytheSellerinwritingandputforwardacertificateissuedbytheCCIC.Thecertificatesoissuedshallbeacceptedasthebaseoftheclaim.TheSeller,inaccordancewiththeBuyer’sclaim,shallberesponsiblefortheimmediateeliminationofthedefects,completeorpartialreplacementofthecommodity,ordevaluatethecommodityaccordingtothestateofdefects.Wherenecessary,theBuyermayeliminatethedefectsthemselvesattheSeller’sexpenses.IftheSellerfailstoreplywithinonmonthafterreceiptoftheaforesaidclaim,theclaimshallbereckonedashavingbeenacceptedbytheSeller
