商品房買賣協(xié)議說(shuō)明ExplanationofCommodityHousePurchaseandSalesContract
1.本協(xié)議文本為示范文本,也可作為簽約使用文本。簽約之前,買受人應(yīng)當(dāng)仔細(xì)閱讀本協(xié)議內(nèi)容,對(duì)協(xié)議條款及專業(yè)用詞理解不一致的,可向本地房地產(chǎn)開發(fā)主管部門征詢。1.Thetextofthiscontractisthedemonstratedtext,alsocanbeusedasthetextforsigningacontract.Beforethesigningofthecontract,thebuyershallreadthecontentscarefully.Ifhehasanydifferentopinionsontheclausesorthespecializedwords,hecanseekadvicefromthelocalrealestatedevelopmentcompetentdepartment.2.本協(xié)議所稱商品房是指由房地產(chǎn)開發(fā)公司開發(fā)建設(shè)并出售的房屋。2.Thecommodityhousesmentionedinthecontractarethehouseswhicharedeveloped,constructedandsoldbytherealestatedevelopmententerprise.3.為體現(xiàn)協(xié)議雙方的自愿原則,本協(xié)議文本中相關(guān)條款后都有空白行,供雙方自行約定或補(bǔ)充約定。雙方當(dāng)事人可以對(duì)文本條款的內(nèi)容進(jìn)行修改、增補(bǔ)或刪減。協(xié)議簽訂生效后,未被修改的文本印刷文字視為雙方批準(zhǔn)內(nèi)容。3.Inordertoshowthewillingnessprincipleofbothpartiesofthiscontract,thereisblankspaceaftertherelevantclausesinthetextforbothpartiestoagreethemselvesorsupplementtheagreement.Bothpartiescanamend,subjoinordeletethecontentsoftheclause.Afterthecontractcomesintoeffect,theunchangedpartsshallbedeemedastheagreedcontentsofbothparties.4.本協(xié)議文本中涉及到的選擇、填寫內(nèi)容以手寫項(xiàng)為優(yōu)先。4.Thetextconcerningchoiceandfillingshallsubjecttothewritingcontents.5.對(duì)協(xié)議文本【】中選擇內(nèi)容、空格部分填寫及其他需要?jiǎng)h除或添加的內(nèi)容,雙方應(yīng)當(dāng)協(xié)商擬定?!尽恐羞x擇內(nèi)容,以√方式選定;對(duì)于實(shí)際情況未發(fā)生或買賣雙方不作約定期,應(yīng)在空格部分打×,以示刪除。5.Bothpartiesshouldnegotiateandconfirmthechosencontent,thefillingofblankandothercontentsneededtodeleteoraddinthe【】ofthetextofthiscontract.Intheblank,√meansthatthecontentsarechosenand×meansthatthecontentsaredeleted.6.在簽訂協(xié)議前,出賣人應(yīng)當(dāng)向買受人出示應(yīng)當(dāng)由出賣人提供的有關(guān)證書、證明文獻(xiàn)。6.Beforethesigningofthecontract,thesellershalloffertherelevantcertificateanddocumentswhichshallbeprovidedbythesellertothebuyer.7.本協(xié)議條款由中華人民共和國(guó)建設(shè)部和國(guó)家工商行政管理局負(fù)責(zé)解釋。7.TheConstructionMinistryofthePeople’sRepublicofChinaandtheStateAdministrationforIndustryandCommerceshallbeliabletoexplaintheclausesofthecontract.

計(jì)價(jià)方式與價(jià)款。Article4ValuationMode&price出賣人與買受人約定按下述第種方式計(jì)算該商品房?jī)r(jià)款:Venderandvendeecalculatethepriceofthisapartmentasstipulatedinmodebelow:1.按建筑面積計(jì)算,該商品房單價(jià)為(幣)每平方米元,總金額(幣)千百拾萬(wàn)千百拾元整。1.Accordingtothebuildingarea,theunitpriceofthisapartmentis()/㎡,totally()2.按套內(nèi)建筑面積計(jì)算,該商品房單價(jià)為(幣)每平方米元,總金額(幣)千百拾萬(wàn)千百拾元整。2.AccordingtotheUsablearea,theunitpriceofthisapartmentis()/㎡,totally()3.按套(單元)計(jì)算,該商品房總價(jià)款為(幣)千百拾萬(wàn)千百拾元整。3.AccordingtotheSet,theunitpriceofthisapartmentistotally()4.。
面積確認(rèn)及面積差異解決。Article5Areaconfirmationanddifferencetreatment根據(jù)當(dāng)事人選擇的計(jì)價(jià)方式,本條規(guī)定以【建筑面積】【套內(nèi)建筑面積】(本條款中均簡(jiǎn)稱面積)為依據(jù)進(jìn)行面積確認(rèn)及面積差異解決。Accordingtothevaluationmodewhichinterestedpartieschoosed,thisarticlestipulatestheareaconfirmationanddifferencetreatmentaccordingto[buildingarea][usablearea](hereinaftercalledareaforshort).當(dāng)事人選擇按套計(jì)價(jià)的,不合用本條約定。PartiesselectedpriceaccordingtoSet,thisclauseshallnotapply.協(xié)議約定面積與產(chǎn)權(quán)登記面積有差異的,以產(chǎn)權(quán)登記面積為準(zhǔn)。Foranydifferencesincontractedareaandregistrationarea,theregistrationareawillbetakenasthestandard.商品房交附后,產(chǎn)權(quán)登記面積與協(xié)議約定面積發(fā)生差異,雙方批準(zhǔn)按第種方式進(jìn)行解決;Aftertheapartmentistransferredtothebuyer,foranydifferencesincontractedareaandregistrationarea,bothpartieswillagreetomanageaccordingtothefollowing
term:1.雙方自行約定:1.Specialagreementbybothparties(1);(2);(3);(4)。2.雙方批準(zhǔn)按以下原則解決:2.Bothpartieswillagreetomanageaccordingtothefollowingprinciple:(1)面積誤差比絕對(duì)值在3﹪以內(nèi)(含3﹪)的,據(jù)實(shí)結(jié)算房?jī)r(jià)款:(1)Iftheabsolutevaluedifferenceiswithin3%(include3%),thechargewillbeaccordingtoactualamount.(2)面積誤差比絕對(duì)值超過3﹪時(shí),買受人有權(quán)退房。(2)Iftheabsolutevaluedifferenceisexceeds3%(include3%),thebuyerhasrightstocanceltheorder.買受人退房的,出賣人在買受人提出退房之日起30天內(nèi)將買受人已付款退還給買受人,并按利率付給利息。Forthebuyerwhocancelstheorder,thesellermustreturnthemoneytobuyerwithin30daysafterbuyermaketheordercancelapplication,andpaytheinterestsratesaccordingto%.買受人不退房的,產(chǎn)權(quán)登記面積大于協(xié)議約定面積時(shí),面積誤差比在3﹪以內(nèi)(含3﹪)部分的房?jī)r(jià)款由買受人補(bǔ)足;超過3﹪部分的房?jī)r(jià)款由出賣人承擔(dān),產(chǎn)權(quán)歸買受人。產(chǎn)權(quán)登記面積小于協(xié)議約定面積時(shí),面積誤差比絕對(duì)值在3﹪以內(nèi)(含3﹪)部分的房?jī)r(jià)款由出賣人返還買受人;絕對(duì)值超過3﹪部分的房?jī)r(jià)款由出賣人雙倍返還買受人。Forthebuyerwhochoicenotcanceltheorder,iftheregistrationareasiswithin3%(including3%)biggerthancontractedarea,theexceededamountshouldbesupplementedbythebuyer;forthecasewhichismorethan3%,theexceededamountshouldbebornbytheseller,thepropertyrightsbelongstothebuyer.Iftheregistrationareasissmallerthancontractedarea,thearearatioiswithin3%(including3%),theexceededamountmustbereturnedtothebuyer;theamountwhicharemorethan3%mustbedoubledandreturntothebuyer.
產(chǎn)權(quán)登記面積-協(xié)議約定面積Registrationareas-Contractedarea面積誤差比= ————————————————————————————×100﹪協(xié)議約定面積Areatoleranceratio=————————————————————————————×100﹪ contractedarea因設(shè)計(jì)變更導(dǎo)致面積差異,雙方不解除協(xié)議的,應(yīng)當(dāng)簽署補(bǔ)充協(xié)議。Thedifferencecausedbythedesignmodification,whichbothpartiesdoesnotterminatethecontract,buyerandsellershouldsigncomplementaryagreementofcontract.
付款方式及期限。Article6PaymentandDeadline買受人按下列第種方式按期付款:Thebuyermustmakethepaymentaccordingtothemode一次性付款1.FullPaymentinonce。分期付款2.InstallmentPayment。其他方式3.Others。
買受人逾期付款的違約責(zé)任。Article7Breachofcontractresponsibilityforoverduepayment買受人如未按協(xié)議規(guī)定的時(shí)間付款,按下列第種方式解決:Ifthebuyercannoteffectthepaymentinthestipulatedtime,heorshewillbetreatedinthemode:1.按逾期時(shí)間,分別解決(不作累加)1.Accordingtothelatepaytime,processrespectively(notcumulative)(1)逾期在日之內(nèi),自本協(xié)議規(guī)定的應(yīng)付款期限之第二天起至實(shí)際全額支付應(yīng)付款之日止,買受人按日向出賣人支付逾期應(yīng)付款萬(wàn)分之的違約金,協(xié)議繼續(xù)履行;(1)Iftheoverduedateiswithin__days,fromthe2ndduepaymentdatetotheactualpaymentdate,thebuyershouldpaytotheseller%defaultfineaccordingtotheoverduedate,thecontractwillcontinuetobeperformed.(2)逾期超過日后,出賣人有權(quán)解除協(xié)議。出賣人解除協(xié)議的,買受人按累計(jì)應(yīng)付款﹪向出賣人支付違約金。買受人樂意繼續(xù)履行協(xié)議的,經(jīng)出賣人批準(zhǔn),協(xié)議繼續(xù)履行,自本協(xié)議規(guī)定的應(yīng)付款期限之第二天起至實(shí)際全額支付應(yīng)付款之日止,買受人按日向出賣人支付逾期應(yīng)付款萬(wàn)分之(該比率應(yīng)不小于第(1)項(xiàng)中的比率)的違約金。(2)Iftheoverduedateisexceeds__days,thebuyerhastherightstoterminatethecontract.thebuyershouldpaytotheseller%defaultfineaccordingtotheoverduedate,Ifbuyerstillwillingtocontinuethecontract,afterselleragrees,thecontractwillcontinuetobeperformed,fromthe2ndduepaymentdatetotheactualpaymentdate,thebuyershouldpaytotheseller%(thisratiocannotlessthantheratesin(1))defaultfineaccordingtotheoverduedate.本條中的逾期應(yīng)付款指依照本協(xié)議第六條規(guī)定的到期應(yīng)付款與該期實(shí)際已付款的差額;采用分期付款的,按相應(yīng)的分期應(yīng)付款與該期的實(shí)際已付款的差額擬定。Theoverduepaymentinthisarticlereferstothebalancebetween6tharticleduepaymentandactualeffectedpayment;forinstallmentpayment,itshouldbedecidedbythebalancebetweendueinstallmentandactualpayment.2.。
交付期限。Article8Deliverydeadline出買人應(yīng)當(dāng)在年月日前,依照國(guó)家和地方人民政府的有關(guān)規(guī)定,將具有下列第種條件,并符合本協(xié)議約定的商品房交付買受人使用:Accordingtothestate’sandlocalgovernmentregulations,thesellershouldhandoverthecommercialresidentialbuilding,whichpossessthebelowconditions,asstipulatedbythecontract,tothebuyerbefore1.該商品房經(jīng)驗(yàn)收合格。1.Thiscommodityresidentialbuildingisinspectedtobequalified.2.該商品房經(jīng)綜合驗(yàn)收合格。2.Thiscommodityresidentialbuildingiscomprehensivelyinspectedtobequalified.3.該商品房經(jīng)分期綜合驗(yàn)收合格。3.Thiscommodityresidentialbuildingisinstallmentinspectedtobequalified.4.該商品房取得商品住宅交付使用批準(zhǔn)文獻(xiàn)。4.Thiscommodityresidentialbuildingobtainedtheapprovaldocumentsofcommercialresidentialhandoverforusage.5.。但如遇下列特殊因素,除雙方協(xié)商批準(zhǔn)解除協(xié)議或變更協(xié)議外,出賣人可據(jù)實(shí)予以延期:Butincaseofthefollowingexceptionalreasons,exceptforbothpartiesagreetheterminationoralternationofcontract,thesellercanprolongthedeadlineasperactualfact.1.遭遇不可抗力,且出賣人在發(fā)生之日起日內(nèi)告知買受人的;1.Encounteredwithmajeure,andsellerinformedthebuyerwithindaysafterthemajeureoccurs;

出賣人逾期交房的違約責(zé)任。Article9Responsibilityofdelayinhandoverapartment除本協(xié)議第八條規(guī)定的特殊情況外,出賣人如未按本協(xié)議規(guī)定的期限將該商品房交付買受人使用,按下列第種方式解決:Exceptforthespecialcasesstipulatedinarticle8,ifthesellercannothandovertheapartmenttobuyerinthestipulatedscheduleinthiscontract,thebuyershouldbetreatedinthefollowingmode:1.按逾期時(shí)間,分別解決(不作累加)1.Accordingtotheoverduetime,thesellershouldbetreatedseparately(notbeaccumulated)(1)逾期不超過日,自本協(xié)議第八條規(guī)定的最后交付期限的第二天起至實(shí)際交付之日止,出賣人按日向買受人支付已交付房?jī)r(jià)款萬(wàn)分之的違約金,協(xié)議繼續(xù)履行;(1)Foroverduedatelessthandays,fromthe2nddayofdeadlinestipulatedinarticle8totheactualdeliverday,thesellershouldpay_____%defaultfineofthealreadyeffectedpayment,thiscontractwillbeperformedcontinuously.(2)逾期超過日后,買受人有權(quán)解除協(xié)議。買受人解除協(xié)議的,出賣人應(yīng)當(dāng)自買受人解除協(xié)議告知到達(dá)之日起天內(nèi)退還所有已付款,并按買受人累計(jì)已付款的﹪向買受人支付違約金。買受人規(guī)定繼續(xù)履行協(xié)議的,協(xié)議繼續(xù)履行,自本協(xié)議第八條規(guī)定的最后交付期限的第二天起至實(shí)際交付之日止,出賣人按日向買受人支付已交付房?jī)r(jià)款萬(wàn)分之(該比率應(yīng)不小于第(1)項(xiàng)中的比率)的違約金。(2)Foroverduedatemorethandays,thebuyercanterminatethecontract.Inthiscase,thesellershouldreturnallthepaymentwithindaysafterthedateoftermination,andpay__%defaultfineofthealreadyeffectedpayment.Ifthebuyerrequestscontinuouslyperformthecontract,thiscontractwillbeperformedcontinuously.Fromthe2nddayofdeadlinestipulatedinarticle8totheactualdeliverday,thesellershouldpaythebuyer%(thisratiocannotbelessthantheratesin1)ofthealreadyeffectedpayment2.。規(guī)劃、設(shè)計(jì)變更的約定Article10Agreementontheplanninganddesigningvariation經(jīng)規(guī)劃部門批準(zhǔn)的規(guī)劃變更、設(shè)計(jì)單位批準(zhǔn)的設(shè)計(jì)變更導(dǎo)致下列影響到買受人所購(gòu)商品房質(zhì)量或使用功能的,出賣人應(yīng)當(dāng)在有關(guān)部門批準(zhǔn)批準(zhǔn)之日起10日內(nèi),書面告知買受人:Theplanninganddesigningvariationagreedbygovernmentordesigningorganization,whichaffectsthecommodityresidentialqualityandusageofbuyer,thesellershouldsendwrittennotificationtothebuyerwithin10daysaftertheapprovalupontherelatedauthority:(1)該商品房結(jié)構(gòu)形式、戶型、空間尺寸、朝向;(1)Theconstruction,layout,spacedimension,orientation;(2);(3);(4);(5);(6);(7)。買受人有權(quán)在告知到達(dá)之日起15日內(nèi)做出是否退房的書面答復(fù)。買受人在告知到達(dá)之日起15日內(nèi)未作書面答復(fù)的,視同接受變更。出賣人未在規(guī)定期限內(nèi)告知買受人的,買受人有權(quán)退房。Thebuyerhastherightstoreplyinwrittenwordsregardingwhethertocanceltheorderwithin15daysafterreceivingthenotice.Ifthebuyerdidn’tcanceltheorderwithin15daysafterreceivingthenotice,itwillberegardedasacceptancetothevariation.Ifthesellerhasn’tnoticedthebuyerwithinstipulatedtime,thebuyerhasrightstocanceltheorder.買受人退房的,出賣人須在買受人提出退房規(guī)定之日起天內(nèi)將買受人已付款退還給買還人,并按利率付給利息。買受人不退房的,應(yīng)當(dāng)與出賣人另行簽訂補(bǔ)充協(xié)議。Ifthebuyercanceltheorder,thesellermustreturntheeffectedpaymentwithin_daysaftertherequestismade,andalsopaytheinterestsaccordingto%.Ifthebuyerdon’tcanceltheorder,heorsheshouldsignsupplementaryagreementwiththeseller.。第十一條交接。Article11Handover商品房達(dá)成交付使用條件后,出賣人應(yīng)當(dāng)書面告知買受人辦理交付手續(xù)。雙方進(jìn)行驗(yàn)收交接時(shí),出賣人應(yīng)當(dāng)出示本協(xié)議第八條規(guī)定的證明文獻(xiàn),并簽署房屋交接單。所購(gòu)商品房為住宅的,出賣人還需提供《住宅質(zhì)量保證書》和《住宅使用說(shuō)明書》。出賣人不出示證明文獻(xiàn)或出示證明文獻(xiàn)不齊全,買受人有權(quán)拒絕交接,由此產(chǎn)生的延期交房責(zé)任由出賣人承擔(dān)。Whenthecommodityresidentialmeettheusagecondition,thesellershouldsendwrittennotificationtothebuyertomakehandoverprocedure.Duringthehandover,thesellermustissuetheproofdocumentsstipulatedinarticle8,andsigntheresidentialhandoversheet.Fortheresidentialwhichbelongstohabitation,theselleralsoneedtoprovidethe[habitationqualityguarantee]and[habitationusageinstructions].Ifsellerfailstoissuetheabovedocumentsorissueincompletedocuments,thebuyerhasrightstorefuseacceptingthehandover;delaycausedbythiscasewillshallbebearwiththeseller.由于買受人因素,未能按期交付的,雙方批準(zhǔn)按以下方式解決:Forthedelayhandovercausedbythebuyer,bothpartiesagreedtomanageasbelow:。
第十二條出賣人保證銷售的商品房沒有產(chǎn)權(quán)糾紛和債權(quán)債務(wù)糾紛。因出賣人因素,導(dǎo)致該商品房不能辦理產(chǎn)權(quán)登記或發(fā)生債權(quán)債務(wù)糾紛的,由出賣人承擔(dān)所有責(zé)任。Article12sellermustensuretheresidentialsoldwithoutpropertyrightsandcreditor'srightdisputes.Unabletomakepropertyrightsregistrationoroccurrenceindisputes,theresponsibilitymustbebornbytheseller.。
第十三條出賣人關(guān)于裝飾、設(shè)備標(biāo)準(zhǔn)承諾的違約責(zé)任。Article13SellerbreachofDecorativeequipmentstandardspromise出賣人交付使用的商品房的裝飾、設(shè)備標(biāo)準(zhǔn)應(yīng)符合雙方約定(附件三)的標(biāo)準(zhǔn)。達(dá)不到約定標(biāo)準(zhǔn)的,買受人有權(quán)規(guī)定出賣人按照下述第種方式解決:Thedecorativeequipmentstandardshandoverbythesellershouldmeetthestandardagreedbybothparties(Appendix3).Ifnotachievethestandard,thebuyerhastherightstomanageaccordingtothefollowing___mode.1.出賣人補(bǔ)償雙倍的裝飾、設(shè)備差價(jià)。1.Thesellercompensatesthedecorativeequipmentindoublebalanceofthedifferent.2.3.。
第十四條出賣人關(guān)于基礎(chǔ)設(shè)施、公共配套建筑正常運(yùn)營(yíng)的承諾。Article14Promiseofselleronthenormalusageofinfrastructure,publicaffiliatedequipments出賣人承諾與該商品房正常使用直接關(guān)聯(lián)的下列基礎(chǔ)設(shè)施、公共配套建筑按以下日期達(dá)成使用條件:Thesellerpromisethefollowinginfrastructure,affiliatedequipmentsdirectlyrelateswiththenormalusageofthisresidentialachievetheusageconditionaccordingtothebelowdate:1.;2.;3.;4.;5.。假如在規(guī)定日期內(nèi)未達(dá)成使用條件,雙方批準(zhǔn)按以下方式解決:Ifonthestipulateddatedoesnotmeettheconditionsofuse,thepartiesagreeasfollows:1.;2.;3.。
第十五條關(guān)于產(chǎn)權(quán)登記的約定。Article15Agreementsonthepropertyrightsregistration出賣人應(yīng)當(dāng)在商品房交付使用后日內(nèi),將辦理權(quán)屬登記需由出賣人提供的資料報(bào)產(chǎn)權(quán)登記機(jī)關(guān)備案。如因出賣人的責(zé)任。買受人不能在規(guī)定期限內(nèi)取得房地產(chǎn)權(quán)屬證書的,雙方批準(zhǔn)按下列第項(xiàng)解決:Thesellershouldsubmittherelateddocumentsrequestedformakingpropertyrightsregistrationtotheresidentialadministrationdeptandmaketheprocedureindaysafterhandover.Ifthebuyercannotgettheregistrationproprietarycertificateintimecausedbytheseller,bothpartiesagreetotreatinthefollowingmode:1.買受人退房,出賣人在買受人提出退房規(guī)定之日起日內(nèi)將買受人已付房?jī)r(jià)款退還給買受人,并按已付房?jī)r(jià)款的﹪補(bǔ)償買受人損失。1.Thebuyercancelstheorder,thesellermustreturntheeffectedpaymentwithinxxdaysafterbuyerraisedtherequirement,andcompensatethebuyerwith%oftheeffectedpayment.2.買受人不退房,出賣人按已付房?jī)r(jià)款的﹪向買受人支付違約金。2.Thebuyerdoesnotcanceltheorder,thesellershouldpaythedefaultfinewith%oftheeffectedpayment.3.。
第十六條保修責(zé)任。Article16Repairguaranteeresponsibility買受人購(gòu)買的商品房為商品住宅的,《住宅質(zhì)量保證書》作為本協(xié)議的附件。出賣人自商品住宅交付使用之日起,按照《住宅質(zhì)量保證書》承諾的內(nèi)容承擔(dān)相應(yīng)的保修責(zé)任。Forthebuyerwhobuycommodityresidential,the[residentialqualityguarantee]willbeaffixedtothiscontract.Thesellerwillstandtherepairresponsibilityaccordingto[residentialqualityguarantee]fromthehandoverday.買受人購(gòu)買的商品房為非商品住宅的,雙方應(yīng)當(dāng)以協(xié)議附件的形式具體約定保修范圍、保修期限和保修責(zé)任等內(nèi)容。Forthebuyerwhobuycommoditypropertyidnon-residential,bothpartiesshouldmakesupplementalagreementasappendixofthiscontractwhichstipulatestherepairscope,deadline,andresponsibility.在商品房保修范圍和保修期限內(nèi)發(fā)生質(zhì)量問題,出賣人應(yīng)當(dāng)履行保修義務(wù)。因不可抗力或者非出賣人因素導(dǎo)致的損壞,出賣人不承擔(dān)責(zé)任,但可協(xié)助維修,維修費(fèi)用由購(gòu)買人承擔(dān)。Fortheproblemshappenedwithintherepairscope,deadline,thesellershouldperformtherepair.Forthemajeureordamagednotcausedbytheseller,thesellerwillnotstandtheresponsibility,butcanassistfortherepairing,thebuyershallbeartherepairfee.。
第十七條雙方可以就下列事項(xiàng)約定:Article17Bothpartiescanstipulatesthefollowing:1.該商品房所在樓宇的屋面使用權(quán);1.Theusageoftheresidentialroofing;2.該商品房所在樓宇的外墻面使用權(quán);2.Theusageoftheresidentialexternalwall;3.該商品房所在樓宇的命名權(quán);3.Thenamingrightofthebuildingofthisresidential;4.該商品房所在社區(qū)的命名權(quán);4.Thenamingrightofthecommunityofthisresidential;5.;6.。
第十八條買受人的房屋僅作使用,買受人使用期間不得擅自改變?cè)撋唐贩康慕ㄖ黧w結(jié)構(gòu)、承重結(jié)
