合同書THISCONTRACTisenteredintoonMarch1st,2013betweenJilinSkiResortHoDevelopmentCo., whoseaddressis461SongjiangSouthRoad,FengmanEconomicDevelopmentDistrictJilinProvince,PRC,postcode132013(hereinafterreferredtoas"theOwner"or“PartyA”),andKankoKikakuSekkeishawhoseaddressis6/F,Shin-OnarimonBuilding,6-17-19Shimbashi,Minato-ku,Tokyo105-0004Japan(hereinafterreferredtoas"KKS"or“PartyB”).本合同書于2013年3月1日，由位于中民吉林省吉林市豐滿經(jīng)濟(jì)開發(fā)區(qū)松江南路461號(hào)：132013的吉林省松花湖國際度假區(qū)開發(fā)（以下簡稱“業(yè)主”或“甲方”）和位于105-0004東港區(qū)新橋6-17-19新御成門大樓6樓的觀光企畫設(shè)計(jì)社（以下簡稱KKS”或乙方”）簽訂。WITNESSETH本合同證明以下內(nèi)容WHEREAS,theOwnerappointsKKStosupplywithArchitecturalandLandscapeDesignServicesforthefollowingproject:鑒于，業(yè)主委托KKSJilinSkiResort Basedontheagreedschematicdesigntoprovidethefollowingdrawingsforpreliminarydesigndevelopment.KKSwillprovidebelow sinthisFloorn(reflectonlyelevation KKSshallreviewandcommentontheArchitecturalConstructionsofElevationpartspreparedbytheLocalArchitecttoensuretheyfollowtheoriginaldesignintent.ConstructionPhase/KKSwillmakeperiodicsitevisitstoensurethattheconstructionisproceedingwithrespecttotheiroriginaldesignintent.SCOPEOFLANDSCAPEDESIGNKKSshallprovideconceptualdesign,schematicdesignanddesigndevelopmentforthefollowingitems.,FinishgradingofpedestrianpavementsandntingPedestrianLandscapewalls,stepsandrelatedsitestructuralelementsnotapartofthe行人景觀外墻臺(tái)階及有關(guān)的建地結(jié)構(gòu)元素ConceptDesignAfteryzingandclearlyunderstandingtheintentofarchitecturaldesignandthecharacteristicsofthesiteandsurroundingarea,KKSwillprepareconceptualdesigntoillustratethegeneralconceptoflandscapedesign.Forthisphase,thefollowingproductswillbeprepared/deliveredintheendofthisstep.在對(duì)建筑設(shè)計(jì)意向及施工地點(diǎn)和周邊環(huán)境的特征進(jìn)行分析了解之后,KKS會(huì)準(zhǔn)備概念設(shè)計(jì)以表達(dá)景觀設(shè)計(jì)的基本概念。此階段KKs將準(zhǔn)備以下資料并在此階段末期提供。CoverSiteIllustrativemasterGeneraldescriptiononlandscapeConceptoflandscapeKeypointsoflandscapeStructureofdesign SERVICESNOTTheservicesdescribedhereunderarenotincludedintheBasicProvidingfinancialfeasibilityorotherspecialProvidingnningsurveys,siteevaluationsorcomparativestudiesofprospectiveProvidingspecialsurveys,environmentalstudiesandsubmissionsrequiredforapprovalsof orothershavingjurisdictionovertheProjects提供關(guān)于本項(xiàng)目的，為得到或裁決機(jī)構(gòu)的同意所需要的特別測量，環(huán)境研究和提Providingservicesrelatedtofuturefacilities,systemsandProvidingservicestoinvestigateexistingconditionsorfacilitiesortomakemeasureddrawingsthereof,ortoverifytheaccuracyofdrawingsorotherinformationfurnishedbytheEmployer.提供以下的服務(wù)：原有的條件或設(shè)施，或?qū)⑵鋱D紙化。證實(shí)圖紙的或由業(yè)主提的其他的正確性ProvidingservicesofCivil,Structure,M/Econsultingandapplicationservicesandsubmissionworkforanypermitfromernment.Providinginteriordesignandothersimilarservicesrequiredfororinconnectionwiththeselection,procurementorinstallationoffurniture,furnishingsandrelatedProvidingservicesfornningtenantorrentalMakinginvestigations,inventoriesofmaterialsorequipment,orvaluationsanddetailedappraisalsofexistingfacilities,orestimationonenergy-saving.對(duì)材料和設(shè)備做出并提供詳 ，或?qū)逃性O(shè)備做出評(píng)估和估價(jià)，或節(jié)能的評(píng)估。Providingdetaildrawingsrelatedwithmanufacture’sshopdrawingssuchaswindows,curtainwalls,P.C.panels,systemceiling,raisedflooringetc.Providingadditionalsanddrawingswhicharenotlistedontheabovescopeofservices. OFLANGUAGE文件用語TheContract,drawingsandallsshallbewritteninEnglishand.BothEnglishandversionsarelegalized.Intheeventofanydiscrepancybetweenthetwoaforementionedversions,theversionshallprevail. THEOWNER'SANDKKS'S業(yè)主和KKS的責(zé)任TheOwnershallprovidesufficientinformationregardingrequirementsfortheProject,includingaprogramwhichshallsetforththeOwner'sobjectives,schedule,constraintsandcriteria,includingspacerequirementsandrelationships,flexibility,expandability,specialequipment,systemsandsiterequirements.TheOwnershallexaminetheoverallbudgetfortheProject,includingtheconstructioncost.TheOwnermaydesignate,whenitconsidersnecessary,arepresentativeauthorizedtoactontheOwner'sbehalfwithrespecttotheProject.TheOwnermayrestricttheauthorityoftherepresentativeuponsendingwrittennoticetoKKS.TheOwnerorsuchauthorizedrepresentativeshallexaminethessubmittedbyKKS,renderdecisionsinatimelymannertoavoidunnecessarydelayofscheduleandgivepromptwrittennoticetoKKSthecircumstanceswheneveranydefaultordefectintheProjectornonconformancewiththeContractsoccurs.在業(yè)主認(rèn)為必要時(shí)，可以指定代表業(yè)主的本項(xiàng)目代表。業(yè)主可憑給KKS的通知限制該代表的權(quán)限。業(yè)主或該代表應(yīng)檢查KKS提供的文件，及時(shí)作出決定以避免對(duì)工作進(jìn)度不必要的延遲，并應(yīng)立即向KKS發(fā)出通知，告知本項(xiàng)目在任AtthesuggestionofKKS,theOwnershallconsidertheservicesofotherconsultantsnecessaryfortheProject.根據(jù)KKSAllservices,information,surveysandreportsfurnishedbytheOwnershallbeathisexpenseandKKSshallperformitsservicesbasedthereon.業(yè)主提供的所有服務(wù)、信息、和報(bào)告的費(fèi)用都應(yīng)由業(yè)主負(fù)擔(dān)，并且KKS應(yīng)該在KKSshallexerciseallreasonableskill,careanddiligenceintheperformanceoftheservicestobeprovidedunderthisContractandshallcarryoutallitsresponsibilitiesinaccordancewithrecognizedprofessionalstandardsandthelawsoftherelevantKKS應(yīng)使用合理的技術(shù)，謹(jǐn)慎、勤勉地并按照公認(rèn)的專業(yè)標(biāo)準(zhǔn)和相關(guān)的適用法律履行KKSshallprovideatalltimessuitablyqualifiedandexperienced neltocarryouttheservicesunderthisContract.KKS在任何時(shí)候都應(yīng)提供適當(dāng)?shù)?，能勝任的和有?jīng)驗(yàn)的人員來提供本合同項(xiàng)下的服TheArchitecturalDesignServicesprovidedbyKKSshallbeapprovedinwrittenbythe,andacceptedinwrittenbytheHoOperatorifrequiredbythe.KKS所提供的建筑設(shè)計(jì)業(yè)務(wù)的成果，需得到業(yè)主之同意及需要,需要得到酒店管理之接受。 OWNERSHIPOFSAND文件的所有權(quán)和Alldrawingsand spreparedbyKKSinconnectionwiththeProjectshallbethepropertyoftheOwnerbutshallbecopyrightedbyKKSinsofarasthesameisbyKKSsubjecttotheirusebytheOwnerfortheProjecttowhichthisContractrelatesandtheOwnershallbeentitledeitherdirectlyorindirectlytomakeuseofsuch s,drawingsandspecificationsforthecarryingoutofsimilarworksonthissite.KKSKKS圖紙和文件的權(quán)利，其就應(yīng)屬于KKS，但該保留應(yīng)不影響業(yè)主為與本合同有關(guān)的本項(xiàng)目而對(duì)該圖紙和文件的使用。KKS應(yīng)授予業(yè)主，無論是直接的還是間接的，在用AnyreuseofdrawingsorsforwhichKKSreservescopyrightswithoutverificationoradaptationbyKKSforthespecificpurposesintendedshallbeattheOwner'ssoleriskandwithoutliabilityorlegalexposuretoKKS.如果業(yè)主將KKSKKS認(rèn)和同意，由此產(chǎn)生的一切風(fēng)險(xiǎn)應(yīng)由業(yè)主單獨(dú)承擔(dān)，KKS不負(fù)有任何責(zé)任，并且不應(yīng)KKShasresponsibleforprovidingprintabledigitalimagesandeditablecadformatfilestotheinallphases.KKS應(yīng)在各個(gè)階段提供可供打印的電子和可編輯cad文檔以供業(yè)主存檔使用 SETTLEMENTOFIfadisputearisesoutoforinrelationtotheContractbetweenKKSandOwner,orthebreachthereof,andifsaiddisputecannotbesettledthroughdirectdiscussions,unlessthepartiesmutuallyagreeotherwise,thepartiesagreetofirstendeavortosettlethedisputeinanamicablemannerbymediationbeforehavingrecoursetoarbitrationorjudicialforum.Alldisputes,controversiesordifferenceswhichmayarisebetweentheparties,outoforinrelationtoorinconnectionwiththiscontract,orforthebreachthereof,shallbefinallysettledbyarbitrationinInternationalEconomicTradeArbitrationCommissionXXXBranch,inaccordancewithLawsinandEnglishlanguages.Theawardrenderedbythearbitrator(s)shallbefinalandbindinguponbothpartiesconcerned.本合同雙方因本合同或與本合同有關(guān)的事項(xiàng)而可能產(chǎn)生的所有糾紛、或不同意見以及本合同的違約，應(yīng)按中國有關(guān)法律以中英文國際經(jīng)濟(jì)貿(mào)易仲裁總會(huì)以仲裁方式合同的終止和部分服務(wù)ThisContractmaybeterminatedbyeitherpartyuponthegivingofnotlessthan20days'writtennoticeintheeventofsubstantialfailurebytheotherpartytoperforminaccordancewiththetermshereofthroughnofaultoftheterminatingparty.Intheeventofterminationnotthefaultof對(duì)非因KKS的過錯(cuò)而導(dǎo)致本合同的終止AtthetimeiftheDesignworkhasnotstartedbyKKS,the10%ofdepositwhichhasbeenpaidtoKKSwillnotbereturned.IftheDesignservicehasbeenpartiallyprovidedbyKKStheownershouldpaytoKKSaccordingtotheactualtyofworkKKShascompleted:已提供了部分設(shè)計(jì)服務(wù)，業(yè)主應(yīng)根據(jù)KKS已進(jìn)行的實(shí)際工作量：Lessthanhalfcompletionofeachphase,theownershouldpayhalfofthedesignfeetoKKSaccordingtothephaseKKSisworking.MorethanhalfcompletionofeachphasetheownershouldpaythewholedesignfeetoKKSaccordingtothephaseKKSisworking.IfbythefaultofKKS,KKScannotproceedasstatedintheContract,KKSshouldreturntheadvancepaymentofthenextphase,whichhasalreadyreceived,totheowner.TheOwnershallbecompensatedanamounttobeagreedonbythetwopartiesinvolvedanddeterminedbyhowmuchoftheContracthasbeenperformed.KKSKKS不能提供本合同所述的服務(wù)，KKS應(yīng)返還預(yù)先收取的階段性
