廣義而言，法律文體通常包含憲法、法律、行政法規(guī)、條令、條例、條約、協(xié)議書(shū)、協(xié)議書(shū)、契約、遺囑、文憑、各類證書(shū)、規(guī)程等。這些內(nèi)容都以法律文書(shū)形式固定下來(lái)，即以文字形式固定下來(lái)。這類專用于法律文書(shū)語(yǔ)言，含有一定特點(diǎn)，所以稱為法律語(yǔ)言。法律語(yǔ)言含有權(quán)威性，它排斥多義與歧義。一些日常生活中使用普通用語(yǔ)在法律文體中有了更為明確概念含義。Infant：在法律上是指21歲或18歲以下人Demise：在日常英語(yǔ)中有許多意思，如死亡、終止、失敗、職位喪失等在法律上，它專指財(cái)產(chǎn)轉(zhuǎn)讓，或稱讓渡，或遺贈(zèng)，如指死亡亦是專指導(dǎo)起財(cái)產(chǎn)或權(quán)力轉(zhuǎn)讓死亡3/62

每一個(gè)法律術(shù)語(yǔ)只能表示一個(gè)特定法律概念。法律術(shù)語(yǔ)詞義必須單一而固定。任何人在任何情況下必須對(duì)其有同一解釋。不但法律專門術(shù)語(yǔ)要求詞義單一，由民族共同語(yǔ)轉(zhuǎn)化而來(lái)法律詞匯也必須表示單一法律概念。有些民族共同語(yǔ)屬于多義詞，不過(guò)其中一個(gè)義項(xiàng)在法律語(yǔ)境中有特定法律含義，這種法律詞匯也被稱為人工法律術(shù)語(yǔ)。比如“assignment”在法律語(yǔ)境下表示“權(quán)利或財(cái)產(chǎn)轉(zhuǎn)讓”，而不表示在日慣用語(yǔ)中“任務(wù)”含義，“deed”不是日常所說(shuō)“行為”而是指法律中“契約”。

法律文書(shū)語(yǔ)言是強(qiáng)調(diào)指稱功效，即強(qiáng)調(diào)其外延性意義。

因?yàn)橛h兩種語(yǔ)言結(jié)構(gòu)方式和表示方式上差異，在翻譯時(shí)既要注意保持原意又不使譯文過(guò)分艱澀難懂，讓譯文明確，又合乎法律文本規(guī)范，嚴(yán)謹(jǐn)而不死板。12/62

在句法方面，法律文體長(zhǎng)句多，幾十個(gè)字、上百個(gè)字長(zhǎng)句司空見(jiàn)慣。為了使話語(yǔ)嚴(yán)謹(jǐn)，使用各種附加語(yǔ)、修飾語(yǔ)、說(shuō)明語(yǔ)，以至句法成份前后編插、枝杈橫生，句子結(jié)構(gòu)膨脹，語(yǔ)法關(guān)系復(fù)雜化，又是讀起來(lái)不暢。行文中少用代詞，寧可重復(fù)名詞。

因?yàn)榉晌募饕窍旅罴白龀鲆?，所以法律文件謂語(yǔ)動(dòng)詞結(jié)構(gòu)比較簡(jiǎn)單，最常見(jiàn)是“應(yīng)該……”，“能夠……”,“必須……”,普通采取英文中與之對(duì)應(yīng)，也是英文法律英語(yǔ)慣用謂語(yǔ)動(dòng)詞結(jié)構(gòu)“should/shall/may+do/havedone/bedone”13/62對(duì)代詞嚴(yán)格限制法律英語(yǔ)中，指人或物詞往往重復(fù)，而不使用代詞，以防止代詞指代不明而引發(fā)不一樣了解與解釋。

48/6216.裝運(yùn)通知：

一俟裝載完成，賣方應(yīng)在＿＿小時(shí)內(nèi)以＿＿＿＿方式通知買方協(xié)議編號(hào)、品名、已發(fā)運(yùn)數(shù)量、發(fā)票總金額、毛重、船名/車/機(jī)號(hào)及啟程日期等。

17.質(zhì)量確保：

貨物品質(zhì)規(guī)格必須符合本協(xié)議及質(zhì)量確保書(shū)之要求，品質(zhì)確保期為貨到目標(biāo)港＿＿個(gè)月內(nèi)。在確保期限內(nèi)，因制造廠商在設(shè)計(jì)制造過(guò)程中缺點(diǎn)造成貨物損害應(yīng)由賣方負(fù)責(zé)賠償。

TheSellershall,immediatelyuponthecompletionoftheloadingofthegoods,advisetheBuyeroftheContractNo.,namesofcommodity,loadingquantity,invoicevalues,grossweight,nameofvesselandshipmentdateby_________within________hours.17.QualityGuarantee：

TheSellershallguaranteethatthecommoditymustbeinconformitywiththequatity,specificationsandquantityspecifiedinthisContractandLetterofQualityGuarantee.Theguaranteeperiodshallbe______monthsafterthearrivalofthegoodsattheportofdestination,andduringtheperiodtheSellershallberesponsibleforthedamageduetothedefectsindesigningandmanufacturingofthemanufacturer.

50/6218.檢驗(yàn)（以下兩項(xiàng)任選一項(xiàng)）：

（1）賣方須在裝運(yùn)前＿＿日委托＿＿＿＿＿＿檢驗(yàn)機(jī)構(gòu)對(duì)本協(xié)議之貨物進(jìn)行檢驗(yàn)并出具檢驗(yàn)證書(shū)，貨到目標(biāo)港后，由買方委托＿＿＿＿＿＿＿＿檢驗(yàn)機(jī)構(gòu)進(jìn)行檢驗(yàn)。

(2)發(fā)貨前，制造廠應(yīng)對(duì)貨物質(zhì)量、規(guī)格、性能和數(shù)量/重量作精密全方面檢驗(yàn)，出具檢驗(yàn)證實(shí)書(shū)，并說(shuō)明檢驗(yàn)技術(shù)數(shù)據(jù)和結(jié)論。貨到目標(biāo)港后，買方將申請(qǐng)中國(guó)商品檢驗(yàn)局(以下簡(jiǎn)稱商檢局)對(duì)貨物規(guī)格和數(shù)量/重量進(jìn)行檢驗(yàn)，如發(fā)覺(jué)貨物殘損或規(guī)格、數(shù)量與協(xié)議要求不符，除保險(xiǎn)企業(yè)或輪船企業(yè)責(zé)任外，買方得在貨物抵達(dá)目標(biāo)港后＿＿日內(nèi)憑商檢局出具檢驗(yàn)證書(shū)向賣方索賠或拒收該貨。在確保期內(nèi)，如貨物因?yàn)樵O(shè)計(jì)或制造上缺點(diǎn)而發(fā)生損壞或品質(zhì)和性能與協(xié)議要求不符時(shí)，買方將委托中國(guó)商檢局進(jìn)行檢驗(yàn)。

51/6218.Inspection：

（1）TheSellershallhavethegoodsinspectedby______daysbeforetheshipmentandhavetheInspectionCertificateissuedby____.TheBuyermayhavethegoodsreinspectedby________afterthegoods誥rrivalatthedestination.

(2)Themanufacturersshall,beforedelivery,makeapreciseandcomprehensiveinspectionofthegoodswithregardtoitsquality,specifications,performanceandquantity/weight,andissueinspectioncertificatescertifyingthetechnicaldataandconclusionoftheinspection.Afterarrivalofthegoodsattheportofdestination,theBuyershallapplytoChinaCommodityInspectionBureau(hereinafterreferredtoasCCIB)forafurtherinspectionastothespecificationsandquantity/weightofthegoods.52/62Ifdamagesofthegoodsarefound,orthespecificationsand/orquantityarenotinconformitywiththestipulationsinthisContract,exceptwhentheresponsibilitieslieswithInsuranceCompanyorShippingCompany,theBuyershall,within_____daysafterarrivalofthegoodsattheportofdestination,claimagainsttheSeller,orrejectthegoodsaccordingtotheinspectioncertificateissuedbyCCIB.Incaseofdamageofthegoodsincurredduetothedesignormanufacturedefectsand/orincasethequalityandperformancearenotinconformitywiththeContract,theBuyershall,duringtheguaranteeperiod,requestCCIBtomakeasurvey.

53/6219.索賠：

買方憑其委托檢驗(yàn)機(jī)構(gòu)出具檢驗(yàn)證實(shí)書(shū)向賣方提出索賠（包含換貨），由此引發(fā)全部費(fèi)用應(yīng)由賣方負(fù)擔(dān)。若賣方收到上述索賠后______天未予回復(fù)，則認(rèn)為賣方已接收買方索賠。

20.遲交貨與罰款:除協(xié)議第21條不可抗力原因外，如賣方不能按協(xié)議要求時(shí)間交貨，買方應(yīng)同意在賣方支付罰款條件下延期交貨。罰款可由議付銀行在議付貨款時(shí)扣除，罰款率按每＿＿天收＿＿%，不足＿＿天時(shí)以＿＿天計(jì)算。但罰款不得超出遲交貨物總價(jià)____%。如賣方延期交貨超出協(xié)議要求＿＿天時(shí)，買方有權(quán)撤消協(xié)議，此時(shí)，賣方仍應(yīng)不拖延地按上述要求向買方支付罰款。

買方有權(quán)對(duì)所以遭受其它損失向賣方提出索賠。54/6219.Claim：

ThebuyershallmakeaclaimagainsttheSeller(includingreplacementofthegoods)bythefurtherinspectioncertificateandalltheexpensesincurredtherefromshallbebornebytheSeller.TheclaimsmentionedaboveshallberegardedasbeingacceptediftheSellerfailtoreplywithin______daysaftertheSellerreceivedtheBuyer'sclaim.55/6220.LatedeliveryandPenalty:

ShouldtheSellerfailtomakedeliveryontimeasstipulatedintheContract,withtheexceptionofForceMajeurecausesspecifiedinClause21ofthisContract,theBuyershallagreetopostponethedeliveryontheconditionthattheSelleragreetopayapenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiation.Therateofpenaltyischargedat______%forevery______days,odddayslessthan_____daysshouldbecountedas______days.Butthepenalty,however,shallnotexceed_______%ofthetotalvalueofthegoodsinvolvedinthedelayeddelivery.IncasetheSellerfailtomakedelivery______dayslaterthanthetimeofshipmentstipulatedintheContract,theBuyershallhavetherighttocanceltheContractandtheSeller,inspiteofthecancellation,shallneverthelesspaytheaforesaidpenaltytotheBuyerwithoutdelay.

ThebuyershallhavetherighttolodgeaclaimagainsttheSellerforthelossessustainedifany.56/6221.不可抗力：

凡在制造或裝船運(yùn)輸過(guò)程中，因不可抗力致使賣方不能或推遲交貨時(shí)，賣方不負(fù)責(zé)任。在發(fā)生上述情況時(shí)，賣方應(yīng)馬上通知買方，并在＿＿天內(nèi)，給買方特快專遞一份由當(dāng)?shù)孛耖g商會(huì)簽發(fā)事故證實(shí)書(shū)。在此情況下，賣方仍有責(zé)任采取一切必要辦法加緊交貨。如事故延續(xù)＿＿天以上，買方有權(quán)撤消協(xié)議。

22.爭(zhēng)議處理:

凡因本協(xié)議引發(fā)或與本協(xié)議相關(guān)任何爭(zhēng)議應(yīng)協(xié)商處理。若協(xié)商不成，應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)深圳分會(huì)，按照申請(qǐng)仲裁時(shí)該會(huì)現(xiàn)行有效仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局，對(duì)雙方都有約束力。
