1 定義1.1 本協(xié)議下列術(shù)語應(yīng)解釋為:1）“協(xié)議”系指買賣雙方簽署的協(xié)議中載明的買賣雙方達(dá)成的協(xié)議，涉及所有的附件、附錄和上述文獻(xiàn)所提到的構(gòu)成協(xié)議的所有文獻(xiàn)，但各方在協(xié)議中明確指明不作為各方實(shí)質(zhì)性權(quán)利義務(wù)約定，而僅作為履行相關(guān)程序而訂立的格式文獻(xiàn)除外。2）“協(xié)議價(jià)”系指根據(jù)本協(xié)議規(guī)定賣方在對(duì)的地完全履行協(xié)議義務(wù)后買方應(yīng)支付給賣方的價(jià)格。3）“貨品”系指賣方根據(jù)本協(xié)議規(guī)定須向買方提供的一切設(shè)備、機(jī)械和/或其它材料。4）“隨著文獻(xiàn)”指依照中華人民共和國法律規(guī)定的本協(xié)議設(shè)備出廠時(shí)應(yīng)當(dāng)一并提供的文獻(xiàn)和資料，涉及安全技術(shù)規(guī)范規(guī)定的設(shè)計(jì)文獻(xiàn)、產(chǎn)品質(zhì)量合格證明、安裝及使用維修說明、辦理監(jiān)督檢查證明文獻(xiàn)所需的其他文獻(xiàn)。5）“隨著服務(wù)”系指根據(jù)本協(xié)議規(guī)定賣方承擔(dān)與供貨有關(guān)的輔助服務(wù)，如運(yùn)送、保險(xiǎn)以及其它的隨著服務(wù)，例如設(shè)計(jì)、安裝技術(shù)指導(dǎo)、調(diào)試、提供技術(shù)支持、培訓(xùn)和協(xié)議中規(guī)定賣方應(yīng)承擔(dān)的其它義務(wù)。6）“協(xié)議條款”系指本協(xié)議條款。7）“買方”系指在協(xié)議條款中指明的購買貨品和服務(wù)的單位，指四川省攀西靈山旅游投資開發(fā)有限公司。8）“賣方”系指在協(xié)議條款中指明的提供本協(xié)議項(xiàng)下貨品和服務(wù)的公司或?qū)嶓w，POMAGALSKI公司（以下簡(jiǎn)稱“波馬法國”）、波馬嘉仕其（北京）索道有限責(zé)任公司（以下簡(jiǎn)稱“波馬北京”）。9）“買方進(jìn)口代理”系指為買賣雙方本次設(shè)備進(jìn)口提供買方進(jìn)口代理服務(wù)的公司，指10）“項(xiàng)目現(xiàn)場(chǎng)”系指本協(xié)議項(xiàng)下貨品安裝、運(yùn)營的現(xiàn)場(chǎng)，指中國四川冕寧縣靈山景區(qū)索道的施工現(xiàn)場(chǎng)。11）“交貨現(xiàn)場(chǎng)”指中國四川冕寧縣靈山景區(qū)索道下站。12）“天”指日歷天數(shù)。13）“驗(yàn)收證書”指由中國國家客運(yùn)架空索道安全監(jiān)督檢查中心簽署的證明，以表達(dá)按照協(xié)議條款及附件所規(guī)定的協(xié)議設(shè)備安裝完畢且性能測(cè)試順利完畢，協(xié)議設(shè)備批準(zhǔn)投入使用的相關(guān)證明文獻(xiàn)。1DEFINITIONSInthiscontract,thefollowingtermsshallbeinterpretedasindicated:“TheContract”meanstheagreemententeredintobetweenTheBuyerandSeller,asrecordedintheContractsignedbytheparties,includingallattachmentsandappendicestheretoandalldocumentsincorporatedbyreferencetherein,withtheexceptionofthoseformatdocumentsasspecifiedintheagreementnotforsubstantialrightsandobligationbindingofthepartieswhereasforimplementingrelevantproceduresonly.“TheContractPrice”meansthepricepayabletoTheSellerbyTheBuyerundertheContractforthefullandproperperformanceofitscontractualobligations.“TheGoods”meansalloftheequipment,machinery,and/orothermaterials,whichTheSellerisrequiredtosupplytoTheBuyerundertheContract.“TheIncidentalDocuments”meansthosedocumentsandmaterialsthatshallbeprovidedwhenthecontractualequipmentleavesthefactoryinaccordancewiththelawsofPeople’sRepublicofChina,includingthedesigndocumentasrequiredbythesafetytechnicalcode,productqualityqualificationcertificate,installationusageandmaintenanceinstruction,andotherdocumentneededforsupervisioninspectiondocumentaryevidence.“TheIncidentalServices”meansthoseservicesancillarytothesupplyoftheGoods,suchastransportationandinsurance,andanyotherincidentalservices,suchasdesign,installationsupervision,commissioning,provision協(xié)議范圍2.1買方批準(zhǔn)從賣方購買，賣方批準(zhǔn)向買方提供協(xié)議設(shè)備:單線循環(huán)脫掛抱索器八人吊廂式索道一套（含配件和隨著文獻(xiàn)），以及使協(xié)議設(shè)備在現(xiàn)場(chǎng)能按照本協(xié)議及其附件的規(guī)定順利運(yùn)營（設(shè)備安裝中安裝方責(zé)任導(dǎo)致的問題除外）的涉及不限于該協(xié)議設(shè)備的設(shè)計(jì)、技術(shù)服務(wù)及技術(shù)培訓(xùn)、售后服務(wù)、質(zhì)量保證等附屬服務(wù)，本協(xié)議中統(tǒng)一稱為協(xié)議設(shè)備。2.2在初步設(shè)計(jì)的線路圖（見附件）請(qǐng)?zhí)顚懜郊幪?hào)所約定的上下站點(diǎn)不變的情況下，最終線路圖在不增長(zhǎng)吊箱數(shù)量和改變索道中心線的情況下，賣方將對(duì)協(xié)議設(shè)備及備件清單的完整性及準(zhǔn)確性負(fù)責(zé)，不因附件2、附件3、附件4、附件5（以下稱為“建議清單”）缺項(xiàng)＼漏項(xiàng)而免去責(zé)任，或規(guī)定增長(zhǎng)協(xié)議包干價(jià)款。在買方根據(jù)賣方提供的說明和手冊(cè)（涉及日記）恰本地安裝、操作和維護(hù)了協(xié)議設(shè)備、配件的情況下，如發(fā)現(xiàn)某些部件缺失（買方因素導(dǎo)致的丟失除外），賣方將無償?shù)?、及時(shí)地向買方提供缺失部件。若最終交貨范圍低于或少于建議清單的應(yīng)當(dāng)相應(yīng)減少協(xié)議價(jià)款。請(qǐng)?zhí)顚懜郊幪?hào)若最終線路圖需要增長(zhǎng)吊箱數(shù)量和索道中心線改變的，按照“建議清單”中分項(xiàng)報(bào)價(jià)擬定。2.3協(xié)議設(shè)備保質(zhì)期內(nèi)，因質(zhì)量問題不能正常使用的設(shè)備和配件賣方有義務(wù)免費(fèi)并及時(shí)的向買方提供，并按照規(guī)定提供售后服務(wù)。2.4根據(jù)買方規(guī)定，賣方有義務(wù)向買方提供協(xié)議設(shè)備保質(zhì)期屆滿后的設(shè)備、備件和售后服務(wù)，雙方屆時(shí)將另簽協(xié)議，但賣方保證給予中華人民共和國國內(nèi)客戶最優(yōu)惠條件。2.5備件和設(shè)計(jì)內(nèi)吊箱增補(bǔ)的賣方承諾：2.5.1增補(bǔ)的備件和吊箱，賣方應(yīng)當(dāng)按照協(xié)議質(zhì)保規(guī)定為其承擔(dān)質(zhì)保義務(wù)；2.5.2在備件和吊箱停止生產(chǎn)的情況下，賣方應(yīng)事先將要停止生產(chǎn)的計(jì)劃告知買方，使買方有足夠的時(shí)間采購所需的備件和吊箱；2.5.3在備件和吊箱停止生產(chǎn)后，假如買方規(guī)定，賣方應(yīng)免費(fèi)向買方提供備件的藍(lán)圖、圖紙、規(guī)格和材質(zhì)；2.6賣方應(yīng)當(dāng)對(duì)買方指定的安裝公司進(jìn)行具體的技術(shù)交底，并指派技術(shù)人員在項(xiàng)目現(xiàn)場(chǎng)對(duì)設(shè)備安裝進(jìn)行技術(shù)指導(dǎo)。2.SCOPEOFCONTRACT3原產(chǎn)地3.1本協(xié)議項(xiàng)下所提供的貨品及服務(wù)均應(yīng)來自于中華人民共和國或與中華人民共和國有正常貿(mào)易往來的國家和地區(qū)（以下簡(jiǎn)稱“合格來源國”）。3.2本條款所述的“原產(chǎn)地”是指貨品生產(chǎn)或提供有關(guān)服務(wù)的來源地。所述的“貨品”是指制造、加工或?qū)嵸|(zhì)上裝配了重要部件而形成的貨品。商業(yè)上公認(rèn)的產(chǎn)品是指在基本特性、性能或功能上與部件有著實(shí)質(zhì)性區(qū)別的產(chǎn)品。3.3貨品和服務(wù)的原產(chǎn)地有別于賣方的國籍。3COUNTRYOFORIGINrecognisedproductresultsthatissubstantiallydifferentinbasiccharacteristicsorinpurposeorutility4標(biāo)準(zhǔn)4.1 本協(xié)議下交付的貨品應(yīng)符合中華人民共和國有關(guān)客運(yùn)索道相關(guān)規(guī)定和標(biāo)準(zhǔn)。假如中華人民共和國內(nèi)沒有合用標(biāo)準(zhǔn)的，則應(yīng)符合貨品來源國合用的官方標(biāo)準(zhǔn)。這些標(biāo)準(zhǔn)必須是有關(guān)機(jī)構(gòu)發(fā)布的最新版本的標(biāo)準(zhǔn)。4.2 除非協(xié)議中另有規(guī)定，計(jì)量單位均采用中華人民共和國法定計(jì)量單位。4 STANDARDS4.1 TheGoodssuppliedunderthisContractshallconformtotherequirementsandstandardsrelatingtopassengerropewayoftheP.R.C.,and,whennoapplicablestandardismentionedinP.R.C.,totheauthoritativestandardsappropriatetotheGoods’countryoforigin.Suchstandardsshallbethelatestissuedbytheconcernedinstitution.4.2 AllmeasurementsshallbethemeasuringunitofficiallypublishedbyPRC,unlessotherwisespecifiedintheTechnicalSpecifications.5 使用協(xié)議文獻(xiàn)和資料5.1沒有其他方事先書面批準(zhǔn)，協(xié)議任何一方不得將由另一方提供的有關(guān)協(xié)議或任何協(xié)議條文、規(guī)格、計(jì)劃、圖紙、模型、樣品或資料提供應(yīng)與履行本協(xié)議無關(guān)的任何其別人。即使向與履行本協(xié)議有關(guān)的人員提供，也應(yīng)注意保密并限于履行協(xié)議必須的范圍。5.2沒有其他方事先書面批準(zhǔn)，除了履行本協(xié)議之外，協(xié)議任何一方不應(yīng)使用協(xié)議條款第5.1條所列舉的任何文獻(xiàn)和資料。5.3協(xié)議各方應(yīng)保護(hù)對(duì)方對(duì)所有違反本協(xié)議第五條規(guī)定使用技術(shù)文獻(xiàn)和資料的索賠并在向其提交此類索賠后三十天內(nèi)補(bǔ)償相稱于不妥使用文獻(xiàn)和/或資料當(dāng)時(shí)市值五倍的金額。5 USEOFCONTRACTDOCUMENTSANDINFORMATION5.1 Anypartyshallnot,withoutpriorwrittenconsentoftheotherparties,disclosetheContract,oranyprovisionthereof,oranyspecification,plan,drawing,pattern,sample,orinformationfurnishedbyoronbehalfofthepartyinconnectiontherewith,toanypersonotherthanapersonemployedbythemintheperformanceoftheContract.Disclosuretoanysuchemployedpersonshallbemadeinconfidenceandshallextendonlysofarasmaybenecessaryforpurposesofsuchperformance.5.2 Anypartyshallnot,withoutpriorwrittenconsentoftheotherparties,makeuseofanydocumentorinformationenumeratedinContractClause5.1exceptforpurposesofperformingtheContract.5.3 AllpartiesshallindemnifytheotherpartiesagainstallclaimsofinfringementarisingfromtheuseofdocumentsorinformationinviolationtoClause5oftheContractandshallpayacompensationwithinthirty(30)daysaftersuchclaimshandedovertotheotherpartiesintheamountofequaltofive(5)timesthemarketvalueofthegoodsrelatedtothedocumentsand/orinformationmisused.

6知識(shí)產(chǎn)權(quán)賣方應(yīng)保證，買方在中華人民共和國境內(nèi)使用該貨品或貨品的任何一部分時(shí)，免受第三方提出的侵犯其專利權(quán)、商標(biāo)權(quán)、知識(shí)產(chǎn)權(quán)及非專利技術(shù)等的起訴。6 INTELLECTUALPROPERTYTheSellershallindemnifytheBuyeragainstallthirdclaimsofinfringementofpatent,trademark,intelligencepropertyornon-patentrightsetc.arisingfromuseoftheGoodsoranypartthereofinthePRC.7設(shè)計(jì)及設(shè)計(jì)聯(lián)絡(luò)7.1買方應(yīng)當(dāng)按照中華人民共和國有關(guān)客運(yùn)索道設(shè)計(jì)規(guī)定提供附件2第三條第1款約定的設(shè)計(jì)實(shí)現(xiàn)。7.2進(jìn)度規(guī)定：7.2.1買方向賣方交付索道線路測(cè)量資料之日起30日內(nèi)，賣方應(yīng)當(dāng)向買方交付進(jìn)一步設(shè)計(jì)的線路圖，經(jīng)雙方會(huì)審并簽字確認(rèn)后，作為雙方認(rèn)定的最終線路圖。7.2.2最終線路圖確認(rèn)且買方向其提供地勘資料后60日內(nèi)，賣方應(yīng)當(dāng)向買方提交合格的支架基礎(chǔ)設(shè)計(jì)圖紙、站內(nèi)基礎(chǔ)設(shè)計(jì)圖紙、站房設(shè)備配置圖紙，以及該等圖紙相應(yīng)的施工圖紙。7.2.3在最終線路圖確認(rèn)且買方向其提供地勘資料之日起30日內(nèi)，賣方應(yīng)當(dāng)向國家客運(yùn)架空索道安全監(jiān)督檢查中心提供本項(xiàng)目設(shè)計(jì)審查所需要的所有資料，完畢并通過設(shè)計(jì)審查并承擔(dān)相應(yīng)費(fèi)用。7.3賣方明確并承諾因其對(duì)本項(xiàng)目支架、站內(nèi)基礎(chǔ)設(shè)計(jì)圖紙（含施工圖紙）的設(shè)計(jì)不具有中華人民共和國法律規(guī)定的相應(yīng)資質(zhì)，為此賣方負(fù)責(zé)將相應(yīng)設(shè)計(jì)內(nèi)容分包給具有相應(yīng)資質(zhì)的設(shè)計(jì)單位完畢并承擔(dān)相應(yīng)費(fèi)用，但賣方應(yīng)當(dāng)對(duì)分包單位的設(shè)計(jì)提供指導(dǎo)并對(duì)其設(shè)計(jì)責(zé)任承擔(dān)連帶責(zé)任。7.4設(shè)計(jì)成果的確認(rèn)和移交：7.4.1賣方完畢本項(xiàng)目的設(shè)計(jì)后，應(yīng)交由買方進(jìn)行書面確認(rèn)且接到買方的生產(chǎn)告知后方可用于本項(xiàng)目的設(shè)備生產(chǎn)。7.4.2設(shè)計(jì)成果涉及：7.4.3賣方應(yīng)將設(shè)計(jì)成果一式套，以書面和電子文檔的方式向買方移交。7.5最終圖紙確認(rèn)以后的設(shè)計(jì)變更7.5.1買方有權(quán)提出進(jìn)行設(shè)計(jì)修改和增補(bǔ)的意見，而賣方應(yīng)認(rèn)真對(duì)待，并盡量批準(zhǔn)意見。7.5.2因地質(zhì)情況不符合地勘資料而導(dǎo)致設(shè)計(jì)圖紙必須變更以及非因賣方因素導(dǎo)致的吊箱數(shù)量增長(zhǎng)和索道中心線變更除外，本項(xiàng)目任何設(shè)計(jì)變更導(dǎo)致的費(fèi)用增長(zhǎng)責(zé)任均應(yīng)當(dāng)由賣方承擔(dān)。7DESIGNANDDESIGNLIAISON7.1TheBuyershallprovide,inaccordancewiththerelevantdesignrequirementsofpassengerropewayofP.R.C.,designrealizationstipulatedinArticle3.1ofAppendix2.7.2ProgressRequirements7.2.1TheSellershallprovidetheBuyerwiththeprofilefurtherdesigned,within30daysaftertheBuyerprovidetheSellerwiththeropewayprofilemeasuringdocument.Thisfurther-designedprofileshallbeacceptedbybothpartiesasthefinalprofileafterjointreviewandsignaturebybothparties.7.2.2.TheSellershallprovidetheBuyerwiththequalifiedtowerfoundationdesigndrawing,in-stationfoundationdesigndrawing,stationequipmentlayoutdrawingandtheconstructiondrawingoftheaforesaiddrawings,within60daysafterthefinalprofileisconfirmedandtheBuyerprovidesthegeologicalsurveydocument.7.2.3TheSellershallprovidetoafterthefinalprofileisconfirmedandtheBuyerprovidesthegeologicalsurveydocument,8 協(xié)議價(jià)格:THECONTRACTPRICE:8.1：波馬法國部分：PortionofPOMAFrance:8.1.1協(xié)議價(jià)進(jìn)口部分包干總價(jià)為：4225000歐元，CIF重慶港，由以下部分組成：Theturnkeypricefortheimportedpartofthecontractualequipmentis4225000EURO(CIFTianjinPort),composedofthefollowingparts:8.1.2進(jìn)口設(shè)備范圍和標(biāo)準(zhǔn)不應(yīng)當(dāng)?shù)陀诟郊募s定。

ThescopeandstandardsoftheimportedequipmentshallnotbelowerthanthosestipulatedintheAppendix.8.2:波馬北京部分：PortionofPOMABJ:8.2.1協(xié)議價(jià)國內(nèi)部分包干總價(jià)為：大寫：，小寫：13000000元人民幣（貨到項(xiàng)目現(xiàn)場(chǎng)），由以下部分組成：（詳見附件3.2）TheturnkeypriceforthedomesticpartofthecontractualequipmentisRMB（deliverytotheprojectsite）,composedofthefollowingparts(refertoAppendix3,2):8.2.2國內(nèi)設(shè)備范圍和標(biāo)準(zhǔn)不應(yīng)當(dāng)?shù)陀诟郊募s定。

ThescopeandstandardsofthedomesticequipmentshallnotbelowerthanthosestipulatedintheAppendix.8.3本條確認(rèn)的包干價(jià)格包含了第二條協(xié)議范圍及其他條款約定的賣方義務(wù)的所有費(fèi)用。

ThetotalpriceconfirmedinthisclauseincludesalltheexpensesundertheSeller’sobligationstipulatedinArticle2ScopeofContractandotherclauses.8.4即便8.1.1約定為CIF重慶港，但雙方確認(rèn)進(jìn)口和國內(nèi)所有設(shè)備交貨地點(diǎn)均由賣方負(fù)責(zé)運(yùn)送至項(xiàng)目現(xiàn)場(chǎng)（索道下站或距離下站最近的集裝箱貨車所能到達(dá)的貨場(chǎng)。不涉及缷貨及二次轉(zhuǎn)運(yùn)費(fèi)用。)。

Althoughit’sstipulatedintheContractthattheimportedpartofthecontractualequipmentisCIF,bothpartiesconfirmthatthedeliveryplaceofallimportedanddomesticequipmentshallbedeliveredtotheprojectsitebytheSeller(bottomstationoftheropewayorgoodsyardaccessibletothetruckwithcontainersnearesttothebottomstation,notincludingunloadingandsecondtransportationexpenses)8.5波馬北京承諾：假如波馬法國未將協(xié)議設(shè)備保險(xiǎn)或運(yùn)送辦理至項(xiàng)目現(xiàn)場(chǎng)，則波馬北京負(fù)責(zé)以其名義辦理波馬法國協(xié)議設(shè)備到港之時(shí)至到達(dá)項(xiàng)目現(xiàn)場(chǎng)的保險(xiǎn)和運(yùn)送，并保證期間不存在任何也許導(dǎo)致風(fēng)險(xiǎn)的空隙，費(fèi)用涉及在進(jìn)口部分和國內(nèi)部分包干價(jià)格中。

POMABeijingshallpromisethatPOMABeijingshallhandleinthenameofPOMABeijingtheinsuranceandtransportationofPOMAFrance’sequipmentfromseaporttoprojectsiteandmakesurethereisnopossiblegapwhenrisksmayoccurduringthisperiod,ifPOMAFrancecannothandletheinsuranceandtransportationofthecontractualequipmenttotheprojectsiteduetotheCIFdescribedintheContract.9 生產(chǎn)國別和制造廠商：法國或其他歐盟國家，POMAGALSKI公司9 COUNTRYOFORIGINANDMANUFACTURERS：FranceortheotherEuropeanUnionCountries,POMAGALSKI.10 保險(xiǎn)及在途風(fēng)險(xiǎn)：10.1本協(xié)議下提供的貨品應(yīng)對(duì)其在制造、購置、運(yùn)送、存放及交貨過程中的丟失或損壞按本條款規(guī)定的方式，用協(xié)議貨幣進(jìn)行全面保險(xiǎn)。10.2賣方應(yīng)用協(xié)議貨幣辦理以發(fā)票金額百分之一百一十（110%）投保的一切險(xiǎn)和戰(zhàn)爭(zhēng)險(xiǎn)至交貨現(xiàn)場(chǎng)，并以買方為受益人，保險(xiǎn)費(fèi)用已包含在本協(xié)議價(jià)款中。10.3貨品至交貨現(xiàn)場(chǎng)后由買方承擔(dān)交付后的風(fēng)險(xiǎn)，如部分或所有貨品在運(yùn)送途中發(fā)生滅失或損毀，無論保險(xiǎn)理賠與否，賣方應(yīng)根據(jù)買方的規(guī)定先行按照原樣和原協(xié)議約定價(jià)款增補(bǔ)相應(yīng)貨品，以盡量減少對(duì)項(xiàng)目工期的影響，買方應(yīng)當(dāng)在獲得保險(xiǎn)公司理賠之日起五個(gè)工作日內(nèi)將該貨品相應(yīng)價(jià)款支付給賣方。10INSURANCEANDRISKSONTHEWAYOFTRANSPORTATION10.1TheGoodssuppliedundertheContractbySellershallbefullyinsuredinContractcurrencyagainstlossordamageincidentaltomanufacture,acquisition,transportation,storageanddeliveryinthemannerspecifiedinContract.10.2InsuranceistobeeffectedbytheSellerinContractcurrencyforonehundredandtenpercent(110%)invoicedvalueonan“allrisks”and“warrisk”basistodeliverysite.ThebeneficiaryshallbetheBuyer.10.3TheBuyershallbeartherisksafterthegoodsdeliveredtothedeliverysite.Incaseoflossordamageofpartorallthegoodsonthewayoftransportation,nomattertheinsurancesettlestheclaimornot,theBuyershallresendrelevantgoodsaspertheoriginalsampleandpricestipulatedintheoriginalcontractontherequirementsoftheBuyersoastoreducetheinfluencetotheprojectschedule.TheBuyershallpaytotheSellerthecorrespondingpriceofthegoodswithin5workingdaysaftertheBuyerreceivesthesettlementoftheclaimbytheinsurancecompany.11 包裝：11.1賣方應(yīng)提供貨品運(yùn)至協(xié)議規(guī)定的項(xiàng)目現(xiàn)場(chǎng)合需要的包裝，以防止貨品在轉(zhuǎn)運(yùn)中損壞或變質(zhì)。這類包裝應(yīng)采用防潮、防雨、防銹防腐蝕、防震動(dòng)及防止其它損壞的必要保護(hù)措施，從而保護(hù)貨品可以經(jīng)受必需的搬運(yùn)、裝卸及遠(yuǎn)洋和內(nèi)陸的長(zhǎng)途運(yùn)送。賣方應(yīng)承擔(dān)由于其包裝或其防護(hù)措施不妥而引起貨品銹蝕、損壞和丟失的任何損失的責(zé)任。11.2貨品嚴(yán)禁采用松木類包裝，如包裝材料為其他木質(zhì)品，則該木質(zhì)包裝必須通過制造商所在國的IPPC（國際植物保護(hù)組織）機(jī)構(gòu)的熏蒸解決，并在包裝箱外部顯著位置蓋有IPPC標(biāo)志。11.3為考慮運(yùn)送方便，上站和線路設(shè)備（鋼絲繩除外）的單件重量不得超過4噸。11.4鋼絲繩使用鋼卷筒包裝，分兩段同時(shí)交貨。11PACKING11.1TheSellershallprovideproperpackingforthegoodsdeliveredtotheprojectsiteasstipulatedintheContract.ThepackingshallpreventthegoodsfromdamageordeteriorationduringthetransferandshalltakenecessaryprotectionmeasurestoprotecttheContractGoodsfrommoisture,rain,rust,corrosionandshock,andotherdamagesoastomakethegoodsendurablewithnecessaryhandling,loadingandunloadingaswellaslong-distanceseaandinlandtransportations.TheSellershallbeliableforanyrust,damageandlosscausedbyinadequateorimproperpackingprovidedbytheSeller.11.2Thegoodsareprohibitedfrombeingpackedwithpinewood.Ifthepackagesaremadeinwoodenmaterialexceptpinelikewood,theyneedtobefumigatingtreatedbyIPPC(InternationalPlantProtectionConvention)locatedinthemanufacturer’scountryandmarkedatnotablepositionofoutsideoftheboxwiththewordsI.P.P.C.11.3Fortheeasiertransport,theweightofasinglepieceofequipmentforthelineandtopstationshouldnotexceed4tons,withtheexceptionofsteelwirerope.11.4Thesteelwireropeshallbepackedwithsteeldrumanddeliveredintwopiecesinoneshipment.12 裝運(yùn)標(biāo)記12.1賣方應(yīng)在每包裝箱相鄰的四周用不可擦除的油漆和明顯做出以下標(biāo)記（進(jìn)口部分標(biāo)注英文）：收貨人:協(xié)議號(hào):發(fā)貨標(biāo)記（嘜頭）: 收貨人編號(hào):目的港:貨品名稱、品目號(hào)和箱號(hào)毛重/凈重（用kg表達(dá)）尺寸（長(zhǎng)×寬×高，用cm表達(dá)）12.2假如單件包裝箱的重量在2噸或2噸以上，賣方應(yīng)在包裝箱兩側(cè)用英語和國際貿(mào)易通用的運(yùn)送標(biāo)記標(biāo)注“重心”和“起吊點(diǎn)”以便裝卸和搬運(yùn)。根據(jù)貨品的特點(diǎn)和運(yùn)送的不同規(guī)定，賣方應(yīng)在包裝箱上清楚地標(biāo)注“小心輕放”、“此端朝上，請(qǐng)勿倒置”、“保持干燥”等字樣和其他國際貿(mào)易中使用的適當(dāng)標(biāo)記。12MARKINGFORSHIPMENT12.1TheSellershallmarkthefollowingonthefouradjacentsidesofeachpackagewithindeliblepaintinconspicuousEnglishprintedwords:

1):::::packagesshallbemarkedlegiblybytheSellerwithwords"HandlewithCare","Rightside13裝運(yùn)條件：13.1賣方應(yīng)負(fù)責(zé)安排訂艙位、運(yùn)送和支付運(yùn)費(fèi)，以保證按照協(xié)議規(guī)定的交貨期交貨。13.2進(jìn)口設(shè)備貨品應(yīng)用集裝箱運(yùn)送。鋼絲繩用托盤運(yùn)送，賣方應(yīng)采用有效的防護(hù)措施。13.3承運(yùn)的船只應(yīng)來自合格來源國。13.4賣方裝運(yùn)的貨品不應(yīng)超過協(xié)議規(guī)定的數(shù)量或重量。否則，買方對(duì)由此產(chǎn)生的一切費(fèi)用和后果不承擔(dān)責(zé)任。13TERMSOFDELIVERY13.1TheSellershallberesponsibleforbookingshippingspaceandarrangingtheshipmentandshallpayforthefreight,soastoensurethattheGoodswillbedeliveredaccordingtothetimeschedulestipulatedintheContract.13.2Theimportedgoodsshallbepackedincontainersfortransportation,exceptthesteelwireropewhichshallbeontheflatcontainer,theSellershalltakeeffectiveprotectionmeasures.13.3Theshipmentshallbecarriedbyvesselbelongingtoeligiblesourcecountries.13.6TheSellershallnotshipmorethantheContractedquantityorweight.Ifso,theBuyershallnotberesponsibleforanycostorotherconsequencerosefromshipmentofexcessivequantitiesorweight.14 裝運(yùn)告知：14.1賣方應(yīng)在接到買方的生產(chǎn)告知后30日內(nèi)，將具體交貨計(jì)劃通過傳真或郵件提交給買方，具體交貨計(jì)劃若未能取得買方認(rèn)可的，雙方應(yīng)當(dāng)按照附件約定的交貨期間完畢交貨。交貨計(jì)劃技術(shù)附件是否已經(jīng)清楚明確？務(wù)必明確交貨期！交貨計(jì)劃技術(shù)附件是否已經(jīng)清楚明確？務(wù)必明確交貨期！14.2賣方應(yīng)在發(fā)運(yùn)前十五（15）天內(nèi)以傳真形式將協(xié)議號(hào)、貨品名稱、數(shù)量、箱數(shù)、總毛重、總體積（用m3表達(dá)）和在裝運(yùn)口岸備妥待運(yùn)日期告知買方，同時(shí)，賣方應(yīng)用航空快件把具體的貨品清單一式五（5）份，涉及協(xié)議號(hào)、貨品名稱、規(guī)格、數(shù)量、總體積（用m3表達(dá)）、每箱尺寸（長(zhǎng)×寬×高）、單價(jià)、總金額、啟運(yùn)口岸、備妥待運(yùn)日期和貨品在運(yùn)送、儲(chǔ)存中的特殊規(guī)定和注意事項(xiàng)等寄給買方。14.3賣方應(yīng)在貨品裝完后并收到文獻(xiàn)后立即以傳真形式將協(xié)議號(hào)、貨品名稱、數(shù)量、總毛重、體積（用m3表達(dá)）、發(fā)票金額、運(yùn)送工具名稱及啟運(yùn)日期告知買方。假如每個(gè)包裝箱的體積達(dá)成或超過長(zhǎng)12米（m），寬2.7米（m）和高3米（m），賣方應(yīng)將每個(gè)包裝箱的重量和體積告知買方，易燃品或危險(xiǎn)品的細(xì)節(jié)還應(yīng)另行注明。14SHIPPINGADVICE:14.1 TheSellershall,within30daysafterreceivingtheproductionnoticefromtheBuyer,providetheBuyerbyfaxoremaildetailedshipmentschedule.14.2TheSellershall,withinfifteen(15)daysaheadofseashipment,notifytheBuyerbyfaxofContractNo.,nameofGoods,quantity,numberofpackages,totalgrossweight,totalvolume(m3)incubicmetersandthedateofreadinessforshipmentattheportofloading.Atthesametime,theSellershallsendtotheBuyerbycourierfivecopiesofdetailedlistoftheGoods,includingContractNo.,nameofGoods,specification,quantity,totalvolume(m3)anddimensionofeachpackage(length×width×height),unitandtotalprice,portofshipmentanddateofreadinessforshipment,andanyspecialrequirementsorattentionneededfortheGoodsduringtransportationandstorage.14.3 TheSellershallaftercompletingofloadingoftheGoodsandreceivingdocuments,withoutdelaynotifytheBuyerbyfaxofContractNo.,nameofGoods,quantity,grossweight,volume(m3)incubicmeters,invoicedvalue,nameofcarryingvessel/aircraftanddateofitssailing/flight.Ifapackagedimensionsreachorexceedtwelve(12)metersinlength,twopointseven(2.7)metersinwidthandthree(3)metersinheight,theSellershalladvisetheBuyeroftheweightandmeasurementofeachpackage.ThedetailsofflammableanddangerousGoods,ifany,shallalsobeindicated.15 隨著服務(wù)15.1協(xié)議所述的隨著服務(wù)含在協(xié)議總價(jià)中。15.2賣方應(yīng)按協(xié)議條款和技術(shù)附件中規(guī)定提供涉及不限于下列服務(wù)：15.2.1對(duì)協(xié)議設(shè)備的現(xiàn)場(chǎng)組裝、安裝進(jìn)行技術(shù)指導(dǎo)；15.2.2對(duì)協(xié)議設(shè)備調(diào)試和試運(yùn)營提供技術(shù)指導(dǎo)；15.2.3提供設(shè)備安裝和調(diào)試中所需的工具，詳見附件5。15.2.4為所供貨品的每臺(tái)重要設(shè)備提供具體的操作和維護(hù)手冊(cè)（含中文版）；15.2.4對(duì)所供貨品實(shí)行技術(shù)指導(dǎo)，維護(hù)或修理，且該服務(wù)并不能免去賣方在協(xié)議保證期內(nèi)所承擔(dān)的義務(wù)；15.2.6在賣方廠家和/或在項(xiàng)目現(xiàn)場(chǎng)就所供貨品的組裝、試運(yùn)營、運(yùn)營、維護(hù)和/或修理對(duì)買方人員進(jìn)行培訓(xùn)。15.2.7一次主鋼絲繩編接。15.2.8根據(jù)買方告知，免費(fèi)提供一次鋼繩二次截短服務(wù)，工期不超過3天。15.2.9機(jī)械和電氣安裝技術(shù)指導(dǎo)。15.2.10負(fù)荷試車技術(shù)指導(dǎo)15.2.11質(zhì)保期內(nèi)，接到買方告知后一周內(nèi)，免費(fèi)調(diào)整張緊系統(tǒng)一次。15INCIDENTALSERVICES15.1TheincidentalservicesasdescribedintheContractareincludedinthetotalcontractprice.15.2TheSellershallprovideservicesinaccordancewiththeclausesintheContractandstipulationsinthetechnicalappendix.Theservicesincludebutnotlimitedtothefollowing:15.2.1Technicalsupervisiononthesiteassemblingandinstallationofthecontractualequipment.15.2.2Technicalsupervisiononthecommissioningandtrailrunofthecontractualequipment.15.2.3Providenecessarytoolsforequipmentinstallationandcommissioning.RefertoAppendixProvidedetailedoperationandmaintenancemanual(includingChineseversion)ofthemainequipmentoftheGoodssupplied.15.2.5Providetechnicalsupervision,maintenanceorrepairforthegoodssupplied,ThatserviceshallnotexempttheSellerfromtheobligationsundertheContractwithinthewarrantyperiod.15.2.6TraintheBuyer’sstaffontheassembling,testrun,operation,maintenanceand/orrepairofthegoodssuppliedintheSeller’sfactoryand/orontheprojectsite.15.2.7Onetimesteelwireropesplicing.15.2.8ProvidefreeofchargefirstsplicingandsecondshorteningserviceuponthenoticefromtheBuyer,theconstructionperiodshallbelesthanthreedays.15.2.9Mechanicalandelectricalinstallationsupervision15.2.10Technicalsupervisiononloadedcartest.15.2.11Duringthewarrantyperiod,adjustfreeofchargethetensioningsystemforonetimewithinoneweekafterreceivingthenoticefromtheBuyer.16 備件和設(shè)計(jì)內(nèi)吊箱16.1賣方按照協(xié)議附件中的規(guī)定提供所需的備件。16.2備件和設(shè)計(jì)最終最高運(yùn)量?jī)?nèi)吊箱采購按照協(xié)議第2條約定。16SPAREPARTSANDGONDOLASINDESIGN16.1TheSellershallprovidethenecessarysparepartsinaccordancewiththestipulationsoftheAppendixundertheContract.

16.2TheprocurementofthesparepartsandgondolasforthedesignedfinalmaximumcapacityshallbestipulatedinaccordancewithClause2underthisContract.17檢查和測(cè)試17.1在交貨前，賣方應(yīng)對(duì)貨品的質(zhì)量、規(guī)格、性能、數(shù)量和重量等進(jìn)行具體而全面的檢查，并出具一份證明貨品符合協(xié)議規(guī)定的檢查證書，檢查證書是付款時(shí)提交給議付行的文獻(xiàn)的一個(gè)組成部分，但不能作為有關(guān)質(zhì)量、規(guī)格、性能、數(shù)量或重量的最終檢查。賣方檢查的結(jié)果和細(xì)節(jié)應(yīng)附在質(zhì)量檢查證書后面。17.2買方有權(quán)在接受貨品時(shí)檢查和/或測(cè)試貨品，以確認(rèn)貨品是否符合協(xié)議規(guī)格的規(guī)定。17.3檢查和測(cè)試可以在賣方或供貨商的駐地、交貨地點(diǎn)和/或貨品的最終目的地進(jìn)行。17.4 假如任何被檢查或測(cè)試的貨品不能滿足規(guī)格的規(guī)定，買方可以拒絕接受該貨品，賣方應(yīng)更換被拒絕的貨品以滿足協(xié)議的規(guī)定。17.5 買方在貨品到達(dá)現(xiàn)場(chǎng)后對(duì)貨品進(jìn)行檢查、測(cè)試及因貨品不滿足協(xié)議規(guī)定期拒絕接受貨品的權(quán)力將不會(huì)由于貨品在歷來源國啟運(yùn)前通過了買方或其代表的檢查、測(cè)試和認(rèn)可而受到限制或放棄。17.6 協(xié)議條款第18條的規(guī)定不能免去賣方在協(xié)議項(xiàng)下的保證義務(wù)或其他義務(wù)。17INSPECTIONSANDTEST17.1TheSellershallconductadetailedandoverallinspectiontothequality,specification,performance,quantityandweightetc.oftheGoodsbeforedeliveryandissueacertificateofinspectionprovingthattheGoodsconformtothestipulationsoftheContract.Thecertificateofinspectionisoneofthedocumentsthatshallbesubmittedtothenegotiatingbankwhenmakingthepayment.Thecertificateofinspectionisnotthefinalinspectionoftherelevantquality,specification,performance,quantityorweight.TheSellershallattachtheresultsanddetailsoftheinspectiontothecertificateofinspection.17.2TheBuyershallhavetherighttoinspectand/ortotesttheGoodsifitconfirmstotheContractspecifications.17.3TheinspectionsandtestsmaybeconductedonthepremisesoftheSellerorsubsupplier(s),atpointofdelivery,and/orattheGoods'finaldestination.17.4ShouldanyinspectedortestedGoodsfailtoconformtotheSpecifications,theBuyermayrejecttheGoods,andtheSellershallreplacetherejectedGoodstomeettherequirementsoftheContract.17.5TheBuyer'srighttoinspect,testand,wherenecessary,rejecttheGoodsaftertheGoods'arrivalatthesiteshallinnowaybelimitedorwaivedbyreasonoftheGoodshavingpreviouslybeeninspected,tested,andpassedbytheBuyeroritsrepresentativepriortotheGoods'shipmentfromthecountryoforigin.17.618質(zhì)量保證及履約保證18.1賣方應(yīng)保證協(xié)議項(xiàng)下所供貨品是全新的、未使用過的，是賣方目前能提供最先進(jìn)的技術(shù)和設(shè)備。賣方進(jìn)一步保證，協(xié)議項(xiàng)下提供的所有貨品沒有設(shè)計(jì)、材料或工藝上的缺陷，并且沒有因賣方的行為或疏忽而產(chǎn)生的缺陷，這些缺陷是所供貨品在最終目的地國家現(xiàn)行條件下正常使用也許產(chǎn)生的。假如賣方對(duì)上述情況負(fù)有責(zé)任，并且買方在協(xié)議條款規(guī)定的檢查、安裝、調(diào)試、驗(yàn)收期間和質(zhì)量保證期內(nèi)提出了索賠，賣方應(yīng)按照買方批準(zhǔn)的下列一種或幾種方式結(jié)合起來解決索賠事宜：18.1.1賣方批準(zhǔn)退貨并用協(xié)議規(guī)定的貨幣將貨款退還給買方或買方，并承擔(dān)由此發(fā)生的一切損失和費(fèi)用，涉及利息、銀行手續(xù)費(fèi)、運(yùn)費(fèi)、保險(xiǎn)費(fèi)、檢查費(fèi)、倉儲(chǔ)費(fèi)、裝卸費(fèi)以及為看管和保護(hù)退回貨品所需的其它必要費(fèi)用。18.1.2根據(jù)貨品的偏差情況、損壞限度以及買方所遭受損失的金額，經(jīng)買賣雙方商定減少貨品的價(jià)格。18.1.3用符合協(xié)議規(guī)定的規(guī)格，質(zhì)量和性能規(guī)定的新零件、部件和/或設(shè)備來更換有缺陷的部分和/或修補(bǔ)缺陷部分，賣方應(yīng)承擔(dān)一切費(fèi)用和風(fēng)險(xiǎn)并承擔(dān)買方蒙受的所有直接損失費(fèi)用。同時(shí)賣方應(yīng)根據(jù)協(xié)議條款規(guī)定，相應(yīng)延長(zhǎng)所更換貨品的質(zhì)量保證期。18.2質(zhì)量保證期為買賣雙方人員驗(yàn)收協(xié)議簽署之日起的12個(gè)月，更換和維修的設(shè)備質(zhì)保期為更換和維修該設(shè)備后的12個(gè)月。18.3質(zhì)保期內(nèi)所發(fā)現(xiàn)的缺陷買方應(yīng)盡快以書面形式告知賣方。18.4質(zhì)保期內(nèi)，設(shè)備發(fā)生故障時(shí)，賣方在24小時(shí)內(nèi)響應(yīng)，72小時(shí)內(nèi)技術(shù)人員到達(dá)現(xiàn)場(chǎng)檢查，賣方應(yīng)承擔(dān)由此產(chǎn)生的所有費(fèi)用。18.5假如賣方收到告知后72小時(shí)內(nèi)沒有采用有效措施，買方可采用必要的補(bǔ)救措施，但其風(fēng)險(xiǎn)和費(fèi)用將由賣方承擔(dān)，買方根據(jù)協(xié)議規(guī)定對(duì)賣方行使的其他權(quán)利不受影響。18.6若在協(xié)議設(shè)備建設(shè)期間，由于賣方因素而導(dǎo)致賣方技術(shù)文獻(xiàn)錯(cuò)誤或內(nèi)容缺失，賣方應(yīng)在最短的合理期限內(nèi)予以更正或補(bǔ)充。買方有權(quán)向賣方提出索賠。18.7假如在安裝，調(diào)試和性能測(cè)試和保質(zhì)期中，因賣方因素導(dǎo)致協(xié)議設(shè)備及材料出現(xiàn)了細(xì)小缺陷，賣方可以書面形式委托買方予以解決。由此產(chǎn)生的費(fèi)用由賣方向買方支付。假如損壞是由于買方技術(shù)人員沒有按照賣方提供的對(duì)的的技術(shù)文獻(xiàn)和/或技術(shù)指導(dǎo)和或操作手冊(cè)而導(dǎo)致，買方應(yīng)承擔(dān)一切維修或更換費(fèi)用，賣方有義務(wù)協(xié)助買方。18.8在質(zhì)保期內(nèi)，假如協(xié)議設(shè)備由于賣方發(fā)貨的失誤而導(dǎo)致有任何的缺陷，買方應(yīng)立即告知賣方，如為賣方的責(zé)任，一旦收到買方索賠告知，賣方應(yīng)在買方幫助下盡快免費(fèi)更換或維修，并承擔(dān)更換部件的運(yùn)費(fèi)和風(fēng)險(xiǎn)送達(dá)項(xiàng)目現(xiàn)場(chǎng)。18.9在質(zhì)保期內(nèi)，協(xié)議設(shè)備損壞需維修或更換而停工5日及以上，設(shè)備質(zhì)保期按實(shí)際停工時(shí)間相應(yīng)延長(zhǎng)。18.10對(duì)賣方交付的系統(tǒng)所進(jìn)行的任何修改和/或修理應(yīng)由通過培訓(xùn)合格的人員執(zhí)行。18.11按照各方的職責(zé)劃分，各自對(duì)提供的測(cè)量資料、地質(zhì)報(bào)告、設(shè)計(jì)文獻(xiàn)、圖紙等技術(shù)文獻(xiàn)/資料負(fù)責(zé)；各方?jīng)]有責(zé)任檢查其他方提供的文獻(xiàn)/資料的對(duì)的性，但是各方均有責(zé)任提醒其他方文獻(xiàn)/資料中的錯(cuò)誤。18.12保證責(zé)任不合用于由于用戶不遵守有效的操作、服務(wù)和維護(hù)手冊(cè)以及不適當(dāng)?shù)氖褂?。`18.13波馬嘉仕其（北京）索道有限責(zé)任公司和POMAGALSKI公司應(yīng)對(duì)本協(xié)議項(xiàng)下的所有賣方義務(wù)承擔(dān)連帶保證責(zé)任。18WARRANTYANDPERFORMANCEGUARANTEEomissionoftheSellerthatmaydevelopundernormaluseofthesuppliedGoodsintheconditionsprevailinginthecountryoffinaldestination.IncasetheSellerisliablefortheabovementionedsituationandaclaimislodgedbytheBuyerwithinthetimelimitofinspection,erection,commissioning,acceptancetestandthewarrantyperiodasstipulatedintheContract,theSellershallsettletheclaimwiththeagreementoftheBuyerinoneoracombinationofthefollowingways:18.1.1AgreetotherejectionoftheContractEquipmentandrefundtotheBuyerthevalueoftheContractEquipmentsorejectedinthesamecurrencyasspecifiedintheContractandtobearthelossesandexpensesincurredincludinginterest,accruedbankingcharges,freightandinsurancepremiums,inspectioncharges,storage,stevedorechargesandothernecessaryexpensesrequiredforthecustodyandprotectionoftherejectedContractEquipment.18.1.2DevaluetheContractEquipmentaccordingtothedegreeofinferiority,extentofdamageandamountoflossessufferedbytheBuyer,asagreedbetweentheBuyerandtheSeller.18.1.3ReplacethedefectiveContractEquipmentwithnewparts,componentsand/orequipmentwhichconformtothespecifications,qualityandperformanceasspecifiedintheContract,and/orrepairthedefectiveContractEquipmentattheSeller’sexpensesandrisksandbearalldirectlyrelatedexpensessustainedbytheBuyer.TheSellershallatthesametimeguaranteethequalityofthereplacedContractEquipmentforafurthercorrespondingperiodaccordingtothecontract.18.2Thiswarrantyshallbe12monthsfromdateofAcceptanceagreementsingedbybothparties.Thewarrantyperiodforthereplacedandrepairedequipmentshallbe12monthsaftertheequipmentreplacementandrepair.18.3TheBuyershallpromptlynotifytheSellerinwritingofanydefectswithinthewarrantyperiod.18.4Duringwarrantyperiod,theSellershallrespondtotheclaimsoftheUserwithin24hourswhenthereisanequipmentfault,technicalpersonneltobeonsiteforexaminationwithin72hours,allthechargesshallbebornebytheSeller.18.5IftheSellerfailstotakeremedialactionwithin72hoursafterreceivingthenotification,theBuyermayproceedtotakesuchremedialaction,attheSeller'sriskandexpenseandwithoutprejudicetoanyotherrights,whichtheBuyermayhaveagainsttheSellerundertheContract.18.6DuringtheconstructionperiodoftheContractEquipment,theSellershallcorrectorsupplementwithintheshortestreasonableperiodthemistakesorcontentomissionsintheSeller’stechnicaldocumentcausedbytheSellerreason.TheBuyerhastherighttoraisecompensationtotheSeller.18.7ShouldanyminordefectstotheCONTRACTEQUIPMENTandmaterialsbefoundinthecourseoftheErection,Commissioning,Performance-TestandwarrantyperiodduetotheSELLER’sresponsibility,theSELLERmayentrustsucheliminationoftheminordefectsattheSITEtotheBUYERinwrittenform.TheexpensesthusincurredshallbebornebytheSELLER.IncasethedamagestotheCONTRACTEQUIPMENTareduetothefactthattheBUYER’stechnicalpersonnelhavenotfollowedtheSELLER’sDocumentationand/orthe
