六、加班費OTCompensation

乙方經(jīng)甲方批準(zhǔn)在工作日加班，甲方必須支付給乙方基本工資150%的報酬;休息日被安排工作而甲方又不能夠給予乙方同等時間的補休，則甲方須支付給乙方基本工資200%的報酬;若在國家法定休假日被安排工作,甲方付給乙方基本工資300%的報酬。

九、保密協(xié)議Confidentiality

乙方需嚴(yán)格保守工作過程中接觸和了解到的公司商業(yè)秘密(包括生產(chǎn)技巧、工藝流程、技術(shù)秘密、管理方法、產(chǎn)銷策略、貨源情報、設(shè)計圖紙、成本價格和客戶資料)，否則將受到行政處罰(如無條件解雇、賠償?shù)?;觸犯刑法的，甲方將有權(quán)移交司法機(jī)關(guān)處理。乙方調(diào)離甲方，應(yīng)得到甲方同意，并將所有商業(yè)秘密資料移交甲方，同時承擔(dān)不向外泄露的義務(wù)，并保證半年內(nèi)不得利用甲方商業(yè)秘密在生產(chǎn)同類且與甲方有競爭關(guān)系的產(chǎn)品的其他企業(yè)內(nèi)任職。否則，甲方有權(quán)要求乙方賠償因此而帶來的一切經(jīng)濟(jì)損失。

十、合同終止Termination

A.試用期間，雙方皆可即時通知對方解除本合同;

B.試用期滿后，任何一方欲解除合同，須提前三十日以書面形式通知對方。否則，違約方須向守約方支付違約金(違約金為乙方一個月的工資)，若造成守約方經(jīng)濟(jì)損失的，應(yīng)依法承擔(dān)賠償責(zé)任。

6、產(chǎn)品支持文件：是指任何產(chǎn)品說明書、圖紙、電路圖、用戶手冊、市場推廣材料、合格證及其他類似的文件資料。

ProductSupportingDocumentmeansinstruction,drawing,circuitdiagram,user’smanual,marketingmaterials,qualitycertificateandanyothersimilardocumentinformationforanyproducts.

二、采購合同效力：EffectofProcurementContract::

1、本合同的條款和條件均適用于依據(jù)本合同所制定生效的附則、訂單、報價單及補充協(xié)議、相關(guān)修訂書。供方和需方將就需方依據(jù)本合同采購的不同產(chǎn)品的價格、技術(shù)規(guī)定、品質(zhì)標(biāo)準(zhǔn)及維修服務(wù)另行簽訂附則，作為本合同的補充。

Thetermsandconditionnsunderthiscontractareapplicabletosupplementaryarticles,order,pricequotationsheetandsupplementaryagreementandtheirrelevantrevisionsenteredintoandvalidatedunderthiscontract.Supplementaryarticlesconcerningprice,technicalspecification,qualitystandardandmaintenanceserviceforvariousproductsshallbeenteredintobytheSupplierandDemanderinaccordancewiththiscontract,whichshallactasthesupplementtothiscontract.

2、本合同的簽署并不表明需方有義務(wù)購買供方的產(chǎn)品，本合同也不限制需方向其他貨源采購與供方所提供產(chǎn)品相同或類似的產(chǎn)品。需方采購供方產(chǎn)品的義務(wù)僅在生效訂單下才對需方有法律約束力。

ThesignatureofthiscontractdoesnotimplythattheDemanderisliableforpurchasingproductsfromtheSupplier,norrestrictstheDemandertopurchasetheproductsidenticalorsimilartotheSupplier’sfromsourcesotherthantheSupplier.TheDemanderisonlylegallybounduponplacementofeffectiveorderforproductsfromtheSupplier.

三、價格及付款：PriceandPayment:

1、需方向供方提供產(chǎn)品報價單格式。供方在雙方約定或需方要求的期限內(nèi)，根據(jù)需方所提供的報價單格式填寫相應(yīng)內(nèi)容并交需方確認(rèn)(如無另行約定，供方應(yīng)自收到需方報價單格式之日起三個工作日內(nèi)將相應(yīng)內(nèi)容交需方進(jìn)行確認(rèn))。經(jīng)需方書面接受的報價單上之價格為正式生效的產(chǎn)品報價，雙方應(yīng)全面履行。經(jīng)雙方確認(rèn)并生效的幾份或數(shù)份報價單之間，以最后生效的報價單所載的內(nèi)容為當(dāng)前階段(報價和期間)為生效執(zhí)行的產(chǎn)品價格(和期間)。對于需方要求提供的成本結(jié)構(gòu)清單，供方需要在報價單的同時按照需方要求格式附帶提供相應(yīng)文檔。

TheDemandershallprovideapricequotationformformattotheSupplier.TheSuppliershallfillinthepricequotationformandsenditbacktotheDemanderforconfirmationwithinaperiodoftimeagreeduponbybothpartiesorrequestedbytheDemander(unlessotherwiseagreedupon,theSuppliershallfillintheformandsenditbacktotheDemanderwiththree(3)workingdaysafterreceiptofthepricequotationformformatfromtheDemander).ThepriceonthepricequotationsheetacceptedbytheDemanderinwritingrepresentstheformallyvalidatedproductpriceandshallbecompliedwithbybothparties.Thecontentspecifiedinthepricequotationformlastvalidatedrepresentsthecurrentproductpriceandshallbeexecutedbybothpartieswhenanumberofpricequotationformshavebeenconfirmedandvalidatedinbetween.TherelevantdocumentcontainingCostStructuredemandedbytheDemandershallbeprovidedintheformasrequiredbytheDemander.

2、供方對需方的報價必須遵循誠信的原則，供方不得采取向研發(fā)/工程部門報以低價，而向采購部門報以高價等不誠信行為;一旦發(fā)生類似情況，需方有權(quán)終止本合同并保留向供方索賠的權(quán)利。

TheSuppliershallprovidethepricequotationtotheDemanderonprincipleofhonesty.UpondiscoveryofsuchdishonestactivitiesastheSupplierquotingalowerpricetoresearchanddevelopmentdepartmentwhilequotingahigherpricetoprocurementdepartment,theDemanderreservetherighttoterminatethiscontractandreserveallrightstoclaimagainsttheSupplier.

3、合同產(chǎn)品經(jīng)需方檢驗合格入庫后，電匯____天或承兌____天(如應(yīng)供方要求,需方提前支付貨款,則供方需承擔(dān)對應(yīng)期間的資金利息,雙方約定計息標(biāo)準(zhǔn)為年利率6%)。

AftertheproductsspecifiedincontractareinspectedandcheckedinthewarehousebytheDemander,DemandershouldexecutethepaymentbyT/T(telegraphictransfer)on____daysoracceptancebillon____days(ifadvancepaymentismadebytheDemanderasrequestedbytheSupplier,theinterestincurredfromtheadvancepaymentduringthecorrespondingperiodispayablebytheSupplierattheannualinterestrateof6%asagreeduponbybothparties).

4、在合同有效期內(nèi)，如果單價高于當(dāng)時市場價的3%，需方有權(quán)在任何時間重新審核確認(rèn)單價。

Demanderreservestherighttoreviewthepriceatanytimeduringthecontractincasefindthatitisabovethemarketpricebymorethan3%.

四、訂單：PurchaseOrder:

1、需方給供方下達(dá)網(wǎng)上訂貨單(若無共享網(wǎng)絡(luò)資源的需下達(dá)書面訂單)，應(yīng)在訂貨單中明確交貨日期及每次的交貨數(shù)量，并通知供方;供方應(yīng)遵守訂貨單所載內(nèi)容交貨，除非雙方事先以書面形式同意變更訂貨單的約定內(nèi)容外，供方的交貨不得與訂單的約定內(nèi)容有異。

TheDemandershallspecifythequantityofproductstobedeliveredeachtimeandthedeliverydateontheonlinepurchaseorder(purchaseorderinwritingshallbemadeiftheDemanderhasnoaccesstointernet)andnotifytheSupplier.TheSuppliershalldelivertheproductsasspecifiedonthepurchaseorder.ThedeliveredproductsbytheSuppliershallnotbeinconsistentwiththepurchaseorder,unlesspriorconsentismadebybothpartiesinwriting.

2、供方接到訂貨單后，如是正常訂貨，供方應(yīng)于接到訂單兩日(需方的工作日)以內(nèi)，如是緊急訂貨應(yīng)于接到訂單一日(需方的工作日)以內(nèi)，以書面?zhèn)髡婊貜?fù)需方進(jìn)行確認(rèn);如超出期限無供方的回復(fù)，即表示供方同意需方訂貨單所載的交貨要求。供應(yīng)商確認(rèn)的交貨周期不得超過本協(xié)議附件中規(guī)定的各項時間期限。

TheSuppliershallreplytotheDemanderinwritingbywayofFaxforconfirmationwithintwo(2)workingdays(demander’sworkingday)afterreceiptofthenormalpurchaseorderorwithinone(1)workingdays(demander’sworkingday)afterreceiptoftheemergencypurchaseorder.IfnoreplyismadebytheSupplierwithinsuchforegoingperiod,theSupplierisdeemedtohaveagreedtheproductdeliveryrequirementspecifiedonthepurchaseorder.Thedeliverytimewhichthesupplyconfirmedcan’texceedthetimeontheattachedfilesagreedbybothparties.

3、由于市場變化或其他不可預(yù)測因素導(dǎo)致需方對產(chǎn)品需求發(fā)生變化時，需方可變更或中止相關(guān)生效訂單，需方應(yīng)盡快通知供方，具體相關(guān)事宜由雙方另行協(xié)商確定，并形成書面文件。

TheDemandermaychangeorterminatetherelevanteffectivepurchaseorderincasethatthedemandoftheproductsischangedduetothechangeofthemarketorotherunpredictablefactors.TheDemandershallnotifytheSupplierofsuchchangeorterminationoftherelevanteffectivepurchaseorderinatimelymanner.Detailsarrangementshallbeagreeduponbybothpartiesanddevelopedintoawrittendocument.

五、交貨和包裝：DeliveryandPackaging:

1、交貨：Delivery:

除非雙方另有約定，本合同的交貨是指由供方或供方委托的人員或機(jī)構(gòu)將產(chǎn)品交到需方倉庫，與需方倉庫責(zé)任人辦理交貨手續(xù)，并同時提供有關(guān)產(chǎn)品的單證和資料，并承擔(dān)相應(yīng)費用(包括但不限于運輸、保險及卸貨的費用)。

Unlessotherwiseagreeduponbybothparties,deliveryunderthiscontractmeansthattheSupplier,orthepersonnelorinstitutionauthorizedbytheSupplierdeliverandturnovertheproductstotheresponsiblepersonoftheDemander’swarehouse,withprovisionofrelevantcertificateandinformationoftheproductsconcerned,andbeartherelevantcost(includingbutnotrestrictedtotransport,insuranceandunloadingcost).

供方必須滿足經(jīng)(雙方)確認(rèn)的生效訂單中交貨期的要求，按時交貨。當(dāng)需方要求提前交貨時，應(yīng)通知供方，供方應(yīng)采取適當(dāng)?shù)拇胧?，努力滿足交貨要求;若確實無法滿足，應(yīng)于收到需方通知之日起一個工作日內(nèi)，以書面形式向需方告知最早的交貨時間和數(shù)量。

TheSuppliershalldelivertheproductsontimeasspecifiedontheeffectivepurchaseorderconfirmedbythebothparties.IftheDemanderneedsanadvancedelivery,theDemandershallnotifytheSupplierwhoshallendeavortosatisfysuchrequestbytakingappropriateactions,orshallnotifytheDemanderinwritingoftheearliestpossibledeliverytimeandquantitywithinone(1)workingdayafterreceiptofthenoticefromtheDemander.

除非需方要求或同意，供方的交貨時間不得提前，否則視為不按時交貨，需方有權(quán)拒收。

TheSuppliershallnotdelivertheproductsaheadoftheschedule,unlessdemandedorconsentedbytheDemander.DeliveringtheproductsaheadofthescheduleisdeemedtobeSupplier’sfailuretomakethedeliveryontime,andtheDemanderreservetherighttorefusetoacceptsuchproduct.

因供方原因遲延交貨，導(dǎo)致需方不能向第三人緊急出貨時，需方有權(quán)向其它方采購，并且由此產(chǎn)生的費用由供方承擔(dān);且如因此導(dǎo)致需方遭受損失時，供方需賠償其損失;若因不可抗力的天然災(zāi)害所導(dǎo)致的交貨延遲，則供方不須賠償或負(fù)擔(dān)其費用。

TheDemanderreservetherighttoprocuretheproductsfromothersourcesunderthecircumstancethattheDemanderfailstomaketheemergencydeliveryoftheproductstothethirdpartyduetothedelayeddeliveryoftheproductsfromtheSupplierwhoisresponsibleforanycostincurredfromtheprocurementfromothersources.TheSuppliershallcompensatetheDemanderforanylossincurredfromthedelayeddeliveryoftheproductswhichisduetoanycausesotherthanforcemajeureincludingnaturaldisaster.

如應(yīng)需方的要求必須更改訂單所記載的訂單內(nèi)容，應(yīng)由雙方協(xié)商后，形成書面文件。

AnychangestothecontentofthepurchaseorderasrequestedbytheDemandershallbeagreeduponbybothpartiesanddevelopedintoawrittendocument.

2、包裝：Packaging:

除非另有規(guī)定，包裝物應(yīng)由供方提供并自負(fù)費用，包裝物上的裝運標(biāo)志必須符合需方要求。
