6.3PaymentTermsandConditionsPartyAshallpayadepositwithin______daysafterthecontractissigned.Theremainingpaymentshallbemadewithin______daysafterthegoodsaredeliveredandaccepted.Chapter7:IntellectualPropertyandConfidentiality7.1OwnershipofIntellectualPropertyPartyAretainsownershipofallintellectualpropertyrightsrelatedtothebrand,design,technology,andanyotherproprietaryinformationassociatedwiththegoods.PartyBshallnotusePartyA'sintellectualpropertyrightswithoutpriorwrittenconsentfromPartyA.7.2ConfidentialityAgreementBothpartiesshallmaintaintheconfidentialityofalltradesecretsandconfidentialinformationobtainedduringthecourseofthiscontract.Withoutthepriorwrittenconsentoftheotherparty,neitherpartyshalldisclosesuchinformationtoanythirdparty.7.3LiabilityforIntellectualPropertyInfringementIntheeventthatPartyBinfringesupontheintellectualpropertyrightsofPartyAoranythirdpartyduringtheproductionprocess,PartyBshallbearthecorrespondinglegalresponsibilitiesandcompensatePartyAforanylossesincurred.Chapter8:Amendment,Rescission,andTerminationoftheContract8.1ContractAmendmentAnypartyproposinganamendmenttothecontractmustprovidewrittennoticetotheotherpartyatleast______daysinadvanceandobtainthewrittenconsentoftheotherpartybeforetheamendmentcanbemade.Thecontentoftheamendmentmayincludebutisnotlimitedtoproductspecifications,productionplans,anddeliverytimes.8.2ContractRescissionIfapartymateriallybreachesthetermsofthecontractandfailstoremedythebreachwithin______daysafterreceivingwrittennoticefromtheotherparty,theotherpartyhastherighttorescindthecontract.Uponrescissionofthecontract,thebreachingpartyshallbearthecorrespondingliabilityforbreachofcontract.8.3ContractTerminationThecontractshallbeterminatednaturallywhenbothpartieshavefulfilledalltheirobligations.Ifaneventofforcemajeureoccursandthecontractcannotbeperformedformorethan______days,bothpartiesmayterminatethecontractbygivingwrittennoticetotheotherparty.Chapter9:LiabilityforBreachofContract9.1DefinitionofBreachofContractBreachofcontractreferstoanyfailuretoperformorfullyperformtheobligationsstipulatedinthecontractbyeitherparty.9.2LiabilityforBreachofContractThebreachingpartyshallbeartheliabilityforbreachofcontract,includingbutnotlimitedtocompensationfordirecteconomiclossessufferedbytheotherpartyduetothebreach.Thebreachingpartyshallpayapenaltyforbreachofcontract,theamountofwhichshallbe______%ofthecontractpricefortheunperformedpart.9.3CompensationforBreachofContractCompensationforbreachofcontractshallbecalculatedbasedonactuallossesandtheprovisionsofthecontract,withthespecificcalculationmethodbeing:______.Chapter10:DisputeResolution10.1MethodsofDisputeResolutionBothpartiesshallfirstattempttoresolvedisputesthroughfriendlynegotiation.Ifnegotiationsfail,thedisputemaybesubmittedtothe______ArbitrationCommissionforarbitration.10.2GoverningLawTheinterpretation,application,andresolutionofdisputesunderthiscontractshallbegovernedbythelawsofthePeople'sRepublicofChina.10.3ProceduresforDisputeResolutionTheproceduresfordisputeresolutionshallbeasfollows:Onepartysubmitsawrittennoticeofdispute.Bothpartiesengageinnegotiationtoresolvethedispute.Thedisputeissubmittedtoarbitrationorlitigation.Chapter11:MiscellaneousProvisions11.1ModificationandSupplementoftheContractBothpartiesmaynegotiateandaddsupplementarytermsbasedonactualcircumstances,whichshallbeconfirmedinwritingandformanintegralpartof
