PartyBacknowledgesthatallintellectualpropertyrightsrelatedtoPartyA'sbusiness,products,orservicesshallremainthesolepropertyofPartyA.PartyBshallnotuse,disclose,orreproduceanysuchintellectualpropertywithoutthepriorwrittenconsentofPartyA.

8.Indemnification

Eachpartyagreestoindemnifyandholdtheotherpartyharmlessagainstanylosses,damages,costs,andexpenses(includingreasonableattorney'sfees)arisingoutofanyclaimoractionbroughtagainsttheindemnifiedpartyarisingoutoforinconnectionwithanybreachofthiscontractbytheindemnifyingparty.

9.Termination

Eitherpartymayterminatethiscontractatanytimebygivingwrittennoticetotheotherparty.Upontermination,PartyBshallceaseallworkandPartyAshallpayPartyBforallservicesrendereduptothedateoftermination.

10.GoverningLawandJurisdiction

Thiscontractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].Anydisputesarisingoutoforinconnectionwiththiscontractshallbesubjecttotheexclusivejurisdictionofthecourtsof[GoverningJurisdiction].

11.EntireAgreement

Thiscontractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,whetherwrittenororal,relatingtothesubjectmatterofthiscontract.Anyamendmentsormodificationstothiscontractshallbeinwritingandsignedbybothparties.
