**CommissionContractTemplate**

**1.Introduction**

ThisCommissionContract(the"Contract")isenteredintoasof[Date],byandbetween[YourCompanyName]("Company"),acompanyorganizedandexistingunderthelawsof[Country/State],witharegisteredaddressat[YourCompanyAddress],and[AgentName]("Agent"),anindividualwithapermanentresidenceat[Agent'sAddress].

**2.AppointmentofAgent**

TheCompanyappointstheAgentasitsexclusiveagentforthepurposeofsellingtheCompany'sproductsintheterritoryof[Territory](the"Territory").TheAgentacceptssuchappointmentandagreestoactastheCompany'sexclusiveagentinaccordancewiththetermsandconditionsofthisContract.

**3.DutiesofAgent**

TheAgentshalluseitsbesteffortstopromotethesaleoftheCompany'sproductsintheTerritoryandshallperformthefollowingduties:

(a)MarkettheCompany'sproductsanddeveloppotentialcustomersintheTerritory;

(b)ProvidetheCompanywithregularreportsonthesalesactivitiesandmarketconditionsintheTerritory;

(c)CooperatewiththeCompanyinadvertising,promotionalandmarketingactivitiesintheTerritory;and

(d)EnsurethatallsalestransactionsareconductedinaccordancewiththeCompany'spoliciesandprocedures.

**4.CommissionStructure**

TheAgentshallbeentitledtoacommission(the"Commission")onthenetsalesoftheCompany'sproductsintheTerritory,calculatedasfollows:

(a)TheCommissionrateshallbe[CommissionRate]%;

(b)TheCommissionshallbecalculatedonthebasisoftheinvoicedamountlessanydiscounts,returnsorallowances;and

(c)TheCommissionshallbepayablewithin[PaymentPeriod]aftertheendofeachcalendarmonth.

**5.PaymentofCommission**

TheCompanyshallpaytheAgenttheCommissionwithin[PaymentPeriod]aftertheendofeachcalendarmonth.TheCommissionshallbepaidbywiretransfertotheAgent'sdesignatedbankaccount,orbyanyothermethodasagreedbytheparties.

**6.TermofContract**

ThisContractshallcommenceontheEffectiveDateandshallcontinueforaperiodof[Term]years,unlessterminatedearlierbyeitherpartyuponwrittennotice.

**7.Termination**

ThisContractmaybeterminatedbyeitherpartyuponwrittennoticeinthefollowingcircumstances:

(a)TheotherpartybreachesanymaterialtermorconditionofthisContractandfailstocuresuchbreachwithin[CurePeriod]afterreceiptofwrittennoticefromtheotherparty;or

(b)Eitherpartybecomesinsolventorbankrupt,orentersintoanyarrangementorcompositionwithitscreditors.

**8.GoverningLawandJurisdiction**

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].AnydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[JurisdictionCourt].

**9.EntireAgreement**

ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiationsanddiscussions,whetheroralorwritten,oftheparties.

**10.Amendments**

ThisContractmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.
