**AGENCYAGREEMENT**

ThisAgreement("Agreement")ismadeandenteredintoasof[InsertDate],byandbetween[InsertCompanyName]("Company"),acompanyorganizedandexistingunderthelawsof[InsertJurisdiction],and[InsertAgentName]("Agent"),anindividualwithaprimaryplaceofbusinesslocatedat[InsertAgentAddress].

**1.AppointmentofAgent**

TheCompanyherebyappointstheAgentasitsexclusiveagentin[InsertTerritory]forthesaleanddistributionoftheCompany'sproducts("Products"),andtheAgentherebyacceptssuchappointment.

**2.DutiesofAgent**

TheAgentshalluseitsbesteffortstopromotethesaleanddistributionoftheProductsintheTerritoryandshallperformsuchotherdutiesastheCompanymayfromtimetotimereasonablyrequire.

**3.TermsofPayment**

TheAgentshallbeentitledtoreceiveacommission(the"Commission")equalto[InsertPercentage]ofthenetsalesoftheProductsintheTerritory.TheCommissionshallbepaidbytheCompanytotheAgentonaquarterlybasiswithin[InsertTimeframe]aftertheendofeachcalendarquarter.

**4.TermofAgreement**

ThisAgreementshallcommenceontheEffectiveDateandshallcontinueforaperiodof[InsertNumber]years,unlessearlierterminatedinaccordancewiththetermshereof.

**5.Termination**

ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialprovisionofthisAgreementandfailstocuresuchbreachwithin[InsertNumber]daysafterreceiptofwrittennoticethereoffromtheterminatingparty.ThisAgreementmayalsobeterminatedbyeitherpartyuponwrittennoticetotheotherpartyiftheotherpartybecomesinsolventorfilesforbankruptcy.

**6.GoverningLawandJurisdiction**

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertJurisdiction],andanydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[InsertJurisdiction].

**7.EntireAgreement**

ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.
