會(huì)計(jì)實(shí)操文庫(kù)第三方付款的協(xié)議英文模板ThirdPartyPaymentAgreementThisThirdPartyPaymentAgreement(the"Agreement")ismadeandenteredintoasof[EffectiveDate]byandbetweenthefollowingparties:PartyA(Payee):CompanyName:[CompanyAName]RegisteredAddress:[AddressofCompanyA]LegalRepresentative:[LegalRepNameofCompanyA]ContactInformation:[ContactDetailsofCompanyA]PartyB(Payer):CompanyName:[CompanyBName]RegisteredAddress:[AddressofCompanyB]LegalRepresentative:[LegalRepNameofCompanyB]ContactInformation:[ContactDetailsofCompanyB]PartyC(ThirdPartyPaymentInstitution):CompanyName:[CompanyCName]RegisteredAddress:[AddressofCompanyC]LegalRepresentative:[LegalRepNameofCompanyC]ContactInformation:[ContactDetailsofCompanyC]WHEREAS1.PartyAandPartyBhaveenteredintoabusinesstransactionorcontractualrelationship(the"UnderlyingTransaction")andhaveagreedthatthepaymentrelatedtotheUnderlyingTransactionwillbemadethroughPartyC,athirdpartypaymentinstitution.2.PartyCisadulylicensedandauthorizedpaymentserviceproviderwiththecapabilitiesandresourcestofacilitatethepaymentprocessasdescribedherein.NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforthandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:Article1:PaymentInstructions1.PartyBherebyauthorizesPartyCtodebittheamountspecifiedinthepaymentinstructions(the"PaymentAmount")fromPartyB'sdesignatedaccountandtransferittoPartyA'saccountasinstructedbyPartyB.ThePaymentAmountshallbeinaccordancewiththetermsandconditionsoftheUnderlyingTransactionbetweenPartyAandPartyB.2.PartyBshallensurethattherearesufficientfundsinthedesignatedaccounttocoverthePaymentAmountatthetimeofthedebit.Intheeventofinsufficientfunds,PartyCshallhavetherighttorejectthepaymentrequestandnotifybothPartyAandPartyBaccordingly.Article2:PaymentTermsandTimeline1.Thepaymentshallbemadewithin[X]businessdaysafterPartyBhassubmittedthevalidpaymentinstructionstoPartyCandallnecessaryapprovalsandverificationshavebeencompleted.PartyCshalluseitsreasonableeffortstoexpeditethepaymentprocessandkeepPartyAandPartyBinformedofthepaymentstatus.2.ThepaymentshallbesubjecttotheapplicablefeesandchargesofPartyCasdisclosedinitsfeeschedule.PartyBagreestopaysuchfeesandchargesinaccordancewithPartyC'srequirements.PartyAandPartyBacknowledgethatthefeesandchargesmaybedeductedfromthePaymentAmountbeforeitistransferredtoPartyA'saccount.Article3:RepresentationsandWarranties1.PartyArepresentsandwarrantsthatithasthelegalrightandauthoritytoreceivethepaymentandthattheinformationprovidedtoPartyBandPartyCregardingthepaymentdetailsanditsaccountisaccurateandcomplete.2.PartyBrepresentsandwarrantsthatithasthelegalrightandobligationtomakethepaymentunderthetermsoftheUnderlyingTransactionandthatthefundstobeusedforthepaymentareobtainedlegallyandarefreefromanyliens,encumbrances,ordisputes.3.PartyCrepresentsandwarrantsthatitisdulylicensedandregulatedtoprovidethepaymentservicescontemplatedhereinandthatitwillcomplywithallapplicablelaws,regulations,andindustrystandardsintheperformanceofitsobligationsunderthisAgreement.Article4:Confidentiality1.ThepartiesheretoagreetokeepconfidentialallinformationanddataexchangedorobtainedinconnectionwiththisAgreementandthepaymentprocess.SuchconfidentialityobligationsshallsurvivetheterminationofthisAgreementforaperiodof[X]years.2.Notwithstandingtheabove,thepartiesmaydisclosesuchinformationasrequiredbylaw,regulatoryauthorities,orinconnectionwithalegalproceeding.However,thedisclosingpartyshallnotifytheotherpartiesinwritingassoonasreasonablypracticablepriortosuchdisclosure.Article5:Indemnification1.PartyBshallindemnifyandholdharmlessPartyAandPartyCfromandagainstanyandallclaims,losses,damages,liabilities,costs,andexpenses(includingbutnotlimitedtoattorneys'feesandcourtcosts)arisingoutoforinconnectionwithanybreachofthisAgreementbyPartyB,includingbutnotlimitedtoanyincorrectorunauthorizedpaymentinstructions,insufficientfunds,oranyotheractoromissionofPartyB.2.PartyAshallindemnifyandholdharmlessPartyBandPartyCfromandagainstanyandallclaims,losses,damages,liabilities,costs,andexpensesarisingoutoforinconnectionwithanybreachofthisAgreementbyPartyA,includingbutnotlimitedtoanymisrepresentationorwarrantyregardingthepaymentdetailsoritsaccount,oranyotheractoromissionofPartyA.3.PartyCshallindemnifyandholdharmlessPartyAandPartyBfromandagainstanyandallclaims,losses,damages,liabilities,costs,andexpensesarisingoutoforinconnectionwithanybreachofthisAgreementbyPartyC,includingbutnotlimitedtoanyfailuretoperformitspaymentservicesinaccordancewiththisAgreement,anysecuritybreachorlossofpaymentdata,oranyotheractoromissionofPartyC.Article6:Termination1.ThisAgreementmaybeterminatedbymutualwrittenagreementoftheparties.2.Inaddition,eitherPartyAorPartyBmayterminatethisAgreementuponwrittennoticetotheotherpartiesiftheotherpartymateriallybreachesthisAgreementandfailstocuresuchbreachwithin[X]daysafterreceivingwrittennoticethereof.3.UponterminationofthisAgreement,thepartiesshallcooperateingoodfaithtocompleteanyoutstandingpaymentobligationsandtoreturnordestroyanyconfidentialinformationintheirpossession.Article7:GoverningLawandDisputeResolution1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].2.Anydispute,controversy,orclaimarisingoutoforinconnectionwiththisAgreementshallbefirstsubmittedtoamicablenegotiationbetweentheparties.Ifthenegotiationfailstoresolvethedisputewithin[X]days,thedisputeshallbefinallyresolvedbyarbitrationinaccordancewiththearbitrationrulesof[ArbitrationInstitution].Thearbitrationshalltakeplacein[ArbitrationLocation],andthelanguageofthearbitrationshallbe[Language].Thearbitralawardshallbefinalandbindingupontheparties.Article8:Miscellaneous1.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreements,understandings,negotiations,anddiscussions,whetheroralorwritten.2.AnyamendmentormodificationtothisA
