ntshallbesolelythatoftheThirdParty.TheSellerandtheBuyershallnotbeliablefortheactsoromissionsofaThirdParty,excepttotheextentthatsuchactsoromissionsresultfromthenegligenceorwillfulmisconductoftheSellerortheBuyer.4.Indemnification:TheSellerandtheBuyershallindemnifyeachotheragainstanylosses,claims,damages,orexpensesarisingoutoforinconnectionwiththeactsoromissionsofaThirdParty,providedthatsuchlosses,claims,damages,orexpensesarenottheresultofthenegligenceorwillfulmisconductoftheindemnifyingparty.5.ResponsibilityLimitation:TheliabilityofaThirdPartyforanybreachofthisAgreementshallbelimitedtothescopeoftheirservicesorfunctionsasspecifiedinthewrittenagreementbetweentheThirdPartyandtheengagingparty.TheSellerandtheBuyershallnotbeliableforanylosses,claims,damages,orexpensesarisingfromthefailureofaThirdPartytoperformtheirservicesorfunctionsinaccordancewiththisAgreement,excepttotheextentthatsuchfailureistheresultofthenegligenceorwillfulmisconductoftheSellerortheBuyer.6.AuthorizationofThirdParties:TheSellerandtheBuyerhereauthorizetheengagementofThirdPartiestoperformcertainservicesorfunctionsrelatedtotheexecutionofthisAgreement.SuchauthorizationshallbeinwritingandshallspecifythescopeofauthoritygrantedtotheThirdParty.7.CommunicationwithThirdParties:8.Confidentiality:TheSeller,theBuyer,andanyThirdPartyengagedunderthisAgreementshallmaintaintheconfidentialityofanyandallinformationdisclosedtothemtheotherpartiesinconnectionwiththisAgreement,excepttotheextentsuchinformationisrequiredtobedisclosedlaworcourtorder.9.DisputeResolution:AnydisputearisingbetweentheSeller,theBuyer,andaThirdPartyinconnectionwiththeperformanceoftheirrespectiveobligationsunderthisAgreementshallberesolvedinaccordancewiththedisputeresolutionproceduressetforthinthisAgreement.10.TerminationofThirdPartyEngagement:TheSellerortheBuyermayterminatetheengagementofaThirdPartyatanytimeprovidingwrittennoticetotheThirdParty.Upontermination,theThirdPartyshallceaseallactivitiesunderthisAgreementandshallreturnanypropertyordocumentsprovidedtothemtheSellerortheBuyer.11.ContinuationofAgreement:TheterminationoftheengagementofaThirdPartyshallnotaffectthevalidityorenforceabilityofthisAgreementbetweentheSellerandtheBuyer.12.AssignmentofRightsandObligations:TheSellerandtheBuyermaynotassigntheirrightsorobligationsunderthisAgreementtoaThirdPartywithoutthepriorwrittenconsentoftheotherparty,exceptinthecaseofamerger,acquisition,orsaleofallorsubstantiallyalloftheassetsofaparty.13.ForceMajeure:IntheeventofanydelayorfailuretoperformunderthisAgreementduetocircumstancesbeyondthecontroloftheSeller,theBuyer,oraThirdParty,includingbutnotlimitedtoactsofGod,war,strikes,labordisputes,orgovernmentactions,theaffectedpartyshallbeexcusedfromitsobligationsunderthisAgreementtotheextentandfortheperiodoftimethatsuchdelayorfailurecontinues.14.Amendments:AnyamendmenttothisAgreementregardingtheengagementofThirdPartiesshallbemadeinwritingandshallbesignedallpartiestothisAgreement.15.EntireAgreement:ThissectionconstitutesanintegralpartofthisAgreementandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,regardingtheengagementofThirdParties.第三部分：其他補(bǔ)充性說(shuō)明和解釋說(shuō)明一：附件列表：1.ScheduleA:GoodsDescription詳細(xì)要求和說(shuō)明：列出所有貨物的基本信息，包括但不限于貨物的名稱、規(guī)格、型號(hào)、數(shù)量、單價(jià)和總價(jià)。確保所有信息的準(zhǔn)確性和完整性。2.ScheduleB:DeliveryandShipmentDetails詳細(xì)要求和說(shuō)明：包含貨物的交付地點(diǎn)、預(yù)計(jì)交貨日期、運(yùn)輸方式、保險(xiǎn)條款等信息。確保所有信息與國(guó)際貿(mào)易慣例相符合。3.ScheduleC:PaymentTermsandConditions詳細(xì)要求和說(shuō)明：規(guī)定支付金額、支付方式、付款期限、付款條件和任何相關(guān)的費(fèi)用。確保所有支付條款清晰明確。4.ScheduleD:QualityControlandInspectionProcedures詳細(xì)要求和說(shuō)明：規(guī)定貨物質(zhì)量標(biāo)準(zhǔn)、檢驗(yàn)程序、檢驗(yàn)機(jī)構(gòu)和檢驗(yàn)時(shí)間。確保所有檢驗(yàn)程序符合國(guó)際標(biāo)準(zhǔn)。5.ScheduleE:DisputeResolutionMechanism詳細(xì)要求和說(shuō)明：描述解決合同爭(zhēng)議的程序，包括但不限于談判、調(diào)解、仲裁或訴訟。確保所有爭(zhēng)議解決選項(xiàng)均被明確列出。6.ScheduleF:ConfidentialityAgreement詳細(xì)要求和說(shuō)明：規(guī)定雙方在合同執(zhí)行過(guò)程中應(yīng)遵守
