1.2TheEmployeeacceptstheemploymentofferedbytheEmployerandagreestobeboundbythetermsandconditionsofthisAgreement.

2.DURATIONOFEMPLOYMENT

2.1ThetermofthisAgreementshallcommenceontheEffectiveDateandshallcontinueforaperiodof[DurationofEmployment]months(hereinafterreferredtoasthe"InitialTerm").

2.2UpontheexpirationoftheInitialTerm,thisAgreementshallautomaticallyrenewforsuccessivetermsof[RenewalTerm]monthsunlesseitherpartyprovideswrittennoticeofterminationtotheotherpartyatleast[NoticePeriod]dayspriortotheexpirationoftheInitialTermoranysubsequentrenewalterm.

3.DUTIESANDRESPONSIBILITIES

3.1TheEmployeeshallperformthedutiesandresponsibilitiesassociatedwiththepositionof[Employee'sPosition]asmaybereasonablyrequiredbytheEmployer.

3.2TheEmployeeshallcomplywithallapplicablelaws,regulations,andpoliciesoftheEmployer,aswellasanyotherreasonableinstructionsorrequirementsissuedbytheEmployerfromtimetotime.

4.COMPENSATIONANDBENEFITS

4.1TheEmployershallpaytheEmployeeamonthlysalaryof[SalaryAmount](hereinafterreferredtoasthe"Salary")ona[PaymentFrequency]basis.

4.2TheEmployershallprovidetheEmployeewiththefollowingbenefits:

a.Healthinsurancecoverage

5.TERMINATIONANDSEVERANCE

5.1ThisAgreementmaybeterminatedbyeitherpartyupontheoccurrenceofanyofthefollowingevents:

b.BytheEmployerforcause,includingbutnotlimitedto[ListofReasonsforTermination]

c.BytheEmployeeforgoodcause,includingbutnotlimitedto[ListofReasonsforTermination]

d.ByeitherpartyupontheexpirationoftheInitialTermoranysubsequentrenewalterm,unlessterminatedearlierinaccordancewiththisAgreement

5.2IntheeventofterminationofthisAgreement,theEmployershallpaytheEmployeethefollowingseverancebenefits:

6.CONFIDENTIALITYANDNON-COMPETITION

6.1TheEmployeeagreestomaintaintheconfidentialityofallconfidentialinformationoftheEmployer,includingbutnotlimitedtotradesecrets,customerlists,andbusinessstrategies.

6.2TheEmployeeagreesnottoengageinanycompetingbusinessactivitiesduringthetermofthisAgreementandforaperiodof[Non-CompetePeriod]monthsfollowingtheterminationofthisAgreement.

7.GENERALPROVISIONS

7.1ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,orrepresentations,whetherwrittenororal.

7.2ThisAgreementmaybeamendedormodifiedonlybyawrittenagreementexecutedbybothparties.

7.3ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

7.4ThefailureofeitherpartytoenforceanyprovisionofthisAgreementshallnotbedeemedawaiverofsuchprovisionnoroftherighttoenforcethesame.

7.LIMITATIONSANDRESTRICTIONS:

7.1TheEmployeeagreesnottodiscloseanyconfidentialinformationoftheEmployerortheThirdPartytoanythirdpartywithoutthepriorwrittenconsentoftheEmployerortheThirdParty.

7.2TheEmployeeagreesnottoengageinanycompetingbusinessactivitiesduringthetermofthisAgreementandforaperiodof[Non-CompetePeriod]monthsfollowingtheterminationofthisAgreement.

7.3TheEmployerreservestherighttomodifyorterminatetheprovisionoftheServicesbytheThirdPartyintheeventofanybreachofthisAgreementbytheThirdParty.

7.2TheThirdPartyshallprovidetheBuyerwithadetailedreportoftheprocurementprocessandanyissuesencountered.

7.3TheThirdPartyshallnotdiscloseanyconfidentialinformationoftheBuyerortheVendortoanythirdpartywithoutthepriorwrittenconsentoftheBuyerortheVendor.

8.LIMITATIONSANDRESTRICTIONS:

8.1TheVendoragreesnottodiscloseanyconfidentialinformationoftheBuyerortheThirdPartytoanythirdpartywithoutthepriorwrittenconsentoftheBuyerortheThirdParty.

8.2TheVendoragreesnottoengageinanyactivitiesthatmayconflictwiththeBuyer'sinterestsduringthetermofthisAgreement.

8.3TheBuyerreservestherighttoterminatetheFacilitationServicesprovidedby
