10、 the indicated percentage over the total value of the order as per this sales contract.)3. 信用證內(nèi)容須嚴(yán)格符合本售貨合約的規(guī)定，否則修改信用證的費(fèi)用由買方負(fù)擔(dān)，賣方并不負(fù)因修改信用證而延誤裝運(yùn)的責(zé)任，并保留因此而發(fā)生的一切損失的索賠權(quán)。3. the contents of the covering letter of credit shall be in strict conformity with the stipulations of the sales contract. in case of a

12、osses resulting therefrom.4. 除經(jīng)約定保險(xiǎn)歸買方投保者外，由賣方向中國的保險(xiǎn)公司投保。如買方需增加保險(xiǎn)額及/或需加保其他險(xiǎn)，可于裝船前提出，經(jīng)賣方同意后代為投保，其費(fèi)用由買方負(fù)擔(dān)。4. except in cases where the xxurance is covered by the buyers as arranged, xxurance is to be covered by the sellers with a chinese xxurance pany. if xxurance for additional amount and /or for oth

13、er xxurance terms is required by the buyers, prior notice to this effect must reach the sellers before shipment and is subject to the sellers agreement, and the extra xxurance premium shall be for the buyers account.5. 因人力不可抗拒事故使賣方不能在本售貨合約規(guī)定期限內(nèi)交貨或不能交貨，賣方不負(fù)責(zé)任，但是賣方必須立即以電報(bào)通知買方。如果買方提出要求，賣方應(yīng)以掛號(hào)函向買方提供由中國國

14、際貿(mào)易促進(jìn)委員會(huì)或有關(guān)機(jī)構(gòu)出具的證明，證明事故的存在。買方不能領(lǐng)到進(jìn)口許可證，不能被認(rèn)為系屬人力不可抗拒范圍。!-empirenews.page-5. the sellers shall not be held responsible if they fail, owing to force majeure cause or causes, to make delivery within the time stipulated in this sales contract or cannot deliver the goods. however, the sellers shall infor

15、m immediately the buyers by cable. the sellers shall deliver to the buyers by registered letter, if it is requested by the buyers, a certificate issued by the china council for the promotion of international trade or by any petent authorities, attesting the existence of the said cause or causes. the

16、 buyers failure to obtain the relative import licence is not to be treated as force majeure.6. 仲裁：凡因執(zhí)行本合約或有關(guān)本合約所發(fā)生的一切爭執(zhí)，雙方應(yīng)以友好方式協(xié)商解決；如果協(xié)商不能解決，應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，根據(jù)該會(huì)的仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對雙方都有約束力。6. arbitration：all disputes arising in connection with this sales contract or the execution thereof shall be

17、settled by way of amicable negotiation. in case no settlement can be reached, the case at issue shall then be submitted for arbitration to the china international economic and trade arbitration mission in accordance with the provisions of the said mission. the award by the said mission shall be deemed as final and binding upon both parties.7. 附加條款
