4、of party a and party b are hereby clarified by the parties hereto on the basis of equality and mutual benefit. each of the parties hereto shall be obliged to keep the confidentiality of all content concerned in the whole commercial activity and the cooperation in accordance with general trade practi

5、ces. the parties hereto shall execute this agreement under the principle of equality and mutual benefit strictly in accordance with relevant provisions of ts16949 with a view to ensure the timely, accurate and effective progression of the whole supply process. 第二條 資格確認(rèn)article two confirmation of qua

6、lification1 乙方必須向甲方提供以下資料：11 企業(yè)法人資格證書；12 貨物的通用認(rèn)可報(bào)告；13 貨物制造商的檢測(cè)報(bào)告；14 甲方要求的其他資料、證明。1. party b shall provide party a with the following materials: business corporation qualification certificate; commonly used approval report for goods; inspection report issued by goods manufacturer; and other materials

7、 or certificates as required by party a.2 甲方派出有關(guān)人員對(duì)乙方進(jìn)行分供方評(píng)定，對(duì)乙方的質(zhì)量體系進(jìn)行考察，并提供有關(guān)結(jié)果，對(duì)乙方不足之處提出改善建議，乙方對(duì)此必須全力配合并加以改善。2. party a shall dispatch relevant personnel to carry out supplier assessment over party b, to check the quality system of party b and produce relevant conclusion and to present suggestion

8、s on amendment and improvement of the defects of party b and party b shall cooperate fully with party a and make improvement accordingly.3 甲方在前兩條的基礎(chǔ)上確認(rèn)乙方具備合格分供方資格。3. party a shall confirm that party b is qualified as a supplier on the basis of the aforesaid two provisions.第三條 貨物價(jià)格清單article three goo

9、ds price list1 甲乙雙方就采購與供應(yīng)的貨物簽署貨物清單，作為今后采購的依據(jù)。貨物價(jià)格清單內(nèi)容包括：11 貨物的通用型號(hào)；12 貨物名稱；13 貨物的計(jì)量單位；14 貨物的單價(jià)；15 貨物的供貨周期。1. the two parties, party a and party b shall execute the goods list concerning the goods to be purchased and supplied, which shall be used as the basis for the future procurement. the following

10、 items shall be covered in the goods price list:general model for goods;name of goods;measuring unit for goods;unit price for goods; andsupply cycle for goods.2 乙方將所有供應(yīng)給甲方的零件按照甲方規(guī)定的格式進(jìn)行報(bào)價(jià)，經(jīng)甲方確認(rèn)后作為本協(xié)議的結(jié)算依據(jù)。2. party b shall make quotation on all parts supplied to party a in the form as prescribed by p

11、arty a and the price confirmed by party a shall be the basis for settlement of this agreement.3 甲方有權(quán)通過對(duì)乙方供貨能力的評(píng)定，減少對(duì)乙方貨物的采購。3. party a is entitled to reduce the purchase of goods from party b in accordance with the assessment of supply ability of party b.4 甲方有權(quán)根據(jù)上海通用的降價(jià)要求，要求乙方對(duì)所供應(yīng)的貨物進(jìn)行價(jià)格調(diào)整，乙方必須對(duì)此進(jìn)行重

12、新報(bào)價(jià)，并經(jīng)甲乙雙方確認(rèn)后作為新的結(jié)算依據(jù)。4. party a is entitled to demand party b to adjust the price of supplied goods in accordance with shanghai general motors requirements of reduction in price and party b must give renewed quotation. the renewed quotation after being confirmed by each of party a and party b shall

13、 be the new basis for settlement. 5 甲乙雙方協(xié)議采用浮動(dòng)銅價(jià)+固定加工費(fèi)用方式確定乙方供貨價(jià)，即乙方每季度根據(jù)上一季度的lme現(xiàn)貨結(jié)算平均價(jià)進(jìn)行重新報(bào)價(jià)，乙方必須提供新價(jià)格的核算方法，經(jīng)甲乙雙方確認(rèn)后作為新的結(jié)算依據(jù)。5. the two parties hereby agree to fix the supply price of party b in the method of floating copper price plus fixed processing charge, that is to say, party b shall, in eve

14、ry quarter, give renewed quotation in accordance with the lme average settlement price in spot of the passing quarter and must submit the assessment methods for the new quotation. the renewed quotation after being confirmed by party a and party b shall be the new basis for settlement.6 每季度新價(jià)格的實(shí)施日期以發(fā)

15、訂貨單的日期為準(zhǔn)，如：3月31日所發(fā)出的訂單以老價(jià)格結(jié)算，4月1日所發(fā)出的訂單以新價(jià)格結(jié)算，不以實(shí)際交貨日為結(jié)算價(jià)格依據(jù)。6. the quarterly new price shall be the enforced in accordance with the issuance date of the order. for example, the order issued on march 31 shall be settled in accordance with the original price and the order issued on april 1 shall be s

20、ent order from party a, party b shall make confirmation and sign and seal within one working day and send it back to party a, when the procurement activity is formally established.3 乙方在交貨期期內(nèi)，開出送貨單(送貨單格式由乙方定，甲方提供樣本供乙方參考)，送貨單上必須同時(shí)注明甲方的采購單號(hào)和申購單號(hào)。物料型號(hào)必須與甲方的采購單保持一致，并在送貨前一天傳真至甲方，以便甲方安排倉儲(chǔ)人員。3. party b shal

23、terials in accordance with the agreed packing methods, giving clear indication of materials model, quantity, production date, and production batch number of the goods on each package. the marked materials model shall be consistent with that of the delivery note. in addition, the factory inspection r

24、eport shall be attached hereto. otherwise, party a shall have the right to refuse to accept the goods.5 乙方將貨物送到甲方指定的倉庫后，將送貨單交甲方收貨人員簽收，雙方各持一份，作為甲方收到乙方貨物的依據(jù)，但不作為結(jié)算依據(jù)，結(jié)算依據(jù)以甲方的檢驗(yàn)單據(jù)為準(zhǔn)。5. party b shall deliver the goods to appointed warehouses of party a and send the delivery note to receiving staff of pa

25、rty a for signing. each party shall hold one copy, which shall be used to acknowledge party as receipt of goods from party b, but not as the settlement basis. the inspection documents of party a shall be the basis for settlement.6 交貨應(yīng)按照甲方訂單中規(guī)定的數(shù)量和時(shí)間進(jìn)行，對(duì)于發(fā)給甲方的超過甲方訂單中指定數(shù)量的貨物，甲方可不承擔(dān)付款義務(wù)，甲方有權(quán)改變預(yù)定的發(fā)貨周期或暫

26、停預(yù)定的發(fā)貨。但必須在訂單要求發(fā)貨前5天書面通知乙方。且在此任何一種或兩種情況下，乙方均無權(quán)改變供貨合同項(xiàng)下貨物原定價(jià)格。對(duì)于數(shù)量和交貨日期不明的訂貨，乙方的交貨行為應(yīng)依據(jù)甲方在此后發(fā)出的有關(guān)數(shù)量和時(shí)間的指示而定。但對(duì)于有保質(zhì)期的貨物，若甲方需要改變發(fā)貨周期或暫停發(fā)貨，應(yīng)在訂單要求發(fā)貨前一周書面告知乙方，若由于甲方改變發(fā)貨周期或暫停發(fā)貨而引起貨物超期失效，甲方應(yīng)補(bǔ)償乙方的損失。6. the goods shall be delivered in accordance with the quantity and time as stipulated in the procurement orde

27、r of party a. with respect to the goods delivered to party a that is not covered in the procurement order of party a, party a may not undertake the liability to make any payment. party a has the right to change the scheduled delivery cycle or suspend the scheduled delivery of goods, provided that it

28、 has given written notice to party b 5 days before the delivery date as prescribed in the procurement order. and under the above one or two circumstances, party b has no right to change the predetermined price of goods under the supply agreement. with respect to the procurement order with unclear qu

29、antity and delivery date, party b shall make delivery in accordance with the instruction on quantity and time later issued by party a. however, with respect to the goods with best-before date, if party a wills to change the delivery date or suspend the delivery of goods, it shall give written notice

30、 to party b one week before the delivery date as prescribed in the procurement order. if the goods loss its strength due to party as acts of changing the delivery cycle or suspending the delivery of goods, party a shall indemnify party b against its losses.第五條 檢驗(yàn)article five inspection1 甲方收到乙方貨物后的一周

31、內(nèi)，由甲方檢驗(yàn)部門進(jìn)行數(shù)量檢驗(yàn)；甲方在收到貨后10個(gè)工作內(nèi)若無數(shù)量檢驗(yàn)結(jié)果反映，則乙方認(rèn)為甲方已做出合格判定。1. the inspection department of party a shall inspect the quantity of goods within one week after receiving goods from party b. if no quantity inspection result is given by party a within 10 working days after receiving the goods, party b shall

32、have reason to believe that party a has recognized the quantity.2 甲方如發(fā)現(xiàn)乙方貨物出現(xiàn)短缺或其他質(zhì)量問題，將在收到貨物后十五天內(nèi)向乙方作出品質(zhì)異常通知，若在甲方生產(chǎn)現(xiàn)場(chǎng)或整車廠發(fā)現(xiàn)乙方貨物的質(zhì)量問題，可將反饋時(shí)間延長(zhǎng)至2個(gè)月后或雙方協(xié)議解決，乙方收到通知后，應(yīng)及時(shí)做出答復(fù)并及時(shí)解決問題，否則，甲方有權(quán)拒收貨物，拒絕支付該批貨款或延遲付款。若由此造成甲方延遲交貨而遭經(jīng)濟(jì)損失，甲方有權(quán)向乙方提出索賠。2. if party a finds any shortage or other quality problem in goods

33、 of party b, party a shall give abnormal quality notice to party b within fifteen days after receiving the goods, while if the quality problem is found in the production spot or vehicle plant of party a, the time for feedback may be prolonged to 2 months or may be settled through negotiation between

34、 the two parties. after receiving the notice, party b shall promptly give responses and timely solve the problem, otherwise, party a shall have right to refuse to accept the goods, to refuse to make payment for goods of that patch or to delay payment on deferred terms. if party a was caused to suffe

35、r any economic losses due to delay in delivery, party a shall have the right to claim compensation against party b.3 由于乙方因素引起的非正常損耗，由乙方承擔(dān)，反之則由甲方承擔(dān)。若在生產(chǎn)線上發(fā)生的非正常損耗，（如乙方提供的物料不符 合甲方的工藝要求）且確由乙方材料造成的，由乙方承擔(dān)。3. the abnormal losses caused by the elements on the part of party b shall be born by party b, on th

36、e contrary, it shall be born by party a. should any abnormal loss arises on the production line, (for example, the materials provided by party b dont meet the technological specification of party a), and if it is caused by the materials of party b, it shall be undertaken by party b.4 檢驗(yàn)標(biāo)準(zhǔn)由甲乙雙方質(zhì)量部門共同

37、制定，不得低于上海通用（或甲方其他客戶）認(rèn)可標(biāo)準(zhǔn)。4. the inspection standard shall be jointly made by the quality departments of both party a and party b, which shall not be lower than the recognized standard shanghai general motor (or other clients of party a).第六條 付款article six payment1 乙方發(fā)票及甲方檢驗(yàn)單作為甲方支付的憑證。1. the invoice o

38、f party b and the inspection document of party a shall be used as the certificate of payment for party a.2 乙方應(yīng)開具增值稅發(fā)票并附貨物清單，以便甲方核對(duì)。甲方在收到乙方貨物并檢驗(yàn)合格后，在收到乙方發(fā)票2個(gè)月內(nèi)支付貨款,月底結(jié)算。2. party b shall issue value-added tax invoice with the goods list attached for party as conveniences of check. after goods of party

39、 b is received and inspected to be qualified by party a, party a shall make payment within 2 months after receiving the invoice from party b and the account shall be settled at the end of the month.3 甲方對(duì)乙方不合格貨物已進(jìn)行支付的行為，并不意味接受此類不合格貨物，不妨礙甲方行使本協(xié)議下所持權(quán)力和補(bǔ)償請(qǐng)求權(quán)，也不解除乙方對(duì)潛在不合格貨物應(yīng)負(fù)的責(zé)任，處于甲方場(chǎng)所的不合格貨物由乙方承擔(dān)相應(yīng)風(fēng)險(xiǎn)。甲方將

41、t and claims for compensation, nor shall it relieve party b from undertaking the due liabilities to the potential unqualified goods and the relevant risks of unqualified goods at the place of party a shall be born by party b. party a shall make arrangement following party bs instruction and party a

42、shall not undertake any legal liability hereof to party b. if party b fails to give written instruction within ten days after being notified by party a of the unqualified goods, party a shall have the right to dispose of the goods or collect storage charge and portage from party b. 第七條 違約article sev

43、en breach of contract1 甲方因乙方貨物質(zhì)量、數(shù)量、交貨或其他問題所遭受的損失，乙方應(yīng)按照上海通用（或甲方其他客戶）對(duì)甲方的索賠要求以及中華人民共和國經(jīng)濟(jì)合同法有關(guān)規(guī)定進(jìn)行全額賠償。賠償應(yīng)不低于甲方客戶的索賠金額和甲方的經(jīng)濟(jì)損失。1. party b shall fully indemnify party a against any losses suffered by party a arising due to quality, quantity, delivery or other problems of goods of party b in accordance

44、with claims requirement of shanghai general motor (or other clients of party a) for party a and relevant provisions of law of the peoples republic of china on economic contracts. the amount of indemnity shall be no less than the sum of claims of party a clients and the economic losses of party a. 2

45、經(jīng)甲乙雙方簽字確認(rèn)過的訂貨單中，如乙方未能按期交貨而造成甲方停產(chǎn)，甲方有權(quán)要求乙方賠償損失，賠償金額為：到期未交貨款的15%，甲方可直接在貨款中予以扣除，或視情節(jié)輕重，甲乙雙方協(xié)議解決。2. with respect to the procurement order confirmed by the signatures of both party a and party b, if party a was caused to halt production due to party bs failure in timely delivering the goods, party a shal

46、l have the right to claim indemnification from party b. the amount of indemnity shall be 15% of the overdue payment for goods. party a may directly withhold the aforesaid amount from the payment for goods or it shall be settled through negotiation between the two parties in accordance with relevant

47、circumstances.3 在下述情況下，甲方有權(quán)全部或部分取消本協(xié)議且不對(duì)乙方承擔(dān)法律責(zé)任：21 乙方拒絕接受或違反本協(xié)議的條款致使本協(xié)議無法繼續(xù)履行的；22 乙方未能交運(yùn)甲方指定的貨物；（指定的貨物：根據(jù)甲乙方簽字確認(rèn)過的訂貨單）；23 乙方提供的質(zhì)量不良產(chǎn)品，產(chǎn)生后果，使甲方造成較大的經(jīng)濟(jì)損失的；24 經(jīng)查實(shí)，乙方有其他違反一般商貿(mào)準(zhǔn)則和對(duì)甲方的承諾，已經(jīng)或?qū)⒁獡p害甲方企業(yè)形象和信譽(yù)的言行。3. under the following circumstances, party a shall have the right to totally or partially cancel

48、this agreement without undertaking any liability to party b:this agreement is held to be unenforceable because party b refuses to accept or breaches provisions of this agreement;party b fails to deliver goods appointed by party a; (the appointed goods shall be fixed in accordance with the procuremen

49、t order confirmed by the signatures of both party a and party b);party a is caused to suffer relatively serious economic losses due to the results caused by the goods with bad quality provided by party b.it has been verified that party b has committed other words and actions in breach of general bus

50、iness and trade guidelines or promises to party a, which has or shall cause damages to the corporate image and reputation of party a. 4 乙方必須配合甲方每年進(jìn)行的分供方評(píng)定，甲方應(yīng)將分供方評(píng)定規(guī)則明確告知乙方，乙方必須接受甲方的評(píng)定結(jié)果，甲方有權(quán)對(duì)評(píng)審不合格的供應(yīng)商取消供貨資格。但此不屬于甲方違約。4. party b must cooperate with party a in performing annual assessment of supplier

51、s. party a shall clearly notify party b of the supplier assessment criteria and party b must accept the assessment result of party a. party a shall be entitled to cancel the supply qualification of the supplier who fails to pass the assessment, under which circumstances, party a shall not be deemed

52、to have committed breach of agreement.5 對(duì)于技術(shù)變更等信息，甲乙雙方應(yīng)及時(shí)互通信息，保持技術(shù)方面的一致性。5. with respect to the information concerning technical changes and so on, each of party a and party b shall promptly notify the other party of the information to keep the uniformity in technology. 第八條 技術(shù)資料與服務(wù)article eight tech

53、nical materials and service1 甲方負(fù)責(zé)提供新產(chǎn)品開發(fā)所需的資料和圖紙，或經(jīng)甲方確認(rèn)、審批后的乙方提供的資料和圖紙。1. the materials and drawings necessary for development of new products shall be provided by party a, or the materials and drawings provided by party b after being confirmed and approved by party a shall be used. 2 乙方必須做好售后服務(wù)工作，定

54、期派人到甲方現(xiàn)場(chǎng)進(jìn)行跟蹤，保證其產(chǎn)品符合甲方的技術(shù)、加工、工藝要求。2. party b must properly handle the after-sale service and periodically dispatch staffs to follow up on the spot of party a to ensure that its products meet the requirements of party a concerning technology, procession and specification.3 乙方必須按照甲方新產(chǎn)品開發(fā)要求，積極配合甲方同制造商聯(lián)

55、系，全力保證滿足甲方提出的產(chǎn)品試制要求及交貨期，共擔(dān)風(fēng)險(xiǎn)，以求達(dá)到甲方擴(kuò)大內(nèi)外銷市場(chǎng)產(chǎn)品銷售的需要，保證雙方共同盈利。3. party b shall work in accordance with partys requirements over development of new products to actively cooperate with party a to contact with manufacturers, shall spare no efforts to meet the requirements on trial-production of products a

56、nd delivery term as prescribed by party a, and shall jointly undertake the risks with party a with a view to broaden sales of products in both domestic and abroad markets and to ensure the mutual profitability of the two parties.第九條 不可抗力article nine force majeure1 本協(xié)議所指的不可抗力為經(jīng)濟(jì)貿(mào)易過程中符合中華人民共和國經(jīng)濟(jì)合同法中所列

57、的不可抗力因素。1. the force majeure under this agreement shall mean the force majeure elements as prescribed in the law of the peoples republic of china on economic contracts under economic and trade circumstances.2 協(xié)議任一方因不可抗力不能履行本協(xié)議，則該方不承擔(dān)違約責(zé)任。2. if any party hereto fails to perform this agreement due to

58、the force majeure, it shall not be held to undertake liabilities for breach of contract.3 遭受不可抗力的一方應(yīng)在獲悉不可抗力后三十六小時(shí)內(nèi)以書面形式通知另一方，并提供權(quán)威機(jī)構(gòu)的證明。3. the party affected by the event of force majeure shall inform the other party in written form within thirty-six hours after knowing the occurrence of force majeure and provide certificate issued by the authoritative organization.4 在乙方延遲或不能履行協(xié)議期間，甲方有權(quán)從他方采購貨物并從甲方向乙方發(fā)出的訂單中扣除該等數(shù)量的貨物，或要求
