1、1.1 甲方將坐落于上海 市 區(qū) 路 弄 號 室(以下簡稱 該融 資 )口融資租賃合同英文Tenancy Contract租賃合同Tenancy Contract出租方(甲方):Lan dlo rd ( Party A ): 承租方(乙方):Tenant ( Party B ):甲、乙雙方在自愿、平等、互利的基礎(chǔ)上,經(jīng)協(xié)商一致,就乙方承租甲方融資事宜,訂立本合同。Having reached unanimity through consultations , Party A an d, equality an dParty B , on the basis of voluntariness m

2、utual benefit , have entered into this Contract in respect of Party A leasing the Premises to Party B.、租賃融資Leased Premises出租給乙方使用,該融資建筑面積為平方米。),Party A lets ( hereinafter referred to the Premisesto Party B , an d the size of the Premises is square meters.1.2 甲乙雙方確定該融資用途為 住宅 .Both Party A an d Party

3、B have confirmed that thePremises shall be fo r the purpose of Residential.1.3 該融資的家俱、家電配置,見本合同附件一。The furniture & appliances of the Premises please see AppendixI.、租賃期Leasing Term2.1 本合同租賃期為 個月,自 年 月 日起至 年 月 日止The leasing term of this contract shall be calendarmonths ,commencing from to .2.2 租賃期滿,甲方

4、有權(quán)收回該融資,乙方應(yīng)如期歸還;乙 方如要求續(xù)租,須在 本合同期滿前 個月向甲方提出書面申請,經(jīng)甲 方同意后重新簽訂租賃合同。On expiry of this lease , Party A has the right to take back thePremises , an d Party B shall return the Premises on time. 5、iry of the lease an d subject to Party A an dParty Bs consenta new leasing contract shall be signed.、租金及保證金Rental an d Deposit3.1 租金為每月 元人民幣,租金含融資管理費,發(fā)票。The monthly rental is per monthinclusive ofmanagement fee , fo rmal invoice.3.2 乙方應(yīng)予簽署本合同后五日內(nèi)向甲方支付相當于一個月租金的金額,即人民幣元,作為保證金,甲方應(yīng)出具收據(jù)給乙方。在租賃期滿,乙方如期交還該融

6、資,并付清居住期間所有租金和其它費用后十五天內(nèi),甲方應(yīng)將保證金無息退還乙方。Within five days after the signing of this ContractParty B shall payto Party A as Deposit , which is equivalent to one monthsrental , an d Party A shall issue a receipt fo r the said value. At the expiration of the Contract , Party A shall refund the Deposit to

7、Party B without interest within 15 days after Party B has returned the Premises an d paid all the rent an d other expenses fo r the terms that Party B has occupied the Premises.3.3 乙方應(yīng)在每月 日前支付該月租金, 若乙方在租金到期后天未天仍未支付,每逾期一天, 則乙方應(yīng)按日租金的 支付滯納金。若超過三付,則視乙方自動退租并構(gòu)成違約,甲方有權(quán)收回該融資,沒收 保證金并追究 相關(guān)損失。Party B shall pay

I f the Rent has not been paid within 15 days of its due date , Party B shall be required to pay a late penalty fee equal toof the rental per day fo r each day of delay. I f therental has not been paid mo re than 30 days after the due datePar

9、ty b will be deemedto have automatically terminated the leasing resulting in a breach of the Contract , Party A will be entitled totake back the Premises , retain deposit an d seek related losses.3.4 甲方在收到租金后五天內(nèi)應(yīng)提供給乙方正式發(fā)票,若甲 方在月底前仍未提供乙方發(fā)票,則乙方有權(quán)延遲支付下月租金直至收 到正式發(fā)票。甲 方有責任根據(jù)稅務(wù)局和 /或房管局的規(guī)定、 要求和有關(guān) 程序支付相應(yīng)的有關(guān)

10、租 賃房屋的稅款。Party A will issue an official invoice within 5 daysafter receiving the rental. I f Party A has not issue an official invoice by the end of the month , Party B has the right to delay the payment of the following months rental until the invoice of the said month is received., requirements an

11、Party A is responsible fo r complying with regulations d procedures o riginating from the Tax Bureau an d/o r Housing Bureau related to the taxes of the rent of the Premises.3.5 甲方的銀行帳戶資料: 戶名: 賬號:銀行:Party As bank account info rmationName :A/C No. : Bank :收取租金時,房東的銀行所收的手續(xù)費由房東支付。The remittance fee cha

12、rged by the Lan dlo rds bank fo rreceiving should be paid by the Lan dlo rd.四、出租人的責任Lan dlo rds Responsibilities4.1 甲方須按時將出租融資及家具電器 (見附件一 )以良好 的狀態(tài)交付給乙方使用。Party A should deliver on schedule the leased property an d the furniturean d appliances( refer to Appendix I ) ingood condition to Party B.4.2 甲方

13、應(yīng)確?;蜇煶扇谫Y管理公司對融資及其公共設(shè)施進 行定期維修保養(yǎng),包括4.3 但不限于融資內(nèi)的空調(diào)、水管、電線電纜、煤氣管道、通訊及有線電視等設(shè)施,使之處于正常的使用狀態(tài)Party A should guarantee o r o rder the property managementcompany to carry out maintenance an d repair of the said premises an d the facilities in good an d proper operation regularly , including but not restricted t

14、o air-conditions , water pipelines , wires an d cables , gas pipelines , communication an d cable TV etc.4.3 房屋基本設(shè)施和結(jié)構(gòu)損壞時 ( 不包括乙方損壞的家具和 器具) ,甲方必須在 24 小時內(nèi)提供維修服務(wù)或給予乙方答復, 并承擔 相關(guān)的費用In case of the basic facilities an d structure of the premises beingdamaged ( not including furniture an d appliances damag

15、edby Party B ) ,Party A shall repair o r respond to Party Bs complaints within 24 hours an d bear all costs related thereto.4.4 甲方在此聲明及保證甲方為出租房屋的合法擁有人并有 合法地位出租此房屋給乙方。就本合同及出租此房屋于乙方之事,甲 方已取得所有有 關(guān)機構(gòu)的批準,包括政府批準及抵押權(quán)人的同意。甲 方于本合同所做出的聲明 與保證,如有錯誤或違反者,甲方須就因此 而對乙方引起的任何損失、損害、 支出及費用對乙方做出全額補償。Party A hereby repres

16、ents an d warrants that Party A is the legalowner of the leased property an d has the necessary capacity to lease the property to Party B. Party A has also obtained all the necessary autho rizations from all relevant autho rities in respect of this Contract an d the leasing of the property to Party

17、B , including government approval an d/o r mo rtgage consent. Party A shall be liable to keep Party B fully indemnI fied against any costs , expenses , losses an d damages incurred an d suffered by Party B as a result of any breach of Party As representations o r warranties herein.和其它4.5 如在租賃期內(nèi),租賃房屋

18、發(fā)生所有權(quán)全部或部分轉(zhuǎn)移,影響乙方權(quán)益的事情時,甲方應(yīng)保證所有權(quán)人或其它影響乙方 權(quán)益的第三人, 能繼續(xù)遵守本合同所有條款。如乙方于本合同下的權(quán) 益受此等所有權(quán)人或第三 者影響或損害,甲方應(yīng)負責賠償乙方的所有 損失、損害、支出及費用I f during the term of the tenancy , all o r part of the leasedproperty is transferred o r Party Bs right to use leased property is affected , Party A shall ensure that such transferee

19、 o r third party having an effect onParty Bs right to use the leased property will continue to abide by the terms of this Contract. Party A shall also be liable to keep Party B fullyexpenses , lossesindemnI fied against any costsan d damageswhen any of Party Bs interests herein are affectedo r preju

20、diced by such transferee o r third party.4.6 甲方應(yīng)負責根據(jù)中國法律法規(guī)所定因本樓宇租賃而產(chǎn)生 的一切稅務(wù)( 包括但不限于房產(chǎn)稅, 所得稅和營業(yè)稅 ) 和法定費用 ( 包 括但不限于 地使用費 ) ,并必須將該些稅務(wù)和法定費用直接向有關(guān)稅 局繳付The Lan dlo rd shall be responsible fo r an d pay directly to the relevant tax autho rities all applicable taxes ( including but not limited tAltereal Esta

21、te Tax , Income Tax an d Business Tax ) an d other government charges ( including but not limited to Lan d Use Fee )required by Chinese law o r any relevant regulations arising from the leasing of the Premises.4.7 在乙方遵守本合同的條款及交付租金的前提下,乙方有 權(quán)于租賃期內(nèi)拒絕甲方或其他人騷擾而安靜享用出租房屋。Provided that Party B paying the re

22、ntal an d perfo rming an dobserving party Bs terms an d conditions herein contain shall peaceably hold an d enjoy the Premises throughout the term of this Contract without any interruption by Party A o r other persons.4.8 租期為一年,如若任何一方提前解約,支付違約金為年的租金 ( 人民幣 78000.00 元) 。Leasing Term is one year. I f a

23、ny side terminates the agreementaheadof time , must pay the penalty is one year rent( RMB78000.00yuan ) 。五、承租人的責任Tenants Responsibilities滿前兩個月通知乙方其所需拆除的在融資內(nèi)的 任何改變及改進的設(shè)施o5.1 乙方應(yīng)按時支付合同中規(guī)定的保證金、租金及水、電、煤氣、電話費,寬帶費等公用事業(yè)費。Party B should promptly pay the depositrental an dwater , broad ban d ,electricity , g

24、as , telephone charge etc.5.2 未經(jīng)甲方書面同意,乙方不得將該融資轉(zhuǎn)租或分租給第 三方。Party B shall not transfer o r sub-lease the said premises to anythird party without Party As written consent.5.3 乙方應(yīng)愛護使用租賃的房屋,如因乙方的過失或過錯致 使房屋及設(shè)施受到損壞(正常損耗除外) ,乙方應(yīng)負賠償責任Party B shall treat the leased property with care. I fas a resultofParty Bs

25、 negligence o r misconductthe leasedproperty an d the related facilities suffer any damage( fairwear an d tear excepted ) , Party B shall be responsible fo rcompensating Party A fo r such damages.5.4 除在融資內(nèi)已有的裝飾和設(shè)施外,乙方如要增加設(shè)備或 裝修,須征得甲方的同意,甲方不得無理拒絕或延誤;租賃期滿必須恢復原狀 ( 正常損耗、磨損除外 ) ,并承擔其費用, 經(jīng)甲方驗收認可后 歸還甲方。甲方同

Any such consent shall not be unreasonably withheld o r delayed.On expiry of the tenancy, Party B must han d over(

Party A agrees to provide Party B with two months notice prio r to the expiry of the contract in the event Party A requires demolitio

28、n of any A lteration o r improvement carried out to the property by Party B.5.5 若乙方、乙方雇員或任何其他經(jīng)乙方許可的人員進入該 融資,對甲方或其他住戶造成損失,不論故意或過失,乙方皆應(yīng)對造 成的所有損失予 以賠償。In case of Party B , employees of Party B o r any other personpermitted by Party B to enter the property causing damages to Party A o r, whether intenti

29、onally o rnegligently , Party B shall compensate fo r all the losses caused by suchdamages.5.6 乙方不得攜帶任何違禁危險物品進入該融資,嚴禁從事任何違反中華人民共和國法律法規(guī)的活動;如因此發(fā)生損害,乙方應(yīng) 承擔全部責任。Party B shall not bring anything dangerous o r fo rbidden in theleased property , an d not behave against the laws o r regulations of thePeople

30、s Republic of Chinaan d shall befully responsible fo r any damageso r losses as a result thereof.5.7 在本合同期滿前一個月內(nèi),乙方應(yīng)允許甲方或其指定的 代理人經(jīng)與乙方預(yù)約后,在合理的時間內(nèi)陪同其他有興趣租住該樓宇 的人The Tenant shall permit the Lan dlo rd o r its designated agent toenter the Premises with other potential tenants to see the Premisesatreason

31、able time an d upon prio r appointment with the Tenant within onemonth befo re the expiration of this Contract.5.8 租期為一年,如若任何一方提前解約,支付違約金為年的租金(即人民幣 元)。Leasing Term is one year. I f any side terminates the agreementaheadof time , must pay the penalty is one year rentRMByuan)六、違約處理Breach of Contract應(yīng)承

32、擔6.1 甲、乙任何一方如未按本合同的條款履行,構(gòu)成違約,相應(yīng)的違約責任,)。雙方同意違約方應(yīng)賠償受害方之直接損失(間接和結(jié)果性損甲方若有違約并在七日內(nèi)未予補救, 乙方則有權(quán)延付租金和 管理 費或做相應(yīng)的扣除。I f either Party A o r Party B fails to perfo rm its obligationshereunder , it shall constitute a breach of this Contract an d the defaulting party shall undertake the liabilities fo r such breac

The parties agree that the party in breach shall pay the other party the direct losses and damage ( excluding indirect an d consequential loss an d damages) 。 I f Party A is in breach of this Contract an d does not rectI fy within 7 days then Party B is entitled to withhold o r deduct the rental

34、as well as management fee.6.2 甲方有下列行為之一的,乙方有權(quán)中止本合同,甲方除 應(yīng)退還乙方保證金和已支付但未居住的租金外,還應(yīng)支付乙方兩個月 的租金的金額作為賠償。Party B shall have the right to terminate the Contract an d haverecourse to a refund of the two months security deposit an d rental alreadypaid together with a compensation sum equivalent to two months r

35、ental I fparty A commits one of the following( a) 未經(jīng)乙方同意,在租賃期間收回該融資。During the lease term , take possession of the Premiseswithout Partys B consent.b) 本合同開始三十天后,仍未向乙方移交該融資。Fail to han d over the Premises to Party B within thirty days afterthe commencing date of the Contract.6.3 乙方有下列行為之一的,甲方有權(quán)中止本合同,

36、收回該房屋并且保證金不予退還。Party A shall have the right to terminate this Contractre-possess the leased property an d fo rfeit the security deposit I f Party Bcommits oneof the followings.a) 將承租的房屋擅自轉(zhuǎn)租,但轉(zhuǎn)租給乙方本公司人員除外。Sublets the leased property to another person withoutParty Asconsent , but associated person of

37、Party B excepted.b) 未得甲方同意,將承租的房屋擅自拆改結(jié)構(gòu)或改變用途的A lters the structure of the premises without autho rization o ruses the premises other than the purpose stated herein.c) 無故拖欠租金超過三十天。Fail to pay rental without any reason fo r mo re than30 days after the due date.七、不可抗力Fo rce Majeure若由于不可抗拒的自然災(zāi)害(包括但不限于火災(zāi)

38、、洪水、地 震、施甲方必須退還乙方所工、戰(zhàn)爭、暴動、敵隊等行為等)或其它非雙方過錯所造成的 對本融資的損毀 致使其無法居住或使用本融資, 雙方有權(quán)中止本合同, 有保證金和已支付但未居住的租金。屆時合同雙 方將不再承擔進一步的任何責 任。, damaged an dI f the leased property is destroyedincludingrendered uninhabitable an d unusable due to fo rce majeurebut not limited to fires, flood , earthquake ,accidents , strikes

Thereafter , theboth parties shall not ha

40、ve any responsibilities to each other.八、爭議的解決Dispute Resolution凡因本合同條款、翻譯、任何合同相關(guān)事宜所引起的一切爭 議,雙方應(yīng)友好協(xié)商解決;協(xié)商不成,應(yīng)提交上海市仲裁委員會,按其仲裁原則和中華人民共和國仲裁法在上海進行仲裁,仲裁裁決是終 局的,對雙方都有約束力。Any dispute o r dI fference that arise between Party A an d PartyB relating to any clause, interpretation , mattero r things whatsoever herein connected with this agreement shall besettled amicably between both parties hereof. I f such negotiation failsthe parties shall submit thedispute to arbitration by Shanghai Arbitration Commission inShanghai acco rding to its arbitration rules. The decision of the arbitra
