12、深圳賽格股份有限公司（以下簡稱公司）認(rèn)定，為公司提供物品或服務(wù)的國內(nèi)、外供應(yīng)商。供應(yīng)商包括物品的直接制造商、具有代理權(quán)的代理商（以下簡稱代理商）和中介服務(wù)商。第三條 公司在開展采購工作時(shí)，應(yīng)成立供應(yīng)商評估小組（“供評組”）對供應(yīng)商進(jìn)行評估篩選；供評組成員組成可包括但不限于：辦公室人員、審計(jì)部人員、采購需求部門人員、財(cái)務(wù)部門人員及法律人員等。第四條 公司采購需求部門根據(jù)自身業(yè)務(wù)需要提供供應(yīng)商名單與信息，并進(jìn)行初步審核，供評組進(jìn)行復(fù)核，并按供應(yīng)商準(zhǔn)入與評估流程（附件二）審批。各采購需求部門負(fù)責(zé)建立自身業(yè)務(wù)的供應(yīng)商名單與信息表、收集供應(yīng)商基本信息資料。辦公室負(fù)責(zé)匯總供應(yīng)商名單與信息表，并管理供應(yīng)商基

13、本信息資料。第五條 供應(yīng)商準(zhǔn)入原則1. 具有獨(dú)立法人資格，能獨(dú)立行使民事權(quán)利并承擔(dān)民事責(zé)任，能提供公司所需產(chǎn)品、服務(wù)及相關(guān)售后服務(wù)；2. 有固定的生產(chǎn)或經(jīng)營場所，具備必須的生產(chǎn)經(jīng)營設(shè)施及相應(yīng)的業(yè)績， 具有產(chǎn)品或服務(wù)所需的資格證書或相關(guān)證書，質(zhì)量保證體系健全；3. 生產(chǎn)企業(yè)具備良好的組織協(xié)調(diào)能力，并對產(chǎn)品生產(chǎn)制造的合法性、使用過程的安全性、操作的技術(shù)可靠性及售后服務(wù)等負(fù)全部責(zé)任。第六條 供應(yīng)商準(zhǔn)入申請材料1. 供應(yīng)商準(zhǔn)入申請表（見附件一）：供應(yīng)商完整填寫申請表中“概況”、“主要產(chǎn)品及業(yè)績”和“體系認(rèn)證”等內(nèi)容，加蓋單位公章。同時(shí)提交申請表的電子版； 2工商營業(yè)執(zhí)照：工商營業(yè)執(zhí)照，或在工

14、商行政機(jī)關(guān)的注冊證書（復(fù)印件，加蓋供應(yīng)商單位公章）。經(jīng)營特殊、特種產(chǎn)品的單位應(yīng)同時(shí)提交資質(zhì)證書；3如有必要，另需提交上年財(cái)務(wù)年報(bào)（復(fù)印件，加蓋供應(yīng)商單位公章）。財(cái)務(wù)年報(bào)包括:(1)會(huì)計(jì)事務(wù)所年度審計(jì)報(bào)告結(jié)論部分；(2)年度資產(chǎn)負(fù)債表；(3)年度利潤表；4管理體系資料：如果取得質(zhì)量、職業(yè)健康安全、環(huán)境等方面體系認(rèn)證的，提交認(rèn)證證書（復(fù)印件，加蓋供應(yīng)商單位公章）；5制造商應(yīng)提交產(chǎn)品質(zhì)量手冊和檢驗(yàn)管理制度；6制造商應(yīng)提交影像資料。影像資料主要包括企業(yè)概況、經(jīng)營生產(chǎn)業(yè)績，客戶評價(jià)，產(chǎn)品從原料檢驗(yàn)進(jìn)庫、生產(chǎn)加工到完工驗(yàn)收入庫全過程，包括車間、場地、倉庫的實(shí)際情況。影像資料用光盤形式提供；7代理商應(yīng)提交與

15、制造商的代理協(xié)議書。代理協(xié)議書包括：代理的產(chǎn)品、代理的有效年限、服務(wù)條款（如對產(chǎn)品服務(wù)等）和代理費(fèi)的結(jié)算方式。 第七條 供應(yīng)商準(zhǔn)入審定管理程序遵循市場經(jīng)濟(jì)競爭機(jī)制，優(yōu)勝劣汰的法則，供應(yīng)商準(zhǔn)入分供應(yīng)商審定和招標(biāo)兩種。（一）供應(yīng)商審定準(zhǔn)入管理程序1.由需求部門提供供應(yīng)商推薦申請表及相關(guān)資料，報(bào)供評組；2.供評組根據(jù)提供信息及資料進(jìn)行審核，必要時(shí)可由辦公室組織相關(guān)部門實(shí)地調(diào)查驗(yàn)證和審定；4.供應(yīng)商審定情況經(jīng)整理形成書面意見，按內(nèi)部請示流程審批。（二）供應(yīng)商參與招標(biāo)準(zhǔn)入管理程序1.需求部門擬定招標(biāo)說明書，對參與招標(biāo)供應(yīng)商提出具體準(zhǔn)入要求，并可推薦供應(yīng)商及其相關(guān)資料；2.公司招標(biāo)工作小組根據(jù)提供資料及各

16、方面推薦的供應(yīng)商資料，進(jìn)行分析確定參與招標(biāo)的供應(yīng)商；3.對參與招標(biāo)供應(yīng)商進(jìn)行資質(zhì)審查、必要時(shí)招標(biāo)工作小組派人進(jìn)行實(shí)地考察，形成書面意見，按公司內(nèi)部流程審批；4.招標(biāo)實(shí)施按照深圳賽格股份有限公司招標(biāo)管理辦法執(zhí)行；第八條 供應(yīng)商評估公司應(yīng)當(dāng)建立供應(yīng)商評估制度。定期對實(shí)物類供應(yīng)商從采購價(jià)格、采購質(zhì)量、采購成本、交貨及時(shí)性、合同簽約與履行情況等方面進(jìn)行專項(xiàng)評估和綜合分析；對服務(wù)類供應(yīng)商從服務(wù)質(zhì)量、支付成本、服務(wù)配合、提供服務(wù)及時(shí)性、服務(wù)態(tài)度、合同簽約與履行情況等方面進(jìn)行專項(xiàng)評估和綜合分析。1.已經(jīng)與公司合作過的供應(yīng)商，應(yīng)在每次（或每年）合作后，由采購需求部門、辦公室及財(cái)務(wù)部對其進(jìn)行評估，評估結(jié)果按程序

17、審批。2.對供應(yīng)商評估結(jié)果分為合格、不合格兩類，評估完畢應(yīng)在供應(yīng)商名錄中更改供應(yīng)商級別，不合格供應(yīng)商應(yīng)在供應(yīng)商名錄中標(biāo)注，取消其續(xù)簽合同或繼續(xù)參加投標(biāo)的資格。 3. 初審以審查書面材料和實(shí)地考察（或通過查看影象資料）相結(jié)合。實(shí)地考察人員由采購需求部門組織有關(guān)人員進(jìn)行，必要時(shí)邀請商業(yè)調(diào)查公司進(jìn)行咨詢評估。4. 供應(yīng)商提供的資料是否真實(shí)齊全將影響供應(yīng)商的準(zhǔn)入申請。供應(yīng)商有意提供不真實(shí)資料，或采取行賄等不正當(dāng)手段的，兩年內(nèi)不得參與準(zhǔn)入申請。第九條 建立供應(yīng)商信息名錄建立科學(xué)的供應(yīng)商評估和準(zhǔn)入制度，對供應(yīng)商資質(zhì)信譽(yù)情況的真實(shí)性和合法性進(jìn)行審查，確定合格的供應(yīng)商清單，健全公司統(tǒng)一的供應(yīng)商信息。1. 供應(yīng)
