2、國內(nèi)各級政府部門、大型券商、中介機構(gòu)、優(yōu)秀民營企業(yè)接觸和合作的機會，甲方同意為乙方提供與境外大型券商、外商投資機構(gòu)、中介機構(gòu)接觸和合作的機會，共同開拓境內(nèi)外資本市場，接受外資的委托投資國內(nèi)的證券市場或接受國內(nèi)資金的委托投資海外的證券市場;組織境內(nèi)外資本參與國內(nèi)優(yōu)秀企業(yè)或項目的資產(chǎn)重組、收購兼并或風(fēng)險投資等等。1.3 在內(nèi)地或海外共同舉辦項目融資交流會。第二條乙方責(zé)任2.1 向甲方推介中國境內(nèi)的擬海外上市項目，對項目進(jìn)行篩選并就選中的項目及時、完整、準(zhǔn)確地向甲方提供項目推介數(shù)據(jù)。2.2 與境內(nèi)擬海外上市的有關(guān)公司進(jìn)行接洽與前期談判。2.3 安排甲方及其相關(guān)其它合作機構(gòu)與擬上市公司進(jìn)行正式談判。2

3、.4 向甲方提供國內(nèi)相關(guān)的公關(guān)服務(wù)或咨詢。第三條甲方責(zé)任3.1 甲方承諾，與乙方在中國境內(nèi)建立戰(zhàn)略合作關(guān)系，并提供乙方為開展相關(guān)業(yè)務(wù)所需的文件。3.2 甲方向乙方推薦的項目進(jìn)行協(xié)助，制定計劃，安排承銷商及其它專業(yè)團(tuán)體，跟進(jìn)法律相關(guān)文件。3.3 甲方承諾及時為乙方提供海外資本市場的相關(guān)信息，以及甲方希望乙方提供的材料所遵循的文件格式。3.4 派出人員協(xié)助乙方開展相關(guān)財務(wù)顧問工作。第四條收益分配比例4.1 對于甲方接受的乙方推介之項目，乙方向項目方收取的財務(wù)顧問費用，甲方不參與分配;雙方收益分配僅限對于甲方從乙方推介之項目方所收取的各項費用。4.2 雙方收益分配比例根據(jù)項目具體情況及各自所承擔(dān)的責(zé)
