14、minusactualfreemoistureshowninCertificateofQualityissuedbyCCICortheaverageofthefreeMoisturebetweentheCCICChinaandSGSChinaatdischargingPort.第五條：重量決定每船貨物將在裝貨港由船長(zhǎng)與馬來(lái)西亞SGS根據(jù)船的吃水測(cè)量重量，測(cè)量費(fèi)用由賣方承擔(dān)。如此測(cè)量的重量稱為“賣方的發(fā)票重量”，買方有權(quán)出席或者派第三方出席監(jiān)督裝貨港的重量測(cè)定。在卸貨港：最終貨物的重量將由中國(guó)認(rèn)證&檢驗(yàn)集團(tuán)有限公司/或其附屬公司(CCIC)在卸貨港或者中國(guó)CCIC與中國(guó)SGS的平均值來(lái)確定，其中

15、中國(guó)CCIC費(fèi)用由買方承擔(dān),中國(guó)SGS費(fèi)用由賣方承擔(dān)。最終的干噸數(shù)按照中國(guó)CCIC在卸貨港出具的重量證上的實(shí)際重量數(shù)或者中國(guó)CCIC與中國(guó)SGS的平均值減掉中國(guó)CCIC在卸貨港出具的質(zhì)量證上的自由水分?jǐn)?shù)或者中國(guó)CCIC與中國(guó)SGS的平均值的結(jié)果。SAMPLINGANDANALYSISSamplingandanalysiswillbecarriedoutatSellersexpensebySGSMalaysiaduringloadingattheloadingport.TheBuyermay,atBuyersexpense,haveitsrepresentativespresentattheti

16、meofsamplingandanalysis.Notwithstandingtheforegoing,inordertoensureafairinspection,afterarrivalofthevessel,thesellerwillcommissionSGSChinatoconductsampling.SamplingandanalysiswillbecarriedoutindependentlybyCCICChinaandSGSChinaatthedischargingport.Subjecttoparagraph6.3below,theCCICChinaresultshallbet

17、hebasisoftheFinalSettlement.AllexpensesinconnectionwithsuchsamplingandanalysisbyCCICChinashallbeontheBuyersaccount.Thesampletakenforanalysisshallbein3partsandsealed,onesampledforanalysisbyCCICChina,onesampledforanalysisbySGSChina,andoneretainedforthepurposeofanumpireanalysisBuersContractNo.SellersCo

18、ntractNo. /12(sampledbySGSChina),ifrequired,tobeanalysedbyanindependentISO-approvedlaboratory.Thethirdpartyanalysiscosttobebornebythelosingparty.IftheCCICChinadischargeportresultsareaboveorbelowtherejectionlevel,orthedifferencebetweenCCICChinaandSGSChinaanalysisresultsatdischargeportareover0.5%(incl

19、usiveof0.5%)forAl2O3,SiO2,ormoisture,thesellercanchooseeitherusingtheaveragebetweentheCCICChinaandSGSChinadischargeportasthefinalbasis,orcanchoosetochallengeCCICChinadischargeportresultsanduseumpiresampleresultsasthefinalsettlement.Ifthedifferenceislessthan0.5%(exclusiveof0.5%),thedischargingportCCI

20、CChinareportasabasisforfinalsettlement.第六條：質(zhì)量檢驗(yàn)在裝港取樣分析由SGSMalaysia施行，并由賣方承擔(dān)檢驗(yàn)成本。買方有權(quán)到場(chǎng)或派第三方到取樣分析現(xiàn)場(chǎng)，相關(guān)費(fèi)用由買方自行承擔(dān)。盡管前有所述，為保證檢驗(yàn)的公平，貨物到卸港后，賣方委托SGSChina進(jìn)行取樣/檢驗(yàn)。卸港取樣以及分析由CCICChina和SGSChina單獨(dú)實(shí)施。除6.3所述情況，此CCICChina分析結(jié)果為最終結(jié)算依據(jù)。與CCICChina有關(guān)的取樣分析成本由買方承擔(dān)。測(cè)試及測(cè)試樣品總共有3份并妥善封好，CCICChina取的一份作為CCICChina的分析之用，SGSChina取的

21、一份作為SGSChina的分析之用，一份(SGSChina取的一份)會(huì)保留以備日后可能需要的獨(dú)立ISO認(rèn)可的仲裁分析之用。其仲裁費(fèi)用敗訴方承擔(dān)。如果CCICChina卸港檢驗(yàn)結(jié)果超過拒收值，或卸港CCICChina與SGSChina檢驗(yàn)結(jié)果之間AL2O3,SIO2,水分任一指標(biāo)檢差值在0.5%以上(包含0.5%)，賣方可以選擇接卸港CCICChina與SGSChina的檢驗(yàn)報(bào)告中的平均值作為最終結(jié)算依據(jù)，或者賣方可以選擇以仲裁樣品化驗(yàn)結(jié)果作為最終結(jié)算依據(jù)。如果相差在0.5%內(nèi)(不含0.5%)，將卸港CCICChina報(bào)告作為最終結(jié)算依據(jù)。PAYMENT第七條：付款PaymentoftheUpo

22、nSigningpayment,ProvisionalInvoiceand,ifrelevant,theFinalInvoice,shallbepaidbyT/TinaccordancewiththisAgreement.定金、首款和尾款都是以美元為貨幣，電匯支付.50%PaymentInitialInvoice(InitialPayment)amountingto50%ofthetotalvalueshallbepaidtotheselleruponthecargoloadedonthebargesreach24000ton.Thetotalvaluecalculatedbasedtheco

32、的平均值的報(bào)告并且按照本合同第三條價(jià)格調(diào)整后得到的最終貨款比第7.2條計(jì)算后首款發(fā)票金額低，賣方應(yīng)在買方通過郵件或傳真書面通知后5個(gè)工作日內(nèi)把低出部分貨款匯到買方指定賬戶.7.4Sellersbankinformation賣方銀行資料:TOC o 1-5 h zBeneficiary:USDBankAccountNo:SWIFTCode:BankName:BankAddress:-CharteringandDischargingTerms第八條貨條款Buyertoprovideportdetailsanddischargeterms,aswellasportagencycontacts.賣方提

33、供港口資料，港口代理的聯(lián)絡(luò)方式及卸貨條款。Dischargingtermstobeprovidedbytheseller.卸貨條款由賣方提供。FORCEMAJEURE第九條不可抗力Ifstrike,fire,riots,accidents,weather,war,embargoes,ordersorregulationsoractsofanygovernmentalauthority,preventorhinderordelaydeliverybytheSellerorreceiptbytheBuyer,thiscontractshallbedeemedsuspendedsolongasdel

34、iverybytheSellerorreceiptbytheBuyerispreventedorhinderedordelayedbysuchcauseorcontingency.ThepartyaffectedbytheoccurrenceofaneventofForceMajeureshallimmediatelyadvisetheotherinwriting.第九條：不可抗力一旦發(fā)生罷工，火災(zāi)，暴動(dòng)，意外，天氣災(zāi)害，戰(zhàn)爭(zhēng)，港口禁運(yùn)，延期，政府授權(quán)的命令、規(guī)定或者行動(dòng)，或任何超出買方、賣方控制范圍的事件，此類事件阻礙或者延遲賣方發(fā)貨、買方收貨，本合同將延續(xù)直至賣方可以發(fā)貨或者買方可以收到貨
