TermsofShipment:海運(yùn)和CIF條款下的裝運(yùn)：SHIPMENTInCaseBySeaOnCIFTerms:1）賣方須按時(shí)在裝運(yùn)期限內(nèi)將貨物由裝運(yùn)口岸裝船并將貨物于交貨日期前在到貨地點(diǎn)交貨。TheSellersshallshipthegoodswithintheTimeofShipmentfromtheportofshipmentandshalldeliverythegoodsbeforethedateofdeliveryattheplaceofdestination.2）除特別說(shuō)明外，不允許中途轉(zhuǎn)船，不允許分運(yùn)。裝載船只不得懸掛買方不能接受的國(guó)家的旗幟。買方需在發(fā)貨一個(gè)月前提前通知賣方不授受的旗幟名稱.Transshipmentisnotallowed，Partialshipmentisnotallowed.unlessspeciallyspecified.Thegoodsshallnotbeshippedonanyvesselflyingtheflagofanationunacceptable(Buyertospecifyatleastone(1)monthbeforeshipmentdate)totheBuyers.3）裝載船只必須適航、適裝。船齡不得超過(guò)15年。如果船齡超過(guò)15年，其額外保險(xiǎn)費(fèi)則由賣方負(fù)擔(dān)。如果船只在航行途中發(fā)生事故或故障時(shí)，發(fā)貨人有責(zé)任立即通知買方。Thecarryingvesselmustbesuitableforthevoyageandforloadingthecontractedgoods.Theageofthevesselshallnotexceed15years.Incasetheageofthevesselexceeding15years,theextrapremiumshallbebornebytheSellers.Ifmarineaccidentortroubleofthevesselishappenedenroute,theshipperhasresponsibilitytoadvisetheBuyersimmediately.14．裝運(yùn)通知：Shippingadvice：賣方須于貨物裝船后，立即將合同號(hào)碼、貨物名稱、數(shù)量、發(fā)票金額、毛重、船名、裝運(yùn)口岸、目的口岸及開(kāi)航日期等在48小時(shí)內(nèi)以電傳或傳真方式通知買方。如賣方未能按時(shí)通知買方，致使買方不能及時(shí)投保，因而發(fā)生的損失則由賣方負(fù)擔(dān)。如單件貨物的重量超過(guò)9公噸或?qū)挾瘸^(guò)3400毫米或高度超過(guò)2350毫米，則賣方應(yīng)將該件貨物的重量和尺碼告知買方。如貨物系危險(xiǎn)品，賣方應(yīng)將其性質(zhì)及其處理辦法電告買方和到貨口岸的買方運(yùn)輸代理。賣方所指定的船只或承運(yùn)人應(yīng)符合下列條件：TheSellersshall,immediatelyuponthecompletionoftheloadingofthegoodsbysea,advisetheBuyersbytelexorfaxofthecontractnumber,commodity,quantity,invoicedvalue,grossweight,nameofvessel,portofshipment,portofdestinationanddateofsailingetc.IncasetheBuyerfailstoarrangeinsuranceintimeduetotheSellernothavingadvisedintime,alllossesshallbebornebytheSellers.Ifanypackageisabove9metrictonsinweightorover3400mminwidthorover2350mminheight,theSellershalladvisetheBuyeroftheweightandmeasurementsofsuchpackage.Incaseofdangerousgoods,theSellershallnotifytheBuyerandhisshippingagentattheportofdestinationoftheirnatureandthemethodofhandlingthembytelexorfax.ThevesselorcarrierdesignatedbytheSELLERshallbeinconformitywiththefollowingterms:(1)賣方所指定的船只或承運(yùn)人應(yīng)能夠在正常和合理的時(shí)間內(nèi)到達(dá)中國(guó)的指定港口。ThevesselorcarrierdesignatedbytheSELLERshouldarriveattheportofdesignationinChinawithinanormalandreasonableperiodofthetime.(2)如在途中發(fā)生任何事故，賣方應(yīng)在得知消息后毫不遲延地通知買方。若賣方未能在得知消息后通知買方，由此產(chǎn)生的一切損失或費(fèi)用應(yīng)由賣方承擔(dān)。Incasethatanaccidentoccursduringthevoyage,theSELLERshall,ifnotifiedofsuchaccident,informtheBUYERattheearliesttimereasonablepossible.AnylossorexpensesincurredbytheSeller’sfailuretoinformtheBUYERafterhavingbeennotifiedoftheaccidentshallbebornebytheSELLER.15．質(zhì)量保證：a）賣方保證貨物是以最好的材料及一流的工藝制成并且是全新的、未曾使用過(guò)的、完全符合本合同規(guī)定的質(zhì)量、規(guī)格和性能的。如果實(shí)際到貨產(chǎn)品與提供的工作圖不符，由此引起便跟造成的費(fèi)用，由賣方負(fù)責(zé)。TheSellerguaranteethatthegoodshereofaremadeofthebestmaterialswithfirstclassworkmanship,brandnew,unusedandcompliesinallrespectswiththequality,specificationsandperformanceasstipulatedinthisContract.Iftheactualdeliveryoftheproductsandprovideworkingdrawingwithdiscrepancies,thecauseandthecostofwithcausedbytheselleris.b）質(zhì)量保證期為買方向船東交船日期后12個(gè)月或者合同貨物裝運(yùn)后24個(gè)月，以先到者為準(zhǔn)。交船后該12個(gè)月的質(zhì)量保證期的受益權(quán)將轉(zhuǎn)移給船東。如在此之間貨物發(fā)生損壞，賣方應(yīng)保證損壞部分在維修后一年內(nèi)不會(huì)再次損壞。Theguaranteeperiodshallbe12monthscountingfromthedateonwhichtheBuyerdeliversthevesseltotheShipowner,or24monthsafterdeliveryofthecontractedgoods,whicheverisearlier..Theextendedwarrantyperiodof12monthsforthegoodsfromthedateofdeliveryofthevesselshallpasstothebenefitoftheShipowner.IfSellerhasperformedguaranteeworkduringtheguaranteeperiod,Sellershallguaranteetherepairedpartsofthegoodsforaperiodofoneyearfromthedateofcompletionoftheguaranteework,ortheremainingpartoftheguaranteeperiodc）在上述質(zhì)量保證期內(nèi)，賣方收到買方的索賠要求后，應(yīng)及時(shí)采取措施免費(fèi)維修或更換損壞的貨物或部件，否則，買方可自行委托修理或更換，費(fèi)用由賣方負(fù)擔(dān)。如果因?yàn)橘I方違章操作、不按規(guī)定進(jìn)行正常的維護(hù)保養(yǎng)等因素造成的損壞和故障，需要賣方來(lái)維修及更換零部件所發(fā)生的費(fèi)用由買方負(fù)責(zé)。同時(shí)，賣方應(yīng)對(duì)不符合規(guī)格部分進(jìn)行重新設(shè)計(jì)，制作，及修改，因此產(chǎn)生的費(fèi)用由賣方負(fù)責(zé)。Uponreceiptofsuchnotice,theSellershall,withallreasonablespeed,repairorreplacethedefectiveGoodsorpartsthereofatfinaldestinationorworksite,withoutcoststotheBuyer.Iftheseller,havingbeennotified,failstoremedythedefect(s)withinareasonableperiod,theBuyermayproceedtotakesuchremedialactionasmaybenecessary,attheSeller'sriskandwithoutprejudicetoanyotherrightswhichthebuyermayhaveagainsttheSellerundertheContract.TheSellershallbeliableforallcostsassociatedwiththerepairorreplacementofdefectivework.16．商品檢驗(yàn)：INSPECTION:貨物裝運(yùn)之前，買方及買方授權(quán)的代表有權(quán)對(duì)貨物的質(zhì)量、規(guī)格及數(shù)量進(jìn)行檢驗(yàn)，賣方應(yīng)對(duì)檢驗(yàn)提供設(shè)備及必要的幫助，應(yīng)買方的要求，賣方應(yīng)向買方出具相關(guān)的檢驗(yàn)報(bào)告，材質(zhì)證書，及詳細(xì)的計(jì)算書。貨物在目的港卸下后，應(yīng)買方的請(qǐng)求，中國(guó)商檢機(jī)構(gòu)可對(duì)貨物的規(guī)格和數(shù)量再次進(jìn)行檢驗(yàn)。再次的商檢費(fèi)用由買方承擔(dān)。BeforetheSeller’sshipmentofthegoods,BuyerorhisauthorizedrepresentativeshallhavetherighttomakewhateverinspectionsandverificationstheyconsidernecessaryinordertoverifythatthegoodsaremanufacturedinaccordancewiththeconditionsofthePurchaseContract.SuchinspectionsandverificationsmaybemadeatSeller’sfacilities,and/oratanyofhissubcontractor’sfacilities.Sellershallgivenecessaryassistanceincarryingouttheseinspectionsandverifications.Seller,ifrequiredbyBuyer,supplytoBuyertestreports,materialcertificates,calculationsetc.AfterdischargeofthegoodsatthedestinationandattheBuyer’srequest,theChinaCommodityInspectionBureauwillrepeattheinspectionofthespecificationsandquantityofthegoods.AnycostsincurredshallbebytheBuyer.17、關(guān)聯(lián)服務(wù)incidentalservices:（一）賣方應(yīng)保證制造廠根據(jù)買方需要，到達(dá)買方指定的地點(diǎn)提供下述服務(wù)：TheSellershallensuretheMakertosupplythefollowingservicesondemands.設(shè)備到貨清點(diǎn)驗(yàn)收，賣方在收到通知后3天內(nèi)到達(dá)船廠驗(yàn)收地點(diǎn)，驗(yàn)收所提出的問(wèn)題將有賣方全部負(fù)責(zé)澄清并予以解決，若賣方不參與現(xiàn)場(chǎng)開(kāi)箱清點(diǎn)驗(yàn)收工作，那么視為默認(rèn)船廠自行安排驗(yàn)收得出的結(jié)論。 debuggingpersonnel,postponecommissioningtime.調(diào)試服務(wù)工程師到場(chǎng)后必須先行做出調(diào)試計(jì)劃表，含檢查、自行調(diào)試、報(bào)廠檢、報(bào)船檢等日程安排。調(diào)試工作開(kāi)始后就以此計(jì)劃表為準(zhǔn)，與船廠項(xiàng)目經(jīng)理日日核對(duì)，若發(fā)生影響該計(jì)劃進(jìn)度事宜，必須第一時(shí)間通知調(diào)試組及物資部。在最短時(shí)間內(nèi)確認(rèn)造成問(wèn)題的原因，同時(shí)記錄在案，若需要，將作為調(diào)試周期變更的依據(jù)。在合同規(guī)定的調(diào)試次數(shù)中，調(diào)試工程師的旅途時(shí)間不計(jì)入合同規(guī)定的調(diào)試周期內(nèi)。因設(shè)備本身質(zhì)量或賣方設(shè)計(jì)缺陷問(wèn)題造成的服務(wù)時(shí)間不計(jì)入合同規(guī)定的調(diào)試周期內(nèi)在調(diào)試服務(wù)期內(nèi)，調(diào)試工程師的日常工作時(shí)間包含但不限于8小時(shí)工作制，調(diào)試周期內(nèi)，必須根據(jù)船廠調(diào)試需要進(jìn)行超出8小時(shí)工作服務(wù)配合，此時(shí)間僅計(jì)入當(dāng)日服務(wù)時(shí)間，按一天計(jì)數(shù)調(diào)試人員在離廠時(shí)必須經(jīng)過(guò)船廠及船東簽字認(rèn)可，否則，調(diào)試服務(wù)時(shí)間無(wú)效，需重新計(jì)算調(diào)試時(shí)間。Thedebuggingpersonnelmust
