2022房屋租賃合同英文版篇1本租賃合同由下述雙方于年月日于中華人民共和國北京市簽訂:Thisleaseagreement,datedthe[]dayof,20xx,SignedinBeijing,People‘sRepublicofChinabythefollowingparties.一、出租人:(以下簡稱“甲方”)Landlord:(hereinafterreferredtoasPartyA)二、承租人:(以下簡稱“乙方”)Tenant:(hereinafterreferredtoasPartyB)三、承租區(qū)域:Premises:甲方為光華路SOHO【】單元(以下簡稱“房屋”)合法擁有者,建筑面積為【】平方米,甲方同意將房屋及內部設施在良好狀態(tài)下租給乙方,只可作為辦公用途。PartyAherebyrepresentsthatitisthelegalownerofthe【】Apartment,guanghualuSOHO(hereinafter“thePremises”),whichconstructionareais【】squaremeters,andagreesthatitwillleasethePremisesandthefacilitiestherein,whichareincleanandtenantableconditiontoPartyBforuseasoffice(s)only.四、租賃期:LeaseTerm:4.1租賃期為【】年,自年月日至年月日。ThetermofthisLeaseAgreementshallbeforaperiodof【】year(s)commencingfrom【】until【】。4.2租期屆滿,甲方有權收回全部房屋,乙方應在租期屆滿日或之前,以甲方交付時狀態(tài)或雙方共同認可的狀態(tài)將房屋完好交還甲方。Uponexpiryofthislease,PartyAhastherighttotakebacktheentirePremises,andPartyBshallreturnthePremisesonorpriortothedateofexpiryinthesameconditionasitisdeliveredortheotherconditionthepartiesagreetoPartyBbyPartyA.4.3租期屆滿,乙方如要求續(xù)租,應在本合同期限屆滿前兩個月提出書面申請,取得甲方同意后,甲、乙雙方須另行簽署租賃協(xié)議。IfPartyBwishestorenewthelease,partyBshallsubmitawrittenapplicationtoPartyAtwomonthspriortotheexpiryofthislease,andaleaseagreementshallbeconcludedbetweenthepartiesseparatelysubjecttoPartyA‘sconsent.五、免租期(含裝修期)GracePeriod(includingthedecorationperiod)免租期為【】天,自年月日起至年月日止。乙方在免租期內免付租金。TheGracePeriodshallbeforaperiodof【】days,commencingfrom【】until【.】DuringtheGracePeriodPartyBneednotpaytherent.六、租金和其它費用:Rentandothercharges:6.1租金:房屋租金以每月每平方米(建筑面積)【】元人民幣計算,建筑面積為【】平方米,計每月租金為【】元人民幣,租金包含物業(yè)管理費、供暖費,甲方按合同金額開具稅務發(fā)票,相關稅費由【】方承擔。TherentisRMB【】persquaremeter(constructionarea)permonth.TheareaofthePremisesis【】squaremeterandthemonthlyrentofthePremisesisRMB【】。Therentincludesmanagementfeeandwinterheatingfee.PartyAshallissueanofficialtaxreceiptforthepricehereunder.ThetaxesshallbebornbyParty【】。6.2電話:TelephoneService:電話號碼由乙方自行申請,電話費按電信局的收費標準,每月按實際通話次數(shù)/時間結算,乙方按單繳付。ThetelephonenumbershallbeappliedbyPartyBandthecallchargeshallbepaidinaccordancewiththerateofthetelecommunicationauthority.PartyBshallpaythecallchargeactuallyincurredeachmonth.6.3其它費用:Othercharges:在租賃期內,乙方承租單元所用的電由大廈的物業(yè)管理機構每月按實際耗用量結算,乙方按單繳付。免租期內承租單元所用的電費由乙方支付。Duringtheleaseterm,theelectricityconsumedinthePremisesshallbepaidbyPartyBtotheManagementDepartmentinaccordancewiththeactualconsumptionappearedonthebilloftheManagementDepartment.PartyBshallpayfortheelectricityconsumedinthePremisesduringtheGracePeriod七、支付方式:Payment:7.1租金應按預付,免租期屆滿后,乙方于應付款月的第【】號前向甲方支付下期租金。Therentshallbepaidonbasis.AfterexpirationoftheGracePeriod,PartyBshallpayfortherentbeforethe【】dayofthecurrent.7.2其他各項費用:(包括但不限于)水費、電費由乙方按大廈物業(yè)管理機構每月提供的交費通知單按時交付。Miscellaneouscharges:PartyBshallpayforthewaterandelectricityontimetotheManagementDepartmentaccordingtothebillsissuedbytheManagementDepartmenteachmonth.八、幣種和帳戶:CurrencyandAccount:乙方應按甲方指定的帳戶支付本合同項下所有的到期款項,所有付款以人民幣計算,以人民幣支付。PartyBshallpaytherentandallotheramountsdueandpayableinRMBtotheaccountdesignatedbyPartyA.九、保證金:Deposit:9.1自本合同簽訂之日起日內,乙方應向甲方繳付相當于【】個月的租金計人民幣【】元作為保證金及首期租金人民幣【】元,共計人民幣【】元。Within【】daysaftertheexecutionofthisLeaseAgreement,PartyBshallpaytoPartyAadepositintheamountof【】-monthrentandthefirstrentRMB【】,totalingRMB【】。9.2本合同期滿,如本合同不續(xù)租,甲方應在期滿后三十(30)天內返還保證金(不計利息)如乙方因違約而導致違約金、賠償金、費用和/或乙方尚未支付任何應付款項,甲方可從保證金中扣除此類違約金、賠償金、費用和/或未付款項。UponexpirationoftheLeaseAgreement,iftheLeaseAgreementisnottoberenewed,PartyAshallrefundthedepositwithoutinteresttoPartyBwithinthirty(30)daysaftertheexpirationofthisLeaseAgreement.IfthereisanydefaultpenaltyorcompensationorexpensesincurredduetothebreachofPartyBand/oranydueamountthatPartyBfailstopay,PartyAmaydeductsuchdefaultpenaltyorcompensationorexpensesordueamountfromthedeposit.9.3在本合同期限內,如有任何應由乙方支付的違約金、賠償金、費用和/或其他應付款項,甲方可直接從保證金中予以扣除,乙方應在接到甲方書面通知后五(5)天內補足該部分保證金。Duringtheleaseterm,ifthereisanydefaultpenalty,compensationorexpenseand/oranyotherdueamountthatshallbepaidbyPartyB,PartyAmaydeductsuchamountfromthedepositandPartyBshall,withinfive(5)daysafterPartyAsonotifies.十、大廈及承租區(qū)域的交付狀態(tài):ThestateofthePremiseswhendelivery:甲方按現(xiàn)狀交樓,具備辦公條件。PartyAwilldeliverthePremisesatas-it-isbasis,whichsatisfiestheconditionsasoffice.十一、甲方的權利義務:PartyA‘SRIGHTSANDRESPONSIBILITES:11.1甲方在本租賃合同規(guī)定的期限內將房屋交付乙方。PartyAshalldeliverthePremisestoPartyBwithinthetermspecifiedherein.11.2甲方保證是房屋的合法權利人,有充分的權利出租房屋。PartyAshallensurethatitislegalownerofthePremisesandhavefullrighttoleasethePremises.11.3甲方的權利保留PartyAmayreservethefollowingrights.11.3.1使用公共設施;tousethepublicfacilities;11.3.2進入房屋內對公共設施進行檢查和維修。甲方行使該項權利時,應提前通知乙方,緊急情況除外。toenterintothePremisesforcheckandmaintenanceprovidedthatPartyAshallinformPartyBinadvanceexceptunderemergency.11.3.3在發(fā)出通知后(緊急情況除外),有權暫停大廈設施進行維修和維護,可能導致水電的中斷。甲方無需為此承擔責任。Torepairandmaintainthefacilitiesofthebuildingwhichmayresultinthesuspensionofwaterandelectricity,uponanotice(exceptunderemergency)withoutanyliabilitythereof.11.4甲方應協(xié)助提供乙方提供辦理工商營業(yè)執(zhí)照所需相關證明文件。PartyAshallassistPartyBinregisteringwithindustrialandcommercialadministrationbyprovidenecessarydocuments.11.5甲方在承租期內促使物業(yè)管理機構提供水、電、空調、供暖及日常房屋維修。PartyAshallprocuretheManagementDepartmenttoprovidewater,electricity,airconditioning,heatinganddailymaintenanceduringtheleaseperiod.11.6如在租賃期屆滿前兩個月,乙方未提出續(xù)租請求,或者雖然提出續(xù)租請求,但雙方在三十天內未就續(xù)租合同條款達成一致,甲方有權在工作時間帶領其他租戶進入房屋查看。IfPartyBdoesnotsubmitanapplicationforrenewaltwomonthspriortotheexpirationofthisLeaseAgreement,orifPartyBsubmitssuchapplicationbutthepartiesfailtoreachagreementontherenewal,PartyAshallhavetherighttoenterthePremiseswithothertenantatworkhourstoreview.十二、乙方的權利和義務PartyB‘SRIGHTSANDRESPONSIBILITES:12.1自行負責房屋的裝修和設施。PartyBshallberesponsibleforthedecorationandfacilitiesofthePremises.除非經(jīng)消防局及甲方同意,乙方不得對房屋的主要結構及裝置(包括噴淋頭)作任何變動、拆除或調整。如乙方擅自做任何變動,應負責將其恢復原狀并承擔一切費用和相關責任。PartyBshallnotalter,change,dismantleoradjustthemainstructureorfacilitiesincludingthesmokesensorandspraywithouttheconsentsofPartyAandfirecontrolauthority.IfPartyBmakesanyalteration,dismantleoradjustmentasaforesaid,itshallberesponsibleforrestorationandbearallexpensesandrelatedliabilities.12.2乙方應根據(jù)本合同第六、七、八條的規(guī)定按時繳納租金及各項相關費用。PartyBshallpaytherentandotherfeespursuanttoClauses6,7,and8ontime.12.3乙方應按本合同的規(guī)定合理使用房屋,并保持房屋的清潔。PartyBshallreasonablyusethePremisesasprovidedhereunderandkeepitclean.12.4未得到甲方及大廈管理機構的事先同意,乙方不得在窗外、外墻、公共走廊墻面、電梯間及其它共用區(qū)域懸掛、張貼、附置或以其它方式放置任何廣告、標識、招貼或其它資料。PartyBshallnothang,affix,ordisplayanyadvertisement,signboard,posteroranyothermaterialsonoutsidewindow,outsidewall,publicaislewall,elevatororotherpublicareawithoutthepriorconsentsofPartyAandManagementDepartment.12.5乙方在承租期內不得將全部或部分房屋轉租、分租或借予第三方。Duringtheleaseterm,PartyBshallnotsub-letorassigntheleasetoanythirdparty.12.6乙方在其經(jīng)營活動中,不得宣稱或令顧客誤認為其與甲方關系屬合作、合營、合伙、聯(lián)營或關聯(lián)企業(yè)關系。PartyBshallnotrepresentorotherwisemisleadthecustomersthatithasanycooperation,jointoperation,partnershiporaffiliationrelationwithPartyAduringitsoperation.12.7乙方應自行獲取依據(jù)法律法規(guī)和政府有關部門規(guī)定應具備的所有許可、批準和證照,保證其營業(yè)活動的合法性。PartyBshallberesponsibleforobtainingallapprovals,consentsandlicensesrequiredbylawstoensurethatitsoperationislegal.12.8乙方應自行承擔由于乙方工商注冊、稅務登記、遷址等行為所產(chǎn)生的稅、費。PartyBshallberesponsibleforanyandalltaxes,feesandexpensesincurredforitsindustrialandtaxationregistrationsandmovingintothePremises.12.9對于第三方因乙方對其造成或在房屋內發(fā)生的人身傷害或經(jīng)濟損失而提出的索賠,乙方應自行負責并保證甲方免于此類索賠。如甲方因此類索賠而遭受損失,乙方保證進行賠償。PartyBshallberesponsibleforandholdPartyAharmlessagainstanyclaimsraisedbythecustomersforanypersonalinjuryandeconomiclossescausedtothecustomersbyPartyBorcausedinthePremises.PartyBherebywarrantiesthatitshallindemnityPartyAforanylossescausedtoPartyAbysuchclaims.12.10乙方不得在房屋內放置易燃、易爆的物品其他危險物品。PartyBshallnotkeeporstoreinthePremisesanyflammableorexplosivesubstancesorotherdangeroussubstances.12.11乙方應嚴格遵守甲方和/或大廈物業(yè)管理機構制定并不時修改的大廈所有管理規(guī)定。PartyBshallstrictlycomplywithallrulesmadeandamendedfromtimetotimebyPartyand/ortheManagementDepartment.12.12乙方不得在房屋內從事任何違法活動。PartyBshallnotcarryoutanyillegalactivityinthePremises.12.13乙方不得將房屋用于除辦公以外的用途。PartyBshallnotusethePremisesforanypurposeotherthanasoffice.12.14若乙方以租賃房屋作為其公司注冊地址時,乙方應在租賃合同終止后15日內辦理地址注銷登記手續(xù),乙方逾期辦理的,應每日按月租金千分之三的標準向甲方支付滯納金,造成甲方損失的,應予以賠償。IfthePremisesisusedascompany‘sregisteredaddressofPartyB,PartyBshallcompletetheproceduresofwritingofftheregisteredaddresswithin15daysafterterminationofthecontract.IfPartyBisnotabletocompletetheproceduresontime,itshallpayPartyAapenaltyequalto3‰ofthemonthlyrentperdayofdelay.PartyBshallcompensateforsuchloss.十三、違約責任與合同終止BREACHANDTERMINATION13.1違約任何一方違反合同給另一方造成損失的,應當進行賠償。IfapartyisinbreachofthisLeaseAgreement,itshallcompensatetheotherpartyforanylossescausebyitsbreach.13.2在下列任何情況下,本合同終止ThisLeaseAgreementwillbeterminatedunderanyofthefollowingconditions:13.2.1租賃期限屆滿:TheexpirationofthisLeaseAgreement13.2.2當一方違反本合同中任何規(guī)定,并且另一方書面通知要求其予以糾正的三十(30)日內未能糾正違約行為或者如果該違約是無法糾正的,守約方有權立即終止本合同。byoneoftheParties,withimmediateeffect,whentheotherPartyisinbreachofthisLeaseAgreementandsuchbreachisnotcurableorisnotremediedwithinthirty(30)daysafterthepartynotinbreachsendsawrittennoticerequestingthecureofsuchbreach;13.2.3甲方可以提前六十(60)天的書面通知提前終止本合同,但應雙倍返還乙方保證金。PartyAmayterminatethisLeaseAgreementwithasixty(60)daypriorwrittennoticeprovidedthatitshallrefundthedepositindoubleamount.13.2.4如乙方延期支付租金和/或其他各項款項超過十(10)日,甲方有權解除合同,保證金不予退還。乙方除應支付延期款項外,還應支付逾期付款違約金,數(shù)額延期支付金額的0.5%/日,直至乙方全額付清為止。IfPartyBdelaysthepaymentofrentand/orotheramountsforten(10)days,PartyAshallhavetherighttoterminatethisLeaseAgreementandthedepositshallnotberefunded.PartyBshallpayadefaultpenaltyfortheoverdueamountattherateof0.5%oftheoverdueamountperdayuntilitpaysinfullamount,inadditiontopayalltheoverdueamounts.13.2.5如乙方不遵守大廈管理規(guī)定并嚴重影響其他租戶正常經(jīng)營,甲方可以書面通知乙方提前終止本合同,并且保證金不予返還。IfPartyBdoesnotcomplywiththemanagementrulesofthebuildingandthereforeseriouslyaffectsthenormaloperationofothertenants,PartyAmayterminatethisLeaseAgreementinadvancewithawrittennoticeandthedepositshallnotberefunded.13.2.6如乙方在房屋內從事任何違法活動或未按照辦公用途使用房屋,甲方有權立即書面通知乙方提前終止本合同,保證金不予返還。IfPartyBcarriesoutanyillegalactivityinthePremisesorusethePremisesforotherpurposethanoffice,PartyAshallhavetherighttoimmediatelyterminatethisLeaseAgreementwithawrittennoticeandthedepositshallnotberefunded.13.2.7如乙方將房屋分租或轉租第三方,甲方有權以書面通知立即終止合同,并且保證金不返還。IfPartyBsubletsorassignstheleasetoathirdparty,PartyAshallhavetherighttoimmediatelyterminatethisLeaseAgreementwithawrittennoticeandthedepositshallnotberefunded.13.2.8不可抗力ForceMajeure一方因不可抗力事件連續(xù)六十天(60)不能履行義務,任何一方可以書面通知終止本合同,在不可抗力的影響范圍內受影響的一方不承擔違約責任。“不可抗力”包括自然災害、爆炸、飛行物體墜落、政府行為(但專門針對受影響一方的行政行為除外)等受影響的一方不能預見、不能控制并且不可避免的事件。雙方在此明確但商業(yè)性風險不應作為不可抗力。受影響的一方應在不可抗力事件發(fā)生后的五(5)日內書面通知對方,并且應附有有權機構出具的不可抗力發(fā)生的證明。EitherPartymayterminatethisLeaseAgreementwithawrittennoticeifonepartyisnotabletoperformitsobligationshereunderforconsecutivesixty(60)daysduetoforcemajeure.Theaffectedpartyshallnotbeartheliabilityofbreachofcontracttotheextentoftheeffectoftheforcemajeure.ForceMajeureshallincludesucheventsthattheaffectedpartyisnotabletoforesee,controlandavoidasnaturaldisaster,explosive,fallingofflyingobjects,governmentaction(exceptthosespeciallyagainsttheaffectedparty)Thepartiesherebyconfirmthatcommercialriskshallnotbedeemedforcemajeure.Theaffectedpartyshallnotifytheotherpartyinwritingofsuchforcemajeureeventaccompanyingwiththecertificationoftheoccurrenceoftheforcemajeureeventissuedbycompetentauthority.13.2.9一方進入破產(chǎn)、清算、解散或任何類似程序,另一方可以終止本合同,但以善意管理費用或合并為目的的除外。OnepartymayterminatethisLeaseAgreementiftheotherpartylaunchesthebankruptcy,liquidation,windinguporanysimilarprocedureotherthanforthepurposeofabonafidereconstructionoramalgamation.13.3合同終止的后果Theresultofthetermination13.3.1如本合同屆滿并且未由乙方續(xù)租,乙方須于屆滿之日的17點之前騰空房屋;如本合同因任何原因提前終止,乙方應于終止日后的三日內騰空房屋。如乙方未能在此期間騰空房屋,由乙方應按日支付房租,逾期十日以上(包括十日),乙方應按雙倍房租支付。如因此給甲方造成經(jīng)濟損失(包括因未能向下一租戶及時交付房屋而導致的違約金和租金收入),還應賠償損失。IfthisLeaseAgreementisexpiredwithouttherenewalofPartyB,PartyBshallvacantthePremisesby5pmonthedateofexpiration;ifthisLeaseAgreementisterminatedinadvanceforwhateverreason,PartyBshallvacantthePremiseswithinthree(3)daysaftertheterminationdate.IfPartyBfailstovacantthePremiseswithintheaforesaidperiod,itshallpayrentforeachdayofdelay.Ifthedelayisoverten(10)day(inclusive),PartyBshallpaytherentindoubleamount.IfthereisanyeconomiclosscausedtoPartyAincludingthepenaltyfornotdeliveringthePremisestonexttenantontimeandrentloss,PartyBshallcompensatesuchloss.13.3.2乙方還應拆除裝修和清理房屋(甲方同意保留裝修的除外),以甲方交付之時的狀態(tài)或雙方共同認可的狀態(tài)將房屋交還甲方(正常損耗除外)歸還房屋時留在房屋內的所有設施、裝修及物品均視為乙方放棄所有權,甲方可隨意處置。如乙方未將房屋恢復原狀,甲方可自行恢復原狀,乙方需支付全部費用,可由甲方從保證金中扣除。PartyBshallalsodismantlethedecoration(ExceptforthedecorationthatPartyAagreestoretain)andcleanthePremisessothatthePremiseswillbereturnedtoPartyAinthesameconditionaswhendeliveredtoPartyBor(fairtearandwearisexcepted)PartyBshallbedeemedwaivingthetitleofallfacilities,decorationandstaffleftthePremiseswhenthePremisesisreturnedtoPartyAandPartyAmaydisposetheminanyway.IfPartyBfailstorestorethePremisestotheconditionofdelivery,PartyAmayrestorethePremisestotheconditionofdeliveryandPartyBshallbearallexpensesthereof,whichmaybedeductedfromthedepositbyPartyA.13.3.3除因乙方違約造成合同終止的情況以及本合同有不同規(guī)定的情況以外,甲方應將保證金返還乙方。PartyAshallrefundthedeposittoPartyBexcepttheterminationiscausedbythebreachofPartyBandotherwiseprovidedhereunder.13.3.4乙方應支付全部應付費用,包括房租、水電費、電話費等。PartyBshallpayinfullamountalltheduepaymentincludingrent,waterandelectricityfeeandtelephonecallcharge.13.3.5雙方應按下列程序進行交接房屋。ThepartiesshalltakeoverthePremisesinaccordancewiththefollowingprocedure.【】十四、附則14.1爭議的解決DisputeResolution因執(zhí)行本合同或與本合同有關的一切爭議,雙方應通過友好協(xié)商解決。協(xié)商不成的,則任何一方有權將爭議提交北京仲裁委員會仲裁裁決。仲裁程序應遵照仲裁委員會的現(xiàn)行仲裁規(guī)則進行。仲裁期間,雙方應繼續(xù)執(zhí)行本合同不涉及爭議的部分。AnydisputesarisingfromtheexecutionoforinconnectionwiththisLeaseAgreementshallbesettledthroughfriendlyconsultationsbetweentheparties.Incasenosettlementcanbereachedthroughconsultations,suchdisputeshallbesubmittedtoBeijingArbitrationCommitteeinaccordancewithitsRules.Duringthearbitration,thePartiesshallcontinuetoperformthepartofthisLeaseAgreementnotunderdispute.14.2合同的修改TheamendmentofthisLeaseAgreement對本合同只可通過雙方書面修改。ThisLeaseAgreementmaybechangedonlybyawritteninstrumentsignedbyparties.14.3可分性Severability本合同任何條款無效,不影響其他條款的效力。TheinvalidityofanypartofthisLeaseAgreementshallnotaffectthevalidityofotherclauses.14.4文字本合同以中文簽署。英文文本只做參考,不具有法律效力。ThisLeaseAgreementshallbewroteinChinese.TheEnglishversionisonlyforreferencewithoutlegaleffect.14.5全部協(xié)議EntireAgreement本合同有其附件構成雙方之間就本合同所涉事項達成的全部協(xié)議,取代雙方此前就合同事項達成的所有口頭和書面協(xié)議。ThisLeaseAgreementconstitutestheentirecontractbetweenthePartieswithrespecttothesubjectmatterofthisLeaseAgreementandsupersedesallpriorunderstandingsbetweenthemonsuchsubjectmatter.14.6通知Notice任何一方根據(jù)本合同發(fā)出的通知或其他聯(lián)系應以中文書寫并應通過專人送遞或掛號郵寄或以公認的快遞服務或以傳真(應當有發(fā)送成功的報告)發(fā)送至另一方的下述地址。通知視為有效送達的日期按以下方法予以確定:AnynoticeprovidedforinthisLeaseAgreementshallbeinChineseandshallbedeliveredbyperson,orsentbyprepaidregisteredmailorcourier,orsentbyfacsimilewiththeconfirmationofsuccessfultransmissionbythefaxmachine,transmittedoraddressedtotheappropriateparty‘sfollowingaddress.Thenoticeshallbedeemedservedonthefollowingdate:14.6.1專人投遞的通知,視
