-52-ChangeinControlAgreement管理權(quán)變更協(xié)議核心提示:THISCHANGEINCONTROLAGREEMENT(Agreement)madeandenteredintobyandamongAAACorporation(AAA),BBB(theCompany)and_________(Executive)(hereinaftercollectivelyreferredtoastheParties)iseffectiveasoftheexecutiondateofthisAgTHISCHANGEINCONTROLAGREEMENT(Agreement)madeandenteredintobyandamongAAACorporation(AAA),BBB(theCompany)and_________(Executive)(hereinaftercollectivelyreferredtoastheParties)iseffectiveasoftheexecutiondateofthisAgreementunlessotherwiseprovidedherein.WITNESSETH:WHEREAS,Executiveservesas_________oftheCompany,whichservesastheemployerwithrespecttoassetsheldbyAAA;NOW,THEREFORE,inconsiderationofthepremises,andtheagreementsofthepartiessetforthinthisAgreement,andothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesherebyagreeasfollows:1.Definitions.ForpurposesofthisAgreement,thefollowingtermsshallhavethefollowingmeanings:(a)AnnualCompensationshallmeanExecutive’shighestannualbasesalaryrateineffectduringthe_________monthperiodimmediatelyprecedingthedateoftheChangeinControl,plusExecutive’stargetannualbonusfortheyearinwhichtheChangeinControloccurred,orifsuchtargetannualbonushadnotbeensetforsuchyear,Executive’stargetannualbonusforthenextpreviousyear.(b)BoardshallmeantheboardofdirectorsofAAA.(c)ChangeinControlshallhavethemeaningofsuchtermassetforthintheChangeinControlBenefitPlanDeterminationPolicy.However,anyamendmenttothePolicywhichcausesthedefinitionofChangeinControltobemorerestrictivethansuchdefinitionineffectontheEffectiveDateshallnotbetakenintoaccountforpurposesofthisAgreement,unlessapprovedbytheBoardoracompensationcommitteethereofandagreedtoinwritingbyExecutive.(d)ChangeinControlBenefitPlanDeterminationPolicyshallmeantheAAAChangeinControlBenefitPlanDeterminationPolicy,asapprovedbytheBoard,assuchpolicymaybeamendedfromtimetotimeinaccordancewiththeprovisionstherein.(e)COBRACoverageshallmeananycontinuationcoveragetowhichExecutiveorhisdependentsmaybeentitledpursuanttoCodeSection4980B.(f)CodeshallmeantheInternalRevenueCodeof1986,asamended.(g)CompanyshallmeanBBB,itssuccessorsandassigns.(h)EffectiveDateshallmeanthedateofexecutionofthisAgreement,unlessotherwiseprovidedherein.(i)ExecutiveOutplacementProgramshallmeantheprogramestablishedbytheCompanyfromtimetotimeforthepurposeofassistingexecutiveofficersoftheCompanyinfindingemploymentoutsideoftheCompanywhichprovidesforthefollowingservices:(i)self-assessment,careerdecisionandgoalsetting;(ii)jobmarketresearchandjobsources;(iii)networkingandinterviewingskills;(iv)planningandimplementationstrategy;(v)resumewriting,jobhuntingmethodsandsalarynegotiation;and(vi)officesupportandjobsearchresources.(j)GoodReasonshallmean,withoutExecutive’sexpresswrittenconsent,afterwrittennoticetotheCompany,andaftera_________dayopportunityfortheCompanytocure,thecontinuingoccurrenceofanyofthefollowingevents:(i)InconsistentDuties.AmeaningfulanddetrimentalalterationinExecutive’spositionorinthenatureorstatusofhisresponsibilitiesfromthoseineffectimmediatelypriortotheChangeinControl;(ii)ReducedSalary.Areductionoffivepercent(5%)ormorebytheCompanyineitherofthefollowing:(a)Executive’shighestannualbasesalaryrateasineffectatanytimeduringthe_________monthperiodimmediatelyprecedingthedateoftheChangeinControl(BaseSalary)(exceptforalessthantenpercent(10%),across-the-boardbasesalaryratereductionsimilarlyaffectingatleastninety-fivepercent(95%)ofallExecutiveEmployeesoftheCompany);or(b)thesumofExecutive’sBaseSalaryplustargetbonusundertheCompany’sshorttermbonusplan,asineffectimmediatelypriortotheChangeinControl(exceptforalessthantenpercent(10%),across-the-boardreductionofbasesalaryplustargetbonusundersuchshorttermplansimilarlyaffectingatleastninety-fivepercent(95%)ofallExecutiveEmployeesoftheCompany);(iii)PensionandCompensationPlans.ThefailurebytheCompanytocontinueineffectanypensionplanoragreementorcompensationplanoragreementinwhichExecutiveparticipatesorisapartyasofthedateoftheChangeinControlortheeliminationofExecutive’sparticipationtherein(exceptforacross-the-boardplanchangesorterminationssimilarlyaffectingatleastninety-fivepercent(95%)ofallExecutiveEmployeesoftheCompany).Forpurposesofthissubsection(iii),apensionplanoragreementshallmeananywrittenarrangementexecutedbyanauthorizedofficeroftheCompanywhichprovidesforpaymentsuponretirement;andacompensationplanoragreementshallmeananywrittenarrangementexecutedbyanauthorizedofficeroftheCompanywhichprovidesforperiodic,non-discretionarycompensatorypaymentstoemployeesinthenatureofbonuses;(iv)Relocation.AchangeinExecutive’sworklocationtoalocationmorethan_________milesfromthefacilitywhereExecutivewaslocatedimmediatelypriortotheChangeinControl,unlesssuchnewworklocationiswithin_________milesfromExecutive’sprincipalplaceofresidenceatthetimeoftheChangeinControl.Theacceptance,ifany,byExecutiveofemploymentbytheCompanyataworklocationwhichisoutsidethe_________mileradiussetforthinthisSection1(j)(iv)shallnotbeawaiverofExecutive’srighttorefusesubsequenttransferbytheCompanytoalocationthatismorethan_________milesfromExecutive’sprincipalplaceofresidenceatthetimeoftheChangeinControl,andsuchsubsequent,unconsentedtransfershallbeGoodReasonunderthisAgreement;(v)BenefitsandPerquisites.ThetakingofanyactionbytheCompanythatwoulddirectlyorindirectlymateriallyreducethebenefitsenjoyedbyExecutiveundertheCompany’sretirement,lifeinsurance,medical,healthandaccident,disability,deferredcompensationorsavingsplansinwhichExecutivewasparticipatingimmediatelypriortotheChangeinControl,orthefailurebytheCompanytoprovideExecutivewiththenumberofpaidvacationdaystowhichExecutiveisentitledonthebasisofyearsofservicewiththeCompanyinaccordancewiththeCompany’snormalvacationpolicyineffectimmediatelypriortotheChangeinControl(exceptforacross-the-boardplanorvacationpolicychangesorplanterminationssimilarlyaffectingatleastninety-fivepercent(95%)ofallemployeesoftheCompany);or(vi)ExpatriateCompensation.Intheeventthat,aftertheChangeinControl,ExecutiveisintendedtomaintainhisplaceofemploymentinajurisdictionoutsideoftheUnitedStates,thetakingofanyactionbytheCompanythatwoulddirectlyorindirectlymateriallyreduceanyofthefollowingexpatriatebenefitsandcompensationenjoyedbyExecutiveimmediatelypriortotheChangeinControl:housing,utilitiesexpense,goodsandservicesdifferential,foreignservicepremium,locationpremium,driverallowance,twoannualhomeleaveallowances(eachallowanceisbusinessclassairfareforemployeeandspouse),reimbursementforemergencytravel,taxequalization,andfullrelocationbacktoresidenceinU.S.attheendofforeignassignment.ForpurposesofthisSection1(j),thetermExecutiveEmployeeshallmeanemployeesoftheCompanywhoseannualbasesalaryis$,_________ormore.GoodReasonshallnotincludeExecutive’sdeathorDisability.Executive’scontinuedemploymentshallnotconstituteconsentto,orawaiverofrightswithrespectto,anycircumstanceconstitutingGoodReasonhereunder.ThefactthatExecutivemaybeeligibleforRetirementshallnotpreventhimfromresigningforGoodReasonprovidedaneventofGoodReasonshallhaveoccurred.AnydisputeastowhetheraneventofGoodReasonshallhaveoccurredorbeencuredonatimelybasisshallberesolvedbyarbitrationasprovidedinSection6hereof.(k)GroupHealthPlanshallmeanthegrouphealthplancoveringExecutive,assuchplanmaybeamendedfromtimetotime.(l)GroupLifeInsurancePlanshallmeanthegrouplifeinsuranceprogramcoveringExecutive,assuchplanmaybeamendedfromtimetotime.(m)AAAshallmeanAAACorporation,aDelawarecorporation,itssuccessorsandassigns.(n)AAASubsidiaryshallmeananycorporationorotherentityControlledbyAAA.ThetermControlledshallhavethemeaningofsuchtermassetforthintheChangeinControlBenefitPlanDeterminationPolicy.(o)MonthofServiceshallmeananycalendarmonthduringwhichExecutivehasworkedatleastone(1)hourorwasonapprovedleaveofabsencewhileintheemployoftheCompanyoranyotherAAASubsidiary.(p)PensionPlanshallmeantheBBBPensionPlan,oranysuccessorthereto,assuchplanmaybeamendedfromtimetotime.(q)TerminationforCauseorCauseshallmeantheterminationofExecutive’semploymentbytheCompanyupontheoccurrenceofanyofthefollowing:(i)ThewillfulandcontinuedfailurebyExecutivesubstantiallytoperformhisdutieswiththeCompany(otherthananysuchfailureresultingfromExecutive’sTotalDisabilityorfromExecutive’sretirementoranysuchactualoranticipatedfailureresultingfromterminationbyExecutiveforGoodReason)afterawrittendemandforsubstantialperformanceisdeliveredtohimbytheBoard,whichdemandspecificallyidentifiesthemannerinwhichtheBoardbelievesthathehasnotsubstantiallyperformedhisduties;or(ii)ThewillfulengagingbyExecutiveinconductthatisdemonstrablyandmateriallyinjurioustoAAAortheCompany,monetarilyorotherwise,including,butnotlimitedtoanyofthefollowing:(A)anywillfulactinvolvingfraudordishonestyinthecourseofExecutive’semploymentbytheCompany;(B)thewillfulcarryingoutofanyactivityorthemakingofanystatementwhichwouldmateriallyprejudiceorimpairthegoodnameandstandingoftheCompany,AAA,oranyAAASubsidiaryorwouldbringtheCompany,AAA,oranyAAASubsidiaryintocontemptorridicule,orwouldreasonablyshockoroffendanycommunityinwhichtheCompany,AAAorsuchAAASubsidiaryislocated;(C)attendanceatworkinastateofintoxicationorotherwisebeingfoundinpossessionathisworkplaceofanyprohibiteddrugorsubstance,possessionofwhichwouldamounttoacriminaloffense;(D)assaultorotheractofviolenceagainstanypersonduringthecourseofemployment;or(E)convictionofanyfelonyoranymisdemeanorinvolvingmoralturpitude.NoactorfailuretoactbyExecutiveshallbedeemedwillfulunlessdone,oromittedtobedone,byExecutivenotingoodfaithandwithoutreasonablebeliefthathisactionoromissionwasinthebestinterestoftheCompany.Notwithstandingtheforegoing,ExecutiveshallnotbedeemedtohavebeenterminatedforCauseunlessanduntilthereshallhavebeendeliveredtohimacopyofaresolutiondulyadoptedbytheaffirmativevoteofnotlessthanthreequartersoftheentiremembershipoftheBoardatameetingoftheBoardcalledandheldforsuchpurpose(afterreasonablenoticetoExecutiveandanopportunityforhim,togetherwithcounsel,tobeheardbeforetheBoard),findingthat,inthegoodfaithopinionoftheBoard,Executivewasguiltyofconductsetforthaboveinclause(i)or(ii)ofthisSection1(q)andspecifyingtheparticularsthereofindetail.(r)TerminationDateshallmeanthedateonwhichExecutive’semploymentwiththeCompanyisterminated.(s)TotalDisabilityshallmeanExecutive’stotaldisabilitywithinthemeaningofthePensionPlan.(t)WaiverandReleaseshallmeantheWaiverandReleaseAgreementattachedheretoasExhibitA.(u)YearofServiceshallmeanExecutive’sMonthsofServicedividedby_________roundedtothenearestwholeyear,roundingupiftheremainingnumberofmonthsis_________orgreaterandroundingdowniftheremainingnumberofmonthsislessthan_________.IfExecutivehasabreakinhisservicewiththeCompany,hewillreceivecreditunderthisAgreementforservicepriortothebreakinserviceonlyifthebreakinserviceislessthan_________years.2.SeveranceBenefits.(a)Eligibility.ExceptasotherwiseprovidedinthisSection2(a),ifExecutive’semploymentisinvoluntarilyterminatedbytheCompanyatanytimeduringthetwo-yearperiodfollowingaChangeinControlforreasonsotherthanCause,orifExecutivevoluntarilyterminateshisemploymentwiththeCompanyforGoodReasonatanytimeduringthetwo-yearperiodfollowingaChangeinControl,ExecutiveshallbeentitledtoreceivethebenefitsdescribedinthisAgreementupontheCompany’sreceiptofaneffectiveWaiverandRelease.Notwithstandinganythingtothecontraryherein,ExecutiveshallnotbeeligibletoreceivebenefitsunderthisAgreementifExecutive:(i)voluntarilyterminateshisemploymentwiththeCompanyotherthanforGoodReason;(ii)hashisemploymentterminatedbytheCompanyforCause;(iii)terminatesemploymentbyreasonofhisdeathorTotalDisability.AnyterminationbytheCompanyforCause,orbyExecutiveforGoodReason,shallbecommunicatedbywrittennoticeofterminationtotheotherpartyheretogiveninaccordancewithSection7(g)ofthisAgreement.Suchnoticeshall(i)indicatethespecificterminationprovisioninthisAgreementreliedupon,(ii)totheextentapplicable,setforthinreasonabledetailthefactsandcircumstancesclaimedtoprovideabasisforterminationofExecutive’semploymentundertheprovisionsoindicatedand(iii)specifytheterminationdate.ThefailurebyExecutiveortheCompanytosetforthinthenoticeofterminationanyfactorcircumstancewhichcontributestoashowingofGoodReasonorCauseshallnotwaiveanyrightofExecutiveortheCompany,respectively,hereunderorprecludeExecutiveortheCompany,respectively,fromassertingsuchfactorcircumstanceinenforcingExecutive’sortheCompany’srightshereunder.(b)SeveranceBenefits.IfExecutivemeetstheeligibilityrequirementsofSection2(a)hereof,heshallbeentitledtoacashseverancebenefitinanamountequalto_________timeshisAnnualCompensation(theSeveranceAmount).(c)WelfareBenefits.IfExecutivemeetstheeligibilityrequirementsofSection2(a)hereofandisnototherwiseeligibletoreceiveretireemedicalandlifeinsurancebenefitsprovidedtocertainretireespursuanttothetermsoftheGroupHealthPlanandtheGroupLifeInsurancePlan,orotherplansprovidingsuchbenefitstosimilarlysituatedemployeeswhoretire,heshallbeentitledtothebenefitssetforthinthisSection2(c).(i)ExecutiveshallbeeligibletoparticipateintheCompany’sGroupHealthPlanforaperiodof_________monthsforeachofExecutive’sYearsofService,nottoexceedaperiodof_________years,beginningonthefirstdayofthefirstmonthfollowingExecutive’sTerminationDateunlessotherwisespecificallyprovidedundersuchplan,uponpaymentofboththeCompany’sandhismonthlypremiumundersuchplan.IfExecutiveelectstoreceivethisextendedmedicalcoverage,heshallalsobeentitledtoelectcoverageundertheGroupHealthPlanforhisdependentswhowereparticipatingintheGroupHealthPlanonExecutive’sTerminationDate(andforsuchotherdependentsasmaybeentitledtocoverageundertheprovisionsoftheHealthInsurancePortabilityandAccountabilityActof1996)forthedurationofExecutive’sextendedmedicalcoverageunderthisSection2(c)(i)totheextentsuchdependentsremaineligiblefordependentcoverageunderthetermsoftheGroupHealthPlan.(A)TheextendedmedicalcoverageaffordedtoExecutivepursuanttoSection2(c)(i),aswellasthepremiumstobepaidbyExecutiveinconnectionwithsuchcoverageshallbedeterminedinaccordancewiththetermsoftheGroupHealthPlanandshallbesubjecttoanychangesinthetermsandconditionsoftheGroupHealthPlanaswellasanyfutureincreasesinpremiumsundertheGroupHealthPlan.ThepremiumstobepaidbyExecutiveinconnectionwiththisextendedcoverageshallbedueonthefirstdayofeachmonth;provided,however,thatifhefailstopayhispremiumwithin_________daysofitsduedate,suchextendedcoverageshallbeterminated.(B)AnyGroupHealthPlancoverageprovidedunderSection2(c)(i)shallbeinlieuofandnotinadditiontoanyCOBRACoveragewhichExecutiveorhisdependentmayelect.ExecutiveorhisdependentsmustwaiveCOBRAcoverageundertheGroupHealthPlanasaconditionprecedenttoreceivingextendedmedicalcoveragepursuanttothisSection2(c).IntheeventthatExecutiveorhisdependentsbecomeeligibletobecovered,byvirtueofre-employmentorotherwise,byanyemployer-sponsoredgrouphealthplanoriseligibleforcoverageunderanygovernment-sponsoredhealthplanduringtheaboveperiod,coverageundertheCompany’sGroupHealthPlanavailabletoExecutiveorhisdependentsbyvirtueoftheprovisionsofSection2(c)(i)shallterminate,exceptasmayotherwiseberequiredbylaw,andshallnotberenewed.(ii)RegardlessofwhetherExecutiveelectstheextendedcoveragedescribedinSection2(c)(i)hereof,heshallbeentitledtoreceivecashinanamountequaltotheCompany’sandExecutive’scostofpremiumsfor_________yearsofcoverageundertheGroupHealthPlanandGroupLifeInsurancePlaninaccordancewiththetermsofsuchplansasofthedateoftheChangeinControl.(d)IncentivePlans.IfExecutivemeetstheeligibilityrequirementsofSection2(a)hereof,heshallbeentitledtothebenefitsundertheCompany’sincentiveplansasprovidedundertheChangeinControlBenefitPlanDeterminationPolicyforSeveredEmployees,inadditiontoanyotherbenefitstowhichhewouldotherwisebeentitledundersuchPolicy.(e)PaymentofBenefits.TheamountsdueunderSection2(b)and2(c)(ii)ofthisAgreementshallbepaidinone(1)lumpsumpaymentassoonasadministrativelypracticablefollowingthelaterof:(i)Executive’sTerminationDate,or(ii)uponExecutive’stenderofaneffectiveWaiverandReleasetotheCompanyandtheexpirationofanyapplicablerevocationperiodforsuchwaiver.Intheeventofadisputewithrespecttoliabilityoramountofanybenefitduehereunder,aneffectiveWaiverandReleaseshallbetenderedatthetimeoffinalresolutionofanysuchdisputewhenpaymentistenderedbytheCompany.IftheCompanyfailsorrefusestomakepaymentsundertheAgreement,ExecutivemayhavetherighttoobtainpaymentbyAAApursuanttothetermsoftheGuaranteeAgreementConcerningBBBCompensationandBenefitArrangementsenteredintobytheCompanyandAAA.Executive’srighttopaymentisnotincreasedasaresultofthisGuarantee.HehasthesamerighttopaymentfromAAAashewouldhavefromtheCompany.AnydemandtoenforcethisGuaranteeshouldbemadeinwritingandshouldreasonablyandbrieflyspecifythemannerandtheamounttheCompanyhasfailedtopay.Suchwritinggivenbypersonaldeliveryormailshallbeeffectiveuponactualreceipt.AnywritinggivenbytelegramortelecopiershallbeeffectiveuponactualreceiptifreceivedduringAAA’snormalbusinesshours,oratthebeginningofthenextbusinessdayafterreceipt,ifnotreceivedduringAAA’snormalbusinesshours.Allarrivalsbytelegramortelecopiershallbeconfirmedpromptlyaftertransmissioninwritingbycertifiedmailorpersonaldelivery.(f)BenefitsintheEventofDeath.IntheeventofExecutive’sdeathpriortothepaymentofallamountsdueunderthisAgreement,Executive’sestateshallbeentitledtoreceiveasdueanyamountsnotyetpaidunderthisAgreementuponthetenderbytheexecutororadministratoroftheestateofaneffectiveWaiverandRelease.(g)ExecutiveOutplacementServices.ExecutiveshallbeeligibletoparticipateintheExecutiveOutplacementProgram,whichprogramshallnotbelessthan_________monthsdurationmeasuredfromExecutive’sTerminationDate.3.PossibleAdditionalPaymentsbytheCompany.(a)AnythinginthisAgreementtothecontrarynotwithstandingandexceptassetforthbelow,intheeventitshallbedeterminedthatanypaymentordistributioninthenatureofcompensation(withinthemeaningofSection280G(b)(2)oftheCode)bytheCompanytoorforthebenefitofExecutive(whetherpaidorpayableordistributedordistributablepursuanttothetermsofthisAgreementorotherwise,butdeterminedwithoutregardtoanyadditionalpaymentsrequiredunderthisSection3)(aPayment)wouldbesubjecttotheexcisetaximposedbySection4999oftheCodeoranyinterestorpenaltiesareincurredbyExecutivewithrespecttosuchexcisetax(suchexcisetax,togetherwithanysuchinterestandpenalties,arehereinaftercollectivelyreferredtoastheExciseTax),thentheCompanyshallpaytoExecutiveanadditionalpayment(aGross-UpPayment)inanamountsuchthat,afterpaymentbyExecutiveofalltaxes(includinganyinterestorpenaltiesimposedwithrespecttosuchtaxes),including,withoutlimitation,anyincometaxes(andanyinterestandpenaltiesimposedwithrespectthereto)andExciseTaximposedupontheGross-UpPayment,ExecutiveretainsanamountoftheGross-UpPaymentequaltotheExciseTaximposeduponthePayments.NotwithstandingtheforegoingprovisionsofthisSection3(a),iftheParachuteValue(asdefinedbelow)ofallPaymentsdoesnotexceed110%ofExecutive’sSafeHarborAmount(asdefinedbelow),thentheCompanyshallnotpayExecutiveaGross-UpPayment,andthePaymentsdueunderthisAgreementshallbereducedsothattheParachuteValueofallPayments,intheaggregate,equalstheSafeHarborAmount;provided,thatifevenafterallPaymentsdueunderthisAgreementarereducedtozero,theParachuteValueofallPaymentswouldstillexceedtheSafeHarborAmount,thennoreductionofanyPaymentsshallbemadeandtheGross-UpPaymentshallbemade.ThereductionofthePaymentsduehereunder,ifapplicable,shallbemadebyfirstreducingtheSeverancePaymentsunderSection2(b),unlessanalternativemethodofreductioniselectedbyExecutive,andinanyeventshallbemadeinsuchamannerastomaximizetheeconomicpresentvalueofallPaymentsactuallymadetoExecutive,determinedbytheaccountingfirmservingastheCompany’sauditorsimmediatelypriortothechangeofcontrol(theAccountingFirm)asofthedateofthechangeofcontrolforpurposesofSection280GoftheCodeusingthediscountraterequiredbySection280G(d)(4)oftheCode.ForpurposesofthisSection3,theParachuteValueofaPaymentmeansthepresentvalueasofthedateofthechangeofcontrolforpurposesofSection280GoftheCodeoftheportionofsuchPaymentthatconstitutesaparachutepaymentunderSection280G(b)(2)oftheCode,asdeterminedbytheAccountingFirmforpurposesofdeterminingwhetherandtowhatextenttheExciseTaxwillapplytosuchPayment.ForpurposesofthisSection3,Executive’sSafeHarborAmountmeansonedollarlessthanthreetimesExecutive’sbaseamountwithinthemeaningofSection280G(b)(3)oftheCode.(b)SubjecttotheprovisionsofSection3(c),alldeterminationsrequiredtobemadeunderthisSection3,includingwhetherandwhenaGross-UpPaymentisrequiredandtheamountofsuchGross-UpPayment,whetherandinwhatmanneranyPaymentsaretobereducedpursuanttothesecondparagraphofSection3(a),andtheassumptionstobeusedinarrivingatsuchdeterminations,shallbemadebytheAccountingFirm,andshallbebindingontheCompanyandExecutive,excepttotheextenttheInternalRevenueServiceoracourtofcompetentjurisdictionmakesafinalandbindingdeterminationinconsistenttherewith.TheAccountingFirmshallprovidedetailedsupportingcalculationsbothtotheCompanyandExecutivewithin15businessdaysafterreceivingnoticefromExecutivethattherehasbeenaPayment,orsuchearliertimeasisrequestedbytheCompany.IntheeventthattheAccountingFirmisservingasaccountantorauditorfortheindividual,entityorgroupeffectingtheChangeinControl,Executiveshallappointanothernationallyrecognizedaccountingfirmtomakethedeterminationsrequiredhereunder(whichaccountingfirmshallthenbereferredtoastheAccountingFirmhereunder).AllfeesandexpensesoftheAccountingFirmshallbebornesolelybytheCompany.AnyGross-UpPaymentthatbecomesduepursuanttothisSection3shallbepaidbytheCompanytoExecutivewithinthelaterof(i)fivebusinessdayspriortotheduedateforthepaymentoftheExciseTaxor(ii)fivedaysafterthereceiptoftheAccountingFirm’sdetermination.AsaresultoftheuncertaintyintheapplicationofSection4999oftheCodeatthetimeoftheinitialdeterminationbytheAccountingFirmhereunder,itispossiblethatGross-UpPaymentswhichwillnothavebeenmadebytheCompanyshouldhavebeenmade(Underpayment),consistentwiththecalculationsrequiredtobemadehereunder.IntheeventthattheAccountingFirmdeterminesthattherehasbeenanUnderpaymentortheCompanyexhaustsitsremediespursuanttoSection3(c)andExecutivethereafterisrequiredtomakeapaymentofanyExciseTax,theAccountingFirmshalldeterminetheamountoftheUnderpaymentthathasoccurredandanysuchUnderpaymentshallbepromptlypaidbytheCompanytoorforthebenefitofExecutive.(c)ExecutiveshallnotifytheCompanyinwritingofanyclaimbytheInternalRevenueServicethat,ifsuccessful,wouldrequirethepaymentbytheCompanyofaGross-UpPayment(oranadditionalGross-UpPayment).SuchnotificationshallbegivenassoonaspracticablebutnolaterthantenbusinessdaysafterExecutiveisinformedinwritingofsuchclaim.ExecutiveshallapprisetheCompanyofthenatureofsuchclaimandthedateonwhichsuchclaimisrequestedtobepaid.Executiveshallnotpaysuchclaimpriortotheexpirationofthe30-dayperiodfollowingthedateonwhichitgivessuchnoticetotheCompany(orsuchshorterperiodendingonthedatethatanypaymentoftaxeswithrespecttosuchclaimisdue).IftheCompanynotifiesExecutivein
