ProjectContents:ConcreteMixingandSupply二、工程承包范圍ContractedWorks承包范圍：贊比亞3000t/d水泥生產(chǎn)線建設(shè)工程商品混凝土攪拌(含維護(hù)保養(yǎng))及試驗，汽車泵泵送。ContractedScope:Concretemixing(includingmaintenanceandcare),motorpumpof3000t/dproductionlineofcommercialconcrete,Zambia三、暫估工程量ValuationofQuantity供給規(guī)模與數(shù)量：混凝土總的需求量約為10萬立方米，每立方砼5美元或等值人民幣，最終以雙方確認(rèn)的供給料單為最終結(jié)算量。該單價不因任何原因進(jìn)行調(diào)整。SupplySizeandQuantity:Totaldemandofconcreteisapproximately100,000cubicmeters,onwhichthepriceis5(FIVE)USDollarorequivalentvaluesumofRMBforone(1)cubicmeter.However,finalsettlementshallbemadeagainstSupplyStatementwhichconfirmedbypartieshereto,andnoadjustmentofunitpriceshallbemadeforanyevent.四、乙方施工內(nèi)容ItemsofPartyB'sExecution乙方負(fù)責(zé)在贊比亞現(xiàn)場范圍內(nèi)混凝土攪拌站攪拌、汽車泵泵送、試驗，以及對攪拌站、汽車泵、地泵的維修和保養(yǎng)等一系列與混凝土攪拌站有關(guān)的工作PartyBshouldresponsibleforaseriesofprojectsinrespectingtoMixingStationincluding,withinZambia'son-sitezone,concretemixinginStation,motorpump,testandinspection,inadditiontotherepair/maintenanceofStation,motorpumpandpump.五、水電供給SupplyofWaterandElectricity甲方負(fù)責(zé)免費(fèi)提供現(xiàn)場攪拌站的生產(chǎn)用水；PartyAwillfurnishwaterusedforproductionfreeofchargeinMixingStationon —site.甲方負(fù)責(zé)提供滿足現(xiàn)場攪拌需求的電力供給，乙方負(fù)責(zé)從發(fā)電機(jī)組至攪拌站區(qū)域的電路敷設(shè)和連接，所需電纜、配電箱由甲方提供。PartyAisliableforsupplyofelectricitywhichissatisfytodemandofsitemixing,andpartyBisliableforlayingandconnectingofthecircuitfromdynamotorstoMixingzone,forwhichtherequiredcables,distributionboxesshallbeprovidedbypartyA.六、材料供給MaterialsSupply甲方負(fù)責(zé)提供混凝土攪拌設(shè)備、運(yùn)輸設(shè)備、泵送設(shè)備、試驗設(shè)備以及相關(guān)的備品備件。PartyAisresponsibleforprovidingconcretemixingequipment,transportationequipment,pumpingequipment,testingequipmentandsparepartstherewith.甲方負(fù)責(zé)提供混凝土攪拌所需的一切原材料，包括滿足混凝土質(zhì)量要求的一切添加劑的供給。PartyAisresponsibleforprovidingallnecessarymaterialsforconcretemixing,includingalladditiveswhichinconformtosatisfactionofconcretequality'srequirements.乙方應(yīng)對甲方提供材料進(jìn)行妥善保管合理使用。如因乙方原因?qū)е碌募追焦┙o設(shè)備、材料不合理的損壞或者喪失，那么乙方照價賠償。PartyBshouldmadepropersafekeepingandreasonableuseofthematerialswhicharesuppliedbypartyA,Providedthatifanymaterialorequipment,providedbypartyA,areunreasonabledamagedorlostduetopartyB'sliability,partyBshouldmakecompensationonthepricethereof.七、合同價格ContractPrice本合同為固定綜合單價合同，固定綜合單價在合同期內(nèi)不因人工工資上漲、工程量增減、施工周期長短、工程所在國市場價格的變化而調(diào)整。本合同暫估金額：300萬美元(大寫：叁佰萬元美元)Thecosthereofisonfixedcomprehensiveunitpricewhichshallnotbemadeanyadjustmentduetolaborwagesrising,addedorlessquantity,extensionorshorteningofperiodandmarketpricechangeinthecountryinwhichprojectlocate.ThevaluatedamounthereofisUSDollar3,000,000(Words::ThreeHundredMillionUSDollarsONLY)八、甲方的權(quán)利和義務(wù)PartyA'sRightsandLiability合同履行期間，由于乙方供給能力缺乏或供給的混凝土的質(zhì)量不符合要求，給甲方造成損失或影響工程的施工進(jìn)度，經(jīng)要求整改而仍不能滿足協(xié)議要求時，甲方有權(quán)終止本合同，并依據(jù)合同向乙方追索經(jīng)濟(jì)賠償。WheredeficiencyofpartyB'ssupplyorthequalityofsuppliedconcreteunablesatisfytherequirement,intheperiodofperformanceofcontract,andbringboutlosstopartyAoreffecttheprojectprogress,whichstillcannotsatisfytherequirementbyandthroughmakinggoodorcorrection,partyAisentitletoterminatethiscontractandclaimpartyBtomakecompensationforeconomiclossconsequentthereonorincidentalthereto.甲方負(fù)責(zé)與設(shè)備廠家的溝通聯(lián)系。負(fù)責(zé)攪拌設(shè)備的安裝調(diào)試。PartyAisresponsibleforcommunicationandcontactwithequipmentmanufacturersinadditiontotheinstallationandcommissioningofmixingequipments.甲方指定攪拌站建站場地，場內(nèi)運(yùn)輸?shù)缆酚杉追截?fù)責(zé)修整ThegroundinwhichmixingstationtobebuiltisdesignatedbypartyAandbuildingofroadfortransportinginsiteshallbepartyA 'sliability.甲方在協(xié)商約定的時間內(nèi)向乙方提供混凝土的需求方案，方案的時間、內(nèi)容及格式由甲乙雙方現(xiàn)場確定。乙方確保按期供給混凝土。甲方有權(quán)調(diào)取攪拌站的生產(chǎn)原始記錄和報表。Theplanofconcretedemandshould,withintheagreedtimebynegotiation,beprovidedbypartyAtopartyB,andthetime,contentsandformatofplanshouldbeconfirmedonsitebypartieshereto.PartyBensuretosupplyconcreteonschedule.PartyAisentitletoobtainingoriginalrecordofproductionandstatementsinMixingStation.甲方應(yīng)及時提供按照合同規(guī)定應(yīng)由甲方提供的設(shè)備、機(jī)具和材料。PartyAshouldprovideintimetheequipments,machineryandmaterialswhichbeprovidedbypartyAasperthestipulationsofcontract.甲方負(fù)責(zé)辦理乙方出國人員的簽證、當(dāng)?shù)貒鴦诠ぷC、居住證等境外應(yīng)辦的一切相關(guān)證件并承當(dāng)由此發(fā)生的費(fèi)用。PartyAshouldberesponsibleforprocessingofallrelevantcertificateorpermissionofpartyB'sgoing-abroadpersonnel,whicharenecessaryinabroadincludingvisa,locallaborpermissionandresidencepermissionandsoon.九．乙方的權(quán)利和義務(wù)PartyB'sRightsandLiability乙方向甲方供給工程所需的合格混凝土，混凝土配合比須由業(yè)主、甲方、乙方和第三方經(jīng)過試驗最終確認(rèn)合格前方可投入生產(chǎn)，配合比參數(shù)乙方不得隨意更改。Mixdesignofqualifiedconcrete,beingsuppliedbypartyBtopartyAforprojectnecessaryshouldbefinallyconfirmedasqualificationthroughjointtestofpartyA,Bandthethirdpartybeforeusedintoproduction.TheparametersofmixdesignshallnotbealteredbypartyBatitsinitiative.乙方承當(dāng)甲方所有采購材料的倉儲及保管。PartyBshouldbeliableforstorageandsafekeepingofallpurchasedmaterialbypartyA.乙方供給的混凝土質(zhì)量必須符合國家標(biāo)準(zhǔn)、標(biāo)準(zhǔn)要求及甲方與業(yè)主簽訂的總包合同的相關(guān)要求。如果甲方提供原材料如不合格，乙方有權(quán)拒絕使用。乙方按時向甲方提交混凝土試驗報告及業(yè)主批準(zhǔn)的合格證書。ConcretequalityofpartyB 'sprovisionshouldsatisfyState 'sstandards,criterionsandrelevantrequirementsofEPCcontractwhichbeingconcludedbetweenpartyAandemployer.ProvidedthatiftherawmaterialswhichprovidedbypartyAisunqualified,partyBisentitletorefusetouseintoproduction.PartyBshouldsubmitpartyAwithTestReportofConcreteandQualificationCertificateasapprovedbyemployer.現(xiàn)場構(gòu)件混凝土的試塊的取樣和檢驗由乙方負(fù)責(zé)完成。因乙方試塊制作、養(yǎng)護(hù)原因檢驗不合格，導(dǎo)致業(yè)主對混凝土構(gòu)件進(jìn)行回彈試驗，經(jīng)再次檢驗結(jié)果合格增加的試驗費(fèi)用均由乙方承當(dāng)?，F(xiàn)場混凝土的所有檢測、試驗均由乙方完成，產(chǎn)生的所有費(fèi)用均已計入混凝土綜合單價中。SamplingandinspectionoftestblockonsiteshouldbeaccomplishedbypartyB.ProvidedthatiffailureofqualificationduetothereasonofpartyB'smaking,curing,whichresultinreboundtestofconcretemadebypartyA,theaddedexpenseforpassingre-textshallbebornbypartyB.AllinspectionsandexperimentsofconcreteonsiteshouldbeaccomplishedbypartyB,andallcostandexpensearisingtherefromhavebeenincorporatedintothecomprehensiveunitepriceofconcreteproduction.乙方必須選派有豐富現(xiàn)場管理經(jīng)驗的工程經(jīng)理駐守工地，負(fù)責(zé)現(xiàn)場的管理和協(xié)調(diào)工作。乙方必須保證熟練技術(shù)人員的數(shù)量和技術(shù)素質(zhì)，以及現(xiàn)場施工所需的、施工經(jīng)驗豐富的汽車砼泵車操作人員、攪拌站操作人員以及相關(guān)維修保養(yǎng)人員。PartyBshoulddispatchtheprojectmanagerhavingenoughexperienceofon-sitemanagementtoberesidentonsiteforresponsibilityofmanagementandcoordination.PartyBshouldensurethenumberandtechnicalcapacityofcompetenttechnicianandoperatorsofmotorpump,mixingstationandrelevantmaintenancepersonnel,whicharenecessaryon-siteexecutionandwithenoughprojectexperience.乙方保證攪拌站廠區(qū)的清潔衛(wèi)生符合當(dāng)?shù)丨h(huán)境衛(wèi)生管理的有關(guān)規(guī)定。遵守甲方和業(yè)主的管理規(guī)定，按標(biāo)準(zhǔn)化施工現(xiàn)場要求文明施工。PartyBshouldensurethecleanandsanitationwithinWorkingzoneinconformitywiththerelevantrulesoflocalenvironmentsanitationandabidebythemanagementregulationsofpartyAandemployer,carryoutorderlyexecutionaspertherequirementofstandardizedworkingsite.乙方投入人員方案及費(fèi)用見附件一表格。PlanandcostofpartyB 'spersonnelmakereferencetotheformofAppendix1.十、工程預(yù)付款：無AdvancedPayment:none一、工程量確認(rèn)ConfirmationofQuantity混凝土量的計算按照甲、乙及土建分包商三方確認(rèn)簽字的實際供給單證以及設(shè)計變更及有效簽證量計算。供給單證上須有澆注時間、混凝土規(guī)格、數(shù)量、澆注部位、添加劑參數(shù)等相關(guān)信息。CalculationofconcreteamountshallbesubjecttothebillsofactualsupplywhichareconfirmedinwritingbythethreepartiesofpartyA,partyBandsubcontractorofearthprojectinadditiontothevalidconfirmedquantity.TheBillofSupplyshouldindicatetherelevantinformationofpouringtime,specificationsandquantityofconcrete,pouringlocationandadditivesparametersandsoon.十二、工程款(進(jìn)度款)支付PaymentofProjectCost(ProgressPayment)每月5日之前由乙方向甲方提交上月混凝土澆注工程量表，供甲方進(jìn)行審核。審核無誤后甲方支付乙方經(jīng)審核工程款的90%。PartyBshouldpriorto5thofeverymonthsubmitpartyAwithlastmonth'sBillofQuantityofconcretepouringforpartyA'sreview.PartyAshouldonandafterdueverificationofBillofQuantity,effectpaymentof90%ofprojectcostwhichhavebeenreviewedbypartyA.土建工程全部結(jié)束，經(jīng)甲方、業(yè)主驗收合格，甲方支付乙方工程款至95%，其余5%作為工程質(zhì)保金。質(zhì)保期為土建工程驗收合格后一年。PartyAshould,aftertotalaccomplishmentofearthworksandacceptancebypartyAandemployer,effectpaymenttillthemountof95%ofprojectcostandremaining5%shallberetainedasqualityguaranteemoneywhichshallberefundtopartyBafteroneyearasofacceptanceofearthworks.十三、其它事項Miscellaneous乙方應(yīng)當(dāng)認(rèn)真做好混凝土的配合比設(shè)計及生產(chǎn)配合比設(shè)計，各種原材料含量要求必須滿足甲方及業(yè)主要求。PartyBshouldearnestlypreparemixdesignofconcreteandproduction,ThecontentsofvariousmaterialsshouldsatisfytherequirementsofpartyAandemployer.操作人員具有上崗相應(yīng)的上崗證書。TheoperatorshavetheCertificationofPostcorrespondingtoitswork.攪拌站現(xiàn)場保持干凈整潔，物料堆放整齊，混凝土汽車泵應(yīng)注意清潔保養(yǎng)。每次混凝土澆注完成后，乙方負(fù)責(zé)將汽車泵清洗干凈。Mixingstationsiteshouldbekeptclean,stackedmaterialsinorder,motorpumpbeingcarefullycleanedandmaintained.PartyBshould,aftereveryfinishingconcretepouring,isliabletowashandcleanmotorpump.合同未聲明事項及雙方違約責(zé)任，一律按?中華人民共和國合同法?的規(guī)定執(zhí)行。SettlementofanyoutstandingissuesanddefaultingliabilityofpartiesheretoshallbesubjecttotheprovisionsofCONTRACTLAWO FPEOPLE'SREPUBLICOFCHINA.十四、爭議解決DisputeSettlement假設(shè)因本合同發(fā)生任何爭議，雙方將盡其最大努力通過友好協(xié)商解決。假設(shè)協(xié)商不成，任何一方可將爭端提交至中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會上海分會，按照申請仲裁時該會現(xiàn)行有效的仲裁規(guī)那么進(jìn)行仲裁。仲裁裁決是終局的，對雙方均有約束力。Inthecaseofanydispute,partiesheretowillusetheirbesteffortstosolvealldifferencesamicablybynegotiation.Ifnosettlementcanbereachedbynegotiation
