-IBRD宗旨和業(yè)務(wù)范圍宗旨業(yè)務(wù)范圍1.通過對(duì)生產(chǎn)事業(yè)的投資，資助成員國(guó)的復(fù)興和開發(fā)工作。2.通過對(duì)貸款的保證或參與貸款及其他和人投資的方式促進(jìn)外國(guó)和人投資，當(dāng)成員國(guó)不能在合理的條件下獲得私人資本時(shí)，則在適當(dāng)條件下以銀行本身資金或籌集的資金及其它資金給予成員國(guó)直接貸款，來補(bǔ)充私人投資的不足；3.通過鼓勵(lì)國(guó)際投資，開發(fā)成員國(guó)的生產(chǎn)資源，提供技術(shù)咨詢和提高生產(chǎn)能力，以促進(jìn)成員國(guó)國(guó)際貿(mào)易的均衡增長(zhǎng)及國(guó)際收支狀況的改善。歐洲國(guó)家重建提供資金對(duì)發(fā)展中成員國(guó)提供長(zhǎng)期貸款對(duì)成員國(guó)政府或經(jīng)政府擔(dān)保的私人企業(yè)提供貸款和技術(shù)援助，資助他們興建某些建設(shè)周期長(zhǎng)，利潤(rùn)率偏低，但又為該國(guó)經(jīng)濟(jì)和社會(huì)發(fā)展所必需的建設(shè)項(xiàng)目。Purposes,Art.1

GeneralProvisionsRelatingtoLoansandGuarantees

SECTION1.UseofResources

原高盛集團(tuán)負(fù)責(zé)國(guó)際事務(wù)的副董事長(zhǎng)、副總裁和高盛集團(tuán)國(guó)際顧問委員會(huì)主席。曾在幾屆美國(guó)政府中擔(dān)任要職，包括美國(guó)副國(guó)務(wù)卿和美國(guó)貿(mào)易代表（2001－05年）。也曾擔(dān)任美國(guó)財(cái)政部財(cái)政機(jī)構(gòu)政策助理部長(zhǎng)和美國(guó)國(guó)務(wù)院負(fù)責(zé)經(jīng)濟(jì)和農(nóng)業(yè)問題的助理國(guó)務(wù)卿。

曾擔(dān)任美國(guó)海軍學(xué)院客座教授、高盛公司高級(jí)顧問、哈佛大學(xué)貝爾弗中心研究員，此前曾擔(dān)任三家公司董事會(huì)以及若干研究和非營(yíng)利性機(jī)構(gòu)董事會(huì)成員。

哈佛法學(xué)院法學(xué)博士學(xué)位和哈佛肯尼迪政府學(xué)院公共管理和國(guó)際事務(wù)碩士學(xué)位。此外還是若干杰出服務(wù)獎(jiǎng)得主。世行行長(zhǎng)依照職權(quán)也是國(guó)際開發(fā)協(xié)會(huì)（IDA）的行長(zhǎng)以及國(guó)際金融公司（IFC）董事會(huì)、多邊投資擔(dān)保機(jī)構(gòu)（MIGA）和解決投資爭(zhēng)端國(guó)際中心（ICSID）行政管理理事會(huì)主席。

WB的資金來源及貸款條件

資金來源（1）各成員國(guó)繳納的股金；（２）向國(guó)際金融市場(chǎng)借款；（３）發(fā)行債券和收取貸款利息貸款條件（硬貸款）（１）只有IMF成員國(guó)才允許申請(qǐng)成為世界銀行成員，貸款是長(zhǎng)期的，一般為１５—２０年不等，寬限期為５年左右，可變利率，６.３％左右。（２）成員國(guó)才能申請(qǐng)貸款，私人生產(chǎn)性企業(yè)申請(qǐng)貸款由政府擔(dān)保。（３）成員國(guó)申請(qǐng)貸款一定要有工程項(xiàng)目計(jì)劃，貸款?？顚Ｓ?，世界銀行每隔兩年要對(duì)其貸款項(xiàng)目進(jìn)行一次大檢查。SECTION4.ConditionsonwhichtheBankmayGuaranteeorMakeLoans

TheBankmayguarantee,participatein,ormakeloanstoanymemberoranypoliticalsub-divisionthereofandanybusiness,industrial,andagriculturalenterpriseintheterritoriesofamember,subjecttothefollowingconditions:(i)Whenthememberinwhoseterritoriestheprojectislocatedisnotitselftheborrower,thememberorthecentralbankorsomecomparableagencyofthememberwhichisacceptabletotheBank,fullyguaranteestherepaymentoftheprincipalandthepaymentofinterestandotherchargesontheloan.(ii)TheBankissatisfiedthatintheprevailingmarketconditionstheborrowerwouldbeunableotherwisetoobtaintheloanunderconditionswhichintheopinionoftheBankarereasonablefortheborrower.(iii)Acompetentcommittee,asprovidedforinArticleV,Section7,hassubmittedawrittenreportrecommendingtheprojectafteracarefulstudyofthemeritsoftheproposal.(iv)IntheopinionoftheBanktherateofinterestandotherchargesarereasonableandsuchrate,chargesandthescheduleforrepaymentofprincipalareappropriatetotheproject.(v)Inmakingorguaranteeingaloan,theBankshallpaydueregardtotheprospectsthattheborrower,and,iftheborrowerisnotamember,thattheguarantor,willbeinpositiontomeetitsobligationsundertheloan;andtheBankshallactprudentlyintheinterestsbothoftheparticularmemberinwhoseterritoriestheprojectislocatedandofthemembersasawhole.(vi)Inguaranteeingaloanmadebyotherinvestors,theBankreceivessuitablecompensationforitsrisk.(vii)LoansmadeorguaranteedbytheBankshall,exceptinspecialcircumstances,beforthepurposeofspecificprojectsofreconstructionordevelopment.世行貸款協(xié)定《IBRD貸款協(xié)定和擔(dān)保協(xié)定通則》（成員國(guó)與WB）

IBRD貸款協(xié)定與私人貸款區(qū)別協(xié)定需借款國(guó)政府批準(zhǔn)協(xié)定屬于國(guó)際組織與成員國(guó)雙邊條約協(xié)定優(yōu)先適用于《通則》只有在項(xiàng)目需要支付時(shí)才可提取WB與中國(guó)1980年5月，中國(guó)恢復(fù)世界銀行合法席位。１９８１年起中國(guó)開始借用該行資金截止至２００２年４月成員國(guó)：186資本（美元）：

1700億雇員：6400顧問：1100年度預(yù)算（美元）：14億中國(guó)與世界銀行集團(tuán)合作簡(jiǎn)況1980年5月恢復(fù)在世界銀行（簡(jiǎn)稱“世行”）的合法席位以來，項(xiàng)目貸款截至2004年12月底，世行總承諾額累計(jì)超過381億美元，支持257個(gè)項(xiàng)目，我國(guó)的貸款余額在世行各借款國(guó)中居首位。投資結(jié)構(gòu)：貸款主要用于能源、交通等國(guó)民經(jīng)濟(jì)瓶頸部門及相對(duì)落后的地區(qū)競(jìng)爭(zhēng)性招標(biāo)機(jī)制、工程師監(jiān)理制度、業(yè)主負(fù)責(zé)制已成為我國(guó)重大工程項(xiàng)目的標(biāo)準(zhǔn)作法。經(jīng)濟(jì)調(diào)研和技術(shù)援助領(lǐng)域的合作截至2004年年底，120多篇經(jīng)濟(jì)和部門研究報(bào)告，如《中國(guó)：國(guó)家發(fā)展與地方財(cái)政》（2002）、《改善投資環(huán)境，提高城市競(jìng)爭(zhēng)力：中國(guó)23個(gè)城市排名》（2003）

新進(jìn)展及合作設(shè)想

貸款合作向中西部地區(qū)與重點(diǎn)領(lǐng)域傾斜

截至2004年年底，世行貸款項(xiàng)目50%以上用于基礎(chǔ)設(shè)施，約70%投向中西部地區(qū)，在今后一段時(shí)期內(nèi)，我國(guó)計(jì)劃將世行年度貸款規(guī)模保持在10-15億美元之間。 －全方位、多層次的合作（第6大股東國(guó)） 探討與世行貸款結(jié)合的其他國(guó)外優(yōu)惠資金來源，如全球環(huán)境基金、青年農(nóng)民培訓(xùn)、東北老工業(yè)基地的職業(yè)培訓(xùn)等項(xiàng)目世界銀行：中國(guó)財(cái)政部：http://國(guó)際開發(fā)協(xié)會(huì)

（Int’lDevelopmentAssociation)法律基礎(chǔ)：《國(guó)際開發(fā)協(xié)會(huì)協(xié)定》（1960）宗旨：促進(jìn)世界欠發(fā)達(dá)地區(qū)經(jīng)濟(jì)發(fā)展國(guó)際開發(fā)協(xié)會(huì)（Cont’d)貸款文本基礎(chǔ)：《國(guó)際開發(fā)協(xié)會(huì)開發(fā)信貸協(xié)定通則》（1985修訂）貸款條件：軟貸款GNP＜545美元（1070，混合貸款）40年＋10（寬限期）免息貸款可以本國(guó)貨幣清償國(guó)際金融公司

（Int’lFinanceCompany)法律基礎(chǔ)：《國(guó)際金融公司協(xié)定》（1955）宗旨：鼓勵(lì)成員國(guó)、特別是欠發(fā)達(dá)地區(qū)成員國(guó)的生產(chǎn)性私營(yíng)企業(yè)的增長(zhǎng)。對(duì)成員國(guó)生產(chǎn)性私營(yíng)企業(yè)投資（貸款或入股）盈利性項(xiàng)目對(duì)私營(yíng)入股＜公司資本25%無需政府擔(dān)保經(jīng)營(yíng)原則貸款條件期限：7-15年利率：6-10%以借貸貨幣清償IFC與中國(guó)貸款：1985年對(duì)廣州標(biāo)致汽車公司貸款（第一筆）。目前共40多個(gè)貸款項(xiàng)目、10億元貸款投資：1999參股上海銀行5%比較WB長(zhǎng)期生產(chǎn)性資金經(jīng)濟(jì)發(fā)展IMF

短期資金融通國(guó)際收支不平衡IBRD貸款條件嚴(yán)格IDA(1960)貸款條件寬松，靈活最不發(fā)達(dá)國(guó)家V.V.國(guó)際投資爭(zhēng)端解決中心

（InternationalCentreforSettlementofInvestmentDisputes,ICSID）是世界銀行集團(tuán)的一個(gè)投資促進(jìn)機(jī)構(gòu)，仲裁投資爭(zhēng)端的國(guó)際性機(jī)構(gòu)，成立于1966年10月，總部設(shè)在華盛頓。法律基礎(chǔ)：1965《解決國(guó)家與他國(guó)國(guó)民之間投資爭(zhēng)議公約》（華盛頓公約）性質(zhì)常設(shè)性國(guó)際組織非聯(lián)合國(guó)專門機(jī)構(gòu)具有獨(dú)立法人格享有國(guó)際組織特權(quán)與豁免權(quán)管轄權(quán)基礎(chǔ)：東道國(guó)政府與他國(guó)投資商的同意調(diào)解人小組、仲裁人小組國(guó)際投資爭(zhēng)端解決中心的宗旨和任務(wù)是，制定調(diào)解或仲裁投資爭(zhēng)端規(guī)則，受理調(diào)解或仲裁投資糾紛的請(qǐng)求，處理投資爭(zhēng)端等問題，為解決會(huì)員國(guó)和外國(guó)投資者之間爭(zhēng)端提供便利，促進(jìn)投資者與東道國(guó)之間的互相信任，從而鼓勵(lì)國(guó)際私人資本向發(fā)展中國(guó)家流動(dòng)。該中心解決爭(zhēng)端的程序分為調(diào)停和仲裁兩種。

國(guó)際投資爭(zhēng)端解決中心組織機(jī)構(gòu)有：理事會(huì)，為最高權(quán)力機(jī)構(gòu)，由各成員國(guó)派1名代表組成，每年舉行一次會(huì)議，世界銀行行長(zhǎng)為理事會(huì)當(dāng)然主席；秘書處，由秘書長(zhǎng)負(fù)責(zé)，處理日常事務(wù)。其成員包括世界銀行成員國(guó)和其他被邀請(qǐng)國(guó)。中國(guó)1990年簽署，1992年加入多邊投資擔(dān)保機(jī)構(gòu)（MIGA）

/1988年根據(jù)《建立多邊投資擔(dān)保機(jī)構(gòu)公約》設(shè)立，截止2007年8月底，有171年成員國(guó)。宗旨：鼓勵(lì)生產(chǎn)性投資在會(huì)員國(guó)之間的流動(dòng)，尤其是向發(fā)展中國(guó)家的流動(dòng)，補(bǔ)充IBRD、IFC等金融機(jī)構(gòu)的活動(dòng)業(yè)務(wù)：為成員國(guó)之間私人投資提供政治風(fēng)險(xiǎn)擔(dān)保MIGA法律地位：國(guó)際組織具有法律人格

擔(dān)保一般特點(diǎn)對(duì)在發(fā)展中成員國(guó)的投資提供擔(dān)保承保風(fēng)險(xiǎn)：外匯險(xiǎn)、征收險(xiǎn)、戰(zhàn)爭(zhēng)險(xiǎn)、違約險(xiǎn)（非商業(yè)險(xiǎn)或政治險(xiǎn)）投保人原則為東道國(guó)以外成員國(guó)國(guó)民擔(dān)保需東道國(guó)認(rèn)可CoveredRisks

（i）CurrencyTransfer

anyrepudiationorbreachbythehostgovernmentofacontractwiththeholderofaguarantee,when(a)theholderofaguaranteedoesnothaverecoursetoajudicialorarbitralforumtodeterminetheclaimofrepudiationorbreach,or(b)adecisionbysuchforumisnotrenderedwithinsuchreasonableperiodoftimeasshallbeprescribedinthecontractsofguaranteepursuanttotheAgency'sregulations,or(c)suchadecisioncannotbeenforced;and(iv)WarandCivilDisturbance

anymilitaryactionorcivildisturbanceinanyterritoryofthehostcountrytowhichthisConventionshallbeapplicableasprovidedinArticle

66.EligibleHostCountries

adevelopingmembercountryHostCountryApprovalTheAgencyshallnotconcludeanycontractofguaranteebeforethehostgovernmenthasapprovedtheissuanceoftheguaranteebytheAgencyagainsttherisksdesignatedforcover.

EligibleInvestments

equityinterest,includingmedium-orlong-termloansmadeorguaranteedbyholdersofequityintheenterpriseconcerned,andsuchformsofdirectinvestmenttheBoardmayextendeligibilitytoanyothermedium-orlong-termformofinvestmentberestrictedtoinvestmentstheimplementationofwhichbeginssubsequenttotheregistrationoftheapplicationfortheguaranteebytheAgency.theAgencyshallsatisfyitselfasto:theeconomicsoundnessoftheinvestmentandcontributiontothedevelopmentofthehostcountrycomplianceoftheinvestmentwiththehostcountry'slawsandregulationsconsistencyoftheinvestmentwiththedeclareddevelopmentobjectivesandprioritiesofthehostcountry;andtheinvestmentconditionsinthehostcountry,includingtheavailabilityoffairandequitabletreatmentandlegalprotectionfortheinvestment.

EligibleInvestors

nationalofamemberotherthanthehostcountryjuridicalpersonincorporatedandhasitsprincipalplaceofbusinessinamemberorthemajorityofitscapitalisownedbyamemberormembersornationalsthereof,notthehostcountrycommercialbasisforinvestorshavingmorethanonenationality,thenationalityofamembershallprevailoverthenationalityofanon-member,andthenationalityofthehostcountryshallprevailoverthenationalityofanyothermember.

theBoard,byspecialmajority,mayextendeligibilitytoanaturalpersonwhoisanationalofthehostcountryorajuridicalpersonwhichisincorporatedinthehostcountryorthemajorityofwhosecapitalisownedbyitsnationals,providedthattheassetsinvestedaretransferredfromoutsidethehostcountry.資本擔(dān)保的資金來源法定資本：10億特別提款權(quán)（SDRs),10萬股、每股1萬SDRs。由成員國(guó)認(rèn)繳代位求償MIGA向投資者賠償后，有權(quán)向東道國(guó)索賠。機(jī)構(gòu)的代位權(quán)免于適用東道國(guó)外匯管制、限制，但不能享有機(jī)構(gòu)財(cái)產(chǎn)的豁免權(quán)PrivilegesandImmunities

Article44.LegalProcess

ActionsmaybebroughtagainsttheAgencyonlyinacourtofcompetentjurisdictionintheterritoriesofamemberinwhichtheAgencyhasanofficeorhasappointedanagentforthepurposeofacceptingserviceornoticeofprocess.

NosuchactionagainsttheAgencyshallbebrought(i)bymembersorpersonsactingfororderivingclaimsfrommembersor(ii)inrespectofpersonnelmatters.

ThepropertyandassetsoftheAgencyshall,whereverlocatedandbywhomsoeverheld,beimmunefromallformsofseizure,attachmentorexecutionbeforethedeliveryofthefinaljudgmentorawardagainsttheAgency.Assets－Article45.

ThepropertyandassetsoftheAgency

shallbeimmunefromsearch,requisition,confiscation,expropriationoranyotherformofseizurebyexecutiveorlegislativeaction.allpropertyandassetsoftheAgencyshallbefreefromrestrictions,regulations,controlsandmoratoriaofanynaturepropertyandassetsacquiredbytheAgencyassuccessortoorsubrogeeofaholderofaguarantee
