場(chǎng)指導(dǎo)、技術(shù)支持、培訓(xùn)支持等相關(guān)配套服務(wù)。向乙方按時(shí)、按質(zhì)、按量提供包裝完整的合格產(chǎn)品；協(xié)助乙方做好貨物托運(yùn)及調(diào)換工作；采取有效措施調(diào)節(jié)和規(guī)范市場(chǎng)秩序；嚴(yán)守乙方的商業(yè)機(jī)密。方的權(quán)利享有本合同第二條約定的特約經(jīng)銷產(chǎn)品在產(chǎn)品特約區(qū)域的經(jīng)銷權(quán)；享有按《OA電能科技2004年度市場(chǎng)營(yíng)銷方案》享受一切獎(jiǎng)勵(lì)條款規(guī)定的權(quán)利；4、乙方的義務(wù)4.1應(yīng)向甲方提供營(yíng)業(yè)執(zhí)照等合法有效的經(jīng)營(yíng)證件，并嚴(yán)格遵守國(guó)家有關(guān)法律法規(guī)及行業(yè)規(guī)范，進(jìn)行守法經(jīng)營(yíng)；4.2自覺維護(hù)甲方及其產(chǎn)品的形象和聲譽(yù)，在甲方指導(dǎo)下處理好特約經(jīng)銷區(qū)域內(nèi)產(chǎn)品終端用戶的投訴與相關(guān)服務(wù)請(qǐng)求，并做好有關(guān)部門監(jiān)督檢查的配合工作；嚴(yán)格遵守甲方《OA電能科技2004年度市場(chǎng)營(yíng)銷方案》中關(guān)于市場(chǎng)營(yíng)銷秩序維護(hù)及經(jīng)銷商行為約束方面的相關(guān)規(guī)定；不得擅自生產(chǎn)、偽造甲方之產(chǎn)品，并要協(xié)助甲方做好保護(hù)甲方專利、商標(biāo)等知識(shí)產(chǎn)權(quán)的工作；嚴(yán)守甲方的商業(yè)秘密；乙方必須安裝專用的通訊設(shè)備，保持與甲方的持續(xù)溝通，及時(shí)反饋各種市場(chǎng)營(yíng)銷信息；乙方印制各種針對(duì)甲方的宣傳資料前必須呈甲方審核，并經(jīng)甲方書面許可后方能發(fā)布；遵守甲方頒布的年度營(yíng)銷方案、客戶服務(wù)方案，并積極支持配合甲方組織的各項(xiàng)活動(dòng)；servicessuchasmarketguidance,technicalsupportandtrainingsupportforPartyB.PartyAshallsupplythewell-packedqualifiedproductstoPartyBonschedulebyqualityandquantity.PartyAshallrenderassistancetoPartyBtomakegoodsconsignmentandreplacement.PartyAshalltakeeffectivemeasuretoadjustandstandardizethemarketorder.PartyAshallnotdisclosethecommercialsecretetoanyotherthirdparty.RightsofPartyBPartyBshallhavetherighttoenjoythedistributionrightofthespecifiedproductsintheareaasspecifiedin Articletwoofthiscontract.PartyBshallhavetherighttoenjoyalltherightsasspecifiedintherewardingclauseaccordingtothe2004MarketingPlanofGUANGZHOUOATECHNOLOGYCOMPANYLIMITED.ObligationsofPartyBPartyBshallprovidethelegalandvalidbusinesslicensetoPartyAandstrictlyabidebytheindustrystandardandrelevantlawsandregulationsofthecountry,andoperateunderthelaws.PartyBshallmaintaintheimageandreputationofPartyAanditsproducts.WiththeguidanceofPartyA,PartyBshallmakegoodsettlementofthecomplaintandrelevantserviceapplicationofthefinalusersinthedistributionarea,andrendergoodcoordinationtorelevantdepartmentforsupervisionandinspection.PartyBshallstrictlyabidebytherelevantregulationswithrespecttothemarketordermaintenanceandbindingontheactivityofthedistributorsasspecifiedinthe2004MarketingPlanofGUANGZHOUOATECHNOLOGYCOMPANYLIMITED.PartyBshallnotproduce,counterfeittheproductsofPartyA;PartyBshallrenderassistancetoprotecttheintellectualpropertysuchaspatentandtrademarkofPartyA.PartyBshallnotdisclosethecommercialsecretetoanyotherthirdparty.PartyBshallinstallspecialcommunicationequipmenttomaintainagoodcontactwithPartyAandfeedbackvariousmarketinginformationontime.PartyBshallsubmitalltheadvertisingdatainvolvingPartyAtoPartyAforexaminationandapproval;andtheadvertisingdatashallonlybeissuedwiththeapprovalofPartyA.PartyBshallabidebytheannualmarketingplan,clientserviceplanandrenderactiveassistancetoPartyAtoorganize
