SALESANDPURCHASECONTRACTOFINDONESIANSTEAMCOAL(NCV5500-5300KCAL/KG)CONTRACTNO.:TDCOAL5553CIF80311印度尼西亞動力煤購銷合同(NCV5500-5300KCAL/KG)合同號：TDCOAL5553CIF80311ThisSalePurchaseContractofIndonesianSteamCoalismadeon13RDofOCT2010(“Agreement")byandbetween:本印度尼西亞動力煤購銷合同于2010年10月13日由下述雙方簽訂：(hereinafterreferredtoas“theSeller"),acompanyincorporatedinHongKongwithitsregisteredofficeatHongKong. 公司(以下簡稱“賣方”)，一個在香港成立的公司，注冊地在香港 ；(hereinafterreferredtoas“theBuyer"),acompanyincorporatedinChinawithitsregisteredofficeat.有限公司(以上簡稱“買方”)一個在中國成立的公司，注冊地。BoththeSellerandtheBuyermayindividuallybereferredtoas“Party"orcollectivelyasthe“Parties".買賣雙方可以分別被稱作“各方”或一起指“雙方”。Whereas:鑒于：TheSellerandtheBuyerhaveagreedtoenterintothisSALESANDPURCHASECONTRACTOFINDONESIASTEAMCOAL(ashereinafterdefined)subjecttothetermsandconditionshereincontained.賣方和買方同意簽訂本合同，據(jù)此，賣方將根據(jù)買方按本文所載條款及條件供應(yīng)動力煤(定義見下文)。TermsofContract合同條款ThePartiesherebyagreethatthisContractshallbecomeeffectiveonthedateofthisContractandshallcontinueineffectforaperiodofONE(1)year;shallautomaticallyexpireunlessrenewedorextendedinwriting;shallcontinueforaperiodand/ortobemutuallyagreedbythePartiesand/orterminatedinaccordancewiththetermsofthisContract.雙方在此同意，本合同應(yīng)在簽訂之日起生效,并應(yīng)繼續(xù)本合同的有效期為一(1)年，除非更新或書面通知延長，否則本合同將自動失效；本合同有效期間，如雙方商定和/或由雙方需根據(jù)本合同條款以終止。TheSellerandtheBuyerbothconfirmwithfullresponsibilitythattheyhavethecorporateauthoritytosignthisContract.買賣雙方在各自授權(quán)情況下確認(rèn)，并簽訂本合同。Nowitisagreedasfollows:在此達(dá)成如下協(xié)議：DEFINITIONS定義InthisContract,unlessthesubjectorcontextotherwiserequires,thefollowingwordsandexpressionswillhavethefollowingmeaningsrespectivelyascribedtothem:在本合同中，除非所述事項或文意另有所指，下列詞語將它們分別歸于以下涵義：MetricTon:Ameasureofweightequivalenttoonethousandkilograms(1,000kg)公噸： 重量的度量單位,相當(dāng)于一千公斤物體重量。BillofLading：Theofficialdocument,issuedattheloadingportaftercompletionoftheloadingoperations,whichstatetheamountloaded,expressedinMetricTons(MT).Thisoriginaldocumenthastobesignedbytheship’sMasterandmadeoutinaccordancewiththeinstructionshereinafterspecifiedintheContract.提單： 在裝貨港裝貨完成后,裝貨港簽發(fā)的正式文件，記錄著受載數(shù)量，以公噸計量。該文件正本必須由船長簽署，并必須以合同中的指示為依據(jù)。LoadingPort:PortofIndonesiawherethevesselanchoringat/orsuchotherportasthepartiesmayagreetoinwriting.裝貨港： 指船只停泊的印度尼西亞港口，或經(jīng)雙方書面同意的其他港口。DischargePort：Thesafeport/berthdesignatedbytheBuyerasfinalreceivingdestination.卸貨港： 買方指定的安全港口/泊位作為最終的目的港。CIF:Cost,InsuranceandFreightstrictlyasreferredtointheinterpretationsdefinedbytheINCOTERMSEdition2000withlatestamendments.嚴(yán)格依據(jù)“國際商會國際貿(mào)易術(shù)語解釋通則”2000最新版定義所指的成本+運費+保險CCIC :CCICINDONESIAPTELTD.指中國檢驗認(rèn)證集團(tuán)之成員公司。ADB :AirDriedBasis.指空氣干燥基基準(zhǔn)。ARB :AsReceivedBasis指收到基基準(zhǔn)。GCV :GrossCalorificValue指總熱值。NCV:NetCalorificValue(AsReceivedBasis)指低位收到基基準(zhǔn)(收到基凈值)。Cargo : Meanscoaltobetransported.指裝運的煤。Coal : SteamcoalexploitedbytheSellerfromIndonesia.指賣方開采的印度尼西亞動力煤。kcal/kg : Kilocaloriesofenergyperkilogramofcoal.指每千克煤炭的發(fā)熱量(千卡)。CLAUSE1COMMODITY第一條商品Commodity:SteamCoal,NetCalorificValue(AsReceivedBasis)5500kcal/kg.商品名稱：動力煤，低位收到基發(fā)熱量5500Kcal/kg。CountryofOrigin:Kalimantan,Indonesia.原產(chǎn)地：印度尼西亞位于加里曼丹的煤礦。Loadingport:TanjungPemancinganport,SouthKalimantan,Indonesia.裝貨港：印度尼西亞南加里曼丹TanjungPemancingan港。Dischargeport:RizhaoofShandongProvince,China卸貨港：中國山東日照港。CLAUSE2QUANTITY第二條數(shù)量TheSellershallsellandshipandtheBuyershallpurchaseandaccept40000MT(+10%)permonthofCoalattheBuyer'soption.Buttotalquantityisnotlessthen600,000MToneyear.買賣雙方接受每月300000噸(±10%)的煤炭數(shù)量或由買方?jīng)Q定。但年交貨總量不低于360萬噸。Thefirsttrialshipmentof50,000MT(±10%)shallbeshippedwithin30daysafterL/Cissued.第一票5萬噸試單交貨應(yīng)在信用證開出后30天內(nèi)裝運。Fromthe2ndshipmentsof300,000MT(±10%)permonthofCoalattheBuyer'soptionshallbeshippedwithin30daysaftertheL/Cissued.從第二船開始，由買方?jīng)Q定每月30萬噸(±10%)的煤炭交貨應(yīng)在收到信用證后30

天內(nèi)交貨。Changetheportofdestination:inthedeliveryprocess,thebuyermayrequesttoChangethedischargeport,butmustnotifythesellerin48hours,thesellerinformedtheShippingside.目的港的變更：在交貨過程中，買方可以提出改變卸貨目的港的要求，但必須至少在煤船到達(dá)卸港前48小時通知賣方，由賣方通知船方執(zhí)行。CLAUSE3QUALITY/SPECIFICATION第三條質(zhì)量、規(guī)格ForthefulldurationoftheContract,theSellerguaranteesthatthequalityoftheproductwillmeetthefollowingspecificationsshouldbeanalyzedaccordingtoISOStandard.在這項合同的整個期間，賣方保證產(chǎn)品的質(zhì)量將符合以下規(guī)格按ISO標(biāo)準(zhǔn)檢驗。TotalMoisture總水分(ARB)InherentMoisture內(nèi)在水分(ADB)AshContentTotalMoisture總水分(ARB)InherentMoisture內(nèi)在水分(ADB)AshContent灰份(ADB)FixedCarbon固定碳(ADB)VolatileMatter揮發(fā)份(ADB)TotalSulphur總硫份(ADB)HardGroveIndex哈氏可磨系數(shù)SizeDistribution尺寸分布16%MAX>18%Reject>20拒收10%MIN<12%Reject>14拒收14%MAX>16%Reject拒收Bydifference38-43%<35%or>45%Reject拒收0.8%MAX>1.0%Reject拒收45-55<450-50mm>90%AshFusionTemperature灰熔點(IDT,°C)>1250°C <1200°CTheQualityoftheSteamCoalhastheminimumguaranteedspecifications.TheBuyerhasthefullrighttorefusereceivingtheproductandrejectthecoalpriceandallrelevantfeesifitislowerthantheminimum(i.e.ifthequalityachievestherejectionasstipulatedClause3.1).動力煤質(zhì)量具有最低保證值。如超過最低保證值(即，如果達(dá)到第3.1條款約定的拒付值標(biāo)準(zhǔn))，買方將有權(quán)選擇拒收該批煤炭和拒付煤款等一切費用。CLAUSE4PRICE第四條價格TheunitpriceforNetCalorificValue(airreceivedbasis)(5500kcal/kg),CIFRizhaoport,ChinawillbeUSD97/MT.單價以收到基低位熱值5500Kcal/kg為基準(zhǔn)，CIF中國日照港97美元/噸。CLAUSE5PRICEADJUSTMENT/PENALTIES第五條價格調(diào)整Premium/Penalties獎勵/懲罰InregardstoeachshipmentofsteamcoalwhichdoesnotmeettheNetCalorificValue(ARB)contentandotherelementssetforthinClause3,thebasepricereferredtoinClause4shallbeadjustedinaccordancewiththeNetCalorificValue(ARB)asstatedinthefollowingprovisionsofClause5.每批煤炭裝運，如低位收到基熱值和其它成分不能滿足本合同第3條規(guī)定，在第4條中所列基準(zhǔn)價格應(yīng)依第5條之規(guī)定進(jìn)行調(diào)整。Premium:獎勵：Foreach1Kcal/KgofNetCalorificValue(ARB)above5500Kcal/Kg(NCV,ARB)premiumisatUSD0.016/MT.收到基低位發(fā)熱量高于NCV(ARB)5500Kcal/kg，每增加IKcal,獎勵0.016美元/噸。Penalties:懲罰：Foreach1Kcal/KgofNetCalorificValue(ARB)below5500Kcal/Kg(NCV,ARB)pricewilldeductUSD0.016/MT,willbeaffordedbytheseller.收到基低位發(fā)熱量低于NCV(ARB)5500Kcal/kg，基準(zhǔn)價格扣除0.016美元/噸，扣除的部份應(yīng)由賣方承擔(dān)。IfARBcontentfallsbelowNCV5300Kcal/KgtheshipmentisrejectedanditshallbedeemedasthebreachofcontractbytheSeller.如果收到基低位發(fā)熱量低于NCV(ARB)5300Kcal/kg，買方將拒收，視作賣方違約。IftheTotalMoisture,asspecifiedontheCertificate,ismorethan16%,thentheinvoiceweightofthecargoforpaymentshallbeadjustedinfollowingformula:InvoiceWeight=CertifiedWeightX(1-CertifiedMoisture)/(1-16%)如全水分大于16%，那么用于付款的發(fā)票重量應(yīng)按如下公式調(diào)整：發(fā)票重量=重量證書上的貨物重量X(1—實際全水分)/(1—16%)IfthedeliveredcargoisprovedtobedulyrejectedbyanalysisresultsaccordingtoCLAUSE3(SPECIFICATION),theBuyerhastherighttochoosefrom:Option1:RejectthecargoandclaimagainsttheSeller,includingbutnotlimitedtosubmitthecaseforarbitrationaccordingtoCLAUSE16andCLAUSE19.Option2:Acceptthecargobutdeduct30%fromthefurthershipmentofbasicpriceinadditiontoabovePRICEADJUSTMENTS.交付貨物根據(jù)合同第3條(商品規(guī)格)經(jīng)檢驗斷定應(yīng)被拒收，買方有權(quán)從中選擇：方案一：拒收貨物并向賣方提出索賠，包括但不限于按照合同第16條和第19條提請仲裁；方案二：接受貨物，但在上述價格調(diào)整之外還應(yīng)按照基礎(chǔ)價格的30%扣減價款。CLAUSE6PAYMENTTERMS 付款方式TheBuyershallissueDraftL/Cwithin5workingdaystotheSelleraftersigningonContractbybothparties.雙方簽訂合同后，5個工作日內(nèi)，買方應(yīng)向賣方開具信用證草稿。TheSellershallissueanoperativeperformanceguaranteeinthe2%oftotalL/Camountwithin5workingdaysfromtheSeller'sBanktotheBuyerafterreceiptoftheDraftL/C.收到買方的信用證的草稿后的5個工作日內(nèi)，賣方開具信用證金額2%的履約保函給買方。TheBuyershallissueanoperativeirrevocable,atsightdocumentaryLetterofCreditinfavorofSellercovering100%oftheshipmentvaluebySwifttotheSellerwithin5daysafterreceiptofthe2%operativePerformanceBondfromtheSeller'sbank.收到賣方銀行開出的2%銀行履約保函后的5個工作日內(nèi)，買方開具不可撤銷、即期全額船載貨值、以賣方為受益人的即期信用證給賣方。LCshouldcontaintheseadditionalclauses信用證應(yīng)包含下述附加條款：PaymentatSeller'sbankcounterswithTTreimbursementsnotallowed;在賣方銀行柜臺付款，不允許電匯；Typoerrorsandminordiscrepanciesacceptable;可以接受的打字錯誤和小差異；3rdPartyDocumentsacceptableexcludingcommercialinvoice;商業(yè)發(fā)票除外第三方單證接受；LCValidityDate:50daysafterdateofB/L信用證有效日期：50天。PaymentfortheShipmentisbasedontheCIFpricedeterminedinaccordancewithClause4multipliedbytheshownintheCertificateofquantity/qualitydeterminedinaccordancewithClause9.根據(jù)條款4規(guī)定的CIF價格及條款9規(guī)定的數(shù)量/質(zhì)量證明支付貨款。AllbankchargesoutsideBuyer'sbankcountryshallbebornebytheSeller.ButLCamendmentchargesshallbebornebyamendside.在買方國家以外所有銀行的費用，由賣方負(fù)擔(dān)。修改信用證的費用，由提出異議方負(fù)擔(dān)。Afterfixationoftheshipmentdate,buyershallassessselleroncontractperformanceaccordingtothedeterminedshipmentdatebytheClause8.1ofthiscontract.Ifthesellerfailstocarryoutthecontract,theperformancedepositwillbeforfeitedtothebuyer.船期確定后，買方則按照本合同第8.1條款確定的船期對賣方進(jìn)行履約考核。如果賣方無力執(zhí)行本合同時，履約保證金歸買方所有。CLAUSE7REQUIREDDOCUMENTATIONSFORPAYMENT付款所需的文件1originaland3copiesofBeneficiary'sdulysignedcommercialinvoiceindicating100%valuetobenegotiatedbasisonCertificateofDraughtSurveyWeight,afterdeductiononexcessmoisturecontentandpriceadjustments(ifapplicable).一份原本及三份副本信用證受益方商業(yè)發(fā)票,并已扣除本信用證議付單據(jù)之品質(zhì)證書內(nèi)的水份比例及價格調(diào)整后，以實際重量結(jié)算貨值。1originaland4copiesofCertificateofSamplingandAnalysisissuedbySingaporeCCICatLoadportclearlyspecifyingthesamplingandanalysisresultspertainingto.由中國檢驗認(rèn)證集團(tuán)新加坡有限公司根據(jù)裝運港的品質(zhì)檢驗結(jié)果所發(fā)出的品質(zhì)證書一份原本及四份副本。1originaland4copiesofCertificateofDraughtSurveyWeightbasedonLoadportresultsissuedbySingaporeCCIC由中國檢驗認(rèn)證集團(tuán)新加坡有限公司根據(jù)裝運港的水尺檢驗結(jié)果所發(fā)出的重量證書一份原本及四份副本。1originaland3copiesofCertificateofOriginissuedbyIndonesianGovernmentAuthorities.由印度尼西亞官方機(jī)構(gòu)簽發(fā)的產(chǎn)地來源證一份原本及三份副本。Beneficiary'scertifiedcopyoffaxtoapplicantwithin24hoursaftershipmentadvisingcontractnumber,L/Cnumber,nameofcommodity,weightandspecificationsofthegoodsloaded,approximatecargovalue,B/Lnumberanddate,nameofthecarryingvessel,ETS/ETAdate.受益方于裝船后24小時內(nèi)向信用證開證方傳真裝船通知之副本，列明：合同號，信用證號,貨品名稱，以及裝船的貨品重量，大約貨值，提單編號及日期，受載船舶名稱及起航/到達(dá)日期。CertificateofqualityissuedbyCIQatdischargeport.卸貨港CIQ質(zhì)量檢測報告.CertificateofweightissuedbyCIQatdischargeport.卸貨港CIQ重量檢測報告.FinalInvoiceinoneoriginalandthreecopies.

最終發(fā)票一正本及三副本。j)Fullsetof“cleanonboard”shippedbillofladingmadeouttoorder,blankendorsed,notifying“tobenotified”，marked“freightprepaid”or“freightpayableaspercharterparty”.全套已裝船之“清潔海運提單”，按指示注明，空白背書，列明被通知方，標(biāo)注“海運費已付”或“海運費按租船合同繳付”。AllofthedocumentsincludingtheB/L,invoice,packinglist,origincertificate,exportpermit,quality&quantitycertificates,non-radiationandnon-explosivescertificate,etc.havetobefaxedoremailedtothebuyerwithin7calendardaysafterB/Ldate.所有文件包括提單，發(fā)票，原產(chǎn)地證明，出口許可證明，質(zhì)量與數(shù)量證明文件，非輻射非爆炸物證明等等，必須于提單日期后7個公歷日內(nèi)以傳真或者電子郵件形式發(fā)送至買方。CLAUSE8DELIVERY第八條交貨TheFirstDeliveryshallbedeliveredwithin30daysafterissueanoperativeirrevocable100%atsightdocumentaryLetterofCredit.第一次交貨應(yīng)在開具不可撤消的100%即期跟單信用證后30天內(nèi)進(jìn)行。72hoursbeforetheshiparrivesatthedischargeport,theVesselMastermustinformtheBuyerandthedischargeportofitsShippingAgent,boatname,tonnage,flag,thesizeoftheboat,etc...Thisinformationmustbesentagain48,24,and12hoursbeforearrival.在船到達(dá)卸貨港72小時前，船長應(yīng)通知買方和卸貨港的船務(wù)代理，船名，噸位，懸掛旗幟，吃水等;以及分別在船到港48、24和12小時前通報準(zhǔn)確的到達(dá)時間。Sellershallensuretimelyarrivaloftheshiptothedischargeportinconformitywiththeschedulebytheagreement.賣方應(yīng)按照本合同約定的交貨計劃，保證貨物準(zhǔn)時到達(dá)買方指定卸貨港。Seller'scharteredvessel(s)shallarriveatthedischargeportwithhertanksinapreparedstateforfitnessandcleanlinessinspection.賣方租用的船到達(dá)卸貨港準(zhǔn)備卸貨時，應(yīng)處于完好，潔凈狀態(tài)，接受檢驗。72hoursafterleavingtheloadingport,theSeller'sShippingRepresentativemustemailorfaxtotheBuyer'sofficethevessel'ssailingdate,thenameofthesteamshipcompany,tonnage,theageofthevessel,itsflag,theBillofLadingnumber,contractnumber,netquantityloaded,nameofcommodity,andestimatedtimeofarrival(ETA).貨船離開裝運港后的72小時內(nèi)，賣方的船運代理必須以電郵/傳真形式通知買方貨船啟航日期,指定貨船名稱，噸位，船齡，船旗，海運提單號，合約號，凈裝運數(shù)量，貨物名稱及預(yù)期到達(dá)卸貨港日期(ETA).TheSellershouldemailandfaxthefollowingatleastfivedaysbeforeloadingtheship:賣方應(yīng)在準(zhǔn)備裝船前至少5天內(nèi)用傳真或電郵方式通知買方以下內(nèi)容：DateofreadinessTotalweightPackageinbulkLoadingportVesselandCaptainDateofreadinessTotalweightPackageinbulkLoadingportVesselandCaptain(裝船日期)(總重量)(包裝)(裝貨港)(船代號和船長名)Transshipmentisnotallowed.Partialshipmentisallowed.

不允許轉(zhuǎn)運，允許分批裝運。DischargingTerms卸貨條件QingdaoPortofShandongProvince,ChinawillbethedischargingportforSteamCoalunderthisContract.Vesselwiththedimensionspecifiedbelowcansafelyenter,staysafelyafloatanddepart,tideandweatherpermitting.中國山東省的青島港將是本合同下動力煤的卸貨港。具有下述規(guī)定尺寸的船只有在潮汐和天氣允許時，才能安全進(jìn)入，安全停在海上和起程離開。m（最低的天文潮汐）m（m（最低的天文潮汐）m（最低的天文潮汐）m（最低的天文潮汐）Dischargingrateis8,000MTperweatherworkingdays24consecutivehours.卸貨率是每個晴天工作日連續(xù)24個小時作業(yè)8,000公噸AttheDischargingport,VesselshallbeconsignedtoaportagentnominatedbytheBuyer/SellerandappointedbyOwner,subjecttoOwner'sapprovalforportdisbursement.在卸貨港口，船要委托給買賣方指定的以及船主認(rèn)可的港口代理，經(jīng)船主批準(zhǔn)繳納港使費?；卮疃?TBA（稍候告知）水道深度 TBA（稍候告知）SellershalladviseBuyeroftheestimatedtimeofarrivalofVesselattheDischargingportatleast5dayspriorarrivalatdischargingport.賣方應(yīng)在船抵達(dá)卸貨港至少5天前，通知買方船的預(yù)計抵達(dá)卸貨港的時間。SellershallarrangeforVessel'smastertoadvicebyagenttoBuyertheestimatedtimeofarrivalattheDischargingportondeparturefromtheloadingport,7days,5days,3days,2daysand24hoursprior.從裝貨港出發(fā)起的7天,5天,3天和2天和24小時，賣方應(yīng)預(yù)先安排船主由代理人通知買方船到達(dá)港口的預(yù)計時間。WrittenNoticeofReadinesstodischargeshallbepresentedbythevesselafterarrivalatthedesignatedanchorageduringnormalofficehoursbetween7:00AMand4:00PM,sevendaysperweek,providedthatVesselisinfreepratiqueandisinallrespectsreadytodischarge.在船抵達(dá)指定的錨地后，在每周7天早上7:00到下午4:00的正常辦公時間內(nèi)應(yīng)發(fā)出卸貨準(zhǔn)備就緒書面通知，告知船已通過檢疫并完全準(zhǔn)備好可以卸貨。VesselarrivingwithindesignatedlaydaysshallbedischargedinprincipalinaccordancewiththeorderofarrivalatDischargingPort.船只在指定的卸裝時間內(nèi)抵達(dá)，應(yīng)按照卸貨港到達(dá)順序進(jìn)行卸貨。Laytimefordischargingshallcommence12hoursafterwrittenNoticeofReadinessistenderedtoBuyer'soffice,whethertheVesselisactuallyberthedornot,oroncommencementofdischargingifsooner.Ifthetwelve（12）hoursturntimeexpiresonamajorChineseHoliday,thenlaytimefordischargingistocommencefrom7:00AMonnextworkingday,unlessdischargingissoonercommenced.WaitingtimeforberthshallbeincludedinthelaytimeunlessthewaitinghasresultedfromanyactionorinactionbyBuyer;itisagent,theownerormasteroftheVessel,includinggrantingofpratique.ShiftingtimefromanchoragetoberthshallnotcountasLaytime.ThetimerequiredfortheballastingandforanydelaycausedbyVessel'sinabilitytodischargeshallnotcountaslaytime,evenifondemurrage.DelaysduetocausedstipulatedasForceMajeureinaccordancewithArticle18shallnotcountaslaytime.TimeallowedfordischargingistobecalculatedonthebasisoftheBillofLadingquantity.Laytimeshallceasecountoncompletionofdischarging.在準(zhǔn)備就緒書面通知書發(fā)至給買方辦公室12小時后，卸貨時間開始計算，無論船舶是否泊位，或者卸貨已提前進(jìn)行。如果12小時的等泊時間在中國節(jié)假日失效終止，那么卸貨時間則從下一個工作日早上7:00開始，除非卸貨已提前開始。等待泊位的時間應(yīng)計算在卸貨時間內(nèi)，除非等待時間是由于買方、船代，船東或船長的任何行動或沒有行動產(chǎn)生的，包括通過檢疫時間。從錨地移向泊位的時間不應(yīng)計算在卸貨時間內(nèi)。壓艙物需要的時間和任何因為船只不能卸貨原因?qū)е碌难舆t時間不能算在卸貨時間內(nèi)，即使處于滯期狀態(tài)。根據(jù)第18條不可抗力所引起的延期不能算入卸貨時間。按提單的數(shù)量為基礎(chǔ)計算允許卸貨的時間。卸貨完成時，停止計算卸貨時間。AnycostforovertimeoftheofficersandcrewoftheVesselshallalwaysbetotheaccountofVessel.船上官員和工作人員所引起的任何超時費用應(yīng)該都是由船方承擔(dān)TheVesselshallfurnishlightingnecessaryfornightworkonboardtheVesselandsuitablesafetygangwaywithnet.Vesselshouldprovideworkingaccommodationforforemen.OpeningorclosingthehatchcoversshallbeatVessel'scost.船上應(yīng)該配置必要照明設(shè)備以供夜班工作以及配置有網(wǎng)的安全走道。船舶為要為領(lǐng)班提供工作膳宿。開關(guān)艙口蓋板費用由船方承擔(dān)。BuyershallbearallofthecostsofthedischargingofthecoalontheVessel.買方應(yīng)承擔(dān)所有的從船上卸煤費用。Demurrage/Dispatchratetobeagreedwhennominatingthevessel.DispatchisahalfofDemurrage,laytimeintimesheetnon-reversibleandwillbesettleddirectlybetweenSellerandBuyer'sagentifany.當(dāng)指定船舶時將協(xié)商滯期費/速遣費。速遣費是滯期費的一半,時間表內(nèi)的可用卸貨時間不可相互抵消，如有的話將直接由買賣船代協(xié)商解決。CLAUSE9INSPECTION-QUANTITY/QUALITYDETERMINATION第九條檢驗數(shù)量/質(zhì)量SellerandBuyermutuallyagreethattheinternationallyrecognizedfirstclassIndependentSurveyorCompanySUCOFINDO(coassistedandwitnessedbyINTERTEK)shallbeappointedatdesignatedloadingportandChineseCIQatthedischargeport,toassessthequalityandquantityofthecargo.ThequalityandweightinspectionresultcarriedbySUCOFINDOattheloadingportshallbethebasisoftheSeller'sprovisionalinvoice,whichshouldbefaxedtoBuyerforCustomsClearance.ThequalityandweightinspectionresultcarriedbyCIQatthedischargeportshallbethebasisoftheSeller'sinvoice,whichshouldbepresentedtothebankwithotherdocuments.TheinspectioncostsatloadingportshallbefortheSeller'saccount;whileatdischargingportshallbetheBuyer'saccount.賣方和買方一致同意，在指定的裝運港由國際公認(rèn)的一流獨立的檢驗公司SUCOFINDO(由INTERTEK協(xié)助和見證)，以及在卸貨港由中國出入境檢驗檢疫局CIQ進(jìn)行貨物質(zhì)量和數(shù)量的檢驗。由SUCOFIDO在裝運港做的質(zhì)量和重量檢驗結(jié)果應(yīng)該基于賣方傳真給買方用于通關(guān)的臨時發(fā)票。由中國出入境檢驗檢疫局CIQ在卸貨港做的質(zhì)量和重量檢驗結(jié)果基于賣方提交給銀行議付文件的發(fā)票。在裝運港口的檢驗費用由賣方承擔(dān)；在卸貨港的檢驗費用由買方承擔(dān)。Quantityandqualityassessments,conductedbytheappointedSurveyorCompany,shallbeinaccordancewithmethodsandproceduresusuallyusedinthesteamcoalpractice.However,atalltimes,theyshallalsostrictlycomplywiththerevisedproceduresenforcedatthedateofcompliance.檢驗公司所采用鑒定數(shù)量和質(zhì)量的方法手段應(yīng)按照通常用于鑒定動力煤的方式。然而，無論何時，都應(yīng)嚴(yán)格遵照符合日期內(nèi)的修訂版檢驗方式。Forconvertingvolumes,fromobservedtostandardtemperature,volumestoweight,thelatestrevisededitionsoftheISOtableshavetobeused.須采用最新修訂版的ISO表格進(jìn)行轉(zhuǎn)換體積、觀察溫度到標(biāo)準(zhǔn)溫度的轉(zhuǎn)換，體積到重量轉(zhuǎn)換。TheassessedquantitywillbeusedforcomputingtheamounttobepaidtotheSeller,calculatingthepriceasperthecontract.IftheshippedcargovalueismorethanthewholeL/Cvalue,thebuyershallpayfortheexcesscargoviaT/T.IftheshippedcargovalueislessthanthewholeL/Cvalue,thesellershallnegotiatethepaymentdirectly.評估后所得的數(shù)量將用于計算支付給賣方的金額，按照合同的價格計算。如果運輸貨物的價值超出整個信用證的價值，買方應(yīng)通過電匯支付貨物超出的價值。如果運輸貨物的價值低于整個信用證的價值，賣方將直接協(xié)商支付。TheBuyermayatitsownexpensesentitspersonneltosupervisetheloadingoperation,providedthattheSellergivespriornoticewithin14daysbeforetheloadingoperation,sothattheBuyermayapplyforentryvisasforitspersonnel.買方可以自費派出人員監(jiān)督裝貨作業(yè)，賣方應(yīng)在裝運前14天內(nèi)通知買方，這樣買方可以為其人員申請入境簽證。CLAUSE10CLAIMS第十條索賠10.110.1Anyclaimsthateitherpartymayhave,duetoanoccurrence,havetobesubmittedtotheotherpartywithinaperiodofone(1)monthfromthedateofthatoccurrence任何一方向另一方索賠，必須自發(fā)生日起1個月內(nèi)提出。10.210.2Ifwithintwenty(20)calendardaysfromdateofdischargeofthevessel,theBuyerfailstoinformtheSellerofnon-compliance,thecommoditywillbedeemedtohavebeenacceptedbytheBuyer,andtheSellerwillnolongeracceptanyclaims.如果在卸貨日起的二十(20)個日歷日內(nèi)，買方?jīng)]有向買方提出違約一說，貨物將被視為被買方接受，賣方將不再接受任何索賠要求。10.310.3Intheeventthatthequalityofanyoneofthedeliveredbatchesfailstocomplywiththecontractualspecification,thentheBuyershallhavetheoptiontoacceptthesaidbatchatalowerpricebeingnegotiatedandacceptedbytheBuyer,priortothecommencementofthedischargeoperations.如果任一批貨物的質(zhì)量不符合合同規(guī)定，那么買方可以在開始卸貨作業(yè)前，選擇通過協(xié)商接受后的較低價格接受這批貨物。10.410.4Allclaimswillbeexecutedinwritingandbothpartiesagreetoacknowledgesuchclaimsbywrittenacceptancethereof.所有索賠須以書面方式執(zhí)行，雙方承認(rèn)這些書面形式認(rèn)的索賠。10.510.5SellerorBuyershallberesponsibleforalllegalcostintheeventSellercannotperformorcontinueafterofficiallegalcontractissigned.賣方或買方在合同正式簽訂之后如未能履約或未能持續(xù)履行合約，則其將承擔(dān)所有由此導(dǎo)致的法律費用。CLAUSE11TAXES,OBLIGATIONSANDIMPORT第十一條稅費、義務(wù)和進(jìn)口TheSellershallpayallandanytaxesanddutiescollecteduptothenominateddischargeportrelatedtotheperformanceofthiscontract.賣方須支付到指定卸貨港前的所有履行本合同的任何稅費。TheBuyershallpayallandanytaxesanddutiesincurredatthedischargeportrelatedtotheperformanceofthiscontract.買方須支付在卸貨港發(fā)生的所有履行本合同的任何稅費。CLAUSE12INSURANCE第十二條保險TheSellerbearstheexpensetoprocureapolicywithafirstclassMarineInsuranceInstitutetocoverONEHUNDREDandTENPERCENT(110%)ofthevalueofcargo.Theinsurancepolicywillcoverallriskorlossordamagetothesaidcargo,includingwar,hijacking,explosion,etc,fromthetimepassedattheloadingport.賣方須向一家信譽(yù)良好的海上保險機(jī)構(gòu)投保，投保等費用由賣方承擔(dān)投保額為貨物價值的110%。受海上保險承保的項目包括：從船停泊在裝運港開始，所有的風(fēng)險或上述貨物的損失或損害、包括戰(zhàn)爭、劫持等風(fēng)險。CLAUSE13APPLICABLELAW第十三條適用的法律ThisAgreementshallbeinterpretedinaccordancewiththelawsofwitnessforprosecutionundertherulesofConciliationandArbitrationoftheInternationalChamberofCommerceinHONGKONG.本協(xié)議的解釋應(yīng)按照國際商會駐香港仲裁庭的調(diào)解和仲裁規(guī)則下的訴訟見證法。CLAUSE14FORCEMAJEURE第十四條不可抗力Forthedurationofaforcemajeure,suchas,butnotlimitedto,warorthreatofwar,invasion,rebellion,riot,actsofgod,restraintsofgovernmentsorrules,orstrikes,lockouts,fire,flood,earthquake,therebydelayingtheperformanceofthiscontract,sellerand/orbuyershallbereleasedfromtheirrespectiveobligationtodeliveroracceptthedeliveryofSteamCoalhereunderwithoutliabilitytotheother.Theeventofforcemajeureshallbelegalizedbylocalauthority.對于不可抗力，包括但不限于，戰(zhàn)爭或戰(zhàn)爭、入侵、叛亂、暴亂的威脅，天災(zāi)，政府的限制或規(guī)定，或罷工，停工，火災(zāi)，水災(zāi)，地震，從而推遲了履行本合同，賣方及/或買方應(yīng)免除其各自關(guān)于交付或接受本協(xié)議下的蒸汽煤貨物的義務(wù)，雙方不承擔(dān)責(zé)任。不可抗力事件應(yīng)由地方當(dāng)局進(jìn)行合法化。Intheeventofforcemajeure,sellerandbuyershallco-operatetominimizetheadverseeffectofsuchforcemajeureoccurrencetotheextentpossible.因不可抗力，買賣雙方要進(jìn)行最大程度的合作使由于發(fā)生不可抗力而導(dǎo)致的不利影響減少到最低。Intheeventthatseller/buyercannotagreewithinonemonthofthecessationofaforcemajeurehavingoccurred,uponreschedulingofdeliveryofquantityofSteamCoalaffectedbysuchcaseofforcemajeure,eitherpartyshallhavetherighttocancelsuchquantityofSteamCoalwithoutliabilitytotheother.如果賣方/買方在發(fā)生了不可抗力停止的一個月內(nèi)未能達(dá)成共識，因不可抗力的影響，動力煤數(shù)量交付要重新安排，任何一方均有權(quán)取消蒸汽煤的數(shù)量而無需對另一方負(fù)責(zé)。Casesofforcemajeureshallbereportedassoonaspossiblebyfaxbytheeffectedpartytotheother,definingthecircumstancesexactlyandprecisely.Intheeventthateitherpartyexercisesthecancellationrightthecancellationshallbeeffectedonlybywrittennotice.如發(fā)生不可抗力，該方應(yīng)盡快用傳真通知另一方，并對情況進(jìn)行精確的定義。如果任何一方行使其取消權(quán)利，該類取消只能以書面的形式通知另一方方能有效。CLAUSE15ARBITRATION第十五條仲裁Alldisputesarisinginconnectionwiththepresentcontractshallbesettledinanamicablewayfirstly.Shouldthepartiesreachnoagreement,andthenthecaseshallbebroughtforfinalsettlementundertherulesofConciliationandArbitrationoftheInternationalChamberofCommerceinSINGAPORE,byoneormorearbitratorsappointedinaccordancewiththesaidRules.任何因現(xiàn)有合同所產(chǎn)生的糾紛，首先應(yīng)以友好和平方式解決。如雙方無法達(dá)成一致，則要按照國際商會駐新加坡仲裁庭的調(diào)解和仲裁規(guī)則，通過指定的一名或多名仲裁員，進(jìn)行最終解決。EachPartyshallappointoneArbitratorwhointurnwillappointathirdArbitrator.NothingintheagreementshallbeconstruedtopreventanyCourthavingjurisdictionfromissuinginjunctions,attachmentordersorordersforothersimilarreliefinaidofanyarbitrationcommencedbytheArbitrator(s)mayenteredinanyCourthavingjurisdictionhereof.每一方都應(yīng)指定一名仲裁員，然后由他依次制定第三名仲裁員。本協(xié)議的任何內(nèi)容均不得理解為妨礙任何法院行使司法權(quán)如頒發(fā)禁令、扣押令或者其他有助于仲裁者進(jìn)入法院進(jìn)行仲裁的規(guī)定。Neitherpartyshallfailtocomplyinatimelywaywiththeobligationsofthisparttobeperformedinpursuanttothiscontracteventhoughadisputemayhavebeenarisenandprecededintoarbitration.即使有一個糾紛出現(xiàn)并進(jìn)入了仲裁程序，任何一方都應(yīng)按照合同要求按時履行這一部分義務(wù)。Findingasassessedbyt
