英文借款合同

LoanAgreement

ThisLoanAgreement(“Agreement”),madeandeffectiveasof[Date],byandbetween[LenderName](“Lender”),locatedat[Address],and[BorrowerName](“Borrower”),locatedat[Address].

1.LoanAmount:LenderagreestoloanBorrowertheamountof[LoanAmount],inexchangeforBorrower’spromisetorepaytheloanaccordingtothetermsandconditionssetforthinthisAgreement.

2.Interest:Borrowerwillrepaytheloanoveraperiodof[LoanPeriod],with[InterestRate]%interestaccruingannually.

3.PaymentSchedule:Borrowershallmake[NumberofPayments]paymentsof[PaymentAmount]toLender,withthefirstpaymentdueon[DueDate].Ifanypaymentismorethan[NumberofDays]dayspastdue,Borrowerwillbechargedalatefeeof[LateFeeAmount].

4.Prepayment:Borrowermayprepaytheloaninfullorinpartatanytime,withoutpenalty.

5.Collateral:Borrowershallprovide[CollateralDescription]ascollateralforthisloan.IfBorrowerdefaultsonthisloan,Lendershallhavetherighttoseizeandsellthecollateraltosatisfytheoutstandingloanamount.

6.RepresentationsandWarranties:Borrowerrepresentsandwarrantsthat(a)BorrowerhastherighttoenterintothisAgreementandtopledgethecollateralassecurityfortheloan,(b)allinformationprovidedtoLenderisaccurateandcomplete,and(c)BorrowerwillusetheloanforthepurposesspecifiedinthisAgreement.

7.Default:BorrowershallbeindefaultunderthisAgreementif(a)Borrowerfailstomakeanypaymentwhendue,(b)BorrowerbreachesanyothertermorconditionofthisAgreement,(c)thecollaterallosesvalueorbecomesunsuitablefortheloan,or(d)acreditorplacesalienonthecollateral.

8.Remedies:IfBorrowerisindefault,Lendershallhavethefollowingremedies:(a)declaretheentireloanamountdueandpayableimmediately,(b)seizeandsellthecollateral,(c)pursueanyotherremedyavailableunderapplicablelaw.

9.Notice:AllnoticesunderthisAgreementshallbeinwritingandshallbedeliveredbycertifiedmailorpersonaldeliverytotheaddressspecifiedinthisAgreement.

10.GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[GoverningLawState].

11.EntireAgreement:ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallpriororcontemporaneousagreementsorrepresentations,writtenororal,relatingtothesubjectmatterofthisAgreement.

INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementasofthedatefirst
