蔬菜種植基地與酒店合作合同合同編號：__________vegetableplantingbaseandhotelcooperationcontractArticle1:ObjectofCooperation1.1Theplantingbaseshallprovidefreshandhighqualityvegetablestothehotelonaregularbasis,andthehotelshallpurchasevegetablesfromtheplantingbaseinaccordancewiththeagreedspecificationsandquantities.1.2Thehotelshallprovidetheplantingbasewithreasonableandtimelyfeedbackonthequalityofthevegetablespurchased,andtheplantingbaseshalltakenecessarymeasurestoimprovethequalityofthevegetables.Article2:CooperationTerms2.1Theplantingbaseguaranteesthatthevegetablessuppliedtothehotelshallmeetthefollowingrequirements:(1)Freshness:Thevegetablesshallbeharvestedwithin24hoursbeforedelivery,andshallbekeptcoolduringtransportation.(2)Quality:Thevegetablesshallmeettherelevantnationalstandardsandspecifications,andshallbefreefrompests,diseasesandchemicalpollution.(3)Quantity:Theplantingbaseshalldeliverthevegetablesinaccordancewiththeagreedspecificationsandquantities,andshallnotdeliverlessthantheagreedquantitywithouttheconsentofthehotel.2.2Thehotelshallpayforthevegetablespurchasedfromtheplantingbaseinaccordancewiththeagreedpricesandpaymentterms.2.3Theplantingbaseandthehotelshallworktogethertopromotetheimageofthehotel,andshallnotengageinanyactivitiesthataredetrimentaltothereputationofthehotel.Article3:DeliveryandInspection3.1Theplantingbaseshalldeliverthevegetablestothedesignatedplaceofthehotelwithintheagreedtime,andthehotelshallinspectthevegetablesuponreceipt.3.2Ifthehotelfindsanyqualityproblemswiththevegetables,itshallnotifytheplantingbaseinwritingwithin24hoursafterreceipt,andtheplantingbaseshalltakenecessarymeasurestodealwiththeproblemswithin48hours.3.3Theplantingbaseshallberesponsibleforthetransportationcostsofdeliveringthevegetablestothehotel,andthehotelshallberesponsibleforthetransportationcostsofreturningthevegetables.Article4:Confidentiality4.1Bothpartiesshallkeepthetermsofthiscontractconfidential,andshallnotdiscloseorpublishanyinformationrelatedtothiscontracttoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.4.2Theaboveconfidentialityobligationshallexpiresixmonthsaftertheexpirationorterminationofthiscontract.Article5:TermandTermination5.1Thiscontractshallbeeffectivefor____yearsfromtheeffectivedatehereof,andshallautomaticallyrenewforanadditional____yearsunlesseitherpartygiveswrittennoticeofterminationatleast____monthsbeforetheexpirationofthecurrentterm.5.2Eitherpartymayterminatethiscontractgivingwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermofthiscontractandfailstocuresuchbreachwithinareasonableperiodoftime.5.3Thiscontractmayalsobeterminatedmutualagreementofbothparties.Article6:DisputeResolution6.1Anydisputesarisingoutoforinconnectionwiththiscontractshallbefirstsettledthroughfriendlynegotiation.6.2Ifthenegotiationfailstosettlethedisputes,eitherpartymaysubmitthedisputestothe__________people'scourtforresolution.Article7:Miscellaneous7.1Thiscontractconstitutestheentireagreementbetweentheplantingbaseandthehotelwithrespecttothesubjectmatterhereof,andsupersedesallprioragreements,negotiationsandunderstandings,whetherwrittenororal.7.2Thiscontractmaybeamendedormodifiedonlyawritteninstrumentexecutedbothparties.7.3Thiscontractshallbeeffectiveuponthesigningofbothparties.Plantingbase:________________________Representative:________________________Date:________________________Hotel:________________________Representative:________________________Date:________________________一、附件列表：1.蔬菜質量標準2.運輸時間表3.付款通知書4.質量問題反饋表5.保密協(xié)議6.終止合同通知二、違約行為及認定：1.蔬菜供應不符合約定的新鮮度、質量或數(shù)量。2.未在約定時間內完成蔬菜交付。3.未經對方同意，泄露合同保密信息。4.未按照約定價格支付蔬菜款項。5.未履行合作推廣酒店形象的義務。6.任何一方未能履行合同中的其他實質性條款。三、法律名詞及解釋：1.蔬菜種植基地：指根據(jù)合同約定提供蔬菜的實體。2.酒店：指根據(jù)合同約定購買蔬菜的實體。3.合同履行：指合同雙方按照約定完成各自義務的行為。4.違約：指合同一方或雙方未能履行合同約定的義務。5.保密信息：指合同雙方未公開的、對雙方有利的商業(yè)信息。四、執(zhí)行中遇到的問題及解決辦法：1.蔬菜質量問題：發(fā)現(xiàn)質量問題應及時書面通知種植基地，種植基地應在規(guī)定時間內處理并答復。2.交付延誤：如遇交付延誤，酒店有權要求種植基地說明原因并采取補救措施。
