WHEREAS,

NOWTHEREFORE,inconsiderationofthepremisesandthemutualcovenantsandpromisescontainedherein,thepartiesagreeasfollows:

Article1-Objective

TheobjectiveofthisContractistosetforththetermsandconditionsunderwhichAshallprovidexxxtoB.

Article2-ScopeofWork

Ashallprovidexxx.Thescopeofworkincludesxxx.

Article3-TermsandConditions

3.1Duration

ThisContractshallcommenceonxxxandcontinueuntilxxx,unlessterminatedearlierinaccordancewiththisContract.

3.2PaymentTerms

Arepresentsandwarrantsthatithastheright,power,andauthoritytoenterintothisContractandperformitsobligationshereunder.

3.5Indemnification

Eachpartyagreestoindemnify,defend,andholdharmlesstheotherpartyfromanyandallclaims,damages,losses,liabilities,costs,andexpensesarisingoutoforinconnectionwiththisContract.

3.6GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofxxx.

3.7DisputeResolution

AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthrougharbitrationinaccordancewiththerulesofxxx.

Article4-Termination

EitherpartymayterminatethisContractbygivingxxxdays'writtennoticetotheotherparty.Upontermination,eachpartyshallceasetoperformfurtherobligationsunderthisContract.

Article5-EntireAgreement

ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallpriornegotiations,understandings,andagreementsbetweenthem.

Article6-Amendments

NoamendmentsormodificationstothisContractshallbevalidunlessmadeinwritingandsignedbybothparties.

Article7-Severability

IfanyprovisionofthisContractisfoundtobeinvalidorunenforceable,theremainingprovisionsshallcontinueinfullforceandeffect.

INWITNESSWHEREOF,thepartieshaveexecutedthisContractasofthedatefirstabovewritten.
