1、保密協(xié)議Confidentiality Agreement鑒【】有限公司（下稱“甲方”）與【】（下稱“乙方”）擬就【】（下稱“項(xiàng)目”）業(yè)務(wù)開(kāi)展合作為保障甲乙雙方商業(yè)秘密不受侵害，雙方達(dá)成如 下保密協(xié)議，以資共同遵守：Whereas【】 Co., Ltd (here in after referred to as Party A ”)s con sideri ng coop erat ing with J (here in after referred to as Party B”)“or【】(here in after referred to as “he Project”).Therefor

2、e, the P arties hereby en ter into this Con fide ntialAgreeme nt as follows for the purp ose of safeguardi ng the bus in ess secret of theP arties:、定義Article 1 : Defi nition1、信息披露方：在本協(xié)議中是指保密信息的提供方;Information Discloser: In this agreement, it means the Party who provide con fide ntial in formatio n t

3、o the other P arty.2、信息接受方：在本協(xié)議中是指保密信息的接收方。Information Receiver: In this agreement, it means the Party who receive con fide ntial in formatio n from the other Party.二、保密信息的組成Article 2: Compo sition of Confidential Information本協(xié)議所稱保密信息是指由信息披露方提供給信息接受方的任何與信息披 露方經(jīng)營(yíng)業(yè)務(wù)或行為有關(guān)的、信息披露方尚未公開(kāi)的信息，無(wú)論該信息采用何種 形式提供給信

4、息接受方，保密信息接受方或其工作人員均應(yīng)合理認(rèn)為其為保密信 息。Con fide ntial In formatio n referred in this Agreeme nt means any in formatio n pro vided by in formatio n discloser to the in formatio n receiver which is related to the bus in ess or activity of the in formatio n discloser or any in formatio n that has n ot bee n p

5、 ublicized by the in formatio n discloser. The in formatio n receiver or the personnel of the in formatio n receiver shall reas on ably deem such in formatio n as con fide ntial information disregarding the form in which such information is provided to the information receiver.三、例外Article 3 Exceptio

6、n保密信息不包括以下內(nèi)容：Confidential Information shall exclude the following information:1、在信息披露方將信息提供給信息接受方之前， 信息接受方已知道的信息；Any information which has been known by the information receiver prior to the provision of said information by the information discloser to the information receiver;2、信息接受方?jīng)]有違反本協(xié)議的情況下， 已被

7、公眾知曉或廣泛使用的信息；the information already known or used by the public without the receiver breaching this Agreement;3、信息接受方從第三方處正當(dāng)獲得或接收到的不受保密限制的信息；the information not limited by the confidentiality requirement which the receiver obtains or receives legally from the third party4、沒(méi)有違背協(xié)議的情況下信息接受方獨(dú)立研發(fā)獲得的信息；t

8、he information that the receiver independently develops without violating theAgreement;四、保密義務(wù)Article 4 Confidential Obligation:1. 雙方及其工作人員應(yīng)對(duì)上述所有保密信息進(jìn)行嚴(yán)格保密；The Parties and the personnel of the Parties shall keep the above-mentioned information strictly confidential;2. 信息接受方應(yīng)只允許那些有必要了解保密信息并且被告知且同意遵守保

9、密義務(wù)的職員和專業(yè)顧問(wèn)獲得保密信息；The information receiver shall only allow the obtaining of the ConfidentialInformation by the employer and professional adviser who has the necessity to know the Confidential Information and has been notified and agreed to abide by the confidential obligation;3. 非經(jīng)披露方書(shū)面同意， 信息接受方不能向

10、任何第三方公開(kāi)、 復(fù)制、銷售、出租、出借、轉(zhuǎn)讓、傳播、泄露或透露保密信息。信息接受方一旦發(fā)生丟失、被盜、燒毀等會(huì)引起保密信息泄露或銷毀的行為和事故，應(yīng)承擔(dān)全部責(zé)任；Unless with the written consent of the information discloser, the information receiver cannot publish, copy, sell, rent, transfer, promulgate, let out, disclose or reveal the confidential information. If information re

11、ceiver encounters loss, theft, damage or any action or accident that may cause the confidential information revealed or damaged, the information receiver shall take all responsibilities;4. 在本協(xié)議終止后，雙方仍需遵守本協(xié)議之保密條款，履行其所承諾的保 密義務(wù)，直到信息披露方同意其解除此項(xiàng)義務(wù)， 或事實(shí)上不會(huì)因信息接受方違反 本協(xié)議的保密條款而給信息披露方造成任何形式的損害時(shí)為止。After this Agr

12、eement terminates, the Parties shall continue to abide by the confidentiality articles of this Agreement and shall perform the confidentiality obligation which the Parties have promised, until the information discloser agrees to release the information receiver from such obligation, or in fact the d

13、efault of the information receiver will not bring any damage in any form to the information discloser.五、公開(kāi)要求Article 5 Requirement of publication在司法或政府部門(mén)指令、 要求或命令信息接受方公開(kāi)保密信息的情況下， 信 息接受方可以向上述部門(mén)披露保密信息。 但是，在法律允許的情況下， 信息接受 方在披露保密信息前必須采取合理的措施通知信息披露方以便對(duì)該指令、 要求或 命令進(jìn)行抗辯。Under the circumstances of judicial or

14、 governmental organsinstruction, requirement or order which requires information receiver to reveal the confidential information, information receiver can disclose confidential information to the abovementioned organs, however, information receiver shall adopt reasonable measures to notify the infor

15、mation discloser to the extent as allowed by law prior to the disclosure of the Confidential Information so that the information discloser can defend such instructions, requirements or orders.六、信息歸還與銷毀Article 6 Return and Destroy of the Information雙方同意，發(fā)生下列情形之一：1.當(dāng)信息接受方不再需要保密信息用于該工作目的時(shí)； and to be li

16、able for said breach until the information receiver has completely rectify such breach and has eliminated any influence. If the breach by the information receiver has brought damagesto the information discloser, the information receiver shall compensate the information discloser, compensation amount

17、 shall be defined in accordance with the loss sustained by the information discloser or the profit gained by the information receiver.2.3.4.雙方未能就本項(xiàng)目達(dá)成正式的合作協(xié)議時(shí)；雙方就本項(xiàng)目簽訂的正式合作協(xié)議履行完畢； 任何時(shí)候收到信息披露方書(shū)面形式做出要求時(shí)；信息披露方原有保密信息發(fā)生變更時(shí)； 信息接受方應(yīng)立即將所有保密信息按信息披露方要求歸還給信息披露方， 予以銷毀所有信息。5.The Parties agree, under any of the f

18、ollowing situation, information receivershall immediately return all confidential information to the information discloser inaccordance with the requirements of the information discloser, or destroy allinformation:1.that the information receiver doesnt need the confidential information forwork;2.tha

19、t both parties do not reach cooperation agreement in respect to theProject ;3.that the agreement signed by the parties in respect to the Project have beenfully performed and completed;4.that the information receiver receives the requirements from informationdiscloser in writing at any time;5.Changes

20、 occurring to the original confidential information of the informationdiscloser.七、違約責(zé)任和索賠Article 7 Breaching Liability and Compensation 信息接受方違反本協(xié)議規(guī)定時(shí)， 信息披露方有權(quán)要求信息接受方限期進(jìn)行糾 正，并追究其違約責(zé)任，直至信息接受方完全改正錯(cuò)誤，消除影響為止。如信息接受方的違約行為造成信息披露方損害的還應(yīng)另行賠償損失， 賠償數(shù)額按信息披露方因信息接受方的違約所受到的損失或者信息接受方因違約所獲得的利益確定。If the information rec

21、eiver breachesthis Agreement, the information disclosershall be entitled to require the information discloser to rectify within certain period八、適用法律Article 8 Applicable Law本協(xié)議受中華人民共和國(guó)的法律管轄并且必須根據(jù)中華人民共和國(guó)的法律 訂立。This Agreement is governed by and made in accordancewith the laws of the People s Republic o

22、f China.九、爭(zhēng)議管轄Article 9 Dispute Resolution 因履行本協(xié)議發(fā)生爭(zhēng)議， 雙方應(yīng)當(dāng)友好協(xié)商解決， 協(xié)商不成， 任一方有權(quán)向 甲方住所地有管轄權(quán)的人民法院提起訴訟。The Parties shall settle any dispute arising from the performance of thisAgreement, and any Party shall be entitled to bring lawsuit against the other Party in the competent court located in the place

23、where Party B resides provided that such dispute can be settled through friendly negotiation.十、期限Article 11 Period本協(xié)議自雙方簽字蓋章之日起生效并長(zhǎng)期有效。 本協(xié)議一式二份， 雙方各執(zhí) 一份，具有同等法律效力。This Agreement shall take effect since the date when the Parties sign or seal. ThisAgreement is made in duplicate with each copy being of

24、the same effect and eachParty shall retain one copy. 十一、其他Article 11 Miscellaneous1. 本協(xié)議的簽署并不能視為雙方對(duì)達(dá)成正式合作協(xié)議的承諾，如雙方就本項(xiàng)目最終簽署正式的合作協(xié)議，本協(xié)議成為正式合作協(xié)議的組成部分與正式合作 協(xié)議具有同等法律效力，本協(xié)議與正式合作協(xié)議約定不一致的以正式合作協(xié)議為準(zhǔn)；如雙方最終未能就本項(xiàng)目簽署正式的合作協(xié)議， 雙方應(yīng)按照本協(xié)議第六條的 約定履行義務(wù)，并對(duì)保密信息承擔(dān)永久的保密責(zé)任。Neither this Agreeme nt nor the supply of any in formati on shall be deemed to bethe guara nte
