3、:貨物應(yīng)裝在適宜長(zhǎng)途運(yùn)輸并且能適應(yīng)氣候變化、防濕、防震、防銹的紙箱(木箱)中。由于包裝不良所引起的任何損失，或由于采用不充分或不妥善的防護(hù)措施而造成的任何銹損，賣方都應(yīng)承擔(dān)一切損失和相關(guān)費(fèi)用。包裝箱內(nèi)應(yīng)放置一整套操作指南。Packing: To be packed in carton(s) or wooden case, Suitable for long distanee transportation and to change of climate, well protected against moisture and shocks. 11、n this Con tract.13. 檢驗(yàn)和索賠 In spection And Claims:在交貨以前，制造廠應(yīng)就訂貨的質(zhì)量、規(guī)格、性能、數(shù)量/重量做出準(zhǔn)確和全面的檢驗(yàn)，并出具貨物和本合同規(guī)定相符的證明書(shū)。The manu factures shall before making delivery, make a precise and comprehe nsive in spect ion of goods as regards their quality, specificati ons, performa nce and qua ntity/weight, and issue c

12、ertificates certify ing that the goods are in con formity with the stipulati ons of this Con tract. The certificates shall form an in tegral part of the documents to be presented to the paying bank for negotiation /collection of payment but shall not be con sidered as final in respect of quality, sp

13、ecificati ons, performa nce and qua ntity/weight. Particulars and results of the test carried out by the manufacturers must be shown in a statement to be attached to the said Quality Certificate.14. 不可抗力：無(wú)論在商品制造或裝運(yùn)或轉(zhuǎn)運(yùn)期間，如有不可抗力事件發(fā)生，賣方將不對(duì)由此而導(dǎo)致的逾期或不能交貨負(fù)責(zé)。但此時(shí)，賣方應(yīng)立即將不可抗力事件通知買方，并于通知后十四天內(nèi)以傳真方式向買方提供一份由不可抗力事

14、件發(fā)生地權(quán)威機(jī)構(gòu)出具的不可抗力事件證明。賣方不能取得出口許可證不得作為不可抗力。在這種情況下，賣方仍有義務(wù)竭盡全力盡快交貨。如不可抗力事件持續(xù)超過(guò)十周，買方有權(quán)撤銷合同，買方在銀行所支付的費(fèi)用由賣方承擔(dān).Force Majeure: The Sellers shall not be hold responsible for the delay in shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or the cou

15、rse of loading or tran sit. The Sellers shall advice Buyers immediately of the occurre nce men ti oned above and within fourtee n days thereafter, the Sellers should send by airmail to the Buyers for their acceptance a certificate of the accide nt issued by the Compete nt Government Authorities wher

16、e the accide nt occurs as evide nce thereof. Seller inability in obtaining export license shall not be considered as Force Majeure. Under such circumsta nces the Sellers, however, are still un der the obligati on to take all n ecessary measures to haste n the delivery of the goods. In case the accid

17、e nt lasts for more tha n 10 weeks, the Buyers shall have right to cancel the Con tract, the sellers bear the expe nses which paid to the bank by the buyers.15. 遲交和罰款：如延遲交貨除人力不可抗事故者外，賣方應(yīng)付給買方每一星期按遲交貨總值的0.5%的遲交罰款，不足一星期的遲交日作為一星期計(jì)算，此項(xiàng)罰款總額不超過(guò)全部遲交貨物總值的5%，在議付貨款時(shí)由銀行代為扣除，或由買方在付款時(shí)進(jìn)行扣除。如果賣方交貨延期超過(guò)合同規(guī)定的10個(gè)星期時(shí)，買方

18、有權(quán)取消合同.盡管取消了合同，但賣方仍須立即向買方交付上述規(guī)定罰款.Late Delivery And Pen alty:In case of delayed delivery, except for force majeure cases, The Sellers shallpay to the Buyers for every week of delay a pen alty amoun ti ng to 0.5% of the total value of the goods whose delivery has bee n delayed. Any fractional part of

19、 a week is to be con sidered a full week. The total amount of penalty shall not, however, exceed 5% of the total valueof the goods involvedin late delivery andis to bededucted from the amount due to the Sellers by the paying bank at the time of negotiation, or by the Buyers direct at the time of pay

20、me nt. The buyers can can cel the con tract if the sellers delivery date is delayed upweeks accord ing to the con tract, but the sellers still must offer the above pen alty to the buyers without con diti ons.16. 仲 裁：一切因執(zhí)行本合同或與本合同有關(guān)的爭(zhēng)執(zhí)，應(yīng)由雙方友好協(xié)商解決。如經(jīng)協(xié)商仍未能達(dá)成協(xié)議，則應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)裁決。按照申請(qǐng)仲裁時(shí)該會(huì)現(xiàn)行有效的仲裁規(guī)則，由申訴

21、一方選擇該會(huì)由該會(huì)上海分會(huì)在上海進(jìn)行仲裁。仲裁委員會(huì)的裁決為終局裁決，對(duì)雙方均有約束力。仲裁費(fèi)用除仲裁委另有決定外，應(yīng)由敗訴一方負(fù)擔(dān)。Arbitrati on: All disputes in connection with this Con tract or the executi on thereof shall be settled frien dly through negotiations.
