3、范圍：scope of service1.1 甲方托付乙方辦理供給鏈設(shè)計與優(yōu)化、國際貨運、代理報關(guān)、倉儲和內(nèi)陸運輸?shù)葮I(yè)務(wù)。乙方需按本合同之商定供應(yīng)效勞，并依據(jù)甲方之指令，隨時調(diào)整效勞內(nèi)容。party b hereby provides supply chain design and optimization, international shipment, customs clearance, warehouse storage and inland transportation business etc. party b agrees to offer the above service i

4、n flexible way.1.1.1 甲乙雙方必需嚴(yán)格遵守由雙方共同制定以及在執(zhí)行過程中隨時經(jīng)雙方共同修改的效勞流程、質(zhì)量考核指標(biāo)。雙方每月對效勞流程和質(zhì)量考核指標(biāo)進(jìn)展評估和修改，經(jīng)雙方確認(rèn)后，由乙方執(zhí)行。party a and party b must follow the service process and quality performance index. evaluation base on monthly performance needed. party b should follow the changes.1.1.2 甲乙雙方至少每月對業(yè)務(wù)進(jìn)展回憶，雙方有義務(wù)相互溝通

5、行業(yè)信息，諸如政策、法規(guī)的改變等等。乙方有義務(wù)不定期向甲方提出可行性建議和業(yè)務(wù)流程改良方案等。party a and party b will review the business each month, in order the sharing the information such as policy, regulation and so on. party b should carry out the new processes and improvement advice.2. 價格price2.1 甲方在貨物出運前可向乙方進(jìn)展詢價，乙方收到詢價后應(yīng)準(zhǔn)時以書面形式報價給甲方，甲方一

6、旦承受，應(yīng)對該報價書面確認(rèn)包括但不限于以傳真、郵寄、電子郵件等書面方式確認(rèn)。如甲方與乙方已在本合同或者合同附件中商定一個固定費率/價格，那么按該規(guī)定費率/價格來計算相關(guān)費用。party a may inquire about price and information before confirming the transportation, and party b shall provide the corresponding offer to party a in written form. party a shall confirm acceptance of such offer in

7、 written form (including but not limited to fax, post and email) unless both parties agree to pay the freight charge and other charges relating to transportation on a fixed rate and/or price.3. 支付payment3.1 乙方于每月25日之前依據(jù)上個月21日至當(dāng)月20日為甲方供應(yīng)的效勞向甲方開具賬單。甲方在收到該帳單后五個工作日內(nèi)應(yīng)對發(fā)票上的應(yīng)付款項金額進(jìn)展核實確認(rèn)。在確認(rèn)無誤后，甲方保證在乙方開票之日起

8、一個月內(nèi)付清發(fā)票上的應(yīng)付款項金額。on or before the 25th of each month, party b shall issue an invoice attached with the service bill for logistics service rendered to party a based on the volume of cargo transported in the previous month. party a shall check the invoice and confirm the amount payable within five (5)

12、rty b should provide written notice and get party as confirmation.4. 保險insurance4.1 甲方應(yīng)當(dāng)就其托付乙方供應(yīng)倉儲和運輸?shù)呢浳镔徶孟嚓P(guān)保險，或者甲方也可以選擇乙方的保價效勞，對于用法保價條款，并根據(jù)費率支付倉儲保價效勞費和運輸保價效勞費時，假如貨物在倉儲和運輸期間發(fā)生滅失或損壞，將由乙方負(fù)責(zé)向甲方理賠。party b should provide related insurance for the cargos which are in storage and transported by party a. pa

13、rty a may choose the full-value insurance service party b provides, under which party a should cover all insurance expense for any loss or damage during delivering and in storage.5. 權(quán)利right5.1 甲方對存放于乙方倉庫的貨物享有全部權(quán)，未經(jīng)甲方書面受權(quán)同意，乙方無權(quán)在倉儲期間對貨物作任何本合同外的處置。party a has the ownership of the goods stored in party
