RECITALS鑒于甲方愿意錄用乙方,乙方愿意到甲方工作,按照中華人民共和國勞動法、中華人民共 和國勞動合同法和上海市勞動和同條例等我國國家和地方政府的有關(guān)法律法規(guī)和行政規(guī)章, 以及甲方制定的各項規(guī)章制度,本著平等、自愿的原則,經(jīng)甲、乙雙方協(xié)商一致,特簽訂本勞動 合同(以下簡稱“本合同”)。WHEREAS, Party A intends to employ Party B and Party B intends to work for Party A,In accordanee with Labour Law of the Peop
3、le ' s Republic of China. Law of the People ' s Republic of Chi na on Employme nt Con tracts, Shan ghai Regulati ons on Employme nt Con tracts and China' s national and local laws, regulations and administrative rules and Party A' s regulati ons and rules, and through n egotiati on b
4、ased on equality and free will, thetwo parties agree to con clude this Employme nt Agreeme nt (here in afterreferred to as thisAgreeme nt) un der the follow ing terms and con diti ons:、合同條款 3. Terms and Conditions第一條(合同類型與期限)Article 1 Type and Validity Term of Agreeme nt(一)本合同為有無從年月用期為個月,自至年月固定期限的勞動

6、Party B shall, after execution of this Agreement, work at the designated position on or before the date of ().第二條(工作內(nèi)容和工作地點)Article 2 Description of Work and Work Site(一) 根據(jù)甲方需要,乙方在部門從事崗位工作,乙方到崗后應(yīng)服從所屬部門或上級主管的工作安排。2.1 On the basis of Party A ' s requirements. Party B is to work at the position of
7、()in the divisionof (); Party B shall be subject to thework arrangement madeby the division he or she works in or the director at higher level.(二)乙方應(yīng)履行甲方制定的崗位職責(zé),按時、按質(zhì)、按量完成其本職工作。2.2 Party B shall perform his or her work duties provided by Party A, and shall complete his or her work task in accordanee
8、 with the provisions in terms of time limit, qualityand workload.(三)乙方承諾,愿服從甲方根據(jù)工作需要、乙方工作能力及其表現(xiàn)而安排或調(diào)動的工作崗位。 并同意在下列情況下本合同不作變更處理。2.3 Party undertakes to accept the arrangement or change of work madeby Party A in light of Party A ' s work requirements and Party B ' s working ability and perform
9、anee; PartyB agrees that this Agreement may not be altered under any of the following circumstances:1、乙方的工作地點由所在部門安排。今后因工作需要乙方在甲方所在本市的全部經(jīng)營辦公場所及 附屬場所(包括公司自有產(chǎn)權(quán)的物業(yè)或租賃的物業(yè),)之間調(diào)整時。1. Party B ' s working site is to be arranged by the division he or she works in; PartyA is to cha nge Party B' s work
10、i ng site within all its bus in ess offices and attached sites in the city where Party A is domiciled (including Party A' s own property or other premises leased by Party A), on the basis of Party A' s working requirement;2、甲方因工作需要,臨時指派乙方到境內(nèi)外短期出差地點工作的。2. Party A assig ns Party B to work at h
11、ome or abroad on bus in ess travel for a short term on the basis of Party A ' s working requirement.3、甲方因工作需要,安排乙方臨時外借到其它部門或其它他單位工作的。3. In response to working requirement, Party A temporarily assigns Party B to work at other divisions of Party A or other entities.(四)因工作需要,乙方被指派到外省市或境外企業(yè)或機構(gòu)長期工作的,
12、協(xié)商一致后,本合同作 變更處理。2.4 Where, in response to working requirement, Party A assigns Party B to work inenterprises or organizationslocated in other provinces or municipalitiesor abroad forlong period, this Agreeme nt may be altered on the basis of mutual consent through n egotiati on.第三條(工作時間和休息休假) Articl
13、e 3 Working Hours and Holiday(一)乙方的崗位實行全日制標(biāo)準(zhǔn)工時工作制度,甲方安排乙方每日工作時間不超過 8 小時,每 周工作五天。3.1 Party B is to work under the full-time standard working time system: Party A mayrequire Party B to work for no more than 8 hours every day and for five days every week.(二)甲方由于工作需要,經(jīng)與乙方協(xié)商后可以延長工作時間,一般每日不超過1 小時,因特殊原因需要延
14、長工作時間的,在保障乙方身體健康的前提下工作時間不得超過3 小時,每月不得超過 36 小時。3.2 If necessary for work, Party A may, on the basis of negotiation with Party B, extend Party B's working hours for no more than one hour every day generally; where it is necessary to extend working hours under special circumstances, such extension
15、of working hours may not exceed three hours every day on the premise of being no harmful to Party B' s health, and no more than a total of 36 hours every month.三)乙方有享受國家規(guī)定的各類休息休假的權(quán)利,具體按甲方的職工工作時間及休息休假管 理辦法執(zhí)行3.3 Party B is entitled to all the holidays and leaves provided by the State, to whichthe
16、Implementation Rules for Employees Working Hours and Holidays formulated by Party A shall apply.(四)如遇國家或本市政府有關(guān)部門調(diào)整工作時間和休息、休假時間,或甲方在特殊季節(jié)臨時調(diào) 整休息、休假時間的,不作本合同變更處理。3.4 Where the State or the relevant authorities of this local municipality readjusts the provisions on working hours, holidaysor leaves, or P
17、arty A readjusts the provisions onholidays or leaves, this Agreement may not be deemed as being altered.第四條(勞動報酬) Article 4 Remuneration(一)乙方的勞動報酬包括每月發(fā)放的固定工資和以及相關(guān)的津貼補貼、每季度考核發(fā)放的績效 工資等部分組成,按照甲方薪酬管理規(guī)定執(zhí)行。合同簽訂后甲方發(fā)給職工薪酬告知書,具體 明確薪酬類別和標(biāo)準(zhǔn)。職工薪酬告知書作為本合同的附件,與本合同具有同等法律效力。4.1 The remuneration for Party B includes
18、 fixed monthly salary, allowance, quarterly performance-based wage and the like, and the remuneration is to be paid in accordance with Party A 's regulations on remuneration. After execution hereof, Party A is to send Party B a Notification of Employee' s Remuneration, which specifies the ty
19、pe and standard of the remuneration; such Notification constitutes an annex to this Agreement and have the same legal binging force as this Agreement.(二)在履行本合同期間的日常操作中,甲方依照職工薪酬告知書中約定的薪酬標(biāo)準(zhǔn)作以下 扣除處理的,本合同不作變更處理。4.2 If, in the course of the performance of this Agreement, Party A deducts any paymentof the
20、 remuneration in accordance with the Notification of Employee's Remuneration, this Agreement may not be deemed as being altered.1、由公司代扣代繳的個人所得稅。2、由職工個人承擔(dān)的社會保險費、住房公積金、企業(yè)年金的扣款。3、因職工違反公司規(guī)章制度所發(fā)生違約金、賠償?shù)瓤劭睢?、因職工發(fā)生事假等非帶薪假期所作的扣款。5、因法院對職工涉案判決所指定公司執(zhí)行的扣款。6、其它符合法律及公司制度而發(fā)生的扣款。1. Individual income taxes withh
21、eld and paid by Party A on behalf;2. The part of social insurance premium, housing accumulation funds, enterprise annuity to be borne by Party B;3. Penalty, compensation and the like arising from Party B' s breach of Party A 'sregulations or rules;4. Deduction of remuneration made by Party A
22、 owing to private affair leave and leaves taken by Party B other than leaves with payment;5. Deduction of remuneration made by Party A under the order of court on the basis of the judgement of case concerning Party B;6. Deduction of remuneration in compliance with laws or Party A's regulation sy
23、stem.(三)在本合同期間,甲方因調(diào)增職工薪酬標(biāo)準(zhǔn)的,本合同不作變更處理。4.3 If, during the validity term of this Agreement, Party A increases the remuneration for employees, this Agreement may not be deemed as being altered.(四)甲方每月 5 日以貨幣形式通過銀行轉(zhuǎn)賬到乙方個人帳戶的辦法支付乙方工資,包括崗位工 資、工齡工資及按月發(fā)放的相關(guān)補貼。乙方同意屬于乙方可得的績效工資、補貼津貼等按甲方薪 酬管理規(guī)定的日期和形式發(fā)放,屆時甲方以電子郵
24、件等形式通知乙方。4.4 Party A shall, on the fifth day of each and every month, pay Party B remuneration by transferring the currency to Party B's account through bank, including post-basedwage, working age-based wage and relevant allowance to be paid on a monthly basis. Party B agrees that all the perfor
25、mance-based wage, allowance and the like may be paid on the date and by the means provided by Party A with respect to remuneration, and Party A is to notify Party B by means of email of the payment thereafter.(五)若乙方提供了正常勞動,甲方支付給乙方的工資報酬不得低于本市政府規(guī)定的最低工資標(biāo) 準(zhǔn)。4.5 The remuneration paid by Party A to Party
26、B may not be less than the minimum level provided by the local municipal government, provided that Party B provides normal work for Party A.(六)甲方每月向乙方發(fā)放上月工資清單。該清單屬于保密范圍,應(yīng)妥善保管,不得泄露給本人 家庭成員以外的任何第三人、員工之間不得相互打探,如有疑義可以向甲方人力資源部咨詢。4.6 Party A shall, on a monthly basis, send Party B remuneration list for th
27、e last month; such remuneration list must be treated as confidential information and kept properly, and such list may not be disclosed to any third parties other than the family members of Party B; employees maynot enquire of one another about the remuneration; in the event of any objection, Party B
28、 may consult Party A' s human resource department.第五條(社會保險及其它) Article 5 Social Insurance and Other Matters(一)甲方按照國家和上海市的有關(guān)規(guī)定,為乙方交納社會保險和住房公積金。5.1 Party A shall pay social insurance premiumand housing accumulation funds forPartyB in accordance with the relevant regulations of the State and Shangh
29、ai municipality.(二)乙方原意按照國家和上海市的有關(guān)規(guī)定,由個人承擔(dān)的社會保險、住房公積金部分由甲方 在工資中代扣代繳。5.2 Party B agrees that Party A may, from the remuneration payable to Party B, withhold the part of social insurance premium and public remuneration fund to be borne by Party B and Party A may pay such withheld part on behalf, in ac
30、cordance with the relevant regulations of the State and Shanghai municipality.(三)乙方因病或非因工負(fù)傷期間,享有上海市規(guī)定的醫(yī)療期和疾病休假待遇。5.3 If Party B suffers sickness or non-work-related injury, Party B is entitled to medical treatment period and sick leave treatment provided by Shanghai municipality.(四)符合計劃生育政策的乙方(女職工)享
31、有本市規(guī)定的產(chǎn)假和其它特殊待遇,事前乙方須提 出申請,經(jīng)甲方(但不限于甲方,如果需要政府有關(guān)機構(gòu)審核批準(zhǔn)的)核準(zhǔn)后執(zhí)行。5.4 Party B (if Party B is a female employee) is entitled to maternity leave and other special treatment provided by this local municipality, provided that she must be in compliance with the State 's family planning policy and Party B s
32、hall submit an application to Party A (if the approval of the government is necessary, Party B shall submit such application to competent authorities) for approval in advance.(五)乙方享有甲方按國家或本市政府及甲方的規(guī)定設(shè)定的福利待遇,具體按甲方的有關(guān)辦法執(zhí) 行。5.5 Party B is entitled to the welfare provided by Party A in accordance with th
33、e relevant provisions madeby the State, the local municipal government or Party A; Party A's relevant implementation rules shall apply to the welfare.(六)如遇國家或本市政府調(diào)整社會保險、住房公積金的政策,甲方相應(yīng)調(diào)整乙方的社會保險、 住房公積金的,本合同不作變更處理。5.6 If, in the event of the readjustment madeby the State or local municipal governmen
34、t of the policy on social insurance or housing accumulation fund, Party A readjusts the social insurance and housing accumulation fund for Party B accordingly, this Agreement may not be deemed as being altered.第六條(勞動保護、 勞動條件和職業(yè)危害防護) Article 6 Labor Protection, Working Condition and Prevention agains
35、t Occupational Hazard(一)乙方享有甲方提供的相應(yīng)的勞動保護和勞動條件。(二)乙方享有甲方執(zhí)行的國家勞動標(biāo)準(zhǔn)提供的職業(yè)危害防護條件。6.1 Party B is entitled to the corresponding labor protection and working condition by provided by Party A.6.2 Party A shall provide Party B with preventing conditions against occupational hazard in accordance with the State
36、's labor standard.第七條 (勞動紀(jì)律和規(guī)章制度) Article 7 Labor Discipline and Regulations and Rules(一)甲方應(yīng)根據(jù)國家有關(guān)法律、法規(guī),依法制定各項規(guī)章制度。(二)乙方應(yīng)誠實守信,自覺遵守國家的法律、法規(guī)和社會公德、職業(yè)道德, 自覺維護甲方的聲譽和利益,保守甲方秘密。(三)甲方有權(quán)根據(jù)乙方的表現(xiàn)或行為,依據(jù)國家的法律、法規(guī)、行政規(guī)章和甲方的規(guī)章制度, 給予乙方相應(yīng)的獎勵或處理。其中:1、乙方如發(fā)生符合甲方職工獎勵辦法規(guī)定的積極行為的,甲方可以按照職工獎勵辦法給 與乙方獎勵;2、乙方如發(fā)生違反甲方規(guī)章制度的消極行為的
37、,甲方有權(quán)按職工違規(guī)處理辦法給與處理。7.1 Party A shall formulate various regulations and rules in accordance with the State ' s laws and regulations.7.2 Party B shall deport himself with sincerity and good faith, abide by the State' slaws and regulations and social ethics and professional ethics, maintain Par
38、ty A'sreputation and interests initiatively and keep secret Party A's confidential information.7.3 Party A may award or treat Party B as follows in the light of Party B' s performance and acts and in accordance with the State 's laws, regulations and administrative rules and Party A
39、's regulations and rules.1) If Party B has any positive actions deserving award as provided in Party A's Rulesof Awarding Employees, Party A mayaward Party B in accordance with the Rules of Awarding Employees.2) If Party B has committed any actions in breach of Party A's regulations or r
40、ules,Party A may treat him or her in accordance with the Rules for Treatment of Employees in Breach of Regulations.第八條(教育與培訓(xùn)) Article 8 Education and Training(一)甲方可以根據(jù)工作需要不定期地對乙方進行所必須的教育與培訓(xùn)。(二)乙方應(yīng)參加甲方的各項教育與培訓(xùn)安排。(三)凡由甲方出資培訓(xùn)乙方,雙方另行簽訂培訓(xùn) / 教育協(xié)議,因乙方原因而提前解除勞動合 同,乙方應(yīng)賠償甲方的培訓(xùn)等費用,具體賠償標(biāo)準(zhǔn)執(zhí)行培訓(xùn) / 教育協(xié)議的約定。8.1 Part
41、y A may educate or train Party B irregularly when necessary in the light of the working requirements.8.2 Party B shall participate in all the education and training courses arranged by Party A.8.3 WhereParty A invests in training of Party B, the two parties shall conclude agreement for education/tra
42、ining separately; if this Employment Agreement is terminated earlier than originally stipulated for reasons attributable to Party B, Party B shall compensate Party A the training fee in accordance with the stipulations in such agreement for education/training.第九條(保密約定) Article 9 Confidentiality(一)雙方
43、簽訂本合同后,乙方應(yīng)遵守甲方保密條例,不得泄露甲方秘密,不得在合同期內(nèi) 再受聘其他任何單位從事與甲方相同或類似或有競爭沖突的業(yè)務(wù)。不得引誘甲方的其他在職職工 離職。9.1 Party B shall, after signing of this Agreement, observe Party A's ConfidentialityRules, and maynot disclose any of Party A's confidential information; during the validity term hereof, Party B may not engage in any business similar with or in competition with Party A 's business for any other employer
