4、 of thePeople ' s Republic of China, the PARTIES have concluded the following labour cor(hereinfier referred to as the“ CONTRACT )合同雙方依照中華人民共和國勞動法?以及中華人民共和國其它相關法律法規(guī),共同約定以下勞動合同(以下簡稱 本合同.)ARTICLE 1: POSITION & TASKS OF WORK第一條:職務及工作責任1.1. The EMPLOYEE will have the following position:該員工將擔任以下職

If necessary due to the management organisation of the COMPANY and or thecompetence and abilities of the EMPLOYEE the COMPANY may adjust the position, duties and responsibilities of the EMPLOYEE.假設由于本公司治理編制的需要及/或由于該員工本人資格與水平的原 因,本公司可在必要的情況下對該員工的職務和工作責任進行適當 調整ARTICLE 2: TRIAL PERIOD第二條:試用期2.1
6、The trial period will start on the date of signature of this CONTRACT. The durationof the trial period is three (3) montBuring the trial period the EMPLOYEE will be bound by all articles of this contract.試用期白本合同簽署之日起開始,時間為三個月.在試用期間,該 員工受本合同全部條款所約束2.2 After the specified trial period and if no notice
7、 of termination is given theEMPLOYEE automatically becomes employed under the terms and conditions of this CONTRACT.在約定的試用期內,假設該員工沒有收到關于解除勞動關系的通知, 在試用期滿后,該員工白動轉為本公司正式員工,執(zhí)行本合同規(guī)定 的條款.ARTICLE 3: DURATION OF THE CONTRACT第三條:合同期限3.1 The duration of this CONTRACT is twenty-foumOTths.本合同期限為27個月.3.2 This CO
8、NTRACT maybe extended upon agreement of both PARTIES. An extension to this CONTRACT shall come into force only after a written agreement has been signed by both PARTIES.本合同經合同雙方同意后可以續(xù)簽.只有在合同雙方簽署書面協(xié)議 后,續(xù)簽的合同方能生效.ARTICLE 4: SALARY第四條:工資4.1 The COMPANY shall define its own salary policy in accordance w
9、ith regulations stipulated by the state and municipal government. The COMPANY shall ensure that the monthly salary of the EMPLOYEE is not less than the minimum pay standard set by the local government.區(qū)公司將依照中華人民共和國和北京市有關政策法規(guī)制定本公司的員 工工資標準.本公司保證該員工的月工資將不低于當地政府規(guī)定的最 低工資.4.2 The EMPLOYEE will receive a g
10、rosm onthly.口 annual salary of 3,000.00 renminbi (RMB3,000.00) and increase thereafter the basis of the staff performance, the economic development of the COMPANY and according to the salary policy of the COMPANY approved by the Board of Directors of the COMPANY, and etc.該員工稅前工資將為/每月或口每年參仟元人民幣,今后將根據
11、該 員工的工作表現、本公司的經濟效益以及由本公司制定并經董事會批 準的工資標準每年遞增.*Co., Ltd4.3 Such salary shall be transferred to the bank account designated by the EMPLOYEE between the third and fifth day of each month.上述工資將于每月3號至5號期間匯入該員工所指定的銀行賬戶.ARTICLE 5PREMIUM & BONUS第五條:獎金及分紅5.1 At the full discretion of the Chairman and base
12、d upon his/her general attitude and the result of his/her work and fulfilment of his/her objectives detailed with his/her manager and at the beginning of each calendar year the EMPLOYEE will be entitled to an annual bonus not exceeding one (1) month of salary and shall be paid to the EMPLOYEE for ea
13、ch full calendar year which the EMPLOYEE works for the COMPANY in two (2) instalments the following year.經本公司董事長同意,并且根據該員工的工作態(tài)度、工彳乍成果及其 上級主管規(guī)定之工作目標的完成狀況,該員工將有權在每個公歷年 初享受年終獎金(獎金總額不超過該員工的月工資).員工為公司 工作滿一年時,獎金將于次年分兩次發(fā)放給個人.ARTICLE 6: PERSONAL INCOME TAX第六條:個人所得稅6.1 The EMPLOYEE shall pay individual incom
14、e tax in accordance with the relevant laws and regulations ft People ' s Republic of China. The COMPANY sh withhold such amount and pay it to the competent tax bureau.該員工須根據中華人民共和國相關法律法規(guī)繳納個人所得稅.本公 司將為該員工代扣代徼個人所得稅,并將應納稅款上交相應稅務機 關.ARTICLE 7: TRAINING第七條:培訓7.1 The COMPANY will establish an EMPLOYEE
15、 training system and provide necessary training to the EMPLOYEE in accordance with the relevant laws and regulations of the People' s Republic of China and as th本公司將依照中華人民共和國有關法律法規(guī)及公司需求,為該員工 設計一套培訓體系,向該員工提供必要的培訓.ARTICLE 8: WORKING HOURS第八條:工作時間8.1 The COMPANY will implement working hour system o
16、f forty minimum(40) hours per week in accordance with the relevant laws and regulations exclusive of lunch time.本公司依照相關法律法規(guī)實行每周 40小時工作制(每周工作時間不 得少于40小時),不包括午餐時間.The working hours are from Monday to Friday from 9:00AM to 6:00PM with a one (1) hour for lunch that may vary in time so as to have at leas
17、t one staff member in the office during lunch time.工作時間從周一至周五,每天上午 9點至下午6點,午餐時間為一 個小時.午餐時間將根據具體情況進行安排以保證屆時至少有一名 員工留守辦公室.8.2 Subject to the operation needs the COMPANY may adopt irregular working hour system or calculate the working hours on synthetic basis.根據實際工作需要,本公司可能采用不規(guī)那么時間工作制或依照綜合 標準計算工作時間.8.3
18、 The COMPANY may extend the working hours of the EMPLOYEE after consultation with the EMPLOYEE according to the relevant laws and regulations.*Co., Ltd依照有關法律法規(guī),與該員工進行協(xié)商后,本公司可以延長該員工 的工作時間.The COMPANY pays the EMPLOYEE 300 percent of the salary, based on an hourly amount according to Article 4, hereto
19、 for working during official public holidays.假設需要員工在法定節(jié)假日加班,公司將根據本合同第 4條中所列工 資標準計算出該員工的每小時工資,并根據每小時工資標準的3倍支付加班工資.8.4 Notwithstanding what provided hereof the COMPANY shall extend the working hours regardless of Article 8.1 and Article 8.3 in any of the following cases: 假設出現以下情況,無論是否符合本合同第8.1條和第8.3條中
20、的規(guī)定,本公司均可延長工作時間:a. Immediate action which must be carried out in case of natural disasters, accidents or other events that will endanger the EMPLOYEE property, or safety;由i發(fā)呈白然災害、事故或其它危及該員工生命、健康、財產及 平安的事件,必須采取緊急舉措;b. Urgent repair which must be carried out in case of breaking down of operation equip
21、ment, communication, transportation and other facilities which will endanger COMPANY business or public interest;由于運營設備、通訊設備、運輸設備及其它設備發(fā)生故障,危害 到本公司的業(yè)務或公共利益,必須進行緊急維修;c. Continuous of the operation or business of the COMPANY which shall not be interrupted on stipulated holidays and rest days.由于無法由于法定休假
22、和雙休日而中斷本公司持續(xù)開展的經營運 作或業(yè)務;d. Overhaul and maintenance of the equipment which shall only be made on stipulated holidays and rest days; and只能在法定休假和雙休日進行的設備檢修與維護;e. Emergency operation assignment concerning national defence.由于國防原因需要采取緊急舉措.ARTICLE 9: DISCIPLINE第九條:勞動紀律9.1 Apart from the provisions of this
23、 CONTRACT the EMPLOYEE must respect allrelevant laws and regulations of the Peopleregulations of the COMPANY and provisions of any relevant collective labourcontract.除本合同所規(guī)定之條款外,該員工還須遵守中華人民共和國相關法 律法規(guī)、本公司制定的規(guī)章制度,以及其它勞動合同方面的相關規(guī) 定.9.2 The EMPLOYEE must respect and execute any and all formal instruction
24、s given tohim/her regarding the duties and responsibilities of his/her tasks of work.該員工須遵守并執(zhí)行一切與其工作責任有關的正式指令.9.3 In cases of an offence, gross misconduct, and or any violation of labour disciplinethe COMPANY will normally carry out the following procedure:假設該員工出現過錯、嚴重過失及/或其它違反勞動紀律的行為,本公司一般依照以下程序對該員
25、工進行處分:1 Oral warningp 頭警告2 -First written warning一次書面警告3 -Final written warning 二次書面警告4 -Dismissa肝除9.4 However the COMPANY reserves the right to omit any of these stages as thecase may be.然而,本公司有權根據實際情況對上述某些步驟進行調整.9.5 The EMPLOYEE has the right to appeal against written warnings or dismissal tothe L
26、abour Dispute Committee if any.該員工有權針對其受到的書面警告或開除決定向勞動爭議委員會提 出申訴如需.ARTICLE 10: SICKNESS & INJURY LEAVE第十條:病假及傷假10.1 The EMPLOYEE will be entitled to sickness and injury leaves in accordance with the relevant laws and regulations.該員工有權根據相關法律法規(guī)享受病假及傷假.10.2 The EMPLOYEE applying for sickness or inj
27、ury leave shall fill in aapplication form' his/hergmtaa|ageov aL eave for more thantwo (2) days shall be approved by the Chief Executive Officer of the COMPANY and submitted to the Office Manager, Human Resources Manager or their Manager for verification and filing before going for leave.申請病假或傷假
28、時,該員工應填寫 休假申請表,并必須得到其上級 主管的準許.假設該員工的休假超過兩(2慶,那么需經本公司首席執(zhí)行 官允許,且應在休假前將 休假申請表提交至行政經理、人力資源部 經理或直屬上級經理以供審核及存檔.In case of any sudden sickness or injury the EMPLOYEE shall inform his/her manager no later than the end of the first day. A written confirmation shall be submitted to the Office Manager and Huma
29、n Resources Manager for verification and filing within two (2) days after he or she comes back to work.假設該員工突發(fā)疾病或受傷,需在當天結束前通知其上級經理,并在 返回崗位后的兩(2浴工作日內將書面說明提交行政經理及人力資源 部經理以供審核及存檔.10.3 If the EMPLOYEE is absent for more than one (1) week he/she must ensure that the Chief Executive Officer are kept infor
30、med of the progress at weekly intervals. 假設該員工的病假超過一周,該員工必須每周向首席執(zhí)行官報告其病情狀況.10.4 The EMPLOYEE taking sickness or injury leaves for more than one (1) day must provide a medical certificate issued by a qualified doctor. Failure or refusal to provide the certificate or providing false or inaccurate info
31、rmation will be deemed as a gross misconduct.* Co., Ltd假設該員工休病假或傷假超過一天,必須提供由專業(yè)醫(yī)師出具的病假 條.假設該員工無法或拒絕提供病假條或提供虛假信息,將被視為嚴 重過失.ARTICLE 11: LABOUR SAFETY & HYGIENE第十一條:勞動平安及勞動衛(wèi)生保證11.1 The COMPANY will establish a sound labour safety and hygiene facilities and shall strictly implement rules and standard
32、s of labour safety and hygiene of the People Republic of China, conduct labour safety and hygiene education, prevent accidents and reduce occupational hazards.本公司將建立一套合理的勞動平安衛(wèi)生保護舉措,嚴格落實中華人 民共和國勞動平安衛(wèi)生制度和標準,開展勞動平安衛(wèi)生教育,預防 事故發(fā)生,減少職業(yè)病危害.11.2 The COMPANY shall provide the EMPLOYEE with labour safety and h
33、ygiene conditions and necessary articles in conformity with the relevant laws and regulations.本公司將依照有關法律法規(guī)為該員工提供勞動平安衛(wèi)生條件以及必 要的設備.11.3 The EMPLOYEE shall have the right to refuse to carry out any dangerous operation forced upon him/her by management personnel in violation of the relevant regulations.
34、假設該員工的上級主管違反相關法律法規(guī),要求其從事危險性工作, 該員工有權拒絕.ARTICLE 12: SOCIAL INSURANCES第十二條:社會保險12.1 The COMPANY must join social insurance schemes for the EMPLOYEE in accordance with the relevant laws and regulations of the People* Co., LtdChina and shall pay on time social insurance premiums to the social insurancei
35、nstitutions according to the standards set by the local authorities.本公司嚴格遵守中華人民共和國有關法律法規(guī)為該員工繳納社會保險,并且依照當地政府部門制定的標準將保險費按時、全額支付給 社會保險機構.ARTICLE 13: HOLIDAYS第十三條:休假13.1 The EMPLOYEE enjoys statutory holidays for official public holidays, wedding, and funerals in line with the relevant laws and regulati
36、ons of the PeopleChina.該員工依照中華人民共和國有關法律法規(guī)享受法定休假,包括法定 節(jié)假日、婚假、喪假、產假.13.2 The EMPLOYEE is entitled yearly (for a full year worked) to a paid annual vacation of ten (10) working days exclusive of the statutory holidays.該員工在本公司工作滿一年后有權享受每年十個工作日的帶薪年 假,不含法定節(jié)假日.The holiday' s reference period is from th
37、e first day of January to the thiof December. Holidays accrued during one period have to be taken on the following holiday period. For the first year of employment, holidays will be accrued at pro rata temporis.每年1月1日至12月31日作為一個休假年度,當年未休的假期只可 累積到次年使用.在本公司工作未滿一年的新員工可在次年享受年 假,具體的年假天數根據其實際工作時間計算.13.3 A
38、fter the EMPLOYEE completes five (5) years of continuous work for the COMPANY the EMPLOYEE is entitled yearly (for a full year worked) to one (1) further working day of paid annual vacation for each full year which the EMPLOYEE works for COMPANY, but the paid annual vacation shall not exceed twenty
39、(20) working days in the aggregate.*Co., Ltd該員工在本公司任職滿五年后,在本公司每工作滿一年,每年可以 增加一個工作日的帶薪年假,但每年帶薪年假累積最多不超過二十 個工作日.13.4 All leave must be taken at times agreed with the Chief Executive Officer of theCOMPANY ten days in advance.所有休假必須提前10天向本公司申請并獲得首席執(zhí)行官的同意.ARTICLE 14: EXCLUSIVITY & NON-COMPETITION第十四條:
40、唯一性及非競爭協(xié)定14.1 The EMPLOYEE must devote in full all his/her working time to the COMPANY.該員工在本公司工作期間必須勤奮敬業(yè).14.2 It is strictly forbidden for the EMPLOYEE to have any other professional activity for himself/herself or and relatives or and third parties even free of charge.嚴格禁止該員工在本公司任職期間為其白身及/或親屬及/或第三方
41、提供任何有償或無償專業(yè)勞動.14.3 The EMPLOYEE undertakes not to exercise directly or indirectly on behalf of any competitor to the COMPANY even as free of charge or for himself/herself any activity which may compete with the business of the COMPANY for one (1) year after the termination of the present CONTRACT. T
42、his Article 14.3 is not applicable if termination of the CONTRACT is due to COMPANY for other reasons than the ones covered by Article 14 and Article 15.該員工與本公司解除本合同后一年內不得直接或間接地代表本公司 的任何競爭對手從事任何可能傷及本公司利益的有償或無償活動.假設由于其它原因而非本合同第14條和第15條解除本合同的,不適用 本合同第14.3條.14.4 The EMPLOYEE shall pay the COMPANY an am
43、ount of RMB10,000 to RMB100,000 as a penalty clause if he/she does not comply with Article 14.1., Article 14.2., and Article 14.3. hereto. This amount does not include the possible actual damages which may be claimed by the COMPANY.*Co., Ltd假設該員工違反本合同第14.保、第14.2條及第14.3條的規(guī)定,其必 須向本公司支付1萬-10萬人民幣作為賠償.該筆
44、賠償不包括本公司 對可能造成的實際損害進行索賠的金額.ARTICLE 15: CONFIDENTIALITY第十五條:保密協(xié)定15.1 The EMPLOYEE shall keep strictly secret and confidential and not to disclose to any third PARTY any and all technical, economic, financial, client or marketing information acquired from the COMPANY and or obtained because of his/her
45、 activities in the COMPANY.該員工須嚴守公司機密,不得向任何第三方透露白本公司處獲得的 及/或由于該員工在本公司任職而獲得的任何技術、經濟、財務、客 戶或市場信息.The EMPLOYEE shall not use any such information for any purpose whatsoever except within and for the tasks, duties, and responsibilities provided in this CONTRACT.L該員工亦不得將上述信息用于本合同規(guī)定之工作責任以外的一切活15.2 The EMP
46、LOYEE agrees that any disclosure or non authorised use of such information shall be considered as a serious misconduct except in the case whereby the EMPLOYEE has received a prior written permission from the COMPANY management.該員工認同,除非該員工已事先收到本公司治理部門發(fā)出的書面許 可,否那么,泄露上述信息或在未被授權的情況下使用上述信息將被 視為嚴重過失行為.15.
47、3 The EMPLOYEE shall comply with his/her confidentiality obligations pursuant to this Article 15 for the whole term of this CONTRACT and duration of five (5) years after the termination of the CONTRACT.*Co., Ltd該員工在本公司任職期間以及在本合同解除后五(5岸內應當根據本合同第15條的規(guī)定遵守保密協(xié)議.15.4 The EMPLOYEE shall pay the COMPANY an
48、amount of RMB10,000 to RMB100,00Qas a penalty if he/she does not comply with his/her confidentiality obligations pursuant to this Article 15. This amount does not include the possible actual damages which may be claimed by the COMPANY.假設該員工違反本合同第15條的規(guī)定,沒有盡到其應盡的保密義務, 那么該員工必須向本公司支付1萬-10萬人民幣作為賠償.該筆賠償不
49、包括本公司對可能造成的實際損害進行索賠的金額.ARTICLE 16: RESPONSIBILITIES OF THE PARTIES第十六條:雙方責任16.1 Either of the PARTIES shall perform its responsibilities under this CONTRACT strictly in accordance with the provision hereof.合同任何一方都應根據本合同所規(guī)定的條款嚴格履行各白責任.16.2 Either of the PARTIES should bear responsibilities for compen
50、sation if it violates this CONTRACT, infringes upon the interests of the other PARTY and causes damages to the other PARTY.假設合同任何一方違反本合同以及損害本合同另一方的利益并給本合 同另一方造成損害,該方承擔違約責任.ARTICLE 17: TERMINATION OF THE CONTRACT第十七條:合同終止17.1 Either of the PARTIES shall be entitled to terminate this CONTRACT for reas
51、ons expressly provided by the relevant laws and regulationaebple' s Republic*Co., Ltdof China. Such termination of this CONTRACT shall comply with the proceedings provided by the relevant laws and regulations.合同任何一方均有權依照中華人民共和國相關法律法規(guī)終止履行本合同.本合同的終止須遵照有關法律法規(guī)操作進行.17.2 Furthermore the COMPANY may te
52、rminate the CONTRACT for any one of the following reasons:此外,在以下情況下,本公司可隨時解除本合同:a. The EMPLOYEE has a conflict between personal interest and the interest of the COMPANY in dealing with supplier, customers, and individuals of other organisations doing or seeking to do business with the COMPANY.該員工在與本
53、公司的供貨商、客戶及其它機構的人員開展業(yè)務或 收集業(yè)務信息期間發(fā)生其個人與本公司利益上的沖突.b. The EMPLOYEE has asked for or received any advantage or benefits either in monetary or non monetary term of any kind form persons or organisations having business activities directly or indirectly with the COMPANY.該員工向與本公司有直接或間接業(yè)務往來的任何個人或機構索取 或收受任何貨幣
54、或非貨幣形式的財物或好處.c. The EMPLOYEE fails to perform his/her responsibilities under Articles 14 andArticle 15 of this CONTRACT.該員工違反本合同第14條和第15條的規(guī)定.d. The EMPLOYEE left from his/her work for more than five (5) working days without prior consent from the Chief Executive Officer except in the case of force m
55、ajeure which prevent the EMPLOYEE from informing the Chief Executive Officer.該員工事先未經首席執(zhí)行官準許擅白離崗超過五個工作日,假設因 不可抗力導致該員工無法通知首席執(zhí)行官除外.17.3 The EMPLOYEE may also hand over a written notice of his/her resignation forpersonal reasons 30 days ahead. If the EMPLOYEE does not provide theCOMPANY with one monthhe
56、/she should payntotithe COMPANY oneto*Co., Ltdcalendar month of salary and allowance mentioned in Article 4 as the compensation.假設由于其個人原因,該員工可提前三十天以書面形式提出辭職.假設 該員工沒有提前三十天向公司遞交辭呈,該員工將向公司支付依本 合同第4條所規(guī)定的一個月的月工資及補助作為補償金.17.4 The COMPANY shall pay to the EMPLOYEE any compensation pursuant to relevant laws
57、 and regulations of the Peopletermination of this CONTRACT unless otherwise provided by the laws or resulting from the occurrence of the termination events agreed by PARTIES hereof or resignation of the EMPLOYEE for personal reasons. The maximum amount of compensation by the COMPANY will not exceed one calendar month of salary and allowance mentioned in Article 4假設本合同解除,本公司將遵照中華人民共和國有關法律法規(guī)向該員工支付補償金,該補償金總數不超過本合同第4條所規(guī)定的一個月的月工資與補助總額.合
