10、tent, name,value,ty, weight, volume, transporion requirements, the consigneesaddress, company name, name, contact and etc.三、乙方的權(quán)利和義務(wù)Party Bs Rights and Obligations1.乙方在為甲方提供本協(xié)議約定的進(jìn)口清關(guān)服務(wù)時(shí)，根據(jù)服務(wù)項(xiàng)目報(bào)價(jià)表（附件 1）的約定向甲方收取服務(wù)費(fèi)，并向甲方開具形式。Party A shall pay Party B the Service Fee for the proviof Malaysia importcust

11、oms clearanervice under this Agreement in accordance with the ServiceFee Schedule (Annex 1) and Party B shall ie pro formas to Party A.2.乙與甲方指定公司進(jìn)行交接，對(duì)快件進(jìn)行交接掃描并將數(shù)據(jù)傳輸至甲方IT 系統(tǒng)?？旒z失或破損的風(fēng)險(xiǎn)自乙方從甲方指定的公司接收快件并進(jìn)行交接掃描之時(shí)起轉(zhuǎn)移給乙方。Party B shall accept the Shipments from the company designated by Party A andscan the

The riskof loss or damage of the Shipments shall be transferred to Party B from the timeParty B accepts the Shipments and finishes the handover scanning.3.乙方提供服務(wù)期間，如遇清關(guān)區(qū)域所在國(guó)家或地區(qū)當(dāng)?shù)胤ǘü?jié)假日需暫停運(yùn)以形式提前 10 個(gè)工作日通知甲方。作，乙Party B shall give Party A a 10

13、business days prior written notice if it wouldsuspend its customs clearanClearance Area.ervice during public holidays in the Customs4.乙配備與甲方的圓通IT 系統(tǒng)相互兼容和協(xié)調(diào)的IT 系統(tǒng)，并及時(shí)傳輸有關(guān)快件清關(guān)狀態(tài)的所有必要信息。數(shù)據(jù)傳輸?shù)臅r(shí)限、格式和結(jié)構(gòu)應(yīng)以甲方規(guī)定的為準(zhǔn)。Party B shall be equipped with IT system which is compatible andegrated withYTO IT System. Par

14、ty B shall transmit to Party A all the nesary informationregarding the sus of customs clearance. The time period, file formats andstructure of the daransmiss shall be subject to the requirements of Party A.5.乙方承諾其 IT 系統(tǒng)中的時(shí)間與操作信息，包括但不限于交接、收件入庫(kù)、清關(guān)，發(fā)貨出庫(kù)等甲方進(jìn)行查詢與結(jié)算。實(shí)有效，并應(yīng)及時(shí)將快件走件狀態(tài)反饋甲方，以便Party B undertake

16、ement of accounts.6.乙向甲方提供快件清關(guān)進(jìn)展情況查詢的途徑與便利。對(duì)于乙方提供進(jìn)口清關(guān)服務(wù)期間出現(xiàn)的突發(fā)狀況與異常情況，乙及時(shí)通知甲方，與甲時(shí)溝通，雙方協(xié)商應(yīng)對(duì)處理。Party B shall provide to Party A with the acs to inquiry on the sus ofcustoms clearance of Shipments, and shall promptly inform Party A on anyemergencies and abnormal situations during clearance and negotiat

17、e with Party A on solution.7.乙將配送公司簽收的底單（）至少保留【一年】，自簽收之日起算。Party B shall keep the original copy of the handovroof signed by the shipcompany (if any) foreast one year, which shall be calculated from the daythe handovroof is signed by the responsible shipcompany.四、異常件的處理Handling of Abnormal Shipments1

18、.派件公司收到乙方送達(dá)的快件時(shí)，經(jīng)檢驗(yàn)確認(rèn)快件外包裝完好的，進(jìn)行簽收，乙將簽收結(jié)果傳輸至甲方IT 系統(tǒng)。In the eventt the Shipments are received by ShipCompany and areconfirmed in good packing condition, Party B shall transmit the acceptance datato Party As IT system.2.凡出現(xiàn)清關(guān)及交貨異常情況（包括但不限于無(wú)法聯(lián)系派件公司、面單信息有誤或不詳、派件公司拒收等）而不當(dāng)日甲方工作時(shí)間內(nèi)通知甲方，與甲方配送的，乙在發(fā)生異常情況的協(xié)調(diào)溝通

19、處理方式。同時(shí)，COVENANT 應(yīng)繼續(xù)聯(lián)系配送公司以完成交貨。如無(wú)法完成交貨，乙方需對(duì)快件提供【15】天的免費(fèi)保管期，期間根據(jù)甲方指示行事，逾期乙方可自行對(duì)快件進(jìn)行處理。1.1In case of any abnormal clearance and handover circumstan(including,without limiion, failure to contact the ShipCompany, incorrect orplete information on the waybill, shipcompanys refusal to accept theShipments,

20、 etc), Party B shall inform Party A of the abnormal circumstance onthe same day and negotiate with Party As staff on solution. Meanwhile, Party Bshall continue to contact the ShipCompany and try to handover again.COVENANT shall keep the Shipments forriod of fifteen (15) days for free,during which CO

If Party B fails to do so, it shall compensate to Party A for any loss arisingfrom thereby.4.如派件公司未收到快件，而乙方無(wú)法提供證明及底單證實(shí)該派件已簽收，則視為快件遺失，乙當(dāng)按本協(xié)議約定承擔(dān)賠償責(zé)任。In

23、the eventt the shipcompany claimst is not received theShipment and Party B fails to provide any proof evidencingt the shipcompany has accepted the Shipment, then the Shipment shall be deemed to belost. In such a case, Party B shall be liable for any loss thereby in accordance with the terms of this

24、Agreement.五、標(biāo)準(zhǔn)與財(cái)務(wù)結(jié)算Service Fee Schedule and Settlement of Service Fees1.本協(xié)議約定的服務(wù)費(fèi)用詳見附件一。除非雙方另行同意，服務(wù)價(jià)格將以【】結(jié)算。The Service Fee provided forhis Agreement is set forth in Annex 1. Unlessotherwise agreed in writing by both parties, the payment shall be made in CNY.2.費(fèi)用結(jié)算：雙方約定以月結(jié)方式進(jìn)行結(jié)算。乙方每月 5 日（如遇法定節(jié)假日起 7相

Party A shallconfirm the details within 5 business days and raise objections during this period. When confirming the details of the Service Fee, Party A ma

27、y deduct any compensation amount payable due to Party Bs default from the Service Fee payable upon COVENANTs written consent. After the Service Fee is confirmedby both Parties, Party A shall make payment within 10 business days upon receiptof the pro formaied by Party B.3.匯款及收款所產(chǎn)生的相關(guān)手續(xù)費(fèi)由付款收款方各自承擔(dān)。Br

33、ns under this Agreemenve been obtained;4)乙方具備履行本協(xié)議所必須的場(chǎng)地、設(shè)施和設(shè)備；The requisite site, facilities and equipment have been put in place toenable it to perform its obligations under this Agreement;5)乙方具備履行本協(xié)議所必須的IT 系統(tǒng)；The IT system required to enable it to perform its obligations under thisAgreemenve been

34、 put in place;6)乙方具備履行本協(xié)議所必須的貨物安全檢查流程、貨物收運(yùn)工作程序、工作崗位責(zé)任制等規(guī)章制度。Nesaryernal guidelines and systems, such as standard operationprocedure on Shipments sorting and clearance and responsibility systemofts, have been put in place to enable it to perform its obligationsunder this Agreement.七、違約責(zé)任Liabilities1.

35、一方本協(xié)議項(xiàng)下約定的，應(yīng)就其違約行為賠償守約方的全部損失。The Party who breaches the provis of this Agreement shall compensate theotharty for all losstained thereby .2.乙對(duì)其提供服務(wù)過(guò)程中的快件遺失、破損等損失承擔(dān)賠償責(zé)任, 并按照快件實(shí)際價(jià)值向甲方進(jìn)行賠償，但每票快件最高賠償額不超過(guò)【2000】元人民幣。Party B shall be liable for any loss or damages of the Shipments when performing its servic

In such a case, Party B shall compensate Party A for the actual value of the Shipment but shall not exceed RMB 2,000 perShipment.3.乙方延遲清關(guān)的，如送達(dá)時(shí)間超過(guò)承諾時(shí)效 2 個(gè)工作日的，乙方免收該票快件服務(wù)費(fèi)的 50%；超過(guò) 4 個(gè)工作日的，該票快件服務(wù)費(fèi)全免；超過(guò) 6 個(gè)工作日的，甲方判定此票快件為遺失件，賠償標(biāo)準(zhǔn)參照遺失件的理賠標(biāo)準(zhǔn)。Comparing with Party Bs committed cleara

39、poil, color change, rust, fire, bomb caused by the nature of the Shipments;因運(yùn)單記載信息有誤而造成的損失；Any loss caused by the wrongful information of the waybill;非因乙方原因造成的快件包裝不當(dāng)或不充分導(dǎo)致的損害（乙方知曉或應(yīng)當(dāng)知曉該快件可能會(huì)由于包裝問題導(dǎo)致?lián)p害的情況除外）。（2）（3）Any loss caused by improper or insufficient packing of the Shipment whichis notributabl

50、s and cnts.十、廉潔條款Code of Conduct1.乙方不得以獲得或保留商業(yè)或以不當(dāng)利益為目的，向甲方提供財(cái)物或其他利益（包括但不限于饋贈(zèng)、款待或給予回扣、實(shí)物或其他形式的利益）。甲方亦不得索要或乙方提供的上述財(cái)物和其他利益。Party B is prohibited from offering any bribes or benefits (including but notlimited to gifts, hospitality, kickbacks, property or other form of benefits) to PartyA for the pure o
