5、設(shè)備安裝驗(yàn)收過(guò)程中，賣方在現(xiàn)場(chǎng)向用戶提供對(duì)操作人員的基本培訓(xùn)，培訓(xùn)內(nèi)容包括設(shè)備結(jié)構(gòu)介紹，操作軟件使用，設(shè)備操作使用，日常保養(yǎng)及維護(hù)等。Duringtheequipmentinstallationandacceptaneetest-run,theengineerfromtheSellershalltraintheoperatorsattheuserssites.Thistrainingincludesintroductionofequipmentstructure,softwareoperation,equipmentoperation,routinemaintenanceetc.裝運(yùn)期限TIM

18、TEEOFQUALITY賣方保證定貨系用最上等的材料和頭等工藝制成的全新產(chǎn)品，并完全符合合同規(guī)定的質(zhì)量、規(guī)格和性能。TheSellershallguaranteethegoodsaremadeofbestmaterials,withfirstclassworkmanship,brandnew,unusedandcorrespondinallrespectswiththequality,specificationandperformanceasstipulatedincontract.檢驗(yàn)索賠INSPECTIONANDCLAIMS14.1檢驗(yàn)Inspection:按賣方和用戶在雙方簽訂的技術(shù)協(xié)議

19、里的規(guī)定辦理。asperdetailsstipulatedinTechnicalAgreementsignedbytheSellerandUser14.2索賠CLAIMS:在本合同第1.5條規(guī)定的保證期限內(nèi)，如發(fā)現(xiàn)貨物的質(zhì)量及/或規(guī)格與本合同規(guī)定不符或發(fā)現(xiàn)貨物無(wú)論任何原因引起的缺陷包括內(nèi)在缺陷或使用不良的原料，買方應(yīng)申請(qǐng)商檢局檢驗(yàn)，并有權(quán)根據(jù)商檢證向賣方索賠。WithintheguaranteeperiodstipulatedinClause1.5hereofshouldthequalityand/orspecificationsofthegoodsbefoundnotinconformity

21、ameBureau.14.3賣方收到買方索賠通知后，如果在三十天內(nèi)未答復(fù)，應(yīng)視為賣方同意買方提出的一切索賠。AnyandallclaimsshallberegardasacceptediftheSellersfailtoreplywithin30daysreceiptoftheBuyersclaim.索賠解決辦法CLAIMS如貨物不符合本合同規(guī)定應(yīng)由賣方負(fù)責(zé)，同時(shí)買方按照本合同的規(guī)定在索賠期限或質(zhì)量保證期內(nèi)提出索賠，賣方在取得買方同意后，應(yīng)按下列方式理賠。Incasethatthesellersareliableforthediscrepanciesoftheabovementionedequ

22、ipmentandaclaimislodgedbythebuyerswithinthetime-limitofinspectionorqualityguaranteeperiodasstipulatedinthiscontract,thesellersshallsettletheclaimuponagreementofthebuyersinoneorcombinationofthefollowingways.15.1設(shè)備經(jīng)賣方安裝、調(diào)試后不能正常運(yùn)轉(zhuǎn)或達(dá)不到技術(shù)協(xié)議規(guī)定的技術(shù)要求，賣方同意買方退貨，并將退貨金額以成交原幣償還買方，并負(fù)擔(dān)因退貨而發(fā)生的一切費(fèi)用，包括運(yùn)費(fèi)，保險(xiǎn)費(fèi)，商檢費(fèi)，倉(cāng)租，碼

23、頭裝卸費(fèi)等其它必要費(fèi)用。Agreetotherejectionofthegoodsandrefundtothebuyersthevalueofthegoodsorejectedinthesamecurrencyascontractedhereinandtobearalldirectexpensesinconnectiontherewithincluding-freight,insurancepremium,inspectioncharges,stevedorecharges,andallothernecessaryexpenses.15.2按照貨物的疵劣程度，損壞的范圍將貨物貶值。Devalu

24、atethegoodsaccordingtothedegreeofinferiority,extentofdamage.15.3用符合本合同規(guī)定的規(guī)格，質(zhì)量和性能的全新零件調(diào)換有缺陷的零件，賣方應(yīng)承擔(dān)一切費(fèi)用和風(fēng)險(xiǎn)并負(fù)擔(dān)買方承受的全部直接費(fèi)用。同時(shí)，賣方應(yīng)按合同規(guī)定，相應(yīng)延長(zhǎng)所更換貨物的質(zhì)量保證期。Replacedefectivepartswithnewparts,whichconformtothespecifications,quality,andperformaneeasstipulatedinthiscontract.15.4如果賣方在接到買方索賠30天內(nèi)未予答復(fù)則表明賣方已經(jīng)接受索賠，

25、賣方需在接受索賠30日內(nèi)完成賠償。TheclaimmentionedaboveshallberegardedasbeingacceptediftheSellersfailtoreplywithin30daysaftertheSellersreceivetheBuyersclaim.Thebuyerclaimshallbesatisfiedwithin30dayscountingfromsellersacceptaneeoftheclaim.不可抗拒FORCEMAJEURE由于人力不可抗拒的事故，導(dǎo)致賣方交貨遲延或不能交貨時(shí)，責(zé)任不在賣方，但賣方應(yīng)立即將事故通知買方，并于事故發(fā)生后十四天內(nèi)將事故

26、發(fā)生地政府主管機(jī)關(guān)出具的事故證明書用空郵寄交買方為證，并取得買方認(rèn)可，在上述情況下，賣方仍負(fù)有采取一切必要措施從速交貨的責(zé)任。如果事故持續(xù)超過(guò)十個(gè)星期，買方有權(quán)撤消本合同（同時(shí)，賣方無(wú)條件在合同撤消后15個(gè)工作日退回全部預(yù)付貨款）。TheSellersshallnotberesponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeurecases,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSell

27、ersshalladvisetheBuyersimmediatelyoftheoccurreneementionedaboveandwithinfourteendaysthereafter,theSellershallsendbyairmailtotheBuyersfortheiracceptaneeacertificateoftheaccidentissuedbythecompetentGovernmentAuthoritieswheretheaccidentoccursasevideneethereofundersuchcircumstancestheSellers,however,are

28、stillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.IncasetheaccidentlastsformorethantenweekstheBuyershallhavetherighttocanceltheContract.（atsametime,thesellerwithin15daysafterthecancellationofthecontractunconditionallyreturnallprepaid）。遲交和罰款LATEDELIVERYANDPENALTY除人力不可抗拒的事

29、故外，若賣方不能按合同規(guī)定及時(shí)交貨，經(jīng)買方同意，賣方可在繳納罰金的條件下延期交貨。此項(xiàng)罰款總額不超過(guò)全部遲交貨物總額的5%,付罰金的比例為每一星期按遲交貨總值的0.5%交罰款，不足一星期的遲交日數(shù)作為一星期計(jì)算，如遲延交貨超過(guò)原定期限十星期時(shí)，買方有權(quán)終止本合同。但賣方仍應(yīng)向買方繳付以上規(guī)定之罰款，不得推諉或遲延。（同時(shí)賣方無(wú)條件退回全部預(yù)付貨款）ShouldtheSellersfailtomakedeliveryontimeasstipulatedintheContract,withexceptionofforcemajeurecausesspecifiedinClause18ofthisC

31、akedeliverytenweekslaterthanthetimeofshipmentstipulatedintheContract,theBuyersshallhavetherighttocancelthecontractandthesellers,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytotheBuyerswithoutdelay.atsametime,thesellerunconditionallyreturnallprepaid。責(zé)任與賠償AbilityandIndemnity:TheSellershall

32、indemnifytheBuyeragainstliabilitiesincurredorsufferedbytheBuyerinconnectionwithanydeathorpersonalinjurycausedbytheSellersnegligeneeorresultingfromanydefectinthegoodscausedbytheSeller.賣方應(yīng)確保，買方不因賣方過(guò)失或其產(chǎn)品的任何缺陷而承擔(dān)任何人身?yè)p害賠償責(zé)任；就該等損害賠償責(zé)任，應(yīng)由賣方予以承擔(dān)。TheSellershallbeliabletotheBuyerforphysicallossoforphysicalda

36、由買方予以承擔(dān)。仲裁ARBITRATION19.1仲裁：凡因本合同引起的或與本合同有關(guān)的任何爭(zhēng)議，均應(yīng)通過(guò)友好協(xié)商解決。如協(xié)商不成應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，依照申請(qǐng)仲裁時(shí)該會(huì)現(xiàn)行有效的仲裁規(guī)定，在北京進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方均有約束力。AlldisputesarisingfromorinconnectionwiththisContractortheexecutionthereofshallbesettledbyfriendlynegotiation.Incasenosettlementcanbereached,thedisputesshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommissioninBeijing,ChinaforarbitrationinaccordaneewiththeCommissionsarbitrationrulesineffectatthetimeofapplyingforarbitration.Thearbitrationawardshallbefinalandbindinguponbothparties,andneitherpartyshal
