4、rable.HavetoreceiveoriginalL/Cbefore7days.(9)單據(jù)：賣(mài)方向買(mǎi)方提供相關(guān)單據(jù)。(10)風(fēng)險(xiǎn)：貨物的風(fēng)險(xiǎn)在以下時(shí)候轉(zhuǎn)移至買(mǎi)方：海運(yùn)時(shí)在其越過(guò)船舷，摘下掛鉤時(shí);空運(yùn)時(shí)在其已交空運(yùn)承運(yùn)人或代理人保管時(shí);鐵路運(yùn)輸時(shí)在其已交鐵路保管時(shí)。RiskofLoss:TheriskofthecommodityshalltransfertotheBuyer:Whenithaspassedovertherailofthevesselandbeenreleasedfromtackleincaseofshipmentbysea.Whenithasbeendeliveredinto

5、thecustodyoftheaircarrieroragentincaseofshipmentbyair.Whenithasbeendeliveredintothecustodyoftherailwayincaseofshipmentbyrail.(11)品質(zhì)/數(shù)量異議：如買(mǎi)方提出異議，凡屬品質(zhì)異議應(yīng)于貨到目的口岸之日起36個(gè)月內(nèi)提出，凡屬數(shù)量異議應(yīng)于貨到目的口岸之日起13個(gè)月內(nèi)提出，過(guò)期不受理。對(duì)所裝貨物所提任何異議屬于保險(xiǎn)公司、輪船公司、其他有關(guān)運(yùn)輸機(jī)構(gòu)或郵遞機(jī)構(gòu)所負(fù)責(zé)者，賣(mài)方不負(fù)任何責(zé)任。理賠只限于賣(mài)方在收到買(mǎi)方所在地聲譽(yù)良好的商檢機(jī)構(gòu)或商會(huì)出具的商品抽樣檢查報(bào)告，證明貨物與合同不符后

6、，對(duì)品質(zhì)不符的貨物按一比一更換或按照貨物的疵劣程度和損壞的范圍將貨物貶值，對(duì)數(shù)量不符的貨物給予補(bǔ)足。無(wú)論哪種情況下，賣(mài)方均不對(duì)貨物的可銷(xiāo)性或適用性負(fù)責(zé)，也不對(duì)任何損失賠償負(fù)責(zé)包括但又不限于直接的、間接的、附帶的損失，如買(mǎi)方不能在合同規(guī)定的期限內(nèi)將信用證開(kāi)到或?qū)㈩A(yù)付款匯到，或者開(kāi)來(lái)的信用證不符合合同規(guī)定，而在接到賣(mài)方通知后，不能按期辦妥改證，賣(mài)方有權(quán)撤銷(xiāo)合同或延期交貨，并有權(quán)提出索賠。Quality/QuantityDiscrepancy:Incaseofqualitydiscrepancy,claimsshallbefieldbytheBuyerwithin36monthafterthearr

8、rancecompany,othertransportationorganizationorpostofficeareliable.Thesettlementofsuchclaimsisrestrictedtoreplacementofthenonconformingcommodityonaonetoonebasisordevaluationofthecommodityaccordingtodegreeofinferiorityandextentofdamageincaseofqualitydiscrepancyorsupplyfortheshortageincaseofquantitydis

9、crepancy,aftertheSellerhasreceivedaninspectionreportonthecommoditybysamplingissuedbyareputablecommodityinspectionorganizationorchamberofcommerceattheplacewheretheBuyerislocated,certifyingthenonconformitythereof.InnoeventshalltheSellerbeheldliableforthemerchantabilityorfitnessforanypurpose.Norshallit

10、haveanyliabilityorresponsibilityfordamagesofanykindwhatsoever,includingbutnotlimitedtoanydirect,indirectorcollateraldamages.IncasetheL/CortheadvancepaymentdoesnotreachtheSellerwithinthetimestipulatedintheContractordoesnotcorrespondtotheContracttermsandtheBuyerfailstoamenditstermswithinthetimelimitaf

11、terbeingnotifiedbytheSeller,theSellerhastherighttocanceltheContractortodelaythedeliveryofthecommodityaswellastolodgeclaimsagainsttheBuyer.(12)不可抗力：本合同內(nèi)所述全部或部分貨物，如因不可抗力的原因，以致不能履約或不得不延期交貨，賣(mài)方概不負(fù)責(zé)。ForceMajeure:TheSellershallnotbeheldliableforfailureordelayindeliveryoftheentirelotoraportionofthecommodity

12、underthisContractinconsequenceofanyforcemajeureincidents.(13)仲裁：在執(zhí)行本合同中所產(chǎn)生的或者與合同有關(guān)的一切爭(zhēng)執(zhí)，由雙方協(xié)商解決。如果協(xié)商后仍不能解決時(shí)，得提請(qǐng)仲裁。仲裁在中國(guó)進(jìn)行，由中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，根據(jù)該委員會(huì)的仲裁程序暫行規(guī)則進(jìn)行仲裁。仲裁決定為最終決定，買(mǎi)賣(mài)雙方都應(yīng)服從。除仲裁委員會(huì)另有決定外，仲裁費(fèi)用由敗訴一方負(fù)擔(dān)。Arbitration:AnyoralldisputesarisingfromorinconnectionwiththeperformanceoftheContractshallbesettledth
