6、greementswithPartyA,includingbutnotlimitedtoxclusieonsultingandericeAgreement,BusinessOperationAgreement,tockuityisposalAgreementandtockuityPledgeAgreement.BothPartieshaebasicallyagreedtothecontentframework(AnnexOne,Two,ThreeandFour)oftheseagreements.Beingasthenominalholderofshares(hereinaftercalled

7、asshares-holdingonbehalfoftheholder)ofthiscompany,PartyBshallperformreleantshareholdersrightsonbehalfoftheholderdependingonPartyAsindication.Theownershipofshare-holdingonbehalfoftheholderunderthenameofPartyBbelongstoPartyA.PartyBshallonlysetupthiscompanyandholdthesharesofthiscompanyunderthenameofthe

8、trustee.IIAuthorizationofentrustmentTherightsentrustedbyPartyAtoPartyBtoperformonbehalfofPartyAinclude:SetupthiscompanyunderthenameofPartyB;RegisterPartyBtobetheshareholderintheshareholderregistrationrosterofthiscompany;Performshareholdersrightsastheshareholderofthiscompany,includingbutnotlimitedtoc

9、hargingdividendorbonus,participatingtheshareholdermeeting,performingvotingrightandetc.;Performshareholdersotherrightsasperrelevantlaws,regulationsandconstitutionofthiscompanyinregistrationlocation.PartyAsrightsandobligationsBeingastheactualinvestorofshare-holdingonbehalfoftheholder,PartyAhastheright

10、toenjoyactualshareholdersrightsandhastherighttoobtainrelevantinvestingincome.PartyAcanissuecommandstoPartyBatanymomentwithrespecttoPartyAsperformingshareholderslightandPartyBshalleecutePartyAscommandsunconditionally.PartyAhastherighttotransfertheshare-holdingonbehalfoftheholderandrelevantshareholder

11、seuitytoitsownaccountortheaccountofanythirdPartydesignatedbyPartyAwhenPartyAthinksroper.PartyBshallagreetotheabove-mentionedtransferenceunconditionallyandshalltransactthetransferenceasperPartyAscommand.uringtheperiodofPartyBsholdingshare-holdingonbehalfoftheholder,PartyAshallshoulderallofrelevantgen

12、eratedexpensesoftaxation(ifany);PartyAshallalsoshoulderthegeneratedexpensesoftaxationwhenPartyBtransferstheshare-holdingonbehalfofPartyAtoPartyAoranythirdPartydesignatedbyPartyAtoholdasperPartyAscommands.Beingastheactualholderoftheshare,PartyAhastherighttosuperviseandcorrectPartyBsimproperbehaviorso

13、fentrustmentasperthisagreementandalsohastherighttorequirePartyBtocompensateactuallossesduetoPartyBsimproperbehaviors.PartyAhastherighttonotifycancellingentrustingPartyBatanymomentandrequesttotransferrelevantsharetoPartyAornewtrusteeselectedbyPartyAoranythirdPartydesignatedbythePartyAinaccordancewith

14、laws.PartyBsrightsandobligations2PartyBwillnotenjoyanyusufructordisposalright(includingbutnotlimitedtotransferenceandpledgeofshareholderseuityofshareholderseuityformedbythisshare-holdingonbehalfofthePartyA,underPartyBsownname.PartyBshallnottransfertheauthorityofentrustmenttotheThirdPartytoholdabove-

15、mentionedshare-holdingonbehalfofthePartyAorenjoyshareholderseuityatanymomentorinanysituation,unlessPartyBobtainsPartyAscommandsorPartyAswrittenconsent.ndertheconditionofnotobtainingPartyAswrittenauthorization,PartyBisnotpermittedtomaketransferenceanddisposalorsetguaranteeofanyformforshare-holdingonb

16、ehalfofPartyAandallofbenefitsheldbyitself,moreover,PartyBisnotpermittedtoimplementanyotherbehaviorspossiblydamagingPartyAsbenefits.PartyBshalldeliverallofbenefitsgeneratedfromshare-holdingonbehalfofPartyAtoPartyAtimely(incl.cashdividend,bonusoranyotherbenefitallocations).PartyBshalltryitsbesttocoope

17、ratewithPartyAtotransferallofrelevantproceduresunderitsownname,whenPartyAplanstotransfershare-holdingonbehalfoftheholdertothethirdParty.TermofentrustmentThetermofentrustmentshallbeaperiodstartingfromtheeffectivedateofthisagreementandendingwhenPartyAissuesthewrittenconsenttoPartyBfortermination.Allof

18、agreementsandmodificationforagreementsThisagreementtogetherwithallofthementionedorexplicitlyincludedagreementsand/orallofagreementsreachedbydocumentdraftingpartiesintermsofsubject-mattersofthisagreementshallreplacealloftheoral,writtenagreements,contracts,understandingsandaddressbooksreachedbyallpart

19、iespreviouslywithrespecttosubject-mattersofthisagreement.Anymodificationforthisagreementwillgointoeffectonlyafterallpartieshavesignedthewrittenagreement.Themodifiedagreementsandsupplementaryagreementsrelatedtothisagreementsignedbyallpartiesaretheimportantpartsofthisagreement.Theseagreementshavethesa

20、melegalforcewiththisagreement.ImplementationofagreementThisagreementisintriplicateandeachpartyholdsone.ThisagreementwillgointoeffectsincePartyAsauthoriedrepresentativeaffixesthesignatureandtheofficialsealandPartyBTogetheraffixesthesignature.JurisdictionoflawsSubscription,effectiveness,implementationandinterpretationofthisagreementtogetherwithsettlementofdisputesisruledoverbyPRClawsanditisinterpretedasperPRClaws.SettlementofdisputesWhenallofrelevantpartieshavedisputeswithrespecttointerpretationandimplementationofitemsofthisa
