9、ll activities of the joint venture company shall be governed by the laws, decrees and pertinent rules and regulations of the Peoples Republic of China. 第二章 宗旨、經(jīng)營(yíng)范圍 Chapter 2 The Purpose，Scope and Scale of the Business 第六條甲、乙方合資經(jīng)營(yíng)的目的是：本著加強(qiáng)經(jīng)濟(jì)合作和技術(shù)交流的愿望，彩先進(jìn)而適用的技術(shù)和科學(xué)的經(jīng)營(yíng)管理 方法，提高產(chǎn)品質(zhì)量，發(fā)民新產(chǎn)品，并在質(zhì)量、價(jià)格等方面具有國(guó)際市

16、，確認(rèn)種自的出資日期及金額。 Article 13 After the payment of investment by the parties to the joint venture， a Chinese registered accountant invited by the joint venture company shall verify it and provide a certificate for contributed investment. Thereafter the joint venture company shall issue an investment cer

17、tificate to confirm the date and amount of the contribution. 第十四條 合營(yíng)期內(nèi)，合營(yíng)公司不得減少注冊(cè)資本數(shù)額。 ArticIe14 Within the term of the joint venture， the joint venture company shall not reduce its registered capital. 任何一方都不得將其在合營(yíng)公司中認(rèn)繳出資的任何部份抵押給任何第三方。 Neither party shall be allowed to mortgage any part of the inves

18、tment to the third party. 第十五條 合營(yíng)公司注冊(cè)資本的增加、轉(zhuǎn)讓?zhuān)瑧?yīng)由董事會(huì)一致通過(guò)后，并報(bào)原審批機(jī)權(quán)批準(zhǔn)，向原登記機(jī)構(gòu)辦理變 更登記手續(xù)。 Article 15 Any increase， assignment of the registered capital of the joint venture company shall be approved by the board of directors and submitted to the original examining and approving authority for approval. 19、 registration procedures for changes shall be dealt with at the original registration and administration office. 第四章 董事會(huì) Chapter 4 The Board of Directors 第十六條 合營(yíng)公司設(shè)董事會(huì)。董事會(huì)是合營(yíng)公司的最高權(quán)力機(jī)構(gòu)。 Article 16 The joint venture company shall establish the board of directors which is the highest authority of the j

20、oint venture company. 第十七條 董事會(huì)決定合營(yíng)公司的一切重大事宜，下列事宜，董事會(huì)應(yīng)一致通過(guò)方可作出決定： Article 17 The board of directors shall decide all major issues concerning the joint venture company for the following issues, unanimous approval shall be required: 1.合營(yíng)公司章程和修改; l)amending the Articles of Association of the joint ventu

21、re company 2.合營(yíng)公司的中止與解散; 2)discussing and deciding the termination and dissolution of the joint venture company; 3.合營(yíng)公司與另一經(jīng)濟(jì)組織的合并、兼并與聯(lián)合; 3)deciding the merger， affiliation and consolidation of the joint venture company with other economic organization; 4.合營(yíng)公司注冊(cè)資本的增加與轉(zhuǎn)讓; 4)deciding the increase and a

22、ssignment of the registered capital; 5.設(shè)立合營(yíng)公司的分支機(jī)構(gòu); 5)deciding to set up branches; 6.批準(zhǔn)合營(yíng)公司的中長(zhǎng)期發(fā)展規(guī)劃; 6)ratifying the project of development on medium term and long term; 7.決定合營(yíng)年度經(jīng)營(yíng)方針和計(jì)劃; 7)deciding an annual management strategy and plan; 8.批準(zhǔn)年度財(cái)務(wù)預(yù)算，財(cái)務(wù)報(bào)告和會(huì)計(jì)報(bào)表; 8)ratifying fiscal budget， fiscal report

23、 and accounting statement; 9.決定合營(yíng)公司年度利潤(rùn)分配方案; 9)deciding the plan on annual profits sharing; 10.總經(jīng)理、副總經(jīng)理的任免; l0)inviting and dismissing the general manager and the deputy general managers; 11.涉及任何一方各合營(yíng)公司利潤(rùn)沖突的事項(xiàng)。 11)settling the disputes between each party to the joint venture and joint venture compan

24、y. 對(duì)以下事項(xiàng)，須出席董事會(huì)至少名董事通過(guò)： As for other matters， approval by more than_ directors shall be required. such as; 1.合營(yíng)公司年度流動(dòng)資金貸款的最高額及有關(guān)合營(yíng)公司資產(chǎn)的購(gòu)置、租賃、出賣(mài)或抵押等事宜; 1)deciding the top line of annual circulating capital and issues on purchasing， leasing and mortgage of assets in the joint venture company; 2.合營(yíng)公司的勞

25、動(dòng)合同和重要的規(guī)章制度; 2)approving. the labor contracts and other important regulations of the joint venture company; 3.審查并批準(zhǔn)總經(jīng)理提出的年度經(jīng)營(yíng)報(bào)告; 3)examining and approving the annual business report submitted by the general manager; 4.任免由總經(jīng)理提名報(bào)董事會(huì)聘任的高級(jí)管理人員、決定上述人員的工資和生活福利待遇; 4)inviting and dismissing the senior administrative personnel who shall be recommended by general manager， and deciding their salary and we
