11DecemberChinaShippingContainerLines(HongKong)CoLimited中海集裝箱運輸(香港)有限公31/F.,Tower2,KowloonCommercialCentre,51KwaiCheongRoad,KwaiChung,NewTerritories,HongDearDisclosureLetterrelatingtothedisposalofallissuedsharesofFlorensContainerHoldingsLimitedbyCOSCOPacificLimited中遠(yuǎn)太平洋有限公司("CPL")toChinaShippingContainerLines(HongKong)Co.,Limited中海集裝箱運輸(香港)有限公司("CSCLHK")Werefertothesaleandpurchaseagreement(the"Agreement")tobeenteredintotodaybetweenCPLassellerandCSCLHKaspurchaser.Thisletter,togetherwithitsschedules,istheDisclosureLetterreferredtointheAgreement.TermsdefinedintheAgreementshallhavethesamemeaninginthisletter.ThislettertogetherwiththedisclosurescontainedintheelectronicdataroomcontainingdocumentsandinformationrelatingtotheTargetGroupCompaniesasofDecember2015madeavailablethrough .hk"(the"DataRoom")constitutesformaldisclosurebyCPLtoCSCLHKforthepurposesoftheAgreementofthefactsandcircumstanceswhichare,ormaybe,inconsistentwiththeSellerWarranties.SuchfactsandcircumstanceswillbedeemedtoqualifytheSellerWarrantiesaccordingly.Thedisclosureofanymatterordocumentshallnotimplyanyrepresentation,warrantyorundertakingnotexpresslygivenintheAgreement,norshallsuchdisclosurebetakenasextendingthescopeofanyoftheSellerWarranties.Referencesinthislettertoparagraphheadingsandnumbersshall,unlessthecontextotherwiserequires,betothoseheadingsandnumberedparagraphsinPartAofSchedule3(SellerWarranties)oftheAgreement.Suchheadingsandnumberingareforconvenienceonlyandshallnotaltertheconstructionofthisletter,norinanywaylimittheeffectofanyofthedisclosures,allofwhicharemadeagainsttheSellerWarrantiesasawhole.Adisclosureorqualificationmadebyreferencetoanyparticularparagraphshallbedeemedtobemadealsoinrespectofanyotherparagraphtowhichthedisclosureorqualificationmaybeapplicable.ThetermsofthisletterarewithoutprejudicetotheprovisionsofClause8(Limitations)oftheGENERALBywayofgeneraldisclosure,thefollowingmattersaredisclosedordeemeddisclosedtoThecontentsoftheAllmatterwhicharecontainedinthedocumentslistedinSchedule1tothislettercomprisingallthosedocumentscontainedintheDataRoom(the"DisclosureDocuments").ThecontentsofthearticlesofassociationofeachoftheTargetGroupCompaniesandthedocumentsannexedthereto(ifany),copiesofwhichhavebeenprovidedtoCSCLHK.ThecontentsoftheminutebooksandotherstatutorybooksoftheTarget,allofwhichhavebeenmadeavailabletoCSCLHK.AllmatterswhichwouldberevealedbymakingsearchesonthedatewhichisfourBusinessDayspriortothedateofthisletteronthepublicfileofeachoftheTargetGroupCompaniesatthecompanyregistryorotherauthoritythatholdsrelevantinformationinAustralia,Bermuda,theBritishVirginIslands,Germany,HongKong,Italy,Macao,Panama,theUnitedKingdom,theUnitedStatesofAmericaandSingapore,ineachcase,inrespectoffilingsmadeinthe12monthperiodprecedingthedateofthisletter.AllmatterswhichwouldberevealedbymakingwindingupsearchesonthedatewhichisfourBusinessDayspriortothedateofthisletterforeachoftheTargetGroupCompaniesatthereceiverofficeorregistryofwinding-uppetitionorotherauthoritythatholdsrelevantinformationinAustralia,Bermuda,theBritishVirginIslands,Germany,HongKong,Italy,Macao,Panama,theUnitedKingdom,theUnitedStatesofAmericaandSingapore.AllmatterswhichwouldberevealedbymakinglitigationsearchesonthedatewhichistwoBusinessDayspriortothedateofthisletterforeachoftheTargetGroupCompaniesonthepublicfileatthecourtorotherauthoritythatholdsrelevantinformationinAustralia,Bermuda,theBritishVirginIslands,Germany,HongKong,Italy,Macao,Panama,theUnitedKingdom,theUnitedStatesofAmericaandSingapore.AllmatterswhicharecontainedinanemailfromHolmanFenwickWillan("HFW")toGrandallLawFirm("Grandall")datedDecember2015andtheattachment(s)thereofcomprisingCPL'sresponsetothechecklisttitled"InvestigationChecklistforMajorOperationalAssetsofProjectAOffshoreCompanies"concerningtheTargetGroupCompaniesrequestedbyCSCLHKand/oritsadvisers.AllmatterswhicharecontainedinanemailfromHFWtoGrandalldatedDecember2015andtheattachment(s)thereofcomprisingCPL'sresponsetothequestionnairetitled"A項目境外公司注冊地律師需出具法律意見內(nèi)容清單"concerningtheTargetGroupCompaniesrequestedbyCSCLHKand/oritsadvisers.AllmatterswhicharecontainedinanemailfromHFWtoGrandalldatedDecember2015andtheattachmentsthereofcomprisingcopiesoflegalopinionsconcerningtheTargetGroupCompanies(excludingtheTargetGroupCompanieswhichareincorporatedinthePRC).AllmattersofwhichCSCLHK(withouthavingmadespecificenquiry)oughtreasonablytobeawareasaffectingabusinesssectorsimilartowhichtheTargetGroupCompaniesoperateand/orwhicharegenerallyknownbythoseoperatingwithinsuchbusinesssector.SPECIFICThefollowingspecificdisclosuresaremadeinrelationtotheSellerWarrantiesandwithoutprejudicetoanymatterdisclosedundertheheading"GeneralDisclosure"inthisletter:WarrantySpecificTheperformanceandcompletionoftheProposedTransactionistotheapprovalfromtheshareholdersofCPL,theapprovalfromtheshareholdersofChinaCOSCO,necessarythirdpartyconsentsandapprovalsfromtheregulatoryauthoritiesinrespectofCPLandChinaCOSCOrespectivelyhavingbeengrantedandsuchregulatoryapprovalsnothavingbeenrevokedandconsentsof,andnotificationsto,thirdpartiesrequiredfortheProposedTransactionassetoutinSchedule2tothisletterhavingbeenobtainedandmadebytheTargetGroupAsummaryoftheTargetGroupCompanies'outstandinglitigationproceedingsasof31August2015isdisclosedintheDataRoomwithreferencenumberPartA-13.1andinthevaluationreportofChinaTongChengAssetsAppraisalCo.,Ltd.dated8December2015inrespectofitsvaluationontheTargetGroupCompanies.CopiesoftheunauditedfinancialstatementsoftheTargetaredisclosedintheDataRoomwithreferencenumbersPartB–3.3,3.4,3.5and3.6.TheperformanceandcompletionoftheProposedTransactionissubjecttotheconsentsof,andnotificationsto,thirdparties(beingcounterpartiesofvariousmaterialcontractsenteredintobythemembersoftheTargetGroupCompanies)requiredfortheProposedTransactionassetoutinSchedule2tothisletterhavingbeenobtainedandma
